外籍人就业服务中介契约CONTRACTOFEMPLOYMENTSERVICESFOROVERSEAMANPOWER目录CONTENTS第一条：本契约期间 Article1:ContractTerm第二条：服务项目 Article2:ServiceItems第三条：服务费： Article3:ServiceFees第四条：收费及退费方式 Article4:ExpenseandRefund第五条：甲方之义务 Article5:PartyA ’sObligation第六条：乙方之义务 Article6:PartyB ’sObligation第七条：契约订定、变更、终止及损害赔偿Article7:Establishment,Modification,TerminationandCompensation第八条：广告内容及附件 Article8:Advertisementandattachments第九条：保密条款 Article9:Confidentiality第十条：通知之送达处所 Article10:Notice第十一条：合意管辖 Article11:Jurisdiction第十二条：其它事项 Article12:OtherItems第十三条：份数与文本 Article13:Copiesandlanguages本契约于 年 月 日经甲方携回审阅，（本契约于甲方入国前审阅期间至少为三日）ThisContractiscarriedbackbyPartyAforreviewonthedayof____,(ThisContractshallbereviewedbyPartyAforatleast3daysbeforeenteringtheRepublicofChina)立契约书人：（外国人全称） ____（以下简称甲方）Contractor:(FullName)____(hereinafterreferredtoasPartyA)（就业服务机构全称）人力资源管理顾问有限公司（以下简称乙方）(FullNameofEmploymentServicesInstitution)MANPOWERMANAGEMENTCONSULTATIONCO.,LTD.(hereinafterreferredtoasPartyB)兹就甲方委任乙方办理就业服务等事项，双方合意订定本契约书条款如下：ForemploymentservicesthathavebeenauthorizedbyPartyBtoPartyA,bothPartiesmutuallyagreetoenterthisContractwiththetermsandconditionsasfollows:第一条：本契约期间 Article1:ContractTerm____年____月____日至____年____月____日。（甲、乙双方于本契约届满前如有续约必要，经双方同意，以书面另行约定）ThisContractisvalidfromthe____dayof____,throughthe______dayof____(Ifagreeduponbybothparties,thisContractmaybeextendedinwritingsignedbybothpartiespriortotheterminationdate.)第二条：服务项目 Article2:ServiceItems一、乙方须告知甲方有关法令、风俗、民情、薪资、福利、法定费用扣缴及工作权益等相关信息。PartyBshallnotifyPartyAoflawsand/orregulations,folkcustoms,salaries,welfares,legalexpensewithholdingandworkingrightsandinterestsintheR.O.C.二、乙方应协助安排接送甲方至雇主指定工作处，及甲方聘雇关系终止或聘雇许可期间届满返国。PartyBshallrenderassistanceinmakingarrangementsforpickup/deliveryofPartyAtotheworklocationdesignedbyemployerandfortherepatriationupontheexpirationofthevalidityoftheemploymentpermitorterminationoftheemployment.三、乙方应每一个月电话联系或访视甲方一次，提供翻译、咨询服务、协助排解工作压力与生活适应及管理等事项。PartyBshallcontactorvisitPartyAonetimepermonthbyphoneorinpersontoprovideservicesoftranslation,counseling,pressurerelief,livingaccommodation,management,etc.四、乙方须协助甲方与雇主沟通、协调、纠纷排解，并将雇主之工作规则及生活管理事项翻译成甲方母国之文字让甲方熟悉与了解。PartyBshallassistPartyAincommunicating,coordinatingandmediatingthedisputewithEmployeraswellastranslatetherulesofworkanddailyactivitymanagementsetupbytheemployerintoPartyA’smotherlanguage,sothathe/shecanfamiliarizeandunderstand.五、乙方于甲方入国后，依入出国及移民法相关规定期限，协助甲方至内政部入出国及移民署制作指纹纪录，并办理居留业务。AfterPartyAenterstheR.O.C.,PartyBshallassistPartyAingoingtotheNationalImmigrationAgency,MinistryoftheInteriortotakefingerprintsandtoregisterresidencewithinatimeframespecifiedintheImmigrationAct.六、乙方应告知甲方办理健检及核备程序之情形。PartyBshallnotifyPartyAoftheprocessesforthemedicalcheckupsandforsubmittingtheresultstothecompetentauthorityofthelocalgovernmentforreference.七、甲方发生意外事故时，乙方须协助处理之事项如下：WhenPartyAisinvolvedinaccident,theassistanceshallberenderedbyPartyBasfollows:（一）甲方重伤或死亡，乙方提供免费善后协商服务，协助甲方之雇主联络甲方之家属及协助来台处理善后事宜，或协助甲方返国及将甲方遗体及其私人物品运送返国。IntheeventPartyAsuffersseriouslyinjuryordeathinanaccident,PartyBshallprovidefreenegotiationservices;assisttheemployerofPartyAincontactingthefamilymembersofPartyAtocometoTaiwanforhandlingfollow-upworks;orassistwiththerepatriationofPartyAandrepatriatetheremainsofthePartyAandhis/herpersonalbelongingstohis/hercountryoforigin.（二）乙方因协助甲方所衍生之费用，应由甲方负担。PartyAshallbeartheexpensesinconnectiontotheassistanceprovidedbyPartyB.八、甲方触犯法令或因故遭遣返时，乙方应协助甲方办理出国事宜。IntheeventofrepatriationasaresultofPartyAPartyBshallassistPartyAinleavingthecountry.

’sviolationoflaworregulation,第三条：服务费： Article3:ServiceFees第一年每月新台币 ____元，第二年每月新台币 ____元，第三年每月新台币 ___元。NT$___permonthforthefirstyear,NT$___permonthforthesecondyearandNT$___permonthforthethirdyear.第四条：收费及退费方式 Article4:ExpenseandRefund一、费用给付方式： Payment：（一）甲方应于每月 ____日前，以□现金给付□汇款转帐方式□其它 ____等方式支付乙方服务费。PartyAshallpaytheservicefeestoPartyBbycash,wiretransferorothers_____before permonth.（二）甲方应负担之健康检查规费、居留证规费、展延居留证规费。本款代办项目之规费应于乙方办理时给付。PartyAshallpayfortheexpensesofhealthexamination,residencepermitandextension.TheexpensesunderthissubsectionshallbepaidtoPartyBatthetimeservicesarerendered.（三）乙方收取服务费时，应掣给收据或发票，并保存收据或发票存根五年。ReceiptorinvoiceshallbeissuedbyPartyBwhilecollectingservicefees.Eachreceiptorinvoiceshallbemaintainedforaperiodof5years.二、乙方应依第二条第二款规定，协助安排接送甲方，不得向甲方收取接送所需之交通费用。PartyBshall,inaccordancewithArticle2(2),renderassistanceinmakingarrangementforpartyBtobepickedupandshallnotimposeanytransportationfeesforpick-upserviceonPartyA.第五条：甲方之义务 Article5:PartyA ’sObligation甲方应于乙方依本契约提供服务后，按期缴交服务费。PartyAshallmaketimelypaymentfortheservicefeestoPartyBaftertheservicesarerenderedunderthisContract.第六条：乙方之义务 Article6:PartyB ’sObligation一、本契约订定前，乙方应对甲方详细说明契约条款内容。PartyAshallbewell-informedofthetermsandconditionsofthisContractbyPartyBbeforemakingthisContract.二、乙方应依契约规定，履行乙方应办事项。PartyBshallperformtheservicessetforthinthisContract.三、乙方不得收受规定标准以外之费用。PartyBshallnotchargeforadditionalfeesotherthanthosespecifiedintherelevantregulations.第七条：契约订定、变更、终止及损害赔偿Article7:Establishment,Modification,TerminationandCompensation一、契约自甲、乙双方订约日起生效，契约内容的变更或记载事项的增删，非经甲、乙双方书面同意，不生效力。ThisContracttakeseffectonthedaysignedbyPartyAandPartyB.Modification,additionordeletionofthisContractshallbenotbevalidandbindingunlessinwritingsignedbythePartieshereto.二、甲方或乙方得随时终止契约，契约之终止应以书面通知他方。EitherPartymayterminatethisContractatanytimeuponwrittennoticeofterminationprovidedtotheotherParty.三、因前款规定终止契约致他方遭受损害时，应负损害赔偿责任。但因不可归责于双方当事人之事由或因甲方于安置收容期间而终止契约者，不在此限。Inconnectiontothepreviousprovision,thePartythatendstheContractshallbeliableforreimbursementifsuchterminationcausesdamagetotheotherParty.However,conditionsorcircumstancesnotattributabletobothPartiesorattributabletotheperiodwhenPartyAisbeingplacedinthesheltershallbeexemptedfromthisprovision.四、甲、乙双方就契约所生义务之不履行或延迟履行，而致他方受有损害时，应负损害赔偿责任。WheneitherPartyfailordelaytoperformitsobligationsunderthisContractresultingindamagestotheotherParty,he/sheshallheldtheliablefordamagesorloss.五、契约有效期间届满时，效力即行终止。 ThisContractterminatesbyexpirationofitsterm.第八条：广告内容及附件 Article8:Advertisementandattachments乙方为从事跨国人力中介业务所为广告内容及附件，均为契约之一部分。AnyAdvertisementandattachmentspublishedbyPartyBforengaginginoverseamanpoweragencyoperationshallbedeemedasapartofthisContract.第九条：保密条款 Article9:Confidentiality一、乙方对于甲方之个人数据应予保密，并不得为不当使用。PartyBshallkeepPartyA’spersonalinformationconfidential,andnotmisusethatinformationinanyway.二、乙方违反前款规定致甲方受有损害者，应负赔偿责任。ForPartyB’sviolationofthepreviousprovisionthatcausethedamageorlosstoPartyA,PartyBshallbeliableforreimbursement.第十条：通知之送达处所 Article10:Notice一、双方意思表示之通知，均以契约书所载之地址为送达处所，变更时应以书面通知他方。AllnoticesorothercommunicationsgivenbyonePartytotheotherhereundershallbeinwriting,deliveredbyregisteredmailtotheaddressesspecifiedinthisContract.AwrittennoticeshallbegiventotheotherPartyincaseofanychanges.二、依前款送达处所所为之送达，未能送达者，以存证信函付邮日起第五日推定对他方为合法之送达。Theaddressspecifiedbelowshallbedeemedtobethevalidaddresstowhichthecommunicationornoticecanbedelivered.Anoticeshallbedeemedreceivedbytheaddresseeonthe5thdaywhichitissentbyregisteredmailincaseofachangeofaddresswithoutpriornotice(s).第十一条：合意管辖 Article11:Jurisdiction因契约所生之诉讼，甲乙双方同意以台中地方法院为本案之第一审管辖法院。但不得排除民事诉讼法有关法院管辖之规定。BothPartiesagreethatanydisputesinconnectionwiththisContractshallbesubmittedtothejurisdictionofthe
