牌发展服务协议 Brand Development AgreementParty A：xxxxxParty B：xxxxxxParty C：xxxxxxxx鉴于，甲方和丙方愿意提供一系列促销服务，以促进乙方下列品牌的发展，乙方同意根据本协议为上述服务支付相关费用：Herein, Party A and Party C agree to provide a series of promotion service in order to boost the development of Party Bs brand name products as follows and Party B agrees to make payment for the above-mentioned service in accordance with the Agreement:协议有效期：自 年 月 日至 年月日。The Term of this Agreement: This Agreement is effective from _ _ day _ _ Month _ Year to _ day _ Month _ Year.一、 甲方和丙方的承诺和责任：Article 1, Party A and Party Cs undertakings and obligations:1、 甲方和丙方最大限度地致力于乙方品牌的发展，在乙方指导下为销售活动提供下列服务，包括但不限于：Party A and Party C should maximize their effort to develop Party Bs products, and provide service under Party Bs instructions as follows, which include, but is not limited to: A. 店内外品牌形象宣传 Brand publicity in and out of on-premise: 甲方应按照乙方要求在店内外的显著位置对乙方品牌进行陈列和展示。Party A should display and present Party Bs brand products on prominent positions in and out of on-premise in accordance with Party Bs requirements. B. 促销活动场地租用 The lease of premise for promotion:甲方须按照乙方要求，向乙方出租乙方指定的场地,并用于促销活动。Party A agrees put out to lease Party B the premise appointed by Party B for promotion activities in accordance with Party Bs requirements. C. 大型活动的合作与支持 The Sponsorship of Mega-event在春节、圣诞节等重大节日期间，乙方策划和指导，甲方具体执行，在甲方场地举办品牌活动，对于具体的合作方式、庆典的安排等活动细节，甲乙双方在协商一致的基础上，另行签订补充协议Party B agrees to provide sponsorship to mega-events held by Party A, which includes a variety of festive activities during the holiday time such as the Spring Festival, the Christmas Season, etc. The parties shall stipulate the detailed forms and the sum of the sponsorship in the supplementary agreement.D. 返瓶，空瓶的回收 The Reclamation of returned empty bottles为了保护乙方的知识产权，防止假冒伪劣产品的出现以及出于环境保护的目的，原则上，甲方和丙方应尽最大力量将所有消费后的空瓶悉数退还给乙方（但个别消费者要求带走的酒瓶除外），由乙方统一回收和销毁。甲方和丙方不得未经乙方同意，擅自留存空瓶In order to protect Party Bs Intellectual Property Right and prevent the occurrence of fake and shoddy goods, and with the aim of environmental protection, in principle, Party A and Party C shall exert themselves to return all the consumed empty bottles to Party B (except for the ones which are claimed to take away by the consumers), and Party B is responsible for reclamation and destruction of these bottles. Party A and Party C shall not retain the empty bottles without a written consent from Party B. E. 丙方根据乙方的要求，为乙方提供一定的仓储和运输服务，同时监督甲方对本协议的执行情况In accordance with Party Bs requirements, Party C shall provide Party B with storage and transportation services and supervise Party As process of executing this agreement.a) 甲方和丙方同意提供乙方的销售信息（包括进货、库存、价格、销售情况、消费者反映等），以及与乙方业务有相关的其他市场信息。甲方和丙方承诺其向乙方提供的其他市场信息系采用合法正当手续而获取的Party A and Party C agree to provide the sales information of Party Bs products, including but not limited the purchase volume, the storage volume, the product price, the sales status and the consumers feedback), and other market information related to Party Bs business. Party A and Party C promise to Party B that other market information is obtained through honest and legitimate means.b) 全年推广计划: 甲方须按乙方提供的推广建议制定出全年推广计划，其方案见附件Full year promotion plan: Party A must formulate the full year promotion plan in accordance with the promotion suggestions made by Party B, please refer to the attachment for the scheme. c) 若甲方/丙方因未遵守法律法规而被第三方追诉侵权或受到有关机关处罚的，概由甲方/丙方独自抗辩、申诉、承担与负责赔偿，甲方/丙方应保证乙方、乙方的附属公司、乙方的供应商、相关办事人员、董事、雇员以及代理机构免于任何关于任何侵权的诉讼、权利主张、诉讼费、赔偿金、花费、包括律师费的支付以及任何侵权责任. If Party A or Party C is filed lawsuit claiming copyright infringement or receives punishment by relative organs for reason of not abiding by the laws, Party A or Party C shall answer, appeal and undertake all the responsibilities and compensate independently. Party A or Party C should pledge that Party B, Party Bs subsidiaries, Party Bs suppliers, and their relative office staff and the board of the directors and agencies shall be exempt from any of the copyright infringement lawsuits, claims, legal fees, compensations, expenses and the payment of the lawyer fee and any infringement and any copyright infringement liabilities.d) 甲方和丙方不仅承诺遵守所有法律，而且承诺遵守商业道德。甲方和丙方应诚实正直地进行商业活动。不得向乙方雇员提供金钱，礼物或娱乐招待。若甲方和丙方违反商业道德将被视为不履行合同，乙方有权立即终止合同且不承担任何责任Party A and Party C shall not only abide by all the laws but also promises to abide by business ethics. Party A and Party C shall conduct the business activities on an honest and just basis and they are not allowed to provide Party Bs employees with cash, gift or entertainment. The violation of the business morals will be deemed as act of non-fulfillment of the contract. In this case, Party B has the right of terminating the contract promptly without undertaking any responsibilities.二、乙方的责任：Article 2: Party Bs obligations:乙方将为甲方和丙方实施的经乙方批准的品牌发展服务支付服务费用，这些服务 行为的实施应经过乙方的确认。为了简化支付流程，方便管理，乙方直接向丙方支付所有服务费；丙方应将代收部分的服务费及时付给甲方。甲、丙双方对上述资金往来应明示入帐。甲方应记录相应合法税务票据。Party B shall make payment of the brand development fee to Party A and Party C for their implementation of the brand development service, which is authorized by Party B, and the implementation of the service act should be approved by Party B. In order to simplify the payment procedure and management, Party B shall pay Party C the entire fee. The part of the fee paid to Party A that Party C is trusted to receive shall be paid promptly to Party A. Party A and Party C should record the operation of the above C/A expressly.三、其它：Article 3: OthersA. 保密 Confidential Clauses: 甲方/丙方应严格保守乙方的商业秘密，包括但不限于在与乙方合作中接触到的商业策略，客户信息，批发商信息，活动计划，销量，生意模式等。甲方/丙方及其雇员，不得直接或间接主动接触和联系乙方竞争者或竞争品牌经营者以透露乙方商业秘密. Party A or Party C shall guarantee to keep the business confidential of Party B as secret, including but not limited to the business strategies, clients information, wholesalers information, campaign scheme, sales volume, and the mode of business a in the cooperation with Party B. Party A or Party C and their staff members are not allowed to keep contact of Party Bs competitors or the operators of the competitive brands directly or indirectly and must not reveal any trade secrets of Party B.B. 知识产权 Intellectual Property Right: 甲方/丙方进一步保证和同意不论在本协议期间或终止后其不会生产或销售或恶意指使任何人或任何单位生产或销售甲方/丙方的假冒产品或任何其商标或包装与乙方产品相似并易引起混淆的产品。一旦发现存在侵权或潜在侵犯乙方的商标等知识产权权益的行为，甲方/丙方应立即通知乙方，并应与乙方通力合作制止此类侵权行为Party A or Party C shall further promise and agree whether during the term or upon the termination of this agreement, that both parties shall not manufacture or sell or maliciously administer any person or any unit to manufacture or sell Party As or Party Cs counterfeit products or any products whose trademarks and packaging are similar to Party Bs products which are likely to cause confusion. The act of copyright infringement or the act which latently infringes upon Party Bs trademarks and other Intellectual Property Rights, once discovered, Party A or Party C should give short notice to Party B promptly and should take such act of copyright infringement through full cooperation with Party B. 甲方/丙方不得变更、修改或移除任何乙方产品上的任何商标、专利声明、著作权声明及产品之上的任何其它标志，也不得在任何此类产品上附加其它的表志。甲方/丙方保证从本协议生效之日起，对产品的销售和使用均不会构成任何对乙方的专利、商标、著作权、商业秘密以及其他知识产权权益的侵犯.Party A or Party C must not alter, modify and/or remove any trademarks, patent claim, copyright claim and any other marks used by Party Bs products and must not add any other marks on any of the products of this kind. Party A or Party C promises, since the effective date of this agreement that their sale and use of the products shall not infringe upon Party Bs patent right, trademarks, copyright, and trade secret and other intellectual property rights and interests甲方/丙方不得使用“Bacardi China”，“百加得”或乙方的任何商品品牌（包括中英文）作为其商号的一部分，且未经乙方明确的书面同意，亦不得用任何方式使用乙方或其母公司或关联公司的任何标志，除非用以表示为乙方产品的销售商Party A or Party C must not use “Bacardi China”, “百加得” or any of Party Bs brand names (including brand names both in Chinese characters and in English) as part of Party As trade name, and without the written consent of Party B, Party A or Party C must not use any of the identities used by Party B, Party Bs parent companies, or the affiliates of Party B, except for identifying it is the retailer of Party Bs products.C. 货源保证 The Supply Assurance:甲方/丙方在此确认，知悉乙方为百加得集团在中国销售地所有酒类商品（见第一条）的唯一进口商。甲方/丙方承诺只在乙方认可的销售渠道中购买和销售乙方进口的产品，拒绝销售任何伪劣产品，假冒产品和走私产品，并且销毁所有空瓶但回收瓶盖给乙方或其指定代理商处理.Hereby, Party A or Party C acknowledges that Party B is the exclusive importer to Bacardi Group, selling all of its wines and spirits. Party A or Party C promises that they shall only purchase and sell Party Bs imports from the sales channels which are under the approval of Party B and that they refuses to sell any fake, shoddy or smuggled goods and they shall reclaim all the empty bottles to Party B or its appointed agencies for disposal. Party A and Party C agree that all of Party Bs brand name products shall bear Party Bs first-level distributor labels and laser anti-counterfeiting labels.D. 协议终止的条件 Termination of this Agreement:如任何一方在协议期内严重违约（如，违反第三条中“货源保证”的约定，违反第三条中“保密”与“知识产权” 约定，违反第一条和违反第二条）、有欺诈性行为，遇政府法令禁止经营活动的或者被申请破产、清算或解散的，无过错方有权向有过错方发出书面要求终止协议，本协议即随即终止. This agreement will be terminated immediately, provided that any party is in serious breach of this agreement (e.g. in breach of promise of “Confidential Clauses” and/or “Intellectual Property Right” and/or “Supply Assurance” in Article 3, or in breach of clauses in Article 1 and/or Article 2), in the event that any party has the cheat act, that any party is banned from business operation under the government act, that any party applies for bankruptcy, clearance or dissolving the partnership, the party with no-fault liability has the right to issue written confirmation to the defaulting party to appeal for the termination of the agreement, and with that this agreement will be terminated at once. E. 违约责任 Responsibilities for Breach of this Agreement如果甲方/丙方未能履行本协议规定的义务和保证，乙方将给予甲方/丙方15个工作日的改正期，若期满后甲方/丙方行为未能得到改善和纠正，则视为甲方/丙方严重违约，乙方有权立即终止本协议并将有关案件提交给合适的政府机构或/和人民法院处理。甲方/丙方应立即停止违约和/或侵权行为，并赔偿甲方/丙方因其违约行为对乙方造成的任何利润损失及其他任何实际和间接的损失. Provided that Party A or Party C fails to fulfill the obligations and undertakings stipulated in this agreement, Party B will grant Party A or Party C a period of fifteen working days for rectification, and provided that Party A or Party Cs act fails to be improved or rectified when the period is due, it will be deemed as serious breach of the contract, therefore Party B has the right to terminate this agreement and this issue will be submitted to the proper government organs or/and the Peoples Court for settlement. Party A or Party C should immediately suspend the act of breach and/or the act of the copyright infringement, and make compensation to Party B for any loss of profit and any other actual loss,
