China 3交货方式：自行提货。乙方提货时必须出具加盖乙方公章的货物交接单。甲方可以派员协助乙方办理运输，费用由乙方承担。保险事宜及路途安全事宜由甲方承担。 Delivery Style: Pick up by Party B. Party B should pick up the goods from the delivery place with offering signed receipt by Party B. In case Party A assists to manage the transportation &insurance, all the relevant fees shall be borne by Party B. 4因不可抗力原因，致使甲方迟延交货的，则交货日期相应顺延，甲、乙双方互不承担责任。 The delivery date shall be postponed accordingly in case of force majeure occurred. Party A and Party B will not take responsibilities. 本项所称不可抗力是指不能预见、不能避免并不能克服的客观情况。 The force majeure here indicates objective situation which could not be predicted, avoided or overcome. 第三条 包装：整机裸装，附件木箱包装。 Package: Nude machine and accessories packed with wooden box. 第四条 产品质量：普茨迈斯特（上海）制造。 Quality Standard: Made by Putzimeister (Shanghai). 第五条 随机备品：见随机附件一。 Spare parts and tools: See appendix 1. 第六条 验收 Inspection & Acceptance 乙方有权在交货时和交货后对货物进行检验，并将发现的任何暇疵在货物交付之日起30日内立即以书面方式通知甲方。若乙方怠于通知，则视为标的物的质量和数量已符合合同约定。 Party B is entitled to check the goods during and after delivery, and if there is any defect, Party B sends written notice to Party A immediately within 30 days since the delivery date. The quality & quantity of the goods should be deemed as according with regulations of this contract if Party B fails to make notice mentioned above. 第七条 保修 Repairing Guarantee 甲方对货物的品质保证期为货物交付后的12个月或工作1,500工作小时（以先达到者为准），底盘的品质保证期为货物交付后的12个月或行驶25,000公里内（以先达到者为准）。如果并非由于甲方的过错而导致交货和或验收迟延，保证期限最迟在货物交付之日起12个月终止。在整机修理和部件调换的情况下，甲方对所修理或调换部件的品质保证期与整机的保修期同时结束。 Guarantee period should be one year since the delivery or 1,500 working hours, whatever comes earlier subject to prior one. Quality guarantee period for chassis should be 12 months since delivery or within 25,000 km running, subject to prior one whatever comes earlier. In the event that delivery and/or acceptance is delayed due to circumstance which is not the suppliers fault, the guarantee period shall expire 12 months from since the delivery. The same applies for to repairs and replacement. 在保证期内因正常使用而导致的机器故障或损害，甲方有义务进行修理、更换或其他补救，并承担费用。For damages caused by normal use in the period of guarantee, Party A shall repair, replace or make other necessary remedy and bear the relevant expenses. 对于下列情况下产生的损害，甲方不负担保证义务：正常磨损、不适当或不正确的使用、使用不合适的泵料、错误安装或由乙方或者其它第三人错误或疏忽操作、使用不合适的工作材料、超负荷工作、在未事先获得甲方同意的情况下，由乙方或第三人进行修理，或者不使用甲方的原始备件而导致的非因甲方过错而引致的故障。 No guarantee for damages and failures arising from the followings: normal abrasion, improper or un-skilled use operation, use of unsuitable pump material, faulty assembly or the starting up of machines by Party B or any other party, overworking overload working of the machines or using unsuitable working materials, repairing the machines by Party B or any other party without Party As agreement, or without using Party As original spare parts. 第八条 货款支付 乙方自签定合同之日起日内付定金五万元整。除二万元质保金外，剩余货款提车前一次付清。提车付款共计：二百一十八万元整（￥.）。质保金一年内付清。如在合同签订前或签订中乙方曾向甲方交付定金，则该定金相应抵充货款。 Payment: All payment should be paid off once. In the event Party B has paid the deposit to Party A before signing the contract or after signing the contract , the deposit should offset the payment. 第九条 所有权：乙方付清所有货款后，所有权转移给乙方。 Ownership: The ownership should be transferred to Party B since Party B pays off the subject matter. 第十条 风险 Risks 货物毁损、灭失的风险在交付之前由甲方承担，交付之后由乙方承担。 The risks of damage and loss of subject matter the goods will be transferred to Party B at the time of delivery. 因乙方迟延接收等原因致使货物不能按照约定的时间交付的，乙方应当自违反约定之日起或者按照约定的交货时间起承担货物毁损、灭失的风险。 In the case of late delivery caused by Party B, the risks of damage and loss of subject matter will be transferred to Party B at the faith-breaching date or the promised delivery time. 第十一条 知识产权 Intelligence Property Rights 在双方交易过程中甲方提供的费用预算、图纸以及其他与本交易有关的文件的所有权和版权均属与甲方。未经甲方允许，乙方不得将其向第三方透露；应甲方的要求，乙方必须将上述文件及时归还甲方。 The intelligence property ownership and copyright rights of fee budget, drawings and other documents provided by Party A should belong to Party A.
