7、neiderElectric:1 RELATIONSHIPBETWEENBOTHPARTIES1.1 SchneiderElectricherebyhasconfirmedthatPartyBwasdulyauthorizedasdistributorforSchneiderElectricProducts,andhadsignedDistributorAgreementwithPartyB(hereinafterreferto“DistributorAgreement").PursuanttothisAgreement,SchneiderElectricauthorizedPart

8、yBtosellSchneiderElectricproductsforPartyAaccordingtotheconditionsanditemsinthisAgreement.InordertostandardizedthesalechannelsforSchneiderElectricproductsaswellasdistributorsbehaviours,SchneiderElectricenjoystherighttosupervisethefactthatPartyBexecutesthisAgreementornot,andownstherighttodecideimport

9、anteventsundertheitemsinthisAgreement,includingbutnotlimitedtogivediscountrateforPartyAandsoon.1.2 PartyBreferstoSellerpursuanttothisAgreement,whowillbearallkindsofrights,obligationsinthisAgreementaswellaswholeresponsibilitieswhichcausedbytheAgreement,butPartyBshallallowtoreceivethesupervisionfromSc

10、hneiderElectricaccordingtoDistributorAgreementandthestipulationsinthisAgreement,including:(1)PartyBshallallowtosellSchneiderElectricproductsforPartyAaccordingtotheconditionsandthestipulationsinthisAgreement,andwillstrictlyexecuteallthesaleitemsstipulatedinthisAgreement;(2)PartyBshallstrictlyexecutea

11、nydirectionsandinstructionsissuedbySchneiderElectricforit,whichrelevanttoandsuitableforthisAgreement;(3)PartyBregardsasproductsdistributorofSchneiderElectric,shallobeythesalespolicyandstipulationinDistributionAgreement.1.3 PartyCregardsasBuyerpursuanttothisAgreement.PartyAallowsPartyBtosupplyproduct

12、sbecausePartyBisregardedaslongtermsupplierofSchneiderElectric.2 DEFINITIONThefollowingwordsinthisAgreementanditsattachmentshavespecificdefinition:2.1 Agreement:refertoYearlyThreePartySupplyAgreementIn2021anditsallattachments.2.2 Cooperation:refertotherelationshipofsupplyanddemandamongthetri-partyint

13、hisAgreement,thecooperativeperiodinthisAgreementisannualcooperation,whichshallstartfromthesigningdateofthisAgreement,andtheterminationdateshallbeDecember31,2021.2.3 OneParty/Tri-Party:refertoSchneiderElectric,includingitsaffiliatedcompanies,suchasDCBJ,SCSH,SCGZ,DCCD,DCWH,or/andPartyA,or/andPartyB.2.

14、4 PeriodofAgreement:refertotheperiodfromthesigningdatetilltheterminationdatestipulatedinthisAgreement,theterminationdateofthisAgreementisDecember31st,2021.2.5 Products/ProductGroup:refertoallproducts/productgrouplistedinattachmentsofthisAgreement.Anytypeofdivisionandclassificationforsingleproductsha

15、llsubjecttofinaldeterminationoflogisticcentreofSchneiderElectric.2.6 Pricelistforproducts:refertotheproductspricebedeterminedandpublishedbySchneiderElectricduringtheperiodofagreement.SchneiderElectricenjoytherighttoupdatetheproductspricelist,theproductssalespriceforPartyApurchase2.7 Annualcommitment

16、purchaseamount:refertotheperiodofthisAgreement(fromthesigningdatetoDecember31,2021),PartyApromisestopurchasetotalamountofminimumsumofmoneyofsigningproducts(excludingVAT).2.8 Actualpurchaseamount:refertotheactualfactthatPartyApurchasesproductsfromPartyB,andshallbasedontheSchneiderElectricortherelevan

17、tsumofmoneyofsigningproductsintheconsignmentattachmentofPartyB(ShallcalculatewithRMBandexcludingVAT).TheactualpurchaseamountofPartyAshallbaseonthestatisticsresultsofSchneiderElectric.IfanydisputesraisedaboutthestatisticsresultsofSchneiderElectricbyPartyA,PartyAshallcomeupwithrequestsonrevisingpurcha

18、sestatisticsaccordingtothestipulatedformatinattachments,meanwhile,PartyAandPartyBshallproviderelevantpurchaseinvoiceandothervaliddocumentationsforSchneiderElectric(AllfinalexplanationrightstothevalidityofdocumentationsshowedherebelongtoSchneiderElectric).Ifthedocumentationsareinadequate,thefinalresu

19、ltshallsubjecttothestatisticsresultsofSchneiderElectric.2.9 Discountrate:refertoSchneiderElectricwithPartyBbasedonthelatestpublishedProductsPriceListbySchneiderElectricduringtheperiodofAgreement,pursuanttothisAgreement,shallgivePartyApurchasediscountinthelightofsigningproducts;onlyifPartyBmadeothera

23、n,financialpredicationandplan,techniquedataandinformation,businesssecret,softwareapplication,chart,allocation,specification,technique,drawing,exclusivetechnique,invention,design,copyrightandtrademarkinformation,products,agreements,contractsandotherinformationshallberegardedasconfidentially.2.12 Forc

24、emajeure:refertothethreepartiesinthisAgreementfacestheobjectivesituationwhichisunpredictable,inevitableandinsurmountable,includingbutnotlimitednaturaldisaster,wars,strikework,blockadeandanyothergovernmentalbehaviours.3 SALESPRICEANDSALESCONDITION3.1 TheagreementofYearlyThreePartySupplyAgreementIn202
