19、里的规定办理。asperdetailsstipulatedinTechnicalAgreementsignedbytheSellerandUser14.2索赔CLAIMS:在本合同第1.5条规定的保证期限内，如发现货物的质量及/或规格与本合同规定不符或发现货物无论任何原因引起的缺陷包括内在缺陷或使用不良的原料，买方应申请商检局检验，并有权根据商检证向卖方索赔。WithintheguaranteeperiodstipulatedinClause1.5hereofshouldthequalityand/orspecificationsofthegoodsbefoundnotinconformity

21、ameBureau.14.3卖方收到买方索赔通知后，如果在三十天内未答复，应视为卖方同意买方提出的一切索赔。AnyandallclaimsshallberegardasacceptediftheSellersfailtoreplywithin30daysreceiptoftheBuyersclaim.索赔解决办法CLAIMS如货物不符合本合同规定应由卖方负责，同时买方按照本合同的规定在索赔期限或质量保证期内提出索赔，卖方在取得买方同意后，应按下列方式理赔。Incasethatthesellersareliableforthediscrepanciesoftheabovementionedequ

22、ipmentandaclaimislodgedbythebuyerswithinthetime-limitofinspectionorqualityguaranteeperiodasstipulatedinthiscontract,thesellersshallsettletheclaimuponagreementofthebuyersinoneorcombinationofthefollowingways.15.1设备经卖方安装、调试后不能正常运转或达不到技术协议规定的技术要求，卖方同意买方退货，并将退货金额以成交原币偿还买方，并负担因退货而发生的一切费用，包括运费，保险费，商检费，仓租，码

23、头装卸费等其它必要费用。Agreetotherejectionofthegoodsandrefundtothebuyersthevalueofthegoodsorejectedinthesamecurrencyascontractedhereinandtobearalldirectexpensesinconnectiontherewithincluding-freight,insurancepremium,inspectioncharges,stevedorecharges,andallothernecessaryexpenses.15.2按照货物的疵劣程度，损坏的范围将货物贬值。Devalu

24、atethegoodsaccordingtothedegreeofinferiority,extentofdamage.15.3用符合本合同规定的规格，质量和性能的全新零件调换有缺陷的零件，卖方应承担一切费用和风险并负担买方承受的全部直接费用。同时，卖方应按合同规定，相应延长所更换货物的质量保证期。Replacedefectivepartswithnewparts,whichconformtothespecifications,quality,andperformaneeasstipulatedinthiscontract.15.4如果卖方在接到买方索赔30天内未予答复则表明卖方已经接受索赔，

25、卖方需在接受索赔30日内完成赔偿。TheclaimmentionedaboveshallberegardedasbeingacceptediftheSellersfailtoreplywithin30daysaftertheSellersreceivetheBuyersclaim.Thebuyerclaimshallbesatisfiedwithin30dayscountingfromsellersacceptaneeoftheclaim.不可抗拒FORCEMAJEURE由于人力不可抗拒的事故，导致卖方交货迟延或不能交货时，责任不在卖方，但卖方应立即将事故通知买方，并于事故发生后十四天内将事故

26、发生地政府主管机关出具的事故证明书用空邮寄交买方为证，并取得买方认可，在上述情况下，卖方仍负有采取一切必要措施从速交货的责任。如果事故持续超过十个星期，买方有权撤消本合同（同时，卖方无条件在合同撤消后15个工作日退回全部预付货款）。TheSellersshallnotberesponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeurecases,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSell

27、ersshalladvisetheBuyersimmediatelyoftheoccurreneementionedaboveandwithinfourteendaysthereafter,theSellershallsendbyairmailtotheBuyersfortheiracceptaneeacertificateoftheaccidentissuedbythecompetentGovernmentAuthoritieswheretheaccidentoccursasevideneethereofundersuchcircumstancestheSellers,however,are

28、stillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.IncasetheaccidentlastsformorethantenweekstheBuyershallhavetherighttocanceltheContract.（atsametime,thesellerwithin15daysafterthecancellationofthecontractunconditionallyreturnallprepaid）。迟交和罚款LATEDELIVERYANDPENALTY除人力不可抗拒的事

29、故外，若卖方不能按合同规定及时交货，经买方同意，卖方可在缴纳罚金的条件下延期交货。此项罚款总额不超过全部迟交货物总额的5%,付罚金的比例为每一星期按迟交货总值的0.5%交罚款，不足一星期的迟交日数作为一星期计算，如迟延交货超过原定期限十星期时，买方有权终止本合同。但卖方仍应向买方缴付以上规定之罚款，不得推诿或迟延。（同时卖方无条件退回全部预付货款）ShouldtheSellersfailtomakedeliveryontimeasstipulatedintheContract,withexceptionofforcemajeurecausesspecifiedinClause18ofthisC

30、ontract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopayapenalty.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.5%foreverysevendaysodddayslessthansevendaysshouldbecountedassevendays.IncasetheSellersfailtom

31、akedeliverytenweekslaterthanthetimeofshipmentstipulatedintheContract,theBuyersshallhavetherighttocancelthecontractandthesellers,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytotheBuyerswithoutdelay.atsametime,thesellerunconditionallyreturnallprepaid。责任与赔偿AbilityandIndemnity:TheSellershall

32、indemnifytheBuyeragainstliabilitiesincurredorsufferedbytheBuyerinconnectionwithanydeathorpersonalinjurycausedbytheSellersnegligeneeorresultingfromanydefectinthegoodscausedbytheSeller.卖方应确保，买方不因卖方过失或其产品的任何缺陷而承担任何人身损害赔偿责任；就该等损害赔偿责任，应由卖方予以承担。TheSellershallbeliabletotheBuyerforphysicallossoforphysicalda

36、由买方予以承担。仲裁ARBITRATION19.1仲裁：凡因本合同引起的或与本合同有关的任何争议，均应通过友好协商解决。如协商不成应提交中国国际经济贸易仲裁委员会，依照申请仲裁时该会现行有效的仲裁规定，在北京进行仲裁。仲裁裁决是终局的，对双方均有约束力。AlldisputesarisingfromorinconnectionwiththisContractortheexecutionthereofshallbesettledbyfriendlynegotiation.Incasenosettlementcanbereached,thedisputesshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommissioninBeijing,ChinaforarbitrationinaccordaneewiththeCommissionsarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitrationawardshallbefinalandbindinguponbothparties,andneitherpartyshal
