Article1:ScopeofServices

Article2:FeesandPaymentTerms

Article3:Confidentiality

3.2TheClientagreestomaintaintheconfidentialityofallinformationdisclosedbytheConsultantduringthecourseoftheProject.

3.3TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

Article4:IntellectualProperty

4.1TheConsultantretainsallownershiprights,title,andinterestinandtoanyintellectualpropertyrightscreatedordevelopedbytheConsultantinthecourseofprovidingtheServices.

4.2TheClientshallhaveanon-exclusive,non-transferable,androyalty-freelicensetousetheintellectualpropertyrightscreatedordevelopedbytheConsultantinthecourseofprovidingtheServicesforthepurposeoftheProject.

Article5:TermandTermination

5.1ThisContractshallbeeffectivefromtheEffectiveDateandshallremainineffectforaperiodof__________(e.g.,oneyear)unlessterminatedearlierinaccordancewiththeprovisionsofthisArticle.

5.2EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennotice.

3.2TheClienthastherighttoinspectandapprovetheworkperformedbytheConsultantandtheThirdPartyatanystageoftheProject.

3.3TheClienthastherighttoterminatethisContractandclaimdamagesiftheConsultantortheThirdPartyfailstomeettheagreed-uponstandardsofperformance.

3.4TheClienthastherighttoreceivealldeliverablesandmaterialsinatimelyandcompletemanner.

Article4:RightsandObligationsoftheConsultant

4.1TheConsultantagreestoprovidetheServiceswithduediligenceandtothebestoftheirability.

4.2TheConsultantagreestocooperatewiththeThirdPartyandfacilitatetheprovisionoftheThirdPartyServices.

4.3TheConsultantagreestopromptlynotifytheClientofanypotentialrisksorissuesthatmayariseduringthecourseoftheProject.

Article5:RightsandObligationsoftheThirdParty

5.1TheThirdPartyagreestoprovidetheThirdPartyServicesinaccordancewiththeagreed-uponspecificationsandtimelines.

5.2TheThirdPartyagreestomaintainconfidentialityofallinformationdisclosedbytheClientandtheConsultant.

5.3TheThirdPartyagreestobeliableforanydamagesorlossesincurredbytheClientasaresultoftheThirdParty'sfailuretoperformtheThirdPartyServicesinaccordancewiththeagreed-uponterms.

Article6:TerminationandConsequences

6.1ThisContractmaybeterminatedbytheClientforanymaterialbreachbytheConsultantortheThirdParty,uponwrittennoticetothebreachingparty.

6.2Upontermination,theConsultantandtheThirdPartyshallreturnalldeliverablesandmaterialstotheClientandshallnotuseanyconfidentialinformationdisclosedbytheClient.

6.3TheClientshallbeentitledtoclaimdamagesforanylossesincurredasaresultofthebreachofthisContractbytheConsultantortheThirdParty.

4.3TheConsultantagreestoassisttheThirdPartyintheIntegrationServicestoensurethesuccessfulimplementationoftheTechnology.

Article5:RightsandObligationsoftheThirdParty

5.1TheThirdPartyagreestoperformtheIntegrationServicesinaccordancewiththeagreed-uponspecificationsandtimelines.

5.2TheThirdPartyagreestomaintainconfidentialityofallinformationdisclosedbytheClientandtheConsultant.

5.3TheThirdPartyagreestobeliableforanydamagesorlossesincurredbytheClientasaresultoftheThirdParty'sfailuretoperformtheIntegrationServicesinaccordancewiththeagreed-uponterms.

Article6:TerminationandConsequences

6.1ThisContractmaybeterminatedbytheClientforanymaterialbreachbytheConsultantortheThirdParty,uponwrittennoticetothebreachingparty.

6.2Upontermination,theConsultantandtheThirdPartyshallreturnalldeliverablesandmaterialstotheClientandshallnotuseanyconfidentialinformationdisclosedbytheClient.

6.3TheClientshallbeentitledtoclaimdamagesforanylossesincurredasaresultofthebreachofthisContractbytheConsultantortheThirdParty.
