2025国际贸易合同范本中英文ContractNo.:DateofSignature:PlaceofSignature:ThisContractisMadeBetween:Buyer:(Hereinafterreferredtoas"Buyer")Address:ContactInformation:AndSeller:(Hereinafterreferredtoas"Seller")Address:ContactInformation:**Hereinafterreferredtoasthe"Parties"orindividuallyas"Party".PreambleTheBuyerandtheSellerhaveagreedtoenterintothiscontract(hereinafterreferredtoasthe"Contract")forthesaleandpurchaseofgoodsunderthetermsandconditionsstatedbelow.ThisContractismadeinaccordancewiththelawsandregulationsof(the"ApplicableLaw").1.DescriptionofGoodsorServicesTheSellershallsupplythefollowinggoodsorservicestotheBuyer:(hereinafterreferredtoasthe"Goods").DetailsoftheGoods,includingbutnotlimitedtotheirdescription,specifications,quantity,quality,andtechnicalrequirements,areprovidedintheattachmentshereto,whicharedeemedtobeanintegralpartofthisContract.2.QuantityThequantityoftheGoodsisspecifiedas(hereinafterreferredtoasthe"Quantity").ThePartiesshallensurethatthedeliveredQuantitystrictlycomplieswiththestipulationsofthisContract.AnydeviationintheQuantityshallbesubjecttotheBuyer'swrittenapprovalpriortodelivery.3.QualityandSpecificationsTheGoodsshallcomplywiththefollowingqualityandtechnicalspecifications:.TheSellerwarrantsthattheGoodsarefreefromanydefectsinmaterialandworkmanshipandareinaccordancewiththerelevantinternationalstandardsand/ordomesticstandards.Anynon-conformancewiththequalityorspecificationsshallbedeemedabreachofthisContract,andtheBuyershallhavetherighttoclaimdamagesorseekotherremediesasprovidedherein.4.PriceThetotalcontractpricefortheGoodsis(hereinafterreferredtoasthe"Price"),whichisfixedandshallremainvalidthroughoutthetermofthisContract,unlessotherwiseagreeduponinwritingbybothParties.ThePriceisexclusiveof(e.g.,ValueAddedTax,shippingcosts,etc.),unlessotherwisestatedherein.5.PaymentTermsTheBuyershallmakepaymentasfollows:.InvoicesshallbeissuedbytheSellerinaccordancewiththeagreedpaymentterms,andtheBuyershallsettlethepaymentwithindaysofthereceiptoftheinvoice.Anydelayinpaymentshallincuralatepaymentinterestattherateofperannum,unlessotherwiseagreeduponinwriting.6.DeliveryandTransportationTheGoodsshallbedeliveredtotheBuyer'sdesignatedaddressat(hereinafterreferredtoasthe"DeliveryAddress")onorbefore(hereinafterreferredtoasthe"DeliveryDate").Transportationandshippingshallbearrangedby,andallrisksandcostsassociatedwiththetransportationshallbeborneby,unlessotherwiseagreeduponinwriting.TheGoodsshallbeproperlypackedtoensuretheirsafetyduringtransportation,inaccordancewiththeapplicablestandardsandpractices.7.InspectionandAcceptanceUponreceiptoftheGoods,theBuyershallconductaninspectionwithindays.AnydiscrepanciesordefectsobservedduringtheinspectionshallbenotifiedtotheSellerinwritingwithindaysfromthedateofinspection.TheSellershallberesponsibleforreplacingorrectifyinganydefectiveGoodsatitsownexpense,unlessotherwiseagreeduponinwriting.TheBuyershallnotbeobligatedtoacceptGoodsthatdonotconformtothetermsofthisContract.8.RightsandObligationsoftheParties8.1ObligationsoftheSeller:TheSellershallensurethattheGoodsareofgoodquality,freefromdefects,andconformtotheagreedspecificationsandstandards.TheSellershalldelivertheGoodsontimeandincompliancewiththeagreedtermsandconditions.TheSellershallprovideallnecessarydocumentation,includingbutnotlimitedtocertificatesoforigin,qualitycertificates,andinvoices,incompliancewiththeapplicablelawsandregulations.8.2ObligationsoftheBuyer:TheBuyershalltimelyreviewandprovidewrittenfeedbackregardingtheGoods.TheBuyershallmakepaymentinaccordancewiththeagreedtermsandconditions.TheBuyershallprovidetheSellerwithaccurateandtimelyinformationandinstructionsrelatedtotheGoods.9.IntellectualPropertyRightsAllintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,copyrights,anddesigns,relatedtotheGoodsshallremainwith.TheBuyershallnotuseorreproduceanyintellectualpropertyrightsoftheSellerwithoutpriorwrittenauthorization.10.ForceMajeureIntheeventofaforcemajeureevent(e.g.,naturaldisasters,war,governmentactions,etc.),eitherPartyshallbeexcusedfromperformingitsobligationsunderthisContracttotheextentthatsuchperformanceisprevented,hindered,ordelayedbysuchevent.TheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceofaforcemajeureeventandtakeallreasonablemeasurestomitigateitseffects.11.LiabilityforBreachofContractIntheeventofabreachofthisContractbyeitherParty,thePartyinbreachshallcompensatetheotherPartyforalldirectandindirectlosses,damages,andexpensesincurredasaresultofsuchbreach,includingbutnotlimitedtolossofprofit,lossofbusiness,andlegalfees.ThePartiesagreethatanyclaimfordamagesshallbemadewithindaysfromthedateofthebreach.12.DisputeResolutionAnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlynegotiations.IfthePartiesfailtoreachasettlementthroughnegotiationwithindaysfromthedateofthedispute,themattershallbesubmittedtotheexclusivejurisdictionofthe(hereinafterreferredtoasthe"ArbitrationInstitution")inaccordancewithitsrules.TheArbitrationInstitution'sdecisionshallbefinalandbindinguponbothParties.13.GoverningLawThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof.14.Miscellaneous14.1Amendments:AnyamendmentsormodificationstothisContractshallbemadeinwritingandsignedbybothParties.14.2EntireAgreement:ThisContractconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallpriororcontemporaneousunderstandings,agreements,orrepresentations,whetheroralorwritten.14.3Counterparts:ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,buttogethershallconstituteoneandthesameinstrument.14.4Assignability:NeitherPartyshallassignortransferanyofitsrightsorobligationsunderthisContractwithoutthepriorwritte
