关于北京璞宣酒店水疗概念设计顾问服务项目的附属协议Agreement of THE PUXUAN BEIJING SPA CONCEPTUAL DESIGN CONSULTANCY SERVICES AGREEMENT 本协议由北京皇都房地产开发有限公司（以下简称“甲方”）、上海国际招标有限公司（以下简称“丙方”）与A.W. LAKE SPA CONCEPTS PTE. LTD（以下简称“乙方”）签订。This Supplementary Agreement is signed among Beijing Huang Du Real Estate Development Co., Ltd. (hereinafter called “Party A”), Shanghai International Tendering Co., Ltd. (hereinafter called the “Party C”) and A.W. LAKE SPA CONCEPTS PTE. LTD (hereinafter called “Party B”).鉴于甲方和乙方及Urban Resort Concepts LTD:私人股份有限公司签署了北京璞宣酒店水疗概念设计顾问服务协议（以下简称“主合同”）；Whereas Party A and Party B have entered into THE PUSUAN BEIJING SPA CONCEPTUAL DESIGN CONSULTANCY SERVICES AGREEMENT（hereinafter called the “Main Contract”）;本协议三方根据中华人民共和国合同法的规定，就主合同设计费的外汇支付事宜协商一致，特订立本协议，以便共同遵守。The three parties hereto agree to enter into this Supplementary Agreement related to the cross-border transferring of design fees in accordance with the Contract Law of the Peoples Republic of China and the Main Contract.1 各方职责/Liabilities of Each Party1.1 甲方的职责/Liabilities of Party A1.1.1 甲方在收到乙方付款通知书/工程付款申请书三十 (30)天内向丙方支付主协议约定的应付款项但甲方应确保按照主协议中约定的付款进度进行支付。Party A shall make payment of the amount due under the Main Agreement to Party C within Thirty (30) days after receipt of the payment request (Debit Note)/Payment Application for Completed Work from Party B. Party A shall ensure to make such payment according to the payment schedule defined in the Main Agreement.1.1.2 根据主合同约定的付款计划，在收到乙方开具的形式发票后，通知丙方开具人民币收据（该收据为暂开收据，在丙方完成每一笔对外支付后将按支付当时的银行实际汇率转换成与确切金额相对应的正式发票。下同）。Party A shall give notice to Party C to issue receipt in CNY for the design fee according to the payment schedule defined in the Main Contract after receipt of the performance invoice from Party B (the receipt is a temporary document; after completion of each cross-border transferring, Party C shall issue invoice in the exact amount as per the exchange rate of the bank transaction. Similarly hereinafter).1.1.3 在收到丙方开具的收据后三个工作日内向丙方支付开票款项。Party A shall make payment to Party C within three working days after receipt of the receipt from Party C.1.1.4 向丙方提供本项目的立项批复或项目可行性研究报告批复的复印件用于主合同及本协议的报备。Party A shall provide Party C a copy of the Approval for Project Application or a copy of the Approval for Project Feasibility Research Report for the purpose of contract registration of the Main Contract and this Supplementary Agreement.1.2 丙方的职责/Liabilities of Party C1.2.1 负责向乙方提供国家有关技术引进法规、政策及具体实施步骤等方面的咨询服务。Party C shall provide Party B with the consulting service about national regulations, policies, and specific implementation steps and so on of introduction of technology.1.2.2 负责到上海市商务委员会办理主合同及本协议的技术进口合同登记证书。Party C shall apply to Shanghai Economic and Trade Commission for the Registration Certificate of Technology Import Contract related to the Main Contract and this Supplementary Agreement.1.2.3 代乙方办理主合同设计费在中国境内的完税手续，完成对外支付手续。Party C shall take charge of the formalities of tax payment inside China on behalf of Party B and cross-border payment under the Main Contract.1.2.4 负责向乙方提供在中国境内的完税凭证和银行费用收据的复印件。Party C shall provide Party B with copies of the tax payment proof inside China and the bank memos of transferring transaction.1.3 乙方的职责/Liabilities of Party B1.3.1 根据主合同约定的付款计划,向甲方开具形式发票，并抄送给丙方。Party B shall issue performance invoice to Party A with copy to Party C according to the payment schedule under the Main Contract.1.3.2 负责跟踪甲方在主合同项下的付款进度，督促甲方按时向丙方支付各期设计费。Party B shall follow up on the payment schedule with Party A to ensure that the design fee will be paid on time to Party C from Party A.1.3.3 根据丙方的要求，向丙方提供上海市商务委员会及丙方所在地有关税务机关要求提供的相关证明文件（如乙方在境外依法注册登记证书的复印件等）。Party B shall provide Party C with a copy of relevant documents as per request of Shanghai Economic and Trade Commission and the local tax authority (e.g., copy of Party Bs business registration documents overseas).2 费用支付/Design Fee2.1 根据主合同的约定，甲方向乙方支付的设计费总额为99, 000美元请确定乙方收到的实际设计费用为99,000美元？，作为缴纳税费基数的包含税费和服务费的设计费总额为108,078.60美元。The total design fee under the Main Contract to be paid by Party A to Party B is USD 99, 000. The total amount of design fee (including tax and service charge) is USD108,078.60.2.2 根据主合同约定的付款计划，在收到乙方开具的形式发票后，甲方应通知丙方开具人民币收据。丙方开具的收据金额应为根据当时银行汇率所估算的与对外支付金额相对应的人民币金额。甲方在收到丙方开具的收据后，应以人民币形式向丙方支付对应款项。Party A shall notify Party C to issue receipt in CNY for the design fee according to the payment schedule defined in the Main Contract after receipt of the performance invoice issued by Party B. The amount of the receipt is the estimated amount of design fee in CNY as per the exchange rate on the issuing date. After receipt of the receipt issued by Party C, Party A shall make payment in CNY to Party C accordingly.2.3 丙方在收到甲方支付的上述款项后三个工作日内（如收款日为每年十二月则需十五个工作日）应以乙方的名义向丙方所在地的有关税务机关缴纳与所付设计费相关的在中国境内应缴纳的税费，并在收到税务机关开具的完税证明后的三个工作日内以美元的形式向乙方指定的境外账户进行支付。税务机关开具完税证明需要的时间约为缴税后的三个工作日。Party C shall pay taxes related to the Main Contract on behalf of Party B to the local tax authority within three working days (if payment received in December of each year, it shall be fifteen working days) after receipt of the payment from Party A; and make payment in USD to the designated overseas account of Party B within three working days after receipt of tax payment proof from the local tax authority. The time for the tax authority to issue such proof of tax payment is about three working days after the payment of tax.2.4 乙方在中国境内应缴纳的税费及向丙方支付的服务费之和为本协议第2.1条所述的含税费和服务费的设计费总额的8.4%，其中税费为含税费和服务费的设计费总额的7.34%（如因中国国家及地方税收政策的变更而导致税费减少或增加，应从变更生效之日起相应核减或核增该项百分比）；服务费为含税费和服务费的设计费总额的1.06%。税和服务费由丙方从收到甲方款项中扣除请确保不会影响乙方每一笔设计费金额。The total amount of the taxes levied on Party B by the Chinese tax authority and service charge by Party C is equal to 8.4% of the total contract amount, which includes 7.34% for the taxes (in case of change of national or local tax policy, whether increase or decrease, this percentage shall be adjusted accordingly from the date such change takes place) and 1.06% for the service charge. Tax fee and service charge will deduct from the payment of party A2.5 甲方承担在对外支付过程中发生的所有境内银行手续费。银行手续费为每次汇款金额的1/1000等值人民币+80元电报费组成，上限705元，下限是180元。乙方承担所有的境外银行手续费。Party A agrees to bear bank charges of the cross-border transferring occurred both inside and outside China.2.6 丙方在完成每笔支付后，将根据支付当时境内付汇银行公布的支付货币相对于人民币的卖出价向甲方提供与确切金额相对应的正式发票。After completion of each cross-border transferring, Party C shall issue invoice to Party A in the exact amount as per the selling rate of foreign exchange to CNY of the remittance bank in China.2.7 如遗失发票，丙方提供发票存根联的复印件并盖章供甲方入账，丙方不再重新开具发票。In case of loss of invoice, Party C will not issue a new invoice; however, Party C will provide Party A with a copy of the lost invoice stamped with its company seal for accounting.2.8 如甲方和乙方在主合同执行过程中另行签署补充协议，并在主合同约定的设计费基础上另行增加设计费，则与之对应的税费和服务费也应按本协议第2.2至2.5条的约定另行缴纳和支付。During execution of the Main Contract, if Party A and Party B sign any other supplementary agreement and increase design fee, corresponding taxes and service charge for the increased amount of the design fee shall be paid pursuant to clause 2.2 to clause 2.5 of this Supplementary Agreement accordingly.2.9 乙方的银行信息为：The bank account information of Party B is:（1） 收款人/ Account Name： A. LTD.（2） 帐号/Account No.：010 689 6814（3） ABA/号ABA No.：7144（4） 银行业务代号/SWIFT CODE：SCBLSG22（5） 开户行/Bank： STANDARD CHARTERED BANK (SINGAPORE) LIMITED（6） 地址/Address：6 BATTERY ROAD, #01-01, SINGAPORE 049909（7） 城市/City：SINGAPORE（8） 电话/Telephone：（9） 传真/Fax：丙方的项目联系人及银行信息为：The Contact Person and the bank account information of Party C is:（10） 联系人/Contact Person of Party C：齐安吉（11） 联系电话/Phone number：86-21-62791919（12） 银行名称/Bank：招商银行股份有限公司上海曹家渡支行China Merchants Bank, Shanghai Caojiadu Sub-branch（13） 收款人/ Account Name：上海国际招标有限公司/Shanghai International Tendering Co., Ltd.（14） 帐号/Account No： 2150809205100013 语言/Language当本协议的中英文版出现矛盾时，以中文版为准。If there is any discrepancy between the Chinese version and the English version, the Chinese version shall prevail.4 适用法律/Governing Law本协议按照中华人民共和国法律解释，各方之间的权利和义务受中华人民共和国法律的管辖和保护。This Supplementary Agreement, its meaning and interpretation, and the rights and liabilities of each party hereunder shall be governed by the laws of the Peoples Republic of China.5 争议的处置/Settlement of Disputes各方应互相通报在履行本协议过程中所发生的问题，及时磋商解决办法，由于延误造成的损失由责任方承担。各方在履行本协议过程中所发生的争议，应先通过友好协商解决，协商解决不成时，任何一方均有权将争议提交给上海仲裁委员会并按照申请仲裁时该会适用的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均具有约束力。仲裁地点为上海。仲裁语言为中文。Parties hereto shall notify each other regarding issues arising during execution of this Supplementary Agreement and discuss solutions in a timely manner. Losses due to delay of such notice shall be borne by the responsible party. Any dispute arising during execution of this Supplementary Agreement shall be settled amicably though friendly consultation; if it cannot be settled amicably, such dispute may be submitted by any party to Shanghai Arbitration Commission for arbitration in accordance with the applicable arbitration rules of such commission at the time of submission. The arbitration award is final and binding upon both parties. The arbitration shall be held in Shanghai. The language of arbitration is Chinese.6 生效/Effectiveness本协议经三方的法定代表人或法定代表人的授权代表签署并报上海市商务委员会备案后生效，在主合同及其补充协议（若有时）项下的设计费支付完毕后失效，或者经三方一致同意后失效。本合同的最长有效期为2年。The Supplementary Agreement will become effective for 2 years after it is duly signed by each partys legal representative and registered in Shanghai Economic and Trade Commission, and will be terminated after the design fee, as defined in the Main Contract, has been paid or be otherwise terminated as agreed to by all parties.7 与主合同的关系/Governing Contract如果本协议的内容与主合同有不符之处，则以本协议的内容为准。If there is any discrepancy between this Supplementary Agreement and the Main Contract, this Supplementary Agreement will prevail.8 合同份数/Number of Agreement Copies本协议正本一式6份，其中甲方执2份，乙方执2份，丙方执2份。所有正本具有同等法律效力。There will be six signed copies of t he Supplementary Agreement in total:two for Party A, for Party B, two and two for Party C. All signed copies have the same legal effect.9 其它/Others9.1 在本协议的有效期内，三方中的任何一方不得单方面提出终止。During the validity period of this Supplementary Agreement, no party shall terminate this Supplementary Agreement at its sole discretion.9.2 由于不可抗力造成本协议不能履行时，不构成受到不可抗力影响一方的违约，如因此而造成任何一方的损失，由损失方自理。The failure of any party to fulfill its obligations under this Supplementary Agreement due to Force Majeure shall not be considered as breach of contract, and losses of any
