DEFINITIONS AND INTERPRETATIONS第一条 术语与释义1.1 Defined Terms1.1 定义的术语“Adverse Weather Conditions”means weather and sea conditions which are sufficiently severe either: (i) to prevent an LNG Tanker from proceeding to berth, discharging or departing from berth in accordance with the weather and sea standards prescribed in the standard published regulations of the applicable maritime agency at the Loading Port or Unloading Port (as the case may be), or (ii) to cause an actual determination by the master of an LNG Tanker or the berth master that it is unsafe for the LNG Tanker to berth, discharge or depart from berth;“不利天气状况”是指足够不利的天气和航海状况,包括:(i)依据适用于海事安全机构的标准颁发法规所规定的天气和航海状况,在装运港或卸货港(视情况而定)的液化天然气船无法停泊、缺货或离港;或(ii)液化天然气船的船长或码头管理员作出实际决定,液化天然气船无法安全地停泊、卸货或离港; “Affiliate”means, in relation to a Party, any entity which is controlled by, under common control with or controls the Party; an entity shall be deemed to have control of another if (directly or indirectly) it owns or has the right to cast votes of greater than fifty percent (50%) of the voting shares or other ownership interests of, or is entitled (directly or indirectly) to appoint a majority of the directors or equivalent management body of, or to direct the policies or operations of the other entity;“附属机构”是指合同一方控制或共同控制的与合同一方相关的任何实体;若某一实体(直接地或间接地)拥有或享有表决权股份或其他所有者权益超过百分之五十(50%)的投票权,或有权(直接地或间接地)任命另一实体的多数董事或相等管理主体或管理其政策或运作,则可视为该实体控制另一实体;“Agreed Interest Rate”means an interest rate equal to two (2) percent above (i) the LIBOR or (ii) if the British Bankers Association ceases to fix or publish the LIBOR as aforesaid, a reasonably comparable interest rate agreed by the Parties where the associated interest is calculated on the basis of a three hundred and sixty (360) day year, daily accrual and compounding at three-monthly rests. If the aforesaid rate is contrary to any applicable usury law, the rate of interest to be charged shall be the maximum rate permitted by such applicable law;“约定利率”是指高于(i)伦敦同业拆借利率百分之二(2%)的利率或(ii)在英国银行家协会停止确定或发布上述的伦敦同业拆借利率的情况下,合同双方根据一年三百六十(360)日自然增长并复合三个月计算的相关利益而约定的合理可比利率。“Agreement”means this Master Agreement together with an executed Confirmation Memorandum;“协议”是指本主协议以及生效的确认备忘录;“Allowed Laytime”means, in the case of an FOB delivery, laytime to be allowed at the Loading Port and, in the case of a DES delivery, laytime to be allowed at the Unloading Port;“允许装卸时间”是指装运港船上交货时在装运港的允许装货时间以及目的港船上交货时在卸货港的允许卸货时间; “Arrival Period”means the period of time specified in a Confirmation Memorandum within which arrival of the LNG Tanker at the PBS is scheduled, commencing at 06:00 hours;“抵达时间”是指确认备忘录中明确规定的液化天然气船计划抵达领港员登船区自06:00时开始的时间段;“Arrival Temperature”means a temperature at or below which the LNG Tanker may permit continuous loading of LNG, as specified in the Confirmation Memorandum, such temperature being measured (in the case of Moss type LNG Tankers) at the equatorial ring of each LNG tank, or (in the case of membrane type LNG Tankers) at the bottom of each LNG tank;“抵达温度”是指确认备忘录中明确规定的液化天然气船允许连续装载液化天然气的温度或该温度之下,该温度在球型液化天然气船中应通过每个液化天然气储罐的赤道线进行测量,在薄膜型液化天然气船中应通过每个液化天然气储罐的底部进行测量;“Business Day”means in relation to a Party which is to make a payment or send a notice under an Agreement, any day when the banks in the location specified as the location of that Partys bank in the Confirmation Memorandum and New York, the United State are customarily open for business.“营业日”是指合同一方依据本协议项下进行支付或发送通知时,确认备忘录中所示该合同方的银行所在地的各大银行以及美国纽约银行通常开门营业的任何一日;“BTU” or “Btu”means a British thermal unit, being the amount of heat equal to 1,055.06 joules;“英热单位”是指英国热量单位,相当于1,055.06焦耳的热量;“Buyer”means the Party identified as Buyer in a particular Confirmation Memorandum;“买方”是指在具体确认备忘录中确认为买方的合同一方;“Buyer Control Entities”means collectively, the following Persons: (a) any owner of Buyers Unloading Facilities or Operator; (b) any Buyers Transporter (if any); (c) any Affiliate of Buyer; and (d) any servant or agent of one or more of the foregoing Persons;“买方控制实体”统指下列各人:(a)买方卸货设施的任何所有人或运营商;(b)买方的任何承运人(如有);(c)买方的任何附属机构;(d)上述一人或多人的任何雇工或代理人;“Buyers Country”means the country in which Buyers Unloading Facilities are located;“买方国家”是指买方卸货设施所在地的国家;“Buyers Unloading Facilities”means the facilities located at or proximate to the Unloading Port that are used by Buyer for the fulfillment of its obligations under this Agreement, and that are capable of unloading, receiving, storing, treating (if necessary) and regasifying LNG and receiving, processing and delivering Natural Gas (and LNG if applicable), and all ancillary facilities, (both inside and outside the terminal) including any port and marine facilities, other facilities for the berthing and unloading of LNG Tankers, and LNG storage tanks. Such facilities shall include the pipeline that extends from the tailgate of the regasification terminal to the point of interconnection with the downstream primary gas transmission facilities, and the regasified storage facility specified in the relevant Confirmation Memorandum (if any);“买方卸货设施”是指买方为履行本协议项下义务在所用的卸货港或卸货港附近的可卸载、接收、储存、处理(如有必要)和再气化液化天然气以及接收、加工和运输天然气(以及液化天然气,如适用)的设施,以及所有(终端内外)的附属设施,包括任何港口和船用设施以及液化天然气船用于停泊和卸载的其他设施。此等设施应包括再气化终端下闸门至下游原生气传输设施互联点的输气管道以及相关确认备忘录(如有)所指定的再气化储存设施;“Claims”means Information”has the meaning set forth in Section 16.1;“保密信息”具有第16.1条所说明的含义;“Confirm Date”means the date so specified in the Confirmation Memorandum; “确认日期”是指确认备忘录中规定的日期;“Confirmation Memorandum”means each document executed by both Parties (or, with respect to one or both Parties, by their respective Affiliates) substantially in the form contained in Schedule A to this Master Agreement and incorporating the provisions of this Master Agreement (as such provisions may be amended, deleted or supplemented by such Confirmation Memorandum), to record the terms and conditions of a particular sale and purchase of LNG between Seller and Buyer;“确认备忘录”是指合同双方(或合同双方的各自附属机构)所执行的每份文件,格式大体上如本主协议附录A所示,包括本主协议的规定(以及该确认备忘录可能修订、删除或补充的此等规定)以记录卖方与买方之间就液化天然气具体买卖的条款和条件;“Consequential Loss”means, with respect to each Party, any Claims for loss of income, loss of profits, business interruption or loss of business opportunity, any Claims for special or punitive damages, any Claims made or brought against the Party by a Third Party and any and all indirect or consequential Claims of whatever kind and nature arising under or in connection with this Master Agreement and the relevant Confirmation Memorandum, howsoever caused (including by the default or negligence of another party or breach of any duty owed in Law by another party) and whether or not foreseeable at the date of this Master Agreement or the relevant Confirmation Memorandum;“后果性损失”是指合同一方被第三方所提出或提起的任何收入损失、利润损失、业务中断或商业机会损失的任何索赔、特殊或惩罚性赔偿的任何索赔以及在本主协议和相关确认备忘录项下或与此相关所产生的任何类别和性质的任何和所有间接或后果性损失,不论损失产生方式如何(包括因另一合同方的违约或疏忽或另一合同方违反法律规定的任何义务而产生),不论损失在本主协议或相关确认备忘录订立日期时是否可预见;“Contract Price”has the meaning set forth in Article VII;“合同价格”具有第七条所说明的含义;“Cubic Meter” or “m3”means the unit of volume equal to a cube with a length of one (1) meter on each edge;“立方米”或“m3”是指相当于每边长度均为一(1)米的立方体的体积单位;“Day”means a period of twenty-four (24) consecutive hours commencing at 00:00 hours: (i) in the case of obligations related to Buyers Unloading Facilities, in the time zone in which Buyers Unloading Port is located; (ii) in the case of obligations relating to the Loading Port, in the time zone in which the Loading Port is located; and (iii) in any other case where the context so requires, in the time zone relevant to the particular location; 5.2(b);“数量不足”具有第5.2(b)条所给出的含义;“Delivery Point”means:“交货地点”是指:(i)in respect of DES deliveries, the point at the Unloading Port at which the flange coupling of Buyers unloading line at Buyers Unloading Facilities joins the flange coupling of the LNG discharge manifold onboard the LNG Tanker; or(i)目的港船上交货时,卸货港中买方卸货设施的买方卸货缆索法兰联管节连接至液化天然气船上液化天然气卸出支管的法兰联管节;或(ii)in respect of FOB deliveries, the point at the Loading Port at which the flange coupling of Sellers loading line at Sellers Facilities joins the flange coupling of the LNG loading manifold onboard the LNG Tanker;(ii)装运港船上交货时,装运港中卖方设施的卖方装货缆索法兰联管节连接至液化天然气船上液化天然气装载支管的法兰联管节;“Departure Notice”has, in relation to a DES delivery, the meaning specified in Paragraph 1.6 of Schedule B, and in relation to an FOB delivery, the meaning specified in Paragraph 1.6 of Schedule C;“离港通知”在目的港船上交货时具有附录B第1.6条所规定的含义,在装运港船上交货时具有附录C第1.6条所规定的含义;“DES”has the meaning specified in Incoterms 2000 as amended from time to time;“目的港船上交货”具有不时修订的2000 年国际贸易术语解释通则所规定的含义;“Dispute”means any dispute, controversy, or Claim of any kind or type, whether based on contract, tort, statute, regulation, or otherwise, arising out of, relating to, or connected with this Master Agreement, the Agreement, or the operations carried out under the Agreement, including any dispute concerning the existence, validity, interpretation, performance, breach, or termination of this Master Agreement or the Agreement, including any dispute as to whether a dispute is properly subject to resolution by arbitration as provided in this Master Agreement;“争议”是指基于合同、侵权行为、法规、规章或其他,因本主协议、本协议或依据协议所执行的运作产生或与此相关的任何类型或类别的任何争议、争执或索赔,包括本主协议或本协议的存在、有效、解释、履行、违约或终止相关的任何争议或某一争议是否适用受制于依据本主协议所作出的仲裁判决的任何争议;“Disputed Invoice”has the meaning set forth in Section 8.8(a);“争议发票”具有第8.8(a)条所规定的含义;“Estimated Time of Arrival” or “ETA” means, with respect to a given LNG Tanker, the estimated time of arrival of such LNG Tanker at the PBS of the Unloading Port (in the case of DES deliveries) or the Loading Port (in the case of FOB deliveries);“预计抵达时间”是指某一液化天然气船预计抵达卸货港(目的港船上交货)或抵达装运港(装运港船上交货)的领港员登船区的时间;“Execution Date”means the date first written above;“执行日”是指上文首页所写的日期;“Expected Delivery Quantity”means, with respect to a given LNG Cargo to be delivered at the Delivery Point pursuant to a Confirmation Memorandum, the expected delivery quantity expressed in MMBtu specified in the Confirmation Memorandum applicable to such LNG Cargo;“预计交货数量”是指根据某一确认备忘录在交货地点进行交付的液化天然气货物以百万英热单位表示的预计交货数量;“Expert”means an independent expert appointed to resolve a Dispute of a technical nature pursuant to Section 13.3;“专家”是指依据第13.3条任命的解决某一技术性质争议的独立专家;“FOB”has the meaning specified in Incoterms 2000 as amended from time to time;“装运港船上交货价格”具有不时修订的2000 年国际贸易术语解释通则所规定的含义;“Force Majeure” has the meaning contained in Section 11.1(a);“不可抗力”具有第11.1(a)所包括的含义;“Gas Supply Area”has the meaning set forth in the Confirmation Memorandum;“供气区”具有确认备忘录中所规定的含义;“Governmental Approvals”means all permits, licenses, authorisations, consents, decrees, waivers, privileges, approvals, or exemptions required from any applicable Governmental Authority;“政府许可”是指需要任何适用政府机关开具的所有许可证、执照、授权书、同意书、行政命令、弃权书、权利书、批准书或豁免书;“Governmental Authority”means, (i) any national, regional, state, municipal, local or other government, (ii) any subdivision, agency, commission or authority thereof, including any port authority, and (iii) any quasi-governmental organization, in each case acting within its legal authority;“政府机关”是指依据法定权力履行职责的(i)任何国家、地区、州、市、当地或其他政府;(ii)及其任何分部、机构、委员会或管理局,包括任何港务局;以及(iii)任何类似政府机构;“Gross Heating Value”means the quantity of heat produced by the complete combustion of one (1) Standard Cubic Foot of anhydrous gas in anhydrous air, and the condensation of all the water formed, with the initial and final temperature and pressure being sixty (60) degrees Fahrenheit and fourteen point six hundred ninety-six (14.696) pounds per square inch absolute, respectively;“总热值”是指在最初温度和最终温度均为六十(60)华氏度、绝对压力为每平方英寸十四点六九六(14.696)磅的无水大气环境下,一(1)标准立方英尺的无水气体完全燃烧以及所生成水分冷凝所产生的热量;“Income Tax”means any tax of general application imposed on net income;“所得税”是指根据净收入一般征收的任何税费;“Independent Surveyor” means the independent expert identified in the Confirmation Memorandum and appointed jointly by the Parties to witness the loading (in the case of an FOB delivery), the unloading (in the case of an DES delivery), and the analysis and the calculation of the Quantity Delivered;“独立公证人”是指确认备忘录中所确定且由合同双方共同任命以见证(装运港船上交货)装货和(目的港船上交货)卸货过程以及交货量分析与计算过程的独立专家;“International Association of Classification Societies”means the non-governmental organization composed of several classification societies established to develop and apply technical standards in relation to the design, construction and survey of marine-related facilities, including ships and offshore structures;“国际船级社协会”是指由若干个船级社组成以研制和应用包括船只和海上结构物等海洋相关设施设计、建造和测量相关技术标准为目的的非政府机构;“International Maritime Organization” or “IMO”means that agency of the United Nations, established in 1948 to promote cooperation among governments and the shipping industry to improve maritime safety and security and to prevent marine pollution from ships;“国际海事组织”或“IMO”是指联合国于1948年成立以促进各国政府和海运业合作,进而提高海事安全和保安以及预防海洋船舶污染的机构;“International Ship and Port SecurityCode”means the code implemented through chapter XI-2 of the International Convention for the Safety of Life at Sea to enhance maritime security;“国际船舶和港口设施安全法”是指依据国际海上人命安全公约第六章第二节所实施以提高海事安全的法例;“International Ship Security Certificate”means a certificate issued under the International Ship and Port Security Code to indicate a ship complies with such Code;“国际船舶保安证书”是指依据国际船舶和港口设施安全法开具以表明船舶符合该安全法规定的证书;“International Standards”means the international standards and practices applicable, as of the Confirm Date of the relevant Confirmation Memorandum, to the ownership, design, equipment, operation and berthing or maintenance of Sellers Facilities, LNG Tankers and Buyers Unloading Facilities established by:“国际标准”是指由下列机构建立自相关确认备忘录的确认日期起适用于卖方设施、液化天然气船和买方卸货设施的所有权、设计、设备、运作和停泊或维护的国际标准和惯例;(a) the International Maritime Organization, the Oil Companies International Marine Forum, the Society of International Gas Tanker and Terminal Operators, the International Association of Classification Societies (and any successor body for any of the above); or (a)国际海事组织、石油公司国际海事论坛、国际气体船及码头运营者协会、国际船级社协会(及其任何后继机构);或(b) any other internationally recognized agency or organization with whose standards and practices it is customary for Reasonable and Prudent Operators or owners of comparable facilities or LNG tankers, as the case may be, to comply; (b)可比设施或液化天然气船的合理谨慎运营商或所有者通常遵守其标准和惯例的任何其他国际承认机构或组织;“ISO”means the International Organization for Standardization, a non-governmental organization that develops and promulgates common standards and assists in their worldwide implementation;“ISO”是指国际标准化组织,国际标准化组织是研发和推广通用标准并协助其在全世界范围内的实施的非政府机构;“ITF Blue Certificate”means the certificate issued to LNG tankers by the Secretariat of the International Transport Workers Federation to signify its acceptance of the wages and working conditions on board
