AUTOMOTIVE SYSTEMS (CHINA) LTD.; the “employees” in this Handbook indicates the persons who have been employed by the Company, have signed an employment contract with the Company and have received salaries from the Company. The persons who are employed temporarily due to business, shall be regulated by the temporary employment contract.第二章 公司概况Chapter Two General situation of the CompanyW.E.T 公司由Bodo Ruthenberg先生在1968年创建,主要销售各种加热系统组件。W.E.T公司名字起源于德语,其含义为电子技术及加热。在1998年集团正式命名为:W.E.T汽车系统有限公司。W.E.T was formed by Mr. Bodo Ruthenberg in Munich in 1968, mainly selling heating components for various applications. The original name of our group W.E.T was “Warme und Elektro Technik”,a German name which means “heating and electrical technology”. In 1998, the Group changed its name into W.E.T Automotive Systems. 2002年初W.E.T高层决定在中国建立一个生产工厂,并选址廊坊。在2002年8月购买现在廊坊工厂的这块土地。从那时起各项准备工作就开始进行,包括工厂建设、招募第一批新人。2003年6月生产第一批试验产品,一个月后开始第一批组装工作.The W.E.T China project started off in early 2002 when a Project Team was built by Head Office to set up a new production plant in China as well as choose a suitable location in Langfang. The agreement was signed for the purchase of the land used as our current location in Langfang in August, 2002. From then onwards, preparations were made for the construction of the building and the recruitment of the first group of people. The first production trial runs were made in June, 2003 and the first serial production started a month later. 第三章 员工行为规范Chapter Three The norms of employees behaviors1.公司员工应严格遵守国家的各项法律、法规,遵守社会公德,维护公共秩序,维护国家利益。1. The Employee shall scrupulously abide by law, regulations and social ethics, and shall maintain public order and defend national interests. 2.维护社会治安,不赌博、不打架斗殴,不吵架骂人,不酗酒闹事,不信迷信,不信邪教,不拉帮结派。2. To maintain social public order, and do not gamble, fight, quarrel, become drunk and create troubles, advocate superstition or evil cults or form cliques.3.公司员工应遵守公司各项规章制度,自觉维护公司的声誉,认同企业文化。3. The employee shall obey all the companys rules, defend the companys reputation and accept the companys culture.4.公司员工应爱岗敬业,发挥自我,锐意进取,勇于创新, 努力成为企业目标的实践者和推动者。4. The employee shall cherish the work, devote whole heart, keep forging ahead and make innovation to promote the realization of the companys goal. 5.忠于职守,保障公司利益,维护公司形象,以积极的工作态度对待工作,工作务实,不怕苦,不言累,养成良好的工作作风。5. The employee shall be active, practical, diligent and hardworking to maintain a good work style, and be faithful to his duty to protect the companys image and interests.6.诚实守信,谦虚谨慎,尊重上级,服从上级指挥,服从分配调动。6. The employee shall be honest, trustworthy, modest and prudent and also be obedient to the companys instruction and arrangement.7.公司员工应团结一致,相互尊重,互助友爱,真诚合作,发扬优良的团队精神,创建和睦的工作环境。7. The employees shall hang together, respect, help, and cooperate sincerely with each other with team spirit to create a harmonious working environment.8.公司员工应积极参加公司组织的各种培训教育,不断充实自己,提高职业工作技能,形成良好的学习氛围,树立成长意识。8. Establishing a climate of learning and self-developing, the employee shall actively attend trainings held by the company and continuously enhance his/her skills and abilities.9.严格遵守本岗位所属部门的各项管理细则,努力学习、勤奋上进,坚持不懈地提高自己的工作能力和业务水平,根据自己岗位变化参加培训学习和考核,提高自身岗位工作能力。9. The employee shall obey all rules made by his/her department and make constant progress in learning and self-developing. When transferred to other post, the employee shall take training and evaluation for the new post and grow adapted and improved. 10.按时、按质、按量完成自身岗位所分解的绩效考核指标,并接受监督检查。10. The employee shall finish the work allocated to his/her position on time with the required quality and accept supervision and inspection. 11.每位员工有根据自身岗位实际情况提出合理化建议的义务,对工作流程、工作程序中不合理之处应及时提出并报直接上级尽快解决,严格按公司管理模式运作,确保工作流程和工作程序的执行顺畅高效。11. Every employee must work according to the regulated work flow and procedures efficiently. If there is any suggestion on improvement on the work flow and procedures, the employee shall immediately make a report to his/her leader.12.遵守公司制定的相关会议和学习制度,按时参加公司、部门、班组组织的政治、业务学习。12. The employee shall execute the meeting and learning schedule and attend on time the political and vocational studies organized by the Company, the department or the team.13.公司员工应遵守职业道德,不徇私情,不弄虚作假,不向公司客户或其他利益相关人收受或索取任何不正当利益,不得借用公司或公司员工的名义从事欺骗或其他有损公司利益或声誉的行为。13. Comply with professional ethics; do not play tricks in the work to promote his/her private interest, demand or receive illegal advantages or benefits from the clients or other cooperator, practice fraud in the name of the company or the employee of the company or do any infringement to the company. 14.业务交往中要讲究礼貌,诚恳待人。14. The employee shall be polite and friendly in business transaction.15.公司员工不背后议论公司和他人,严禁搬弄是非,恶意中伤他人。15. The employee shall not tell tales, make mischief among co-workers, defame or maliciously slander others. 16.按时上下班,不迟到早退,不得擅自离开工作岗位,认真履行岗位职责。工作期间不得无故脱岗、串岗,工作时间不喧哗、不闲谈,严禁做一切与工作无关的事情。严禁利用公司设备、工具干私活、办私事。16. The employee shall implement the companys working hour system, starting and finishing the work on time, and the employee shall perform the duties of his/her position and shall not quit his/her post without permission, visit other post, have chitchat or do private affairs at working hours. The employee shall not use the companys equipments or other resources for private affairs.17.爱护公共财物,勤俭节约,不浪费公司资源,不化公为私,不得用公司的财物馈赠他人。17. The employee shall be thrifty and take good care of the companys properties. Wasting resources of the Company, embezzling or prorating or gifting the companys properties shall be absolutely forbidden. 18.未经同意不得翻看同事的文件、物品等。18. The employee shall not peep at documents or rummage the articles of other co-workers.19.不得将亲友或无关人员带入工作场所,不得在值班时间留宿外来人员。19. The employee shall not bring irrelevant persons to workplace or put up the person who is not employee of the company for the night at watch hours.20.工作结束后不得将工作物品带出工作场所。20. After work, the employee shall not bring the companys properties out of workplace. 21.积极正面,工作认真。不发牢骚不抱怨,不传播负面信息。21. The employee shall be conscientious, positive and optimistic and shall not complain or spread negative messages.22.公司员工上班时要严格遵守员工着装规定,员工工作时间须着正装或公司统一制作的工装,左胸佩带工作胸卡。仪表及着装应干净整洁,保持良好的个人形象和企业形象。22. The employees shall obey the companys rules on dress. The employees shall wear formal suits or the uniform distributed by the company with name card on the left chest in working hours. The employees appearances and dresses shall be clean and tidy, maintaining a good image of his own and the Company.23.与领导及客人同行时,应面带微笑侧身站立,请领导与客人先行通过。23. When faced with the leader or visitor by the entrance or exit, the employee shall stand sideways with smile and let the leader and visitor go first. 24.在办公室使用手机不得选取怪异铃声,且将响铃声音调小。会议期间养成手机静音的好习惯,以免干扰他人。24. In order to avoid disturbing other co-workers, the employee shall not choose the wacky ring-tone on his/her mobile phone and turn it down in workplace. During meetings, the mobile phone shall be turned to mute.25.打电话严禁大声喧哗以免影响他人,不得长时间接听或拨打工作以外的电话,接听私人电话以三分钟为限,长话短说。25. The employee shall not speak too loudly when making phone calls so as not to disturb the co-workers. And phone calls irrelevant to work shall be brief and be limited in three minutes.26.碰到领导出入、客人到访及员工见面要面带微笑道早问好,交流时使用“您好、谢谢、请、对不起、再见”等礼貌用语。26. The employees shall greet and smile while faced with leader, visitors and co-workers. And when serve them or answer their questions, the employee shall be polite and use courtesies such as hello, thanks, please, excuse me and see you. 第四章 录用与离职Employment and Disemployment1.员工录用1. Employment1.1员工的招聘将根据公司年度用人计划按需要进行。本公司各部门如因工作需要,必须增加人员时,应先由部门经理向人力资源部提出申请,经总经理及人力资源部签字同意后,由人力资源部统一安排招聘。1.1 The employees shall be recruited according to the Companys annual staffing plan when needed. If more employees are needed on account of the business in each department, the department manager should make an application to HR department first and the unified recruitment shall be made by the HR department after approved by the HR department and the general manager.1.2公司的录用政策是采用公平、公正、公开的原则,招聘和录用优秀、适用之人才,无种族、肤色、宗教、性别等区别。1.2 The principles of equity, openness and fairness shall be followed in the recruitment, and any applicable talent can be employed, irrespective of sex, color, religion or race, etc. 1.3条件和要求1.3 Conditions and requirements1.3.1“德才兼备、能力优先”是公司择才的基本标准。1.3.1 The basic criterion of recruitment in the Company is to search for employees with both ability and integrity, but ability preferred.1.3.2一般来说员工年龄必须达到18周岁以上,具有中华人民共和国认可的有效身份证明。1.3.2 As a rule, the minimum age of the employees shall be 18 years, with valid identification approved by the Peoples Republic of China. 1.3.3应当具备应聘岗位所要求的教育背景、工作经验、专业能力和一定的辅助能力(例如熟练运用电脑和外语的能力)以及所应聘岗位的特殊要求。公司在招聘员工时,人力资源部和需求部门将明确其具体要求。1.3.3 The employees shall have the educational background, working experience, professional ability, some supportive abilities (e.g. good skills in English communication and computer) and the special qualifications required by the position applied. The HR department and the requiring departments shall make clear the specific requirements to the employees when recruiting.1.4面试员工在被正式录用前,公司人力资源部门将对员工进行面试,必要时由人力资源部门联合部门经理、总经理进行面试。1.4 InterviewsThe HR department shall conduct an interview with the prospective employees before employing them, and shall do it together with the department manager and the general manager if necessary.1.5录用禁忌1.5 Prohibitions on recruiting1.5.1 公司严格禁止通过不正当方式或手段,获得或帮助他人获得职位。1.5.1 It is absolutely forbidden in the Company to acquire a position or to help others to acquire a position by means of dishonesty.1.5.2凡是具有下列情形者,公司一律不予录用:1.5.2 The Company shall not employ any kind of employees as the follows:未满十八周岁者;The citizen is under the age of 18 years old; 被剥夺公民权利尚未恢复者;The person who has been deprived of rights as a citizen and has not been revived yet; 受公安机关通缉者;The citizen who has been issued a warrant by the police bureau; 宣告破产的个人,宣告破产的企业的法定代表人或负责人,破产程序尚未终结;The individual has been announced for bankruptcy and the procedure has not been finished; The legal representative or a person in charge in an enterprise, and the enterprise has been announced for bankruptcy and the procedure has not been finished; 吸食(曾经吸食)毒品或其他代用品者;The citizen who (has the record of taking drugs) takes drugs or other substitutes; 有犯罪记录者;The citizen who has criminal record; 亏欠公款受处罚尚未结案者;The citizen who has been punished for owe fund, and the lawsuit has not been ended yet; 患有精神病或传染病者,或公司认为不适合为其服务病症者;The citizen who has suffered from mental disorder or infection disease or others regarded not fitting for working in the Company; 资料核实或背景调查发现向公司提供虚假信息、虚假文件者;The citizen who has provided false information and false document to the Company; 体格检查经公司认为不适合者;The citizen is unsuitable after medical examination; 品行不端,经公私营机关开除者;The citizen is in bad conduct and has been expelled by enterprises both of state and individual; 曾因违纪被本公司解除劳动合同; 或自动离职但曾受过本公司记过及以上处分者;The citizen who has been terminated the employment contract by the Company for violating the regulations; or has left office voluntarily but be kept records for a demerit or more serious kinds of punishment; 曾在公司客户、供应商或竞争对手处就职,且仍在就业限制竞争协议有关条款或规定约束期间者;The citizen who has ever worked for the customers, suppliers or competitors of the Company, and still in restricted period stipulated by the Employment-Limit-Competition-Agreement; 其他相关法律、法规或公司政策规定不适合录用的情形。 Others are not suitable to be employed according to relevant laws, regulation or policy of the Company. 1.5.3公司实行亲属回避制度 1.5.3 A withdrawal system for the relatives shall be adopted in the Company.为保护平等就业,避免利益冲突,员工在介绍其亲属应征或应征者已有亲属在公司就职时,有责任将情况提前告知人力资源部,否则将视为欺诈行为。In order to protect equal employment and avoid conflict of interest in the Company, both employees and candidates have duty to report to HR department in advance in case of employees introducing their relatives to the Company or candidates whose relatives have already worked in the Company. If not, it shall be regarded as cheating.彼此有亲属关系的员工应当在互不关联的岗位上工作,不可以在同一个部门工作,不可以有直接的领导关系。Relatives shall work in the unrelated positions and shall not be allowed to work in the same department, and with direct reporting line.如果员工与公司内部另一员工结婚或长期同居,则公司有权要求并安排双方分别任职于不相关联的岗位,对此员工应当服从并遵守。If an employee in the Company is married to or cohabits with another employee for long time, the Company shall have the right to arrange the two employees in the unrelated positions and the employees shall have to accept and follow it.1.5.4公司是员工唯一的雇主。1.5.4 The Company is the only employer of the employees.员工在为公司服务期间不得再其他任何公司或机构从事兼职或专职工作;未经批准,员工不得为其他任何公司或机构从事商业活动,即使是无偿的。The employees shall not take full-time or part-time jobs in any other companies or organizations when working in the Company. The employees shall not carry on commercial activities for any other companies or organizations without approval, even without being paid.员工希望为其他个人、企业、各类机构临时工作,应该获得公司事先书面批准。公司有权随时撤销上述批准。If the employee hopes to work temporarily for any individual, company or kinds of organizations, the written approval shall be needed from the Company. And the Company has the right to rescind the above approval at any time.未经批准,员工首次接受其他报酬时,亦将被视为其主动向公司提出辞职。Without approval, the employees first accepting any pays from other organizations shall be regarded as his offering to resign.2.入职 2. Recruits新进人员入职(报到)时,应向人力资源部缴验下列材料:The following materials shall be supplied to the HR department, when the new employee takes office in the Company: 身份证明原件及复印件(身份证、户籍证明、护照等);The original and copies of his identity certificate (ID card, certificate of household register, passport and so on); 学历证书原件及复印件;The original and copies of his educational certificate; 职业资格证书原件及复印件;The original and copies of his occupational qualification certificates; 解除雇用关系证明(离职证明)或失业(待业)证明原件;The original of the proof of terminating employment (the proof of leaving job) or the proof of unemployment; 相关社会保险证明;The related proof of social security; 公司认为必要的其他相关证件。Other necessary certificates as required by the Company. 3. 劳动合同及相关特别协议3. Employment contract and related special agreements3.1根据国家相关法律规定,公司将与员工在平等协商一致的基础上,在员工入职30天内签订书面劳动合同,并依工作性质不同有选择地与员工签订相关劳动合同附件或特别协议。如果因员工本人的原因导致书面合同无法签订,由员工本人承担全部责任并自愿放弃向公司主张任何相关赔偿、补偿及二倍工资的权利。合同附件(特别协议)与劳动合同具有同等法律效力。3.1 In accordance with the relevant laws and regulations, the Company shall sign written employment contract and shall sign the appendixes or special agreements selectively with the new employees on the basis of equal negotiation of the two parties within 30 days since he registered according to his job. Should the written contract not be signed due to the fault of the employee, the employee himself/herself shall take full responsibility for that and shall voluntarily give up the right to claim for compensation and two times salary from the Company. The appendixes of the contract (or special agreements) shall take the same legal effect as the employment contract.3.2在雇用期间,公司根据实际情况需要与员工签订的特别协议、补充协议、任命书、薪资调整决定等涉及用工双方劳动关系的文书,与劳动合同具有同等法律效力。3.2 During the employment period, the signed documents between the Company and the employees such as special agreement, supplementary agreement, the appointment, the decision on salary adjustment, etc., shall take the same legal effect as the employment contract.3.3劳动合同的变更3.3 The amendment of the employment contract公司与员工可以协商变更劳动合同的条款,变更劳动合同应当以签订补充协议的形式进行。The provisions of the employment contract can be amended after the Company and the employee reach an agreement through negotiation. The amendments to an employment contract shall be made in supplementary agreement.3.4劳动合同的续签3.4 The renew of the employment contract3.4.1公司建立并严格遵守劳动合同续签评估制度,员工的原劳动合同到期前,由用工部门提出意见,经人力资源部审核,报总经理审批。3.4.1 The evaluation system of renewing the employment contract shall be established and strictly observed. Before the original employment contract of an employee expires, the department shall give the advice on the contract renew first and then be submitted to the general manager for approval, after approved by HR department. 3.4.2 公司决定不再与员工续签劳动合同的,双方须按照法律规定办理劳动合同终止手续。3.4.2 If the Company decides not to renew the contract with the employee, two parties shall go through the procedures of the contract termination according to the relevant laws and regulations.3.4.3 公司决定与员工续签劳动合同的,原劳动合同期限届满前30日,公司将劳动合同续签意向书发给员工,告知公司续签劳动合同的意向。员工愿意与公司续签劳动合同的,应在接到劳动合同续签意向书后7日内将签署意见后的劳动合同续签意向
