PERFORMANCE GUARANTEE履约保函Beneficiary: Beneficiarys Name致：XXX(以下简称“受益人”或“贵方”) We, Banks Name (hereinafter referred to as the “Bank”), understand that XXX (hereinafter referred to as “Seller”) has entered into a contract (Contract No. XXX) (hereinafter referred to as “Contract”) with XXX (hereinafter referred to as “Beneficiary”) for the delivery of XXX.我们，银行名称(以下简称“本银行”)，知悉XXX(以下简称“卖方”)与贵方签署了编号为XXX的关于供应XXX货物的合同(以下简称“合同”)。We hereby irrevocably guarantee and bind ourselves, our successors and assignees, to pay the Beneficiary up to a maximum guarantee amount (hereinafter referred to as “Maximum Guarantee Amount”) of RMB XXX (in words: RMB XXX only), representing XXX% of the total contract amount of RMB XXX (in words: RMB XXX only) within seven (7) working days from the date on which we receive the Beneficiarys written demand stating the specific breach done by the Seller who fails to comply with his obligations under the Contract thus constituting breach of the Contract upon which the Beneficiary bases his claim for payment. The Maximum Guarantee Amount shall be reduced in proportion to the fulfilled amount stated in the invoice upon presentation of a copy of invoice and related transport documents by the Seller to us. Our undertaking is conditioned upon the Beneficiarys fulfillment of the obligations as set forth in the Contract with the Seller.本银行在此不可撤销地保证我们自己及我们的继受人，一旦收到贵方提出的的书面索款通知，声明卖方未能履行其合同项下的义务而违约以及具体的违约行为并且贵方据此索赔， 将在七（7）个工作日内向贵方支付总额不超过人民币XXX元大写:人民币XXX元整 (以下简称“最高担保金额”)，相当于合同总价XXX% (百分之XXX)的款项。最高担保金额将根据卖方向本银行提供的发票及相关运输文件的复印件载明的已履行金额按比例递减。本银行履行该项保证义务的前提是贵方已经全面履行了贵方在与卖方签订的合同中所应承担的义务。This Guarantee shall become effective from the date of issuance and expire by latest on XXX (hereinafter referred to as “Expiry Date”). Any claim arising out of this Guarantee must be signed by the Beneficiarys authorized representative, stamped with his company chop, and be delivered to the Bank in written format on or before the Expiry Date of this Guarantee. Such written claim becomes effective immediately after we verify the authenticity of the Beneficiarys signature and chop and the above mentioned circumstances.本保函自出具之日起生效，有效期至XXX(以下简称“失效日”)止。基于本保函的任何索款通知必须经由贵方授权代表签署并加盖公章，在本保函失效日或失效日前以书面形式送达本银行。在本银行验证贵方的签名和印章及索款通知符合本保函规定情况后，该书面索款通知即可生效。Notwithstanding the foregoing, this Guarantee shall be immediately terminated on the occurrence of the earliest of any of the following events (hereinafter referred to as “Termination Events”): (1) the Maximum Guarantee Amount is paid up under this Guarantee; or (2) the original copy of this Guarantee is returned; or (3) the end of the Expiry Date; or (4) the Maximum Guarantee Amount has been reduced to zero in the manner prescribed in this Guarantee.尽管有前述约定，本保函将于以下任一情况（以下简称“终止条件”）出现时立即终止：（1）本保函项下已付金额达最高担保金额；或(2)保函正本已归还本银行；或（3）本保函有效期届满；（4）最高担保金额按照本保函所规定的方式已经减额为零。Upon any of the Termination Events, this Guarantee shall automatically become null and void and should be returned to us for cancellation. Notwithstanding whether the original copy of this Guarantee is returned to us or not, we are released from the obligations and responsibilities under this Guarantee immediately after the termination of this Guarantee.在任何终止条件出现时，本保函自动失效，贵方应将保函正本退还本银行注销。但是不论保函正本是否归还本银行，本银行在本保函项下的义务和责任将于保函终止后自动解除。The Beneficiarys claims and rights resulting from this Guarantee may only be assigned with our prior written consent. No modification to the Contract or change or concession made to the timeframe of the Contract may become effective without our prior written consent.本保函项下贵方权利及索款要求仅在获得本银行事先书面确认后方可被转让。对合同的任何修改以及对合同时间的任何改变或让步仅在经过本银行的事先书面同意方可生效。This Guarantee shall be governed by and construed in accordance with the laws of the Peoples Republic of China. Any dispute concerning the validity, the interpretation or the performance of this Guarantee or otherwise in connection with this Guarantee which cannot be settled amicably by the parties shall be submitted to China International Economic and Trade Arbitration Commission (hereinafter referred to as “CIETAC”) for arbitration under CIETAC rules of arbitration, by three (3) arbitrators appointed in accordance with the said rules. We may select arbitrator either from those on CIETACs arbitrator panel or from those who are not on CIETACs arbitrator panel.
