精选资料上海巿房屋租赁合同上海市房屋土地资源管理局上海市工商行政管理局制定二000年十一月印制While all terms and conditions shall be based on the Chinese version of Tenancy Agreement, this English version shall be for reference only. 上海房屋租赁合同SHANGHAI MUNICIPALITY TENANCY AGREEMENT(合同编号:) (Contract No. _ ) 本合同双方当事人:Parties to Contract(出租)出租方(甲方): Lessor (Party A): 承租方(乙方): Lessee (Party B): 根据中华人民共和国合同法、上海市房屋租赁条例(以下简称:条例)的规定,甲、乙双方在平等、自愿、公平和诚实信用的基础上,经协商一致,就乙方承租甲方可 出租 (出租)的 房屋 (房屋/商品房)事宜,订立本合同。In accordance with the Laws of Contract of the Peoples Republic of China and the Tenancy Regulations of the Shanghai Municipality (hereinafter referred to as “the Provisions”), Party A and Party B, having reached an agreement based on the principles of equality, willingness and mutual benefit, hereby enter into this Contract on matters in relation to the Lease of the Property by Party A to Party B.一、出租房屋情况Condition of the Lease or Pre-Lease Property1-1甲方 出租 给乙方的房屋座落在本市 区 路 弄 / 号 (以下简称该房屋)。该房屋 实测建筑面积为 57.85 平方米,房屋用途 办公 ,房屋结构为 钢混。(【出租】实测)甲方已向乙方出示:Party A shall lease Party B the Property situated at unit2619, Tower / Lane500 ,Xiang Yang Rd, Xu Hui District (hereinafter referred to as “the Property”). The total gross area of the Lease Property shall be 57.85 square meters, the purpose of the Land shall be for Consolidated Purpose , the type of Property shall be Office Building , the structure shall be steel and cement . The floor plan of the Property see Appendix 1 of this Contract. Party A has already presented to Party B:1)【出租】房地产权证/房屋所有权证/ 沪 房地产权证 字 ; (证书编号:2003第 ) 附件(/)Lease Shanghai Certificate of Ownership of the Property (Appendix 1)1-2甲方作为该房屋的 房地产权利人 (房地产权利人/代管人/法律规定的其他权利人)与乙方建立租赁关系。签订本合同前,甲方已告知乙方该房屋已设定抵押。Party A being the Owner of the Property and Party B have developed a lessor/lessee relationship. Before the signing of this Contract, Party A has already informed Party B that the Property already subject to a mortgage.1-3该房屋的公用或合用部位的使用范围、条件和要求;现有装修、附属设施、设备状况和甲方同意乙方自行装修和增设附属设施的内容、标准及需约定的有关事宜,由甲、乙双方分别在本合同附件(二)中加以列明。甲、乙双方同意该附件作为甲方向乙方交付该房屋和本合同终止时乙方向甲方返还该房屋的验收依据。The area and the use of the public or common part of the Property; the existing fixtures, facilities, condition of equipment and the contents, standard and other relevant matters to be ascertained in relation to the fixtures and the facilities added by Party B with the consent of Party A shall be specified in Appendix 2 of this Contract. Party A and Party B have agreed the said Appendix shall represent the condition of the Property at the time of hand over of the Property by Party A to Party B and when Party B deliver up the Property to Party A at the expiry of this Contract.二、租赁用途Purpose of the Property2-1乙方向甲方承诺,租赁该房屋作为 办公 使用,并遵守国家和本市有关房屋使用和物业管理的规定。Party B warrants to Party A that the Property shall be used for Office purpose and follows the regulations of the State and this Municipality in relation to the use and management of Property.2-2乙方保证,在租赁期内未征得甲方书面同意以及按规定须经有关部门审批核准前,不擅自改变上款约定的使用用途。Party B guarantee that during the lease term, it shall not alter the purpose of the Property without Party As prior written consent as well as the approval from the relevant governmental department.三、交付日期和租赁期限Delivery Date and Lease Term3-1甲乙双方约定,甲方于 2011 年3 月1日前向乙方交付该房屋。【出租】房屋租赁期自 2011 年 3月 1日起至2013 年 2 月 28 日止。Party A and Party B have agreed that Party A shall hand over the Property to Party B before 1th March 2011 .LeaseThe lease term of the Property shall be from 1th March 2011 until 28th February 2013.3-2租赁期满,甲方有权收回该房屋,乙方应如期返还。乙方需继续承租房屋的,则应于租赁期届满前 叁个月,向甲方提出续租书面要求,经甲方同意后重新签订租赁合同。Upon expiry of the lease term, Party A shall have the right to repossess the Property in its entirety and Party B shall deliver it up accordingly. If Party B wishes to renew the lease, it shall submit such intent in writing to Party A three months prior to the expiry of the lease and sign a new lease contract with the consent of Party A. 四、租金、支付方式和期限Rent, Method of Payment and Term 4-1甲、乙双方约定,【出租】RMB6300)(大写:陆仟叁佰园整 )。该房屋租金 贰 (年)内不变。自第 叁 (年)起,双方可协商对租金进行调整。有关调整事宜由甲、乙双方在补充条款中约定。Party A and Party B have agreed that.Lease The total monthly rent shall be RMB 6300 Yuan.The rent shall remain unchanged for Two year. The rent may be adjusted by both parties through consultation commencing from third year. Matters related to the adjustment shall be agreed by Party A and Party B in supplementary clauses.4-2乙方应于每月5 日前向甲方支付租金。逾期支付的,每逾期一日,则乙方需按日租金的20 %支付违约金。Party B shall pay the rent by the 5 day of each month. Late payment by Party B shall be subject to a penalty of 20% of the monthly rent per day.4-3付款方式: 押二付三 Payment methods: Two months rental for deposit plus three months rental 4-4乙方支付租金的方式如下:现金或转帐The rent shall be paid by Party B as follows:名稱:RMB賬號: 開戶銀行: -五、保证金和其他费用Deposit and Other Fees and Charges5-1甲、乙双方约定,甲方交付该房屋时,乙方应向甲方支付房屋租赁保证金,保证金为贰个月的租金,即( RMB12600 )。甲方收取保证金后应向乙方开具收款凭证。租赁关系终止时,甲方收取的房屋租赁保证金除用以抵充合同约定由乙方承担的费用外,剩余部分一周内无息归还乙方。Party A and Party B have agreed that at the time of the hand over of the Property by Party A, Party B shall pay to Party A a rental deposit of the Property, the deposit shall be Two months of rent, that is (RMBCurrency) 12600Party A shall issue a receipt to Party B after receiving payment of deposit.At the termination of the lessor/lessee relationship, the remaining deposit of the lease of the Property obtained by Party A shall be refunded to Party B after setting off the fees and expenses borne by Party B under the Contract without interest within one week.5-2租赁期间,使用该房屋所发生的水、电、煤气、通讯使用费、用由 乙方 承担。其他物业管理费、每月的房屋清洁费均由已方 承担,发票的税费有 甲方 承担。During the lease term, the water, electricity, gas, communication of the Property and other fees resulted from the use of the Property shall be borne by Party B. All other management fee per month house clean fee shall be borne by Party B,Invoice Party A 。5-3 乙方 承担的上述费用,计算或分摊办法、支付方式和时间:根据上述企事业单位列出的帐单凭证支付,如不按期付款,滞纳金由乙方承担。 Party B shall be responsible to pay the above fees and charges, the computation or amortization, method and time of payment: According to the demand notes, if delaying payment, Party B should be responsible for the penalty.六、房屋使用要求和维修责任Standard Required for Use of Property and Responsibility of Property Maintenance and Repair6-1租赁期间,乙方发现该房屋及其附属设施有损坏或故障时,应及时通知甲方修复;甲方应在接到乙方通知后的叁 日内进行维修。逾期不维修的,乙方可代为维修,费用由甲方承担。During the lease term, if Party B discovers any damages or defects of the Property and facilities attached, it shall notify Party A immediately for repair. Party A shall carry out the repair within 3 days after receiving notification from Party B. Any delay in repair may be repaired by Party B on Party As behalf and the expenses incurred shall be borne by Party A.6-2租赁期间,乙方应合理使用并爱护该房屋其附属设施。因乙方使用不当或不合理使用,致使该房屋及其附属设施损坏或发生故障的,乙方应负责维修。乙方拒不维修,甲方可代为维修,费用由乙方承担。During the lease term, Party B shall reasonably use and take good care of the Property and the facilities attached. Party B shall be responsible to repair immediately the damages caused to the Property and/or facilities due to improper and unreasonable use by Party B. If Party B refuses to repair, Party A may repair on its behalf and the expenses incurred shall be borne by Party B.6-3租赁期间,甲方保证该房屋及其附属设施处于正常的可使用和安全的状态。甲方对该房屋进行检查、养护,应提前 柒 日通知乙方。检查养护时,乙方应予以配合。甲方应减少对乙方使用该房屋的影响。During the lease term, Party A shall guarantee the normal usable and safe condition of the Property and facilities attached. Party A shall notify Party B 7 days in advance before carrying out examination and maintenance works. Party B shall render cooperation during the examination and maintenance. Party A shall reduce the effect caused to Party B in using the Property.6-4乙方需装修或者增设附属设施和设备的,应事先征得甲方的书面同意,按规定须向有关部门审批的,则还应由 甲方 报请有关部门批准后,方可进行。乙方增设的附属设施的设备归属及其维修责任由甲、乙双方另行书面约定。Except for Appendix 3 of this Contract, before carrying out any extra renovation or addition of facilities attached and equipment, Party B shall obtain the written consent of Party A and submit the same to the relevant authority for examination and approval in accordance with the regulations. The works could only be carried out upon completion of the procedure of approval with the relevant authority by Party A . The responsibility of the maintenance of the added facilities by Party B shall be agreed by Party A and Party B in separate written agreement.七、房屋返还时的状态Condition of Property at Delivery Back7-1除甲方同意乙方续租外,乙方应在本合同的租期届满后的 当 日内返还该房屋,未经甲方同意逾期返还房屋的,每逾期一日,乙方应按日租金贰倍向甲方支付该房屋占用期间的使用费。Except for the renewal of lease agreed by Party A, Party B shall deliver up the Property within one day after the expiration of lease term of this Contract. Late delivery of the Property without the consent of Party A shall be subject to a charge for adverse possession of the Property at Two times of rent per day.7-2乙方返还该房屋应当符合正常使用后的状态。返还时,应经甲方验收认可,并相互结清各自应当承担的费用。The Property at the time of delivery up by Party B shall be of a condition after normal use. The delivery up shall be examined and authorized by Party A and the fee and charges responsible by the parties shall be cleared at the time of delivery up.八、转租、转让和交换Sublease, Assignment and Exchange8-1除甲方已在本合同补充条款中同意乙方转租外,乙方在租赁期内,需事先征得甲方的书面同意,方同将该房屋部分或全部转租给他人。但同一间居住房屋,不得分割转租。Unless otherwise agreed in the supplementary clauses of this Contract, Party B shall obtain the written approval from Party A before it could sublease part or all of the Property to a third party during the lease term. Party B shall not sublease part of the Property or sublease to two lessees or more than two lessees at the same time.8-2乙方转租该房屋,应按规定与接受转租方订立书面的转租合同。并按规定向该房屋所在区、县房地产交易中心或农场系统受理处办理登记备案。When Party B subleases the Property, it shall enter into a sublease contract with the lessee in writing in accordance with the regulations. The sublease contract shall be registered and filed with the Real Estate Trade Management Department or the Ministry of Agricultural Systems where the Property is located.8-3在租赁期内,乙方将该房屋转让给他人承租或与他人承租的房屋进行交换,必须事先征得甲方书面同意。转让或交换后,该房屋承租权的受让人或交换人应与甲方签订租赁主体变更合同并继续履行本合同。During the lease term, Party B shall obtain the written consent from Party A before assigning the Property to a third party for sublease or exchange the Property subleased by a third party. After the assignment or exchange, the assignee of the Property or the party to the exchange shall sign the Contract for the amendment of the lease and continue to enforce this Contract.8-4在租赁期内,甲方如需出售该房屋,应提前三个月通知乙方。乙方在同等条件下有优先购买权。若乙方无意购买该物业,本租赁合同继续生效。 During the lease term, if Party A shall sell the Property, it shall notify Party B 3 months in advance. Party B shall have the priority to purchase under the same conditions.九、解除本合同的条件Conditions for Terminating this Contract 9-1甲、乙双方同意在租赁期内,有下列情形之一的,本合同终止,双方互不承担责任:Party A and Party B have agreed that during the lease term, this Contract shall be terminated under any of the following circumstances and both parties shall not be held responsible as a result thereof:(一) 该房屋占用范围内的土地使用权依法提前收回的;The right to use of land within the scope of the Property was early resumed in accordance with the laws;(二) 该房屋因社会公共利益被依法征用的;The Property was resumed for public interests;(三) 该房屋因城市建设需要被依法列入房屋拆迁许可范围的;The Property has been classified as premises to be demolished according to the law for the need of town planning;(四) 该房屋毁损、灭失或者被鉴定为危险房屋的;Damages, fire hazards occurred to the Property or otherwise been classified dangerous premises;(五) 甲方已告知乙方该房屋出租前已设定抵押,现被处分的。Penalty as a result of the mortgage created over the Property as notified to Party B by Party A before the lease;9-2甲、乙双方同意,有下列情形之一的,一方可书面通知另一方解除本合同。违反合同的一方,应向另一方按月租金的 贰 倍支付违约金;给对方造成损失的,支付的违约金不足抵付一方损失的,还应赔偿造成的损失与违约金的差额部分:Party A and Party B have agreed that one party may terminate this Contract by written notice to the other party under any of the following circumstances. The party in breach shall pay to the other party a penalty of Two times of the rent per month; if damages is caused to the other party and the penalty is not sufficient to offset the damages of the other party, the party in breach shall also compensate for the difference between the penalty and the damages caused: (一)甲方未按时交付该房屋,经乙方催告后 伍 日内仍未交付的;Party A fails to deliver up the Property accordingly and remain fail to deliver within 5 days after demand given by Party B;(二)甲方交付的该房屋不符合本合同的约定,致使不能实现租赁目的的;或甲方交付的房屋存在缺陷,危及乙方安全的。The Property delivered up by Party A falls short of the agreement of this Contract, causing failure to realize the purpose of the lease; or the Property delivered by Party A is defective and affects the safety of Party B;(三)乙方未征得甲方书面同意改变房屋用途,致使房屋损坏的;Party B alters the use of the Property without the written consent of Party A, causing damages to the Property;(四)因乙方原因造成房屋主体结构损坏的;Damages caused to the main structure of the Property attributable to Party B;(五)乙方擅自转租该房屋、转让该房屋承租权或与他人交换各自承租的房屋的;Party B subleases the Property, assigns the Property to or exchanges the Property with the third party without consent;(六)乙方逾期不支付租金累计超过 壹 个 月的;Party B fails to pay rent for over one months;十、违约责任Liabilities for Breach of Contract10-1该房屋交付时存在缺陷的,甲方应自交付之日起的叁 日内进行修复,逾期不修复的,甲方同意减少租金并变更有关租金条款。For defects exist at the time of delivery of the property, Party A shall perform the repair work within 3 days after the delivery, in the event of delay and non-repair, Party A agrees to reduce the rent payable and alters the relevant rental provisions.10-2因甲方未告知乙方,该房屋出租前已抵押或产权转移已受到限制,造成乙方损失的,甲方应负责赔偿。Party A shall be liable to compensation for loss incurred by Party B due to Party As failure in notifying Party B of the restriction of the Property under mortgage or assignment of interests before the lease of the Property.10-3租赁期间,甲方不及时履行本合同约定的维修、养护责任,致使房屋损坏,造成乙方财产损失或人身伤害的,甲方应承担赔偿责任。During the lease term, if Party A fails to perform the duties of maintenance and repair under this Contract, causing damages or losses to the Property and/or personal injuries to Party B, Party A shall be liable to compensation.10-4租赁期间,非本合同规定的情况,甲方无权力擅自解除本合同。During the lease term, except for circumstances stipulated in this Contract, Party A shall not terminate this Contract and take back the Property before the expiration of the lease.10-5乙方未征得甲方书面同意或者超出甲方书面同意的范围和要求装修房屋或者增设附属设施的,甲方可以要求乙方 恢复房屋原状 .Party B has renovated the Property or added facilities attached to the Property without obtaining the written consent of Party A or outside the scope of the written approval of Party A, Party A may require Party B to restore the Property to its original state.10-6租赁期间,非本合同规定的情况,乙方中途若因不可抗拒的原因退租的,乙方应按月租金的 壹倍 向甲方支付违约金。若违约金不足抵付甲方损失的,乙方还应负责赔偿。甲方可从租赁保证金中抵扣。保证金不足抵扣的,不足部分则由乙方另行交付。During the lease term, except for circumstances stipulated in this Contract, if Party B withdraws from the lease due to circumstances which are beyond Party Bs control, Party B shall pay a penalty to Party A of One times the monthly rent. If the penalty is not sufficient to offset the loss suffered by Party A, Party B shall be liable to compensation. Party A may offset the amount from the deposit. If the deposit is not sufficient to offset the amount, the outstanding amount shall be paid by Party B.十一、其他条款Other Clauses11-1租赁期间,甲方需抵押该房屋,应当书面告知乙方,并向乙方承诺房屋抵押后当事人协议以折价、变卖方式处分该房屋前 叁十 日书面征询乙方购买该房屋的意见。During the lease term, if Party A shall require to mortgage the Property, it shall notify Party B in writing and guarantee to Party B that after the mortgage of the Property, Party Bs opinion as to the purchase of the Property would be consulted in writing 30 days before agreement on method of disposal of the Property is reached.11-2本合同自双方签字/签字后即刻生效。生效后的15日内,由甲方负责按规定向房屋所在地区、县房地产交易中心或农场系统受理处办理登记备案,领取房屋租赁登记备案证明;本合同经登记备案后,凡变更、终止本合同的,由 甲方 负责在本合同变更终止之日起的15日内,向原登记机构办理变更、终止登记备案手续。因甲方未办理房屋租赁登记备案或变更、终止登记备案的,所引起的法律纠纷,由甲方承担一切责任。This Contract shall take effect after signed by both parties. Within 15 days of the signing of this Contract, Party A shall be responsible to register with the Real Estate Trade Management Department or the Ministry of Agricultural Systems where the Property is located and obtain the Certificate of Lease upon registration: In cases of modification or termination of this Contract after the registration of this Contract, Party A shall be responsible to register the modification or termination with the original registration office within 15 days of such modification or termination. Any legal disputes arising from the failure of Party A to register the Certificate of Lease or to register the modification or termination shall be borne by Party A.11-3本合同未尽事宜,经甲、乙双方协商一致,可订立补充条款。本合同补充条款及附件均为本合同不可分割的一部分,本合同及其补充条款和附件内空格部分填写的文字与铅印文字具有同等效力。Party A and Party B may through mutual consultation enter into the supplementary clauses on matters not stipulated in this Contract.
