act.thecashcontributedbypartybshallbepaidin_installment.eachinstallmentshallbeasfollows:(note:itshallbewrittenaccordingtotheconcreteconditions).article13themachinesandequipmentcontributedbypartybasinvestmentshallmeettheneedsofthecooperativeventurecompany,andshallbecarriedtothechineseport_daysbeforethecompletionofthepremisesconstruction.chapter6responsibilitiesofeachpartytothejointventurearticle14partyaandpartybshallberespectivelyresponsibleforthefollowingmatters:responsibilitiesofpartya:handlingofapplicationsforapproval,registration,businesslicenseandothermattersconcerningtheestablishmentofthecooperativeventurecompanyfromrelevantdepartmentsinchargeofchina;processingtheapplicationfortherighttotheuseofasitetotheauthorityinchargeoftheland;organizingthedesignandconstructionofthepremisesandotherengineeringfacilitiesofthecooperativeventurecompany;assistingpartybtoprocessimportcustomsdeclarationforthemachineryandequipmentcontri butedbypartybasinvestmentandarrangingthetransportationwithinthechineseterritory;assistingthecooperativeventurecompanyinpurchasingorleasingequipment,materials,rawmaterials,articlesforofficeuse,meansoftransportationandcommunicationfacilitiesetc.;assistingthecooperativeventurecompanyincontactingandsettlingthefundamentalfacilitiessuchaswater,electricity,transportationetc.;assistingthecooperativeventureinrecruitingchinesemanagementpersonnel,technicalpersonnel,workersandotherpersonnelneeded;assistingforeignworkersandstaffinapplyingforentryvisas,worklicensesandhandlingtheirtravelprocedures;responsibleforhandlingothermattersentrustedbythecooperativeventurecompany.responsibilitiesofpartyb:providingcash,machineryandequipment,industrialproperty.inaccordancewiththeprovisionsofarticle11andarticle12,13,andresponsibleforshippingcapitalgoodssuchasmachineryandequipmentetc.contributedasinvestmenttoachineseport;handlingthemattersentrustedbythecooperativeventurecompany,su chasselectingandpurchasingmachineryandequipmentoutsidechina,etc.;providingnecessarytechnicalpersonnelforinstalling,testingandtrialproductionoftheequipmentaswellasthetechnicalpersonnelforproductionandinspecting;trainingthetechnicalpersonnelandworkersofthecooperativeventurecompany;incasepartybisthelicensor,itshallberesponsibleforthestableproductionofqualifiedproductsofthecooperativeventurecompanyinthelightofdesigncapacitywithinthespecifiedperiod;responsibleforothermattersentrustedbythejointventurecompany.(note:itshallbewrittenaccordingtothespecificsituation).chapter7distributionofprofitsandrepaymentforpartybsinvestmentarticle15thecooperativeventurecompanyshalldistributeitsprofitsinaccordancewiththefollowingprocedureafterpayingtheincometax:_%asallocationsforreservefunds,expansionfunds,welfarefundsandbonusesforstaffandworkersofthecooperativeventurecompany;_%asrepaymentforpartybsinvestmentand_yearsscheduledtopaybackal resproductstobesoldinchinamaybehandledbythechinesematerialsandcommercialdepartmentsbymeansofagencyorexclusivesales,ormaybesoldbythecooperativeventurecompanydirectly.article19inordertoprovidemaintenanceservicetotheproductssoldbothinchinaorabroad,thecooperativeventurecompanymaysetupsalesbranchesformaintenanceservicebothinchinaorabroadsubjecttotheapprovaloftherelevantchinesedepartment.chapter9theboardofdirectorsarticle20thedateofregistrationofthecooperativeventurecompanyshallbethedateoftheestablishmentoftheboardofdirectorsofthecooperativeventurecompany.article21theboardofdirectorsiscomposedof_directors,ofwhich_shallbeappointedbypartya,_bypartyb.thechairmanoftheboardshallbeappointedbypartya,anditsvice-chairmanbypartyb.thetermofofficeforthedirectors,chairmanandvice-chairmansfouryears,theirtermofofficemayberenewedifcontinuouslyappointedbytherelevantparty.article22thehighestauthorityofthecooperativeventurecompanyshallbeitsbo ardofdirectors.itshalldecideallmajorissuesconcerningthecooperativeventurecompany.unanimousapprovalshallberequiredforanydecisionsconcerningmajorissues.asforothermatters,approvalbymajorityorasimplemajorityshallberequired.(note:itshallbeexplicitlysetoutinthecontract).article23thechairmanoftheboardisthelegalrepresentativeofthecooperativeventurecompany.shouldthechairmanbeunabletoexercisehisresponsibilitiesforanyreason,heshallauthorizethevice-chairmanoranyotherdirectorstorepresentthejointventurecompanytemporarily.article24theboardofdirectorsshallconveneatleastonemeetingeveryyear.themeetingshallbecalledandpresidedoverbythechairmanoftheboard.thechairmanmayconveneaninterimmeetingbasedonaproposalmadebymorethanonethirdofthetotalnumberofdirectors.minutesofthemeetingsshallbeplacedonfile.article25themeetingshallbevalidonlywhenmorethantwothirdsofthetotalnumberofdirectorsattend.incaseofabsence,thedirectorshallentrustanotherpersontoattendandvoteforhimwithatrustdeed.chapt er10businessmanagementofficearticle26thecooperativeventurecompanyshallestablishamanagementofficewhichshallberesponsibleforitsdailymanagement.themanagementofficeshallhaveageneralmanager,appointedbyparty_,_deputygeneralmanagers,_byparty_;_byparty_.thegeneralmanageranddeputygeneralmanagerswhosetermsofofficeis_yearsshallbeappointedbytheboardofdirectors.article27theresponsibilityofthegeneralmanageristocarryoutthedecisionsoftheboardandorganizeandconductthedailymanagementofthecooperativeventurecompany.thedeputygeneralmanagersshallassistthegeneralmanagerinhiswork.article28thegeneralmanagershallreporttotheboardofdirectorstheoperationconditionsofthecooperativecompanyeverythreemonths,andmakeafinancialreporteverysixmonths.article29incaseofgraftorseriousderelictionofdutyonthepartofthegeneralmanageranddeputygeneralmanagers,theboardofdirectorsshallhavethepowertodismissthematanytime.chapter11labormanagementarticle30laborcontract coveringtherecruitment,employment,dismissalandresignation,wages,laborinsurance,welfare,rewards,penaltiesandothermattersconcerningthestaffandworkersofthecooperativeventurecompanyshallbedrawnupbetweenthecooperativeventurecompanyandthetradeunionofthecooperativeventurecompanyasawhole,ortheindividualemployeesinthecooperativeventurecompanyasawholeorindividualemployeesinaccordancewiththelawofthepeoplesrepublicofchinaonchinese-foreigncooperativejointventures.thelaborcontractsshall,afterbeingsigned,befiledwiththelocallabormanagementdepartment.article31theappointmentofhigh-rankingadministrativepersonnelrecommendedbybothparties,theirsalaries,socialinsurance,welfareandthestandardoftravellingexpensesetc.shallbedecidedbythemeetingoftheboardofdirectors.chapter12taxes,financeandauditarticle32thecooperativeventurecompanyshallpaytaxesinaccordancewiththeprovisionsofchineselawsandotherrelativeregulations.article33staffmembersandworkersofthecooperativeventurecompanyshallpayindi vidualincometaxaccordingtotheindividualincometaxlawofthepeoplesrepublicofchina.article34thefiscalyearofthejointventurecompanyshallbefromjanuary1todecember31.allvouchers,receipts,statisticstatementsandreportsshallbewritteninchinese.(note:aforeignlanguagecanbeusedconcurrentlywithmutualconsent).article35financialcheckingandexaminationofthecooperativeventurecompanyshallbeconductedbyanauditorregisteredinchinaandreportsshallbesubmittedtotheboardofdirectorsandthegeneralmanager.incasepartybconsidersitnecessarytoemployaforeignauditorregisteredinanothercountrytoundertakeannualfinancialcheckingandexamination,partyashallgiveitsconsent.alltheexpensesthereofshallbebornebypartyb.article36inthefirstthreemonthsofeachfiscalyear,themanagershallpreparethepreviousyearsbalancesheet,profitandlossstatementandproposalregardingthedisposalofprofits,andsubmitthemtotheboardofdirectorsforexaminationandapproval.chapter13durationofthecooperativeventurearticle37theduration ofthecooperativeventurecompanyis_years.theestablishmentdateofthejointventurecompanyshallbethedateonwhichthebusinesslicenseofthecooperativeventurecompanyisissued.anapplicationfortheextensionoftheduration,proposedbyonepartyandunanimouslyapprovedbytheboardofdirectors,shallbesubmittedtotheministryofforeigntradeandeconomiccooperation(ortheexaminationandapprovalauthorityentrustedbyit)sixmonthspriortotheexpirydateofthejointventure.chapter14thedisposalofassetsaftertheexpirationofthedurationarticle38upontheexpirationoftheduration,theassetsshallbelongtopartya.chapter15insurancearticle39insurancepoliciesofthejointventurecompanyonvariouskindsofrisksshallbeunderwrittenwiththepeoplesrepublicofchina.types,valueanddurationofinsuranceshallbedecidedbytheboardofdirectorsinaccordancewiththeprovisionsofthepeoplesinsurancecompanyofchina.chapter16theamendment,alterationandterminationofthecon-tractarticle40theamendmentofthecontractorotherappendicesshallcomeintofo rceonlyafterawrittenagreementhasbeensignedbypartyaandpartybandapprovedbytheoriginalexaminationandapprovalauthority.article41incaseofinabilitytofulfilthecontractortocontinueoperationduetoheavylossesinsuccessiveyearsasaresultofforcemajeure,thedurationofthecooperativeventureandthecontractshallbeterminatedbeforethetimeofexpirationafterbeingunanimouslyagreeduponbytheboardofdirectorsandapprovedbytheoriginalexaminationandapprovalauthority.chapter17liabilityforbreachofcontractarticle42shouldthecooperativeventurecompanybeunabletocontinueitsoperationorachieveitsbusinesspurposeduetothefactthatoneofthecontractingpartiesfailstofulfiltheobligationsprescribedbythecontractandarticlesofassociation,orseriouslyviolatestheprovisionsofthecontractandarticlesofassociation,thatpartyshallbedeemedtohaveunilaterallyterminatedthecontract.theotherpartyshallhavetherighttoterminatethecontractinaccordancewiththeprovisionsofthecontractafterapprovalbytheoriginalexaminationandapprovalauthority,andtoc laimdamages.incasepartyaandpartybofthecooperativeventurecompanyagreetocontinuetheoperation,thepartywhofailstofulfilitsobligationsshallbeliablefortheeconomiclossescausedtherebytothejointventurecompany.article43shouldeitherpartyaorpartybfailtoprovideonschedulethecontributionsinaccordancewiththeprovisionsdefinedinchapter5ofthiscontract,thepartyinbreachshallpaytotheotherparty_yuan,or_%ofthecontributionstartingfromthefirstmonthafterexceedingthetimelimit.shouldthepartyinbreachfailtoprovideafter_months,_yuan,or_%ofthecontributionshallbepaidtotheotherparty,whoshallhavetherighttoterminatethecontractandtoclaimdamagesfromthepartyinbreachinaccordancewiththeprovisionsofarticle42ofthecontract.article44shouldallorpartofthecontractanditsappendicesbeunabletobefulfilledowingtothefaultofoneparty,thepartyinbreachshallbeartheliabilitytherefor.shoulditbethefaultofbothparties,theyshallbeartheirrespectiveliabilitiesaccordingtotheactualsituation.article4 5inordertoguaranteetheperformanceofthecontractanditsappendices,bothpartyaandpartybshallprovideeachotherwithbankguaranteesforperformanceofthecontractwithin_daysafterthecontractcomesintoforce.chapter18forcemajeurearticle46shouldeitherofthepartiestothecontractbepreventedfromexecutingthecontractbyforcemajeure,suchasearthquake,typhoon,flood,fire,warorotherunforeseenevents,andtheiroccurrenceandconsequencesareunpreventableandunavoidable,thepreventedpartyshallnotifytheotherpartybytelegramwithoutanydelay,andwithin15daysthereafterprovidedetailedinformationoftheeventsandavaliddocumentforevidenceissuedbytherelevantpublicnotaryorganizationexplainingthereasonofitsinabilitytoexecuteordelaytheexecutionofallorpartofthecontract.bothpartiesshall,throughconsultations,decidewhethertoterminatethecontractortoexemptpartoftheobligationsforimplementationofthecontractorwhethertodelaytheexecutionofthecontractaccordingtotheeffectsoftheeventsontheperformanceofthecontract.chapte
