In order to clarify the Party Bs obligation of Non-Disclosure and Non-compete, both Parties make this confidentiality agreement according to the equality, voluntariness, fairness and good faith in Shanghai, P.R. china.双方确认在签署本协议前已经详细审阅过协议的内容，并完成了解协议各条款的法律含义。Both sides confirmed reviewing the contents of the agreement in detail and complete understanding the legal meaning of the provisions of the agreement before the signing of this agreement.1. 保密内容和范围Article 1Content and Scope of Confidentiality1、 乙双方确认，乙方应承担保密义务的甲方商业秘密范围包括但不限于以下内容：A and B both sides agreed, Party B should bear the obligation of confidentiality of Party A range of trade secrets, including but not limited to the following:1.1. 技术信息：技术方案、制造方法、公式、检验方法、试验结果、工艺流程、技术指标、计算机软件、数据库、图纸、样品、技术文档、涉及商业秘密的业务函电等等；Technical Information: technical program, manufacturing methods, formulas, inspection methods, test results, process, technical specifications, computer software, databases, drawings, samples, technical documentation, commercial secrets, business correspondence, etc.1.2. 经营信息：营销计划、客户名单、产销策略、进货渠道、定价政策、不公开的财务资料、管理诀窍、重大人事变动、人力资源管理制度等等；Business Information: marketing plans, customer lists, marketing strategies, procurement information, purchase channels, pricing policies, non-public financial information, management know-how, major personnel changes, human resource management policies, etc. 1.3. 所有由乙方保管或持有的档案、信件、备忘录、报告、记录、资料、草图、蓝图、检验记录、项目清单、或其它与甲方业务有关的书面、复制或有开的材料，无论是由乙方本人还是他人制作的，均是甲方的商业秘密，且只能由乙方在从事公司的工作时使用；All files, letters, memoranda, reports, records, data, sketches, blueprints, inspection data, list of projects kept or held by the Party B, or other business with the Party A concerned in writing, copy, or tangible material, whether himself or others by the production of B, Party As trade secrets are and only by Party B is engaged in the work of the company to use.1.4. 公司依照法律规定或者有关协议的约定，对外承担保密义务的其他事项。The external obligation includes other confidentiality and matters according to law or other agreements.1.5. 上述范围的信息，无论是书面或口头，有形或无形，物质或电子，图表或文字，图片或影像等等媒介承载编辑或记录的信息，并且无论是否标了“保密”字样，均是本协议中所说的“商业秘密”。The information of the above range , whether written or oral, tangible or intangible, physical or electronic, charts or words, pictures or video or voice records, or written to store, edit, or record of information, and whether or not marked “confidential”, are all trade secrets referred in this agreement. 2. 乙方的保密义务Article 2Party Bs Obligation of Confidentiality对于第一条所称的商业秘密，乙方承担以下保密义务：On the trade secrets of the Article 1, Party B will undertake the obligations of confidentiality as follows:2.1. 不得探究与本职工作或本身业务无关的商业秘密；No exploring trade secrets with unrelated to their business or their jobs;2.2. 不得向不承担保密义务的任何第三人披露甲方的商业秘密；No disclosing to any third no obligation of confidentiality Party As trade secrets.2.3. 不得允许（“允许”的行为包括但不限于：出借、赠与、出租 、转让、默许等等行为）或协助不承担保密义务的任何第三人使用甲方的商业秘密；No allowing (“Allowing” including but not limited: loan, grant, lease, transfer, tacit approval, etc) or assisting any third party no obligation of confidentiality using the Party As trade secrets.2.4. 如发现商业秘密被泄露或者自己过失泄露商业秘密，应当采取有效措施防止泄密进一步扩大，并及时向甲方报告；If Party B Finds trade secrets to be leaking or disclose trade secrets because of his own negligence, shall take effective measures to prevent further leakage, and timely report to Party A.2.5. 乙方不得利用所掌握的商业秘密谋取私利；Party B shall not use the available trade secrets for personal gain.2.6. 乙方不得将工作中获取或研制开发中的商业秘密据为己有，有关资料、图纸、样品、数据等一律归档，不得私自留存；Party B shall not be accounted for as trade secrets as his own obtained from work or research and development. The relevant information, drawings, samples, and data should be filed, not privately retained.2.7. 乙方离职前应把所有的商业秘密资料归还甲方，同时承担不向外泄露商业秘密的义务。When Party B leaves Party A, Party B should return all trade secrets to Party A. At the same time take the confidentiality of trade secrets obligations.2.8. 乙方保证在甲方处工作期间不在同类业务的公司或竞争对手处兼职、或担任董事、顾问、股东等职，或参与任何损害公司利益的活动；Party B guarantees: will not take part-time job or serve as directors, consultants, stockholder and other positions in the companies of similar business or competitors during the time Party B works in Party A or participate in any damage the companys interests.2.9. 未经甲方书面许可，乙方不得在受雇于甲方期间或离职后将上述商业秘密用于从事为甲方工作之外的目的。Without the written consent of Party A, Party B should not use trade secrets for any purpose other than Party A employees work during or after the time Party B will work in Party A.3. 竞业禁止条款Article 3Non-compete clauses 乙方承诺，在与甲方劳动关系存续期间及在劳动关系解除或终止后2年内，不得以任何形式，单独或以其他公司的名义与甲方进行竞争。所涉行为包括但不限于以下行为：During 2 years after Party B leaves Party A, Part B is forbidden any behaviors to compete with Party A. The behaviors including but not limited following:3.1. 自行经营与甲方同类且有竞争关系或其他利害关系的工作；Operate the similar line of business or competitive production as Part A by himself/herself or with others.3.2. 为经营与甲方同类营业且有竞争关系或其他利害关系的第三方工作；Work for the similar line of business or competitors of Part A3.3. 利用在甲方工作期间所掌握的技术秘密和商业秘密，向第三方提供技术或管理咨询；Provide confidential information or related suggestions to others. 3.4. 其他有可能损害甲方利益的行为。Other that might violate the interest of Part A4. 奖励及补偿办法Article 4Reward and Compensation 4.1. 作为对乙方履行本合同第二项保密义务的奖励，乙方在甲方工作期间，甲方向乙方奖励人民币 元/月，该奖励将于协议签订之日起满3年后发放（在此期间若乙方提前离开公司，无论是自动离职还是甲方解雇，都视为取消该奖励），该奖励需要按照国家相关法律缴纳个人所得税，公司会代为扣除。若乙方拒绝接受，甲方可根据保密需求调换乙方岗位或视为乙方辞职。 For Part Bs obligations on Article 2, Part A should reward Party B RMB per month and provide one-time payment after 3 years since this agreement signed. During this period, if Party B leaves Party A, whether Party B resigns or Party A dismisses Party B, this agreement will become effectiveness. All payment should be taxable and Party A will deduct that according to national law. If Part B refuses to receive, Party A may transfer Party Bs position according to requirements or dismiss Party B. 4.2. 作为对乙方履行本合同第三项竞业禁止业务的补偿，自乙方离开公司之日起2年内，甲方每月向乙方支付人民币 元。若乙方拒绝接受，仍视乙方愿意履行该义务。For Part B s obligations on Non-compete, Part A should provide RMB per month to Party B for 2 years after Party B leaves Party A. If Part B refuses to receive, it means Part B still agree to take the obligations.5. 违约责任 Article 5Responsibility of breach of contract5.1. 如果乙方不履行本协议的约定义务，应当承担违约责任，一次性向甲方支付违约金 元人民币；If Part B breaches this agreement, Part B should paid RMB as penal sum. 5.2. 如果因为乙方前款所称违约行为造成甲方的损失，乙方应当承担赔偿责任（如已经支付违约金的，应当予以扣除）；If any loss of Party A occurred due to Party Bs disobeying this agreement, Party B should be liable for the loss. (The paid liquidated damage should be deducted from the loss.)5.3. 前款所述损失赔偿按照如下方式计算：The indemnification for the loss thereof should be calculated as following:5.3.1. 损失赔偿额为甲方因乙方的违约行为所受到的实际经济损失，计算方法是：因乙方的侵权行为导致甲方的产品销售数量下降，其销售数量减少所导致的利润减少额;The indemnification should be equal to the total reduction of the profit of Party A due to Party Bs breach of agreement.5.3.2. 如果甲方的损失依照5.3.1款所述的计算方法难以计算的，损失的赔偿额为乙方因违约行为所获得的全部利益，计算方法是：乙方因违约行为直接获得的利益；Where the loss is hard to calculate according to the preceding section, the indemnification should be equal to the total income of Party B due to the breach.5.3.3. 甲方因调查乙方的违约行为而支付的合理费用（如律师费、调查费等等），应当包含在损失赔偿额之内；The investigation cost of Party A for Party Bs breach, including but not limited to Attorney fee and State fee should be included in the inde
