AGREEMENT协议This CONTRACT (hereinafter called the Contract) is made on the 28thday of May, 2016 between, on the one hand CHINA STATECONSTRUCTION ENGINEERING CORPORATION LIMITED (hereinafter called the Client which expression shall include the successors, legal representatives and permitted assigns) and, on the other hand, ASSOCIATED CONSULTANCY CENTRE (PVT) LTD. GENERAL PROVISIONS一般规定1.1Definitions定义Unless the context otherwise requires, the following terms whenever used in this Contract have the following meanings:除非上下文另有要求，本“合同”中使用的下列 名词具有下列含义：(a)Applicable Law means the laws and any other instruments having the force of law in the Islamic Republic of Pakistan, as those may be issued and in force from time to time;“适用法律”是指此在巴基斯坦伊斯兰共和国法律法规下具有的法律效应，在合同签署时，此法律法规将延续有效。(b)Contract means the Contract signed by the Parties, to which these General Conditions of Contract (GC) are attached, together with all the documents listed in Clause 1 of such signed Contract;“适用法律”是指此在巴基斯坦伊斯兰共和国法律法规下具有的法律效应，在合同签署时，此法律法规将延续有效。(c)Contract Price means the price to be paid for the performance of the Services, in accordance with Clause 6;合同价格” 是指在法规第6款规定，付款是根据服务的表现及性能。(d)Effective Date means the date on which this Contract comes into force and effect pursuant to Sub-Clause 2.1;有效日期”是指合同中的时间，期限将根据第2.1款 法规规定 生效及具有法律效应(e)GC means these General Conditions of Contract;“通用条款” 是指通用合同条款(f)Government means the Government of the Islamic Republic of Pakistan and/or Provincial Government(s).“政府”是指巴基斯坦伊斯兰共和国/或者是省政府(g)Foreign Currency means currency other than the currency of Islamic Republic of Pakistan.;“国外货币”是指除巴基斯坦伊斯兰共和国之外的货币(h)Local Currency means the currency of the Islamic Republic of Pakistan;“本地货币” 是指巴基斯坦伊斯兰共和国货币(i)Member in case the Consultants consist of a joint venture of more than one entity, means any of the entities, and Members means all of these entities;“成员”在本文中是指监理是由多个实体的合资企业组成，成员是指这些实体企业。(j)Party means the Client or the Consultants, as the case may be, and Parties means both of them;“当事人”是指客户或咨询公司人员，在案例中“当事人”是指他们双方人员。(k)Personnel means persons hired by the Consultants or by any Sub-consultants as employees and assigned to the performance of the Services or any part thereof;人事部门”是指人员被监理公司或子监理公司雇佣人员以及跟公司签订劳务合同。(l)SC means the Special Conditions of Contract by which the GC are amended or supplemented;“SC”是指合同中的特殊条款，它是对通用条款的补充或改进(m)Services means the work to be performed by the Consultants pursuant to this Contract, as described in Appendix A;“服务”是指咨询公司在合同规定中的表现，附录A中描述。 (n)Sub consultant means any entity to which the Consultants subcontract any part of the Services in accordance with the provisions of Sub-Clause 3.6; “子监理”是指任何的实体监理分包商，他们的服务是根据分条款3.6执行。(o)Third Party means any person or entity other than the Client, the Consultants or a Sub consultant; and“第三方”是指任何个人或者实体，不同于客户，监理或者子监理方(p)Project means the work specified in SC for which engineering consultancy services are desired.“项目” 是指在工程建筑服务的要求在特殊条款明确表述。1.2Law Governing the Contract法制合同This Contract, its meaning and interpretation, and the relation between the Parties shall be governed by the Applicable Law.此合同将根据文中的内容，解释，以及当事人之间的关系等 其具有相应的法律法规效应。1.3Language语言This Contract has been executed in the English language, which shall be the binding and controlling language for all matters relating to the meaning or interpretation of this Contract. All the reports and communications shall be in the English language.该合同中，应当与本合同的含义或解释以及所有事项的约束力和控制都以英语语言所执行。所有报告和通讯应以英文为主1.4Notices条款Any notice, request, or consent made pursuant to this Contract shall be in writing and shall be deemed to have been made when delivered in person to an Authorized Representative of the Party to whom the communication is addressed, or when sent by registered mail, telex, or facsimile to such Party at the address of the Authorized Representatives specified under Sub-Clause SC 1.6. A Party may change its address for notice hereunder by giving the other Party notice of such change.任何的条款，要求 ，或依据本条例作出同意合同应以书面形式，并须当人送到甲方的授权代表之前时作出决定，或当挂号邮寄，电传，传真，或在根据第SC 1.6指定的授权代表的地址发送给该方。缔约方可通过本协议项下给予这种变化的通知对方改变其地址的通知。1.5Location地址The Services shall be performed at such locations as are specified in Appendix A and, where the location of a particular task is not so specified, at such locations as mutually agreed by the Parties.该服务应在附录A所指明的地点，其中特定任务的位置没有指明 这种地点由双方共同约定1.6Authorized Representatives授权代表Any action required or permitted to be taken, and any document required or permitted to be executed, under this Contract by the Client or the Consultants shall be taken or executed by the Authorized Representatives specified in the SC.在本合同下任何行动的请求或请示将会被允许， 任何的文件的要求和请示也会被执行，本合同由委托方或监理方下应采取或通过的在特殊条款中指定的授权代表执行1.7Taxes and Duties税项和关税Unless specified in the SC, the Consultants, Sub consultants, and their Personnel shall pay such taxes, duties, fees, and other impositions as may be levied under the Applicable Law, the amount of which is deemed to have been included in the Contract Price.除非在特殊条款中有特殊规定，否则监理，分包监理，以及人事部门人员将要支付如税收，关税，费以及其他在法律法规下要强制支付的费用，其中所有的费用包含在合同价格里。1.8Leader of Joint Venture合资企业的负责人In case the Consultants consist of a joint venture of more than one entity, the Consultants shall be jointly and severally bound to the Client for fulfillment of the terms of the Contract and designate the Member named in the SC to act as leader of the Joint Venture, for the purpose of receiving instructions from the Client.如果监理方是由多个实体的合资公司,监理方应连带绑定到委托方履行合同的条款中。2. COMMENCEMENT, COMPLETION, MODIFICATION,AND TERMINATION OF CONTRACT2.1Effectiveness of Contract合同的生效This Contract shall come into force and effect on the date (the Effective Date) of the Clients notice to the Consultants instructing the Consultants to begin carrying out the Services. This notice shall confirm that the effectiveness conditions, if any, listed in the SC have been met.此合同将在委托人通知监理方开始服务即日期（生效日期）开始生效，该通知应确认有效性的条件，如果有的话，在特殊条款上给予补充。2.2Termination of Contract for Failure to Become Effective合同失效使其终止If this Contract has not become effective within such time period after the date of the Contract signed by the Parties as shall be specified in the SC, either Party may, by not less than twenty eight (28) days written notice to the other Party, declare this Contract to be null and void, and in the event of such a declaration by either Party, neither Party shall have any claim against the other Party except for the work (if any) already done or costs already incurred by a Party at the request of the other Party. 如果合同在双方签署之时段内没有生效须在特殊条款中指明，任何一方必须在28时间内天以书面形式来通知另一方，声明本合同时无效的。在这种被两者之一声明的情况下，任何一方除了已经被一方在另一方要求下已经完工或发生费用的工作外（如果有的话）有权对对方要求合法权利2.3Commencement of Services服务的开始The Consultants shall begin carrying out the Services at the end of such time period after the Effective Date as shall be specified in the SC.监理方， 开始监理服务 和监理服务到期时间会在特殊条款中阐述2.4Expiration of Contract合同的终止Unless terminated earlier pursuant to Sub-Clause 2.9, this Contract shall expire when, pursuant to the provisions hereof, the Services have been completed and the payments of remunerations including the direct costs if any, have been made. 监理方将要告知委托人相应的情况和可能产生的影响(b)The increase shall be regarded as Additional Services; and增加的相关服务作为额外的服务(c)The Client shall extend the time for Completion of the Services accordingly.委托人应为劳务的完成相应延长时间2.7Force Majeure不可抗力2.7.1Definition定义(a) For the purposes of this Contract, Force Majeure means an event which is beyond the reasonable control of a Party and which makes a Partys performance of its obligations under the Contract impossible or so impractical as to be considered impossible under the circumstances, and includes, but is not limited to, war, riots, civil disorder, earthquake, fire, explosion, storm, flood or other adverse weather conditions, strikes, lockouts or other industrial actions (except where such strikes, lockouts or other industrial actions are within the power of the Party invoking Force Majeure to prevent), confiscation or any other action by government agencies. 在本“合同”范围内，“不可抗力”系指发 生超出一个“合同方”合理控制范围的事件，致 使一个“合同方”不可能履行其在本“合同”项 下义务，或致使履行该义务变得不切实际以致可 合理地视为不可能；该等事件包括但不限于：战 争、暴乱、内乱、地震、火灾、暴雨、洪水或其 他不利的天气状况、罢工、停工或其他工业行动 （但触发“不可抗力”的“合同方”有能力阻止 该等罢工、停工或其他工业行动的情形除外）、 没收或政府机构的任何其他行动。(b)Force Majeure shall not include (i) any event which is caused by the negligence or intentional action of a Party or such Partys Sub consultants or agents or employees, nor (ii) any event which a diligent Party could reasonably have been expected to both (A) take into account at the time of the conclusion of this Contract and (B) avoid or overcome in the carrying out of its obligations hereunder.“不可抗力”不包括：（i）因一个“合同 方”或该“合同方”的“分包咨询顾问”、代理 人或雇员的疏忽或有意行动所导致的任何事件， 或（ii）审慎的“合同方”可合理预期以（A） 在缔结本“合同”时加以考虑并（B）在履行其 在本“合同”项下义务时避免或克服的任何事件。(c)Force Majeure shall not include insufficiency of funds or failure to make any payment required hereunder.“不可抗力”不包括资金不足或无力支付本 “合同”项下的任何款项2.7.2No Breach of Contract不违反合同The failure of a Party to fulfill any of its obligations under the Contract shall not be considered to be a breach of, or default under this Contract insofar as such inability arises from an event of Force Majeure, provided that the Party affected by such an event; (a) has taken all reasonable precautions, due care and reasonable alternative measures in order to carry out the terms and conditions of this Contract; and (b) has informed the other Party in writing not later than fifteen (15) days following the occurrence of such an event.如“不可抗力”事件致使一个“合同方”未能履 行其在本“合同”项下任何义务，不应视作违反 本“合同”或本“合同”项下的违约，前提是受 该事件影响的“合同方”（a）已采取所有合理 的预防措施、应有的谨慎及合理的替代措施，以 执行本“合同”的条款及条件，并且（b）已尽 快向“合同方”通知该事件的发生。2.7.3Extension of Time合同的延续Any period within which a Party shall, pursuant to this Contract, complete any action or task, shall be extended for a period equal to the time during which such Party was unable to perform such action as a result of Force Majeure. 合同方”依照本“合同”必须完成任何行动或 任务的期限应顺延一段时间，该段时间应等于该 “合同方”因“不可抗力”事件而无法执行该行 动的时间2.7.4Payments付款During the period of their inability to perform the Services as a result of an event of Force Majeure, the Consultants shall be entitled to continue to be paid under the terms of this Contract, as well as to be reimbursed for additional costs reasonably and necessarily incurred by them during such period for the purpose of the Services and in reactivating the Services after the end of such period. 在其因“不可抗力”事件而无法履行“服务”期 间内，“监理方”有权继续依照本“合 同”条款取得付款，并获偿“监理方”在该期 间内出于“服务”之目的以及在该期间结束后为 重新启动“服务”而合理及必要地发生的额外成 本。2.8Suspension of Payments by the Client由委托人停止付款The Client may, by written notice of suspension to the Consultants, suspend all payments to the Consultants hereunder if the Consultants fail to perform any of their obligations under this Contract, including the carrying out of the Services, provided that such notice of suspension (i) shall specify the nature of the failure, and (ii) shall request the Consultants to remedy such failure within a period not exceeding thirty (30) days after receipt by the Consultants of such notice of suspension.由于监理方任务不达标，没有履行在合同中规定的相应义务， 由委托方停止向监理方付款，（1）首先要说明清楚其事件 （2）应委托方要求在期限不超过三十天补救，收到委托方暂停通知（30 ）天内。2.9Termination终止2.9.1By the Client由委托方终止The Client may terminate this Contract, by not less than thirty (30) days written notice of termination to the Consultants, to be given after the occurrence of any of the events specified in paragraphs (a) through (e) of this Sub-Clause 2.9.1 and sixty (60) days in the case of the event referred to in paragraph (f): “委托方”可通过向“监理方”发出书面终止 通知来终止本“合同”；发生本第 2.9.1 条（a） 至（d）项规定的任何事件后发出通知的，应提 前至少三十（30）天发出通知；发生（e）项所 规定事件后发出通知的，可在发出通知后立即终 止；发生（f）项所规定事件后发出通知的，应 提前至少六十天（60）发出通知：(a) If the Consultants do not remedy a failure in the performance of their obligations under the Contract, within thirty (30) days after being notified or within any further period as the Client may have subsequently approved in writing;被通知后三十（30）天内或“委托方”之后 可能书面批准的任何延长期间内，“咨询顾问” 未对不履行其在本“合同”项下义务的行为作出 补救；(b)If the Consultants become (or, if the Consultants consist of more than one entity, if any of their Members becomes) insolvent or bankrupt or enter into any agreements with their creditors for relief of debt or take advantage of any law for the benefit of debtors or go into liquidation or receivership whether compulsory or voluntary;
