Verification System hereinafter referred to as the Solution shall mean all the required techniques to construct the general idea which will commit the attached technical requirements The Solution shall include all technical details of all designing schemes and experimental verification for key circuits 智能收发验证系统技术方案 以下简称 方案 是指设计满足附件要求的总体技术方案 所需要的 解决方案 该解决方案包括全部设计方案资料及关键电路验证技术资料 1 2 Technical documentations shall mean all the necessary documents to design the Solution and all the verification documents that Party B will use in designing the Solution 技术资料 指研发解决方案所必需的资料 包含乙方在设计方案的过程中 所使用的全部有关验证技 术资料 1 3 R 设计技术方案 2 Key circuits verification 验证关键电路 3 Detailed technical requirements see technique attachment 详细技术要求见技术协议附件 2 1 2 Technical Method and Strategy 技术方法和路线 1 Should adopt SOC and ASIC technology 采用 SOC 和 ASIC 技术 2 Should adopt the smart T R system to verify the key circuits 采用智能收发组件系统对关键电路进行实验验证 2 2 The obligations of both parties 双方义务 2 2 1 Party B shall submit the R 启动阶段 晶圆厂的选定 设计文件的获得 工艺文件的分析 计算机系统的建立 EDA 软件的租用 及购买 验证电路与整体方案设计思路的初步沟通 2 Design phase module division of chip principle design computer simulation layout design 设计阶段 芯片的模块划分 原理设计 计算机仿真 版图设计 3 Test phase primary test and consecutive test 测试阶段 初测及继续测试 2 Phase two Alter the Solution according to the first phase results and start second run 第二阶段 根据第一阶段测试结果对方案进行修改 同时配合总体设计进行修改 2 2 3With the both parties confirmation and on the request of Party A Party B shall provide technical guidance and training to the personnel designated by Party A or provide the technical service related in the fulfillment Solution after the Solution is qualified by the verification circuits 双方确定 乙方应在合同方案的关键电路验证合格后 根据甲方的请求 为甲方指定的人员提供技术 指导和培训 或提供与完成方案相关的技术服务 2 2 4 With the confirmation of the both parties within the validity of the Contract Party A shall 3 designate as Party A s project contact person Party B shall appoint as Party B s project contact person If any changes of the contact person occur one party shall inform the other party based on written materials in due time If one party fails to promptly inform the other party it shall be held responsible for any influence or damage caused by the untimely notification during the performance of the Contract 双方确定 在本合同有效期内 甲方指定 为甲方项目联系人 乙方指定 为乙方项目联系人 一方 变更项目联系人的 应当及时以书面形式通知另一方 未及时通知并影响本合同履行或造成损失的 应承担相应的责任 2 3 Delivery 交付 Party B shall deliver the contract Solution to party A in accordance with the contents as specified in item 2 2 2 of the contract 乙方应按本合同条款 2 2 2 规定的内容 将合同方案技术资料交付甲方 2 4 Assessment 技术秘密的使用权 归甲方所有 2 The right to transfer technical secret Owned by party A 技术秘密的转让权 归甲方所有 3 The method to allocated the relevant benefits Owned by party A 相关利益的分配办法 归甲方所有 2 5 3 The owner of the physical fixed property which were bought by Party B rights of equipments instruments procured with the funds of research and development is Party B 乙方利用研究开发经费所购置与研究开发工作有关的设备 仪器等实物固定财产 归 乙 方所有 2 5 4 With the both parties confirmation Party A has the right to utilize the research and development achievements provided by Party B in accordance with the stipulation in the Contract to make follow up improvement Thereby the new technologic achievements with the feature of substantial or creative technology progress and its right adscription shall be shared by Party A The detailed allocation of the related benefits shall be as follows Owned by party A 双方确定 甲方有权利用乙方按照本合同约定提供的研究开发成果 进行后续改进 由此产生的具有 实质性或创造性技术进步特征的新的技术成果及其权属 由 甲 方享有 具体相关利益的分配办如下 归甲方所有 2 5 5 After the accomplishment of the R 合同签订后启动费用 甲方支付乙方 8 万美元 4 2After the whole primary Solution provided by Party B is qualified Party A shall pay one hundred and twenty thousand dollars to Party B 乙方整个初步方案通过后 甲方支付乙方 12 万美元 4 3After selecting foundary Party A shall pay one hundred and fifty thousand dollars to Party B 选定晶圆厂后 甲方支付乙方 15 万美元 4 4After providing the design Solution and simulated results Party A shall pay three hundred thousand dollars to Party B 提供设计方案及模拟结果后 甲方支付乙方 30 万美元 4 5After providing verification circuits and qualified Party A shall pay eight hundred and seventy thousand dollars to Party B 测试电路提供后并验证了电路后 甲方支付乙方 87 万美元 Article 5 Infringements and Confidentiality 第五条第五条 侵权和保密侵权和保密 5 1 Party B guarantees that the Solution supplied by each party without any interference or charge from any third party In case of any interference or charge from a third party they shall be handled by each party and the third party the responsibility and loss either legally or economically shall be borne by party B 乙方保证所提供的总体方案不受任何第三者干涉和指控 如果发生第三者干涉和指控 则由乙方负责 同第三者进行交涉 并由其承担法律上和经济上的全部责任和损失 5 2 After termination of the contract term Party A shall still have the right to use the Solution and technical documentations to manufacture relevant products 在本合同终止后 甲方仍有权继续使用乙方提供的技术方案和全部技术文件进行相应产品的生产 Article 6 Guarantees and Claims 第六条第六条 保证和索赔保证和索赔 6 1 With the both parties confirmation either party breaches the Contract and thereby causes a standstill delay or failure in research and development work the responsible Party shall undertake the responsibility according to the following stipulations 双方确定 任何一方违反本合同约定 造成研究开发工作停滞 延误或失败的 按以下约定承担违约 责任 6 1 If Party A breaches Article 4 in the Contract the responsible party shall pay pursuant to the amount of ten percent 10 of the contract price methods for computing the amount of breach of contract damages and the compensation for losses 甲 方违反本合同第 4 条约定 应当 按合同总额的 10 赔偿支付 支付违约金或损失赔偿额的计 算方法 2 If Party B breaches Article 2 4 or 5 in the Contract the responsible party shall pay pursuant to the amount of ten percent 10 of the contract price methods for computing the amount of breach of contract damages and the compensation for losses 乙 方违反本合同第 2 4 或者 5 条约定 应当 按合同总额的 10 赔偿支付 支付违约金或损 失赔偿额的计算方法 6 2 As for the liability for risks involved in a failure or partial failure in research and development caused by insurmountable technical difficulties under the current technology and condition occurring in the process of performance of the Contact it shall be undertaken by the both parties in accordance with the following stipulations undertaking by both sides appointments appointments first Confirmed by both parties the technical risk stipulated in the Contact shall be assessed in the manner of acquirements of authority accepted The main content of the technical risk assessment shall include its existence scope degree loss and so on The technical risk assessment should have the following basic conditions 在本合同履行中 因出现在现有技术水平和条件下难以克服的技术困难 导致研究开发失败或部分失 败 并造成一方或双方损失的 双方按如下约定承担风险损失 双方约定承担 约定优先 双方确定 本合同项目的技术风险按 当事人认可的专家权威机构确认 的方式认定 认定技术风险的基本内容应 当包括技术风险的存在 范围 程度及损失大小等 认定技术风险的基本条件是 1 The technique mentioned in the Contract is difficult enough for the present technologic level 本合同技术在现有技术水平条件下具有足够的难度 2 Party B subjectively commits no fault and the failure of research and development is considered by experts as reasonable 乙方在主观上无过错且经认定研究开发失败为合理的失败 6 3 Once one party discovers that the situation is likely to cause a failure or partial failure in research and development the Discoverer shall inform the other party of the situation within five days and take appropriate measures to reduce losses If one party fails to inform the other party in due time and take appropriate measures and as a result the losses are aggravated the responsible Party shall bear the liability for the aggravated part of the losses 一方发现技术风险存在并有可能致使研究开发失败或部分失败的情形时 应当在 5 日内通知另一方 并采取适当措施减少损失 逾期未通知并未采取适当措施而致使损失扩大的 应当就扩大的损失承担 赔偿责任 6 4 In the performance of the contract the technology which is the object of a research and development has been made public by others including the form of patent One party shall notify the other party to rescind the contract within three days If one party fails to inform the other party in due time and as a result the other party losses occur the other party has right to claim compensation for its losses 在本合同履行中 因作为研究开发标的的技术已经由他人公开 包括以专利权方式公开 一方应在 3 日内通知另一方解除合同 逾期未通知并致使另一方产生损失的 另一方有权要求予以赔偿 Article 7 Taxes and Duties 第七条第七条 税费税费 7 Any tax relating to the implementation of the contract imposed shall be afforded by each party respectively 甲乙双方将各自承担所在国 地区 所应支付的税费 Article 8 Force Majeure 第八条第八条 不可抗力不可抗力 Force majeure shall refer to war flood fire typhoon earthquake and other accidents that both parties mutually agree as force majeure In case of force majeure the affected party shall notify by telex or cable the other party of the accident as soon as possible and send by registered air mail to the other party the evidence issued by the local government within 14 days from the accident if the implementation is affected by force majeure and the accident lasts for more than 20 days both parties shall hold friendly discussions as soon as possible with regard to the further implementation of the contract 人力不可抗力的因素 如战争 严重水灾 火灾 台风 地震 以及双方同意的其他人力不可抗力因 素 发生人力不可抗力的责任方应尽快将发生人力不可抗力事故的情况 在尽可能短的时间内 用电 传或电报通知另一方 并于事后 14 天内 以航空挂号信将有关政府当局出具的证明文件给另一方 予 以认证 因发生不可抗力而影响了合同的执行 如果事故延续 20 天以上 则双方应尽快通过友好协商 方式协商合同的进一步执行问题 Article 9 Arbitration 第九条第九条 仲裁仲裁 All disputes in connection with this Contract or the execution thereof shall be settled friendly through negotiations In case no settlement can be reached the case may then be submitted for arbitration to the China International Economic and Trade Arbitration Commission Beijing in accordance with its Arbitration Rules The arbitration shall take place in Beijing and the decision of the Arbitration Committee shall be final and binding upon both parties neither party shall seek recourse to a law court or other authorities to appeal for revision of the decision Arbitration fee shall be borne by the losing party 所有与此合同有关的争议应通过友好协商解决 若通过协商无法达成一致 此争议应提交中国国际经 济贸易仲裁委员会进行仲裁 仲裁应在北京进行 其结果对双方均有约束力 任何一方均不应向法院或 其他政府部门申请以改变仲裁结果 仲裁费由败诉方负担 Article 10 Effectiveness of the Contract and Miscellaneous 第十条第十条 合同的生效及其他合同的生效及其他 10 1 After this contract is signed by the duly authorized representatives of both parties both parties shall submit the contract to their governments or boards of directors for approval the date when the later party obtains the approval shall be taken as the effective date of the contract Both parties shall attempt to get the contract approval within 60 days from signing and notify by telex or cable the other party of the approval which is confirmed by the following registered air mail letter 本合同由双方代表签订后 双方分别向各自的政府或审理机构申请批准 以最后批准一方的日期为合 同生效日期 双方均应尽最大努力在 60 天内获得批准 并用邮件通知另一方 10 2 Any changes or amendments to the contract cause shall be mutually agreed upon by both parties and signed by duly authorized representatives Such changes or amendments shall be an integral 8 part of the contract and have the same force as the other clauses 本合同条款的任何改变 修改或增减 均需经双方协商同意后双方授权各自的代表签署书面文件 作 为本合同不可分割的一部分 与合同其他条款一样具有同等的效力 10 3 With mutual confirmation one party
