Arranger to the Borrower of a properly incorporated financial institution that will be prepared to provide the Borrower non depletion Credit facility for USD exclusively for enhancement of book value of the Borrower In consideration thereof the Borrower a agrees to pay a fee the Escrow Funds as defined herein to the Arranger via the Escrow Lawyer and b by way of further consideration the Borrower sophisticated financial transaction entered into between the Borrower and the Arranger Neither the Arranger nor the Escrow Lawyer are under any duty to advise the Borrower concerning the legality lawfulness possibility profitability risk efficacy safety prudence or business or common sense of any transaction upon which the Borrower may intend to enter in reliance upon the non depletion Credit facility The Arranger does not hereby give any warranty concerning the suitability or acceptability of the Bank Instrument for any purpose to which the Borrower may intend to put or attempt to put it to use The Arranger gives only the warranty that the SBLC will be delivered in the agreed form and that it is genuine and what it appears to be according to the face of the SBLC By executing this Agreement the Borrower hereby warrants that it is a sophisticated knowledgeable and experienced investor The Borrower further records and confirms that it has received from both the Arranger and the Escrow Lawyer a strong recommendation that it should seek and obtain suitable independent professional advice before entering Borrower Arranger Escrow Lawyer Agreement No Page 2 Of 19 into this encumbering the SBLC in any shape or form or drawing down or negotiating it upon maturity The term for which the non depletion Credit facility shall be available to the Borrower shall be for one 1 year and one 1 day from date stated on the SBLC In consideration thereof the Borrower agrees to pay to the Arranger the underlying charges and fees as set forth herein this Agreement 非耗尽信贷融资 应是一个设施 to submission of any claims under the SBLC are towards placement fees bank fees and any other consultancy fees payable to various parties only We shall not ask for any refund and any funds paid shall indemnity basis you may incur or sustain as a consequence of the submission of any claim or claims made by or our successor s in title or assign s under this SBLC whichever may arise from or in
