EMPLOYMENT CONTRACTArticle 1. TROIKA OPTOELECTRONIC Technology LIMITED agrees to employ An Bo whose passport number is _, to serve as its Chief Technology Consultancy. The two parties, in the spirit of friendship and cooperation, agree to enter into this Contract and fulfill the liabilities and obligations agreed herein.Article 2.The term of this Contract shall be 12 months, from Sep 10th, 2016 to Sep 10th, 2017. The probation period for Employee is 60 days. Within the probation period, in case Employer finds Employee incompetent to the tasks stipulated herein due to his health condition or professional capability, Employer shall be entitled to rescind this Contract without obligation to give Employee any liquidated damages or compensation.Article 3. Tasks of Employee1)Offer technical solution and professional comment for Employer2)Overcoming the challenge of process technology;3) Technology management and technology arbitration;Article 4Employer pay to Employee according to different work in US Dollar. The two parties will discuss and agree on lead time and criterion for each task, and the payment should be effected within 3 working days start from the date of accomplishment.Article 5. Liabilities of Employer:1) shall direct, inspect and assess Employees work.2) shall assign partners to assist Employee if necessary.3) Shall provide travel fees if business trip is needed.4) Shall enable Employee to enjoy the following Chinese holidays and festivals : New Years Day, The Spring Festival, International Labor Day, National Day and other statutory holidays and festivals stipulated by applicable laws and regulations.Article 6. Obligations of Employee:1) Shall abide by the laws and regulations of China.2) Shall abide by Employers working system and relevant management requirements; and shall accept work arrangement, operation direction, inspection and assessment made by Employer. Without consent of Employer, Employee shall not engage in other labor service irrelevant to Employer.3) Shall complete the tasks on schedule and guarantee the work quality.Article 7. Change, Rescission and Termination of the Contract :1) The two parties hereto shall comply with this Contract and, without the prior consensus between the two, neither party may alter, rescind or terminate this Contract.2) Upon mutual agreement between the two parties through consultation, this Contract may be changed, rescinded or terminated. Without mutual consensus, the two parties shall strictly comply with this Contract.3) Employer shall have the right to notify Employee in written to rescind this Contract in case of any of the following situations:a. Employee fails to execute this Contract or fails to fulfill any obligations under this Contract in compliance with the agreed manner, and Employee takes no corrective action after Employer advises Employee of the case;b. According to the diagnose of certain doctors, Employee fails to return to work after 30day sick leave;c. Employee materially breaches the working regulations of Employer;d. The personal information provided by Employee is proved untrue;e. Employee causes damagess or losses to Employer due to Employees gross misconduct;f. Employee violates any law or regulations of China.In case Employer proposes to rescind this Contract on the ground of any of the above situations, Employer shall have no obligation to pay any liquidated damages or economic compensation to Employee.4) Employee shall have the right to give a written notice to Employer to rescind this Contract in case of any of the following situations:a. Employer fails to provide necessary working conditions specified herein to Employee;b. Employer fails to pay the compensation to Employee in full on time.5) Neither party may terminate this Contract without proper reason. In case Employee terminates this Contract without proper reason, Employee shall apply for termination of this Contract in written at Employer one month in advance. Without Employers written consent, Employee shall continue to work for Employer as usual.Article 8. Liquidated DamagesIn case a party fails to perform this Contract or fails to fulfill any obligations under this Contract in compliance with agreed manner, it shall be deemed that the party breaches this Contract and the party shall pay a liquidated damages to the other at an amount of USD5000.00Article 9. This Contract shall come into force as soon as it is signed by both parties. Upon expiry date of this Contract, in case either party intends to extend this Contract, the party shall, 30 days prior to expiry date of this Contract, notify the other of his intention in written and a new employment contract may be entered into by and between the two parties through consultation. In case neither party notifies the other of intention of extension or either party disagrees to extend this Contract, this Contract shall automatically become null and void upon its expiry date.Article 10. ArbitrationShould there be any dispute arising from or in connection with execution of this Contract, the two parties shall settle the dispute through consultation or mediation as practical as possible.
