This Agreement is intended to allow the Parties to conduct business while protecting party as Confidential Information on the terms and conditions set forth herein.第一条 本协议中商业秘密指甲方不为公众知悉，能为甲方带来经济利益，具有实用性并经甲方采取保密措施的技术信息和经营信息 双方同意乙方保密义务包含上述内容及乙双方要求甲方提供的所有相关资料但不限于上述范围。1、Confidential Information as used in this Agreement shall mean all technical and business information that has been disclosed by party a (Discloser) to party b (Recipient) with clear label or designation of “confidential information, and is non-public and economically beneficial to party a. For purposes of this Agreement, the term “Confidential Information” shall also include, without limitation, all documents prepared by party a to party b.第二条 乙方在办理委托事项时必须遵守甲方规定的任何成文或不成文的保密规章、制度，履行与其工作相应的保密职责。甲方的保密规章、制度没有规定或者规定不明确之处，乙方亦应本着谨慎、诚实的态度，采取任何必要、合理的措施，维护其于工作期间知悉或者持有的任何属于甲方或者虽属于第三方但甲方承诺有保密义务的技术秘密或其他商业秘密信息，以保持其机密性。乙方承诺本次相关资料及报告仅限于在和甲方的商务合作中使用、披露。2、During the period of the confidentiality, Recipient agrees to comply with all Confidentiality Rules and Regulations of Disclosers, written or unwritten, and also agrees to maintain the Confidential Information received from Discloser in confidence.Recipient shall immediately give notice to Discloser of any deficiency or uncertainty of Disclosers Confidential Rules and Regulations which has come into Recipients knowledge and agree to assist Discloser in remedying any such deficiency or uncertainty with discretion and honesty in order to maintain the Confidential Information in confidence, whether from Discloser or from a third party to which Discloser has duty of confidentiality.Recipient shall agree that Confidential Information only be used during conducting business cooperation with Discloser.Recipient shall not disclose or make use of Confidential Information in other cases without the written approval of the Discloser.第三条 除了履行委托事务的需要之外，乙方承诺，未经甲方书面同意，不得以泄露、公布、发布、出版、传授、转让或者其他任何方式使任何第三方（包括按照保密制度的规定不得知悉该项秘密的乙方的其他职员）知悉属于甲方或者虽属于他人但甲方承诺有保密义务的技术秘密或其他商业秘密信息，也不得在履行委托事务之外使用这些秘密信息。3、During the period of the confidentiality, Recipient shall agree to maintain the Confidential Information received from Discloser in confidence and shall agree not to disclose、make public、release、publish、impart、assign such information of Discloser or of a third party to which Discloser has duty of confidentiality other than for the purposes of its business with Discloser to a third party, including employees of Recipient who should not be aware of Confidential Information according to the Agreement.第四条乙方办理委托事项接触、知悉的属于甲方或者虽属于第三方但甲方承诺有保密义务的技术秘密和其他商业秘密信息，承担如同任职期间一样的保密义务和不擅自使用有关秘密信息的义务乙方承担保密义务的期限为协议签署后三年。4、Recipient shall maintain in confidence and not make use of any Confidential Information received from Discloser or from any third party to which Discloser has duty of confidentiality after the termination of this Agreement and/or the termination of the business relationship between parties.This Agreement shall remain effective for three years, and shall come into force as from the date when both parties sign and stamp the company chop on this Agreement.第五条 甲方按照乙方的明确要求或者为了完成乙方明确交付的具体任务必然导致侵犯他人知识产权的，若乙方遭受第三方的侵权指控，应诉费用和侵权赔偿不得由甲方承担或部分承担。5、Discloser shall not undertake any or part of the litigation expense and intellectual property infringement claims in the case that Discloser acts according to Recipients explicit requirements or to fulfill specific tasks assigned by Recipient which results in the infringement act.第六条 乙方及乙方工作人员因职务上的需要所持有或保管的一切记录着甲方秘密信息的文件、资料、图表、笔记、报告、信件、传真、磁带、磁盘、仪器以及其他任何形式的载体，均归甲方所有，而无论这些秘密信息有无商业上的价值。但当记录着秘密信息的载体是乙方自备的，且秘密信息可以从载体上消除或复制出来时，可以由乙方将秘密信息复制到甲方享有所有权的其他载体上，并把原载体上的秘密信息消除。此种情况乙方无须将载体返还，甲方也无须给予乙方经济补偿。6、Discloser owns all documents、materials、diagrams、notes、reports、letters、faxes、tapes、disks、instruments and any other forms of carrier that include Disclosers Confidential Information that held or kept by Recipient and its employees with a specific need to know, whether such information is of commercial value or not.Recipient shall not return the carrier and Discloser shall not economically compensate Recipient on the condition that Recipient owns the carrier which contains Confidential Information and such information can be copied to other carriers owned by Discloser and be erased from the original carrier.第七条 本协议提及的技术秘密，包括但不限于：技术方案、工程设计、电路设计、制造方法、配方、工艺流程、技术指标、计算机软件、数据库、研究开发记录、技术报告、检测报告、实验数据、试验结果、图纸、样品、样机、模型、模具、操作手册、技术文档、相关的函电，等等。本协议提及的其他商业秘密,包括但不限于;客户名单、销售票据、广告、运货单据、行销计划、采购资料、定价政策、财务资料、进货渠道，等等。上述保密内容均由甲方采取相应的保密措施加以保护。7、Technical Information as used in this Agreement includes, without limitation, technical proposals, engineering designs, circuit designs, production methods, formula, process flow, technical indicators, software, database, R & D records, technique reports, test reports, laboratory data, laboratory results, drawings, samples, prototypes, models, moulds, operation manuals, technique documents, and correspondence.“Business Information” as used in this Agreement includes, without limitation, customer lists, sales bills, advertisements, delivery documents, marketing plan, purchasing information, pricing policy, financial documents and supply channels.Discloser shall protect above explained information in confidential with security measures.第八条 因本协议而引起的纠纷，如果协商解决不成，任何一方均有权提交原告所在地法院处理8、With respect to any issues, disputes, lawsuits or proceedings arising from or in connection with this Agreement, both parties shall irrevocably accept the jurisdiction of the country of plaintiff.第九条
