( 1) The main parts, consumption articles and components required for assembling will be sent in time to Guangzhou by Party A and if there is any shortage of, or damage to these parts and components, Party A shall be responsible for supplying replacements.装配所需的主要零件、消耗品及部件由甲方及时运至广州。如有零部件短少或破损, 甲方应负责补充替换。( 2 ) Party A shall pay Party B by opening an irrevocable L /C covering the full amount of assembling charges and costs of parts, components and consumption articles purchased in Guangzhou by Party B, one month before the shipment of the finished products concerned.甲方应于成品交运一个月前开出不可撤销的信用证以支付全部装配费和乙方在广州购买零件、部件和消耗品的费用。( 3) Party B shall complete the manufacturing of all transistor radios and effect shipment within the time mutually agreed unless some unforeseen circumstances beyond control have occurred.除不能预见的无法控制的情况外, 乙方必须在双方约定的时期内完成晶体管收音机的制造和交货任务。5. The Damage Rate of Parts and Components:零部件的损坏率:The damage rate of parts and components in assembling is 3%, and such a rate of loss of parts and components shall be supplied free by Party A. In case the damage rate exceeds 3%, Party B shall provide at its own expense for the excessive damage to parts and components needed for assembling.装配时的零部件损坏率定为3% 。这部分零部件应由甲方免费供给。如损坏率超过3% ,则其超过部分应由乙方自费补足。6. Parts and components supplied by Party A for transistor radios shall be assembled by Party B strictly according to the design specified by Party A without making any alteration.乙方将甲方供给的零部件装配成为晶体管收音机, 应严格按照甲方的设计, 不得变动。7. Technical Service: 技术服务:Party A agrees to dispatch technicians to Guangzhou to help training technicians of Party B at the request of the latter at any time and allows the said technicians to remain with Party B for inspection of finished products. In such a case, Party B agrees to pay monthly salary RMB ￥500 for each person. All other expenses (including round trip tickets) shall be borne by Party A.甲方同意在乙方提出请求时随时派遣技术人员到广州, 协助训练乙方技术人员, 并允许他们留在乙方检验成品。若出现这种情况, 乙方同意付给每人月薪人民币500 元。其他一切费用( 包括来回旅费) 均由甲方负担。8. Commodity: 商品:(1) Party A undertakes to supply in one shipment a complete set of Equipment for asparagus processing line, the details of which are shown in the attached List A.甲方保证整批供应芦笋加工全套设备, 细节详见附表一。( 2 ) Party B undertakes to compensate Party A for the contract amount by exporting in two lots 3, 000 cartons Canned Asparagus. Port of Shipment: 装货港:( 1 ) Yokohama, Japan ( for Equipment) 加工设备在日本横滨;( 2 ) Qingdao, China ( for Canned Asparagus) 芦笋罐头在中国青岛。5. Port of Destination: 目的港:( 1 ) Qingdao, China ( for Equipment) 加工设备到中国青岛;( 2 ) Yokohama, Japan ( for Canned Asparagus) 芦笋罐头到日本横滨。6. Terms of Payment: By reciprocal letters of credit支付条款: 用对开信用证。(1) Party B shall, within 15 days after signing this Agreement, establish in favour of Party A an irrevocable Bankers Acceptance L/C in payment for the Equipment, for an amount not less than J ￥22, 200, 000. 00, available by draft at 180 days sight. The irrevocable L/C will be effective only after receipt by Party B of a satisfactory reciprocal L /C opened by Party A for payment of the Canned Asparagus. After receipt of the irrevocable L/C, Party A shall effect shipment of the Equipment in time, provide the required documents according to Article 7 of this Agreement together with the draft at 180 days sight, and obtain its banks acceptance.乙方在签约后15 天内, 为加工设备开出以甲方为受益人的、不可撤销的、银行承兑的信用证, 其金额不少于2 220 万日元, 见票180 天付款。这份不可撤销的信用证, 只有在乙方收到甲方为芦笋罐头对开的信用证后才能生效。甲方在收到这份不可撤销的信用证后, 应及时装运加工设备, 提供本协议第七条所需的单证和180 天期的汇票, 以便取得他的银行的承兑。( 2 ) From the date of acceptance of the draft and not later than 7 days thereafter , Party A shall reciprocally establish in favour of Party B an irrevocable L/C in payment for the Canned Asparagus, for an amount not less than J ￥22, 200, 000. 00, available by sight draft. Guarantee of Quality: 品质保证:(1) Party A guarantees that the Equipment is made of the best materials with first class workmanship, brand-new and unused, and complies in all respects with the quality and specifications stipulated in this Agreement. The machinery shipments shall not be unpacked and the installation / test run of the said machinery shall not begin until the said personnel from Party B have arrived in Guangzhou; and only after the test run has proved the machinery operation successful and smooth, shall Party Bs duties be considered completed. Party A will put at the two specialists disposal . . . local fitters. The target time for installation and test run is 9 weeks. If the work is accomplished earlier, the specialists may return forthwith.
