Office Building Sale Contract (Contract No. Qing 1# 200931)Contractual Parties: Seller: Dongsheng Real Estate Developing Inc. of Guizhou Dongsheng Group Registered address: No.1, Building 1, No.1 Block, No.2# of Shifu east road, Kaili city Legal representative: Tang shaopingTel: 3829999 Postal code: 556000Buyer: Personal/ Legal representative Name: JoneNationality: America Address: No.60, Bejing west road, Kaili city Postal code: 556000 Tel:In accordance with Contract Law of the Peoples Republic of China, Law of the Peoples Republic of China on Urban Real Estate Administration and pertinent laws and regulations, the seller and buyer, based on equality, voluntariness and negotiated consensus, hereby conclude the following agreement on the purchase and sale of commodity house: Article 1 SpecificationThe office building purchased by the buyeris: Apartment B, Floor 16th, Building No. 1. It has steel concrete structure. The height per fllor is 3m, it has 26 floors over ground and 2 floors underground. The balcony of this office building is non-enclosed type. The floor area of this office building agreed in contract is totally 485.125 m2.Article 2 Charging Method and Price The seller and the buyer agree to calculate the price of this commodity house in the first method as follows: 1 in terms of floor area, the unit price for this commodity house is (Currency: RMB) 2534.6Yuan per square meter, and the total price is (RMB) 469,218 Yuan only.Article 3 Payment method and period The buyer shall make payment on schedule in the third method. 1) Make lump-sum payment 2) Make payment by installment 3) Other payment method Article 4 Term of delivery Prior to March 30th, 2010, the seller shall deliver the commodity house to the buyer for use in pursuant of relevant rules of state and local peoples government.Article 5 Buyers breach Liabilities for overdue payment When the buyer fails to make payment within the time limit agreed in this contract. Settle respectively (no accumulation) according to overdue days: 1) Where the payment is overdue within 30 days,the buyer shall pay the seller 0.1% of the payment overdue per day as penalty and this contract shall be performed continuously. 2) Where the payment is overdue over 30 days, the seller is entitled to cancel this contract and the buyer shall pay the seller 3% of the accumulated fund payable as penalty. If the buyer is willing to continue performing this contract, this contract may be performed continuously through the sellers consent, the buyer shall pay the seller 0.1%. if the payment is made by installments, the payment overdue shall be determined according to the difference of the amount payable subtracting the amount which has been actually paid in the same period. Article 6 liability of repair guarantee The seller shall bear corresponding liability of repair guarantee according to the commitments in residential quality guarantee since the date when this commodity house is delivered. Where any quality problem covered by the guarantee scope happens within the guarantee term, the seller shall perform the obligation of keeping the house in good repair. The seller doesnt need to bear the liability for the damage resulting from force majeure or not for the sellers sake. The seller may supply help in repairing and the repairing fee shall be paid by the buyer.Article 6 ArbitrationThe disputes incurred in performing this contract shall be settled by both parties upon negotiation; if the negotiation fails, settle it in second method as follows: 1. submit to arbitration committee for handling 2. file a lawsuit to peoples court in accordance with law. In case of unmentioned matters by this contract, both parties shall make agreements and conclude supplementary agreement. Article 7 AttachmentEach attachment to this contract has the same legal force with this contract. In this contract and the attachments thereof, the handwriting content in blank lines has the same legal force with the printing text. Article 8 This contract has 4 pages in total and has 4 copies with the same legal force. The detailed situation is as follows: The seller holds 1 copy, the buyer holds 1 copy, Kaili Housing Administration Bureau holds 1 copy, and bank holds 1 copy. Article 23 this contract takes effect upon date
