In order to clarify the Party Bs obligation of confidentiality and not-compete, both Parties make this confidentiality agreement according to the equality, voluntariness, fairness and good faith in Shanghai, P. R. China.双方确认在签署本协议前已经详细审阅过协议的内容，并完成了解协议各条款的法律含义。Both sides confirmed reviewing the contents of the agreement in detail and complete understanding the legal meaning of the provisions of the agreement before the signing of this agreement.一、保密的内容和范围Article One. Content and Scope of Confidentiality甲、乙双方确认，乙方应承担保密义务的甲方商业秘密范围包括但不限于以下内容：A, B both sides agreed, Party B should bear the obligation of confidentiality of Party A range of trade secrets, including but not limited to the following:1、技术信息：技术方案、制造方法、公式、成份、配方、试验结果、工艺流程、技术指标、计算机软件、数据库、试验结果、图纸、样品、技术文档、涉及商业秘密的业务函电等等；1、Technical Information: technical program, manufacturing methods, formulas, ingredients, formulas, test results, process, technical specifications, computer software, databases, test results, drawings, samples, technical documentation, commercial secrets, business correspondence, etc.；2、经营信息：营销计划、客户名单、产销策略、采购资料、进货渠道、定价政策、不公开的财务资料、管理诀窍、重大人事变动、公司对员工的考核制度等等；2、Business Information: marketing plans, customer lists, marketing strategies, procurement information, purchase channels, pricing policies, non-public financial information, management know-how, major personnel changes, the companys appraisal system for staff, etc.；3、所有由乙方保管或持有的档案、信件、备忘录、报告、记录、资料、草图、蓝图、实验室记录簿、项目清单、或其它与甲方业务有关的书面、复制或有形的材料，无论是由乙方本人还是他人制作的，均是甲方的商业秘密，且只能由乙方在从事公司的工作时使用3、All files, letters, memoranda, reports, records, data, sketches, blueprints, laboratory record book, list of projects kept or held by the Party B, or other business with the Party A concerned in writing, copy, or tangible material, whether himself or others by the production of B, Party As trade secrets are, and only by Party B is engaged in the work of the company to use.4、公司依照法律规定或者有关协议的约定，对外承担保密义务的其他事项。上述范围的信息无论是书面或口头，有形或无形，物质的或电子的、图表的、照相的或书写来存储、编辑或记录的信息；无论是否标注了“保密”字样。4、Company according to law or the parties of the agreement, the external obligation of confidentiality and other matters. Party Bs Obligation of Confidentiality对第一条所称的商业秘密，乙方承担以下保密义务：On the trade secrets of the Article One, Party B will undertake the obligations of confidentiality as follows:1、不得探究与本职工作或本身业务无关的商业秘密；1、No exploring trade secrets with unrelated to their business or their jobs；2、不得向不承担保密义务的任何第三人披露甲方的商业秘密；2、No disclosing to any third no obligation of confidentiality Party As trade secrets；3、不得允许（出借、赠与、出租、转让等处分甲方商业秘密的行为皆属于“允许”）或协助不承担保密义务的任何第三人使用甲方的商业秘密；3、No allowing (loan, grant, lease, transfer of trade secrets act punishment Party belong to allow) or assisting any third party no obligation of confidentiality using the Party As trade secrets；4、如发现商业秘密被泄露或者自己过失泄露商业秘密，应当采取有效措施防止泄密进一步扩大，并及时向甲方企业报告；4、IF Party B finds trade secrets to be leaking or disclose trade secrets because of his own negligence, shall take effective measures to prevent further leakage, and timely report to the Party A；5、乙方不得利用所掌握的商业秘密谋取私利；5、Party B shall not use the available trade secrets for personal gain；6、乙方不得将工作中获取或研制开发中的商业秘密据为已有，有关资料、图纸、样品一律归档，不得私自留存；6、Party B shall not be accounted for as trade secrets as his own obtained from work or research and development. The relevant information, drawings, samples should be filed, not privately retained；7、乙方调离甲方，应得到甲方的同意，并把所有的商业秘密资料移交甲方，同时承担不向外泄露商业秘密的义务。7、Out of Party A, Party B should obtain the consent of, and to transfer all of the commercial secrets of the Party, at the same time take the confidentiality of trade secrets obligations.8、乙方保证在甲方处工作期间未在同类业务的公司兼职，或担任董事、顾问等职，或者参与任何损害公司利益的活动。8、Party B guarantees he will not be part-time job or serve as directors, consultants and other staff in the companies of similar business during the time Party B will work in Party A or participate in any damage the companys interests.9、未经甲方书面许可，乙方不得在受雇于甲方期间或之后将上述商业秘密用于从事其作为甲方雇员的工作之外的任何目的。9、Without the written consent of Party A, Party B should not use trade secrets for any purpose other than Party A employees work during or after the time Party B will work in Party A. 三、竞业禁止Article Three. NON-COMPETE甲方从事的业务处于高度竞争状态，且充分依赖于甲乙双方间及与甲方客户间现在及未来的所有信息及动态之沟通与联络。对于乙方获知的甲方一些信息和动态即使在一时间段内尚未与甲方形成业务关系，乙方亦承诺在与甲方终止关系之后的五年内，不得以任何形式，单独或以其它公司雇员的名义与甲方进行竞争。The business of Party A is highly competitive and depends on information and actions that require the full involvement of Parties and Party As clients and contacts in current and future business actions. Also, some of the information and actions will not develop into a business relationship for a period of time after disclosure to the Party B. Therefore, the Party B agrees to NOT COMPETE with Party A in any form, individually or as an employee of another business enterprise, for a period of five years from the Party Bs relationship termination with Party A. 四、保密期限Article Four. Duration甲、乙双方确认，乙方的保密义务自甲方对本协议第一条所述的商业秘密采取适当的保密措施并告知乙方时开始，到该商业秘密公开时止。乙方是否在职，不影响保密义务的承担。Both parties confirm that the confidential obligation of Party B commences when Party B receives the confidential information and terminates when the confidential information is open to public. Whether Party B is or is not still a staff of Party A does not affect the confidential obligation.五、违约责任Article Five. Liability for breach甲、乙双方约定：Both parties agree that: （1）如果乙方不履行本协议第二条所规定的保密义务，应当承担违约责任，一次性向甲方支付违约金人民币 元；(1)If Party B fails to obey the confidential obligation provided in Article 2, Party B shall pay a liquidated damage equal to RMB to Party A. （2）如果因为乙方前款所称的违约行为造成甲方的损失，乙方应当承担违约责任（如已经支付违约金的，应当予以扣除）；(2)If any loss of Party A occurred due to Party Bs failure to obey the confidential obligation, Party B should be liable for the loss. (The paid liquidated damage should be deducted from the loss)（3）前款所述损失赔偿按照如下方式计算：(3) The indemnification for the loss thereof should be calculated as following:损失赔偿额为甲方因乙方的违约行为所受到的实际经济损失，计算方法是：因乙方的侵权行为导致甲方的产品销售数量下降，其销售数量减少所导致的利润减少额；a: The indemnification should be equal to the total reduction of the profit of Party A due to Party Bs breach of contract.如果甲方的损失依照款所述的计算方法难以计算的，损失赔偿额为乙方因违约行为所获得的全部利润，计算方法是：乙方因违约行为直接获得的利润额；b: Where the loss is hard to calculate according to the preceding section, the indemnification should be equal to the total income of Party B due to the breach. 甲方因调查乙方的违约行为而支付的合理费用（如律师费、调查费等），应当包含在损失赔偿额之内；c: The investigation cost of Party A for Party Bs breach, including but not limited to Attorney fee and State fee should be included in the indemnification.（4）因乙方的违约行为侵犯了甲方的商业秘密权利的，甲方可以选择根据本协议要求乙方承担违约责任，或者根据国家有关法律、法规要求乙方承担侵权责任。(4)Wh
