Both parties have con sidered various forms of jo int bus in ess en terprises for their bus in ess. c. Both parties desire

Party B shall provide these companies the consultant services regarding legal, audition, taxation, financial, risk management, accounting and other related areas. - In order to establish the inten sive ness bus in ess co-operati on. Party B shall pr

7、ovide all the bus in ess related docume nts, in formati on, legal acts and gover nmen tal in formatio n in XXXX for the refere nee of Party A. - Party B shall provide a systematic training course on XXXX bus in esses SOP (Sta ndard Operati on Procedure), XXXX law & Tax regulations and IIM Billing sy

8、stem for Party A employees. 二. 责任与义务 甲方 - 甲方根据乙方所提供的XXX业务进入标准、投资环境以及税收政策，为乙方推荐中国国内优质企业到 乙方公司开展业务。 - 提供中国公司在XXXX进行业务所需的所有文件。 - 确保中国公司文件的真实性、合法性。 - 负责乙方在中国业务各种文件的签署、解释工作。 - 协助乙方在中国展开相关业务的推广及宣传。 乙方 - 乙方将提供其相关项目的所有开展、管理及推广业务的资金。 - 甲方所推荐到 XXXX地区的企业，乙方须为其提供后续的经营、管理、法律法规咨询、会计及其他相关 的顾问服务工作。 - 乙方根据甲方在中国开展业务的

9、需要，提供一系列必要的宣传类资料，包含当地的税收政策、投资环境 分析、乙方公司的官方宣传材料等 。 乙方须向甲方特定人士进行XXXX当地业务的标准操作步骤 、政府法律/税则规定及IIM收费系统的培 训课程。 3. COMMUNICATION STRUCTURE For a better future bus in ess developme nt. 10、ti on excha nge. 三. 业务沟通交流机制 为了将来更佳的业务拓展，甲、乙双方须定时展开会议，进行业务发展的评估、流程及信息交流。 4. CONVENANT AGAINST REVEALING TRADE SECRETS No party shall, duri ng the continuance of the co-operati on relati on ship or for 5 years after its term in ati on by any means, divulge to any pers on not a member of both firms an

11、y trade secret or special in formati on employed in or con ductive to the co-operati on bus in ess and which may come to the both party kno wledge in the course of the co-operati on relati on ship, without the consent in writ ing of the other party, or of the other partyheirs, adm ini strators, or a

12、ssig ns. 四. 保守商业秘密的承诺 在甲、乙双方展开合作业务的存续期间或无论以何种方式终止合作业务后5年内，如果没有其他合伙人或 其继承人、管理者或受让人的书面同意，任何合伙人不得向非公司成员泄漏任何商业秘密或有官合作业务 采用或有助于合作业务的信息，在合作业务的运营过程中，该信息可能会成为合作双方的专有知识。 5. DURATION OF AGREEMENT The term of this agreeme nt shall be for 1 year, comme ncing on DATE, and term in ati ng on DATE, uni ess sooner t

13、erm in ated by mutual consent of the parties or by operati on of the provisi ons of this agreeme nt. 五. 协议期限 本协议期限为1年，从2011年x月x日开始到2012年x月x日结束，除非甲、乙双方同意或本协议条 款规定可终止该协议。 6. GOVERNING LAW The en forceme nt and in terpretati on of this agreeme nt shall be gover ned by the laws of THE PEOPLE REPUBLIC OF

14、 CHINA. 六. 法律适用 本协议的实施和解释适用于中华人民共和国法律。 7. RESOLUTION OF DISPUTES Any dispute arising out if or in connection with this Agreement, shall be governed and construed by the laws of the PEOPLE REPUBLIC OF CHINA in CHINA INTERNATIONAL ECONOMIC AND TRADE ARBITRATION COMMISSION, and shall be referred to an

15、d fin ally resolved by Chi na Beiji ng District Court, P.R.C. 七. 争议的解决方案及管辖 所有因履行本协议引起的，与之相关的或不能够通过协商解决的争议及纠纷，任何一方均可将争议提交中 国国际经济贸易仲裁委员会，并且依照中华人民共和国规定，在北京通过仲裁的方式进行解决。 8. PREVAIL OF LANGUAGE VERSION Any con tradicti on betwee n Chin ese and En glish versi on. Chin ese vers ion shall prevail. 八. 中文及英文版本间的效力 所有因中、英文版本引起的矛盾及争议，以中文版本为准。 9.
