5、务和职责,在雇主需要的时候,应随时为雇主提供。The Employer shall employ the Employee and the Employee shall serve the Employer in accordance withthe duties, functions and responsibilities set out in the duty statement annexed and marked Schedule A andany other duties, functions and responsibilities which are within the Em

24、n or entity who is a client of thebusiness, solicit or entice away any employee of the business, or assist any person from engaging in any ofthe conduct described above.知识产权与保密性PROPRIETARY RIGHTS AND CONFIDENTIALITY在雇佣期间以及离开公司以后的任何情况下,雇员都有义务对客户的信息保密。You are obliged to maintain the confidentiality of

25、 the businesss client s information during youemployment and after you leave the business under all circumstances.在未告知客户并得到其许可的情况下,雇员不得向他人泄露任何与客户及其业务有关的保密信 息,除非对象为审计师,或由法律或法庭指令授权。No confidential information regarding a client or their business should be divulged to any other personwithout the client

26、s knowledge and approval unless that disclosure is to the businesssauditors or it is authorized by legislation or by a Court order.未经有关合伙人的同意,不得销毁客户的公文、文件、档案(或其他机密材料)。A client s documents, papers or files (or other confidential materials) are not to be destroyed without theappropriate approval from

28、ce the business in a position where confidentiality may be jeopardised is not permitted unless youhave agreement in writing from the business.企业财产BUSINESS PROPERTY直至聘用终止,在受聘期间内,雇员可能使用或准备的所有客户名单、办公手册,有关流程的文 件或办公室的文件均归公司所有。All client s lists, office manuals, precedent documents or office documents of

30、iod ofNumber years after the termination ofemployment, either on your own account or for any other person or business, perform any tax, accounting,audit, financial, insolvency or consulting services for any client of the business as at the date of terminationof their services. 31、undertake, either on their own account or for any person orbusiness, not to solicit, interfere with or endeavor to entice away from the business any such client eitherbefore or after termination of their service.假如因为终止本雇用而导致本公司损失客户,且该客户被雇员本人或与雇员有股份或聘用该雇员 的公司挖走,雇员将按要求支付公司规定的违约偿金,金额相当于从违约之日起十二个月内企业 应付

32、的费用或 / 和应向客户收取费用的 数量 %。If by reason of a breach of this agreement any client is lost by the business and acquired by a staff memberor any business in which the team member has a proprietary interest or by which team member is employed,the team member will pay to the business upon demand by way of li

Contravention of any specific instructions or guidelines regarding the business scomputer system will be considered a very serious matter and grounds for termination of employment.7/ 8赔偿INDEMNITY雇员同意在违反或不

35、履行本协议规定的情况下,而给雇主造成的损失、伤害、花费和开支予以赔 偿;只要在协议所涉及的范围内,由雇员引起的任何第三方对雇主的诉讼、索赔和要求,也应由 雇员予以赔偿。The employee hereby agrees to indemnify the Employer and keep it indemnified from and against all losses,damages, costs and expenses suffered or incurred by the Employer by reason of any breach ornon-performance by t

36、he Employee of any provision of this Agreement and on the part of the Employee to beobserved and/or performed and from and against all actions, claims and demands which may be institutedor made against the Employer in any way consequent upon or arising out of or incidental to this Agreement.版权COPYRI
