4、务会谈，并准时向甲方供应其它竞争对手在此工程上的技术和商务信息。party b shall be responsible to introduce the commodities of party a on the project ofm/s stemcore, mesa dmmcc. dubai to a third party, and to coordinate betweenparty a and the third party about the technical and business discussion, and to provideparty a with technic

5、al and business information about the project.c一旦甲方在此工程与第三方签约，乙方应在甲方此工程执行过程中准时将第三方在此工程上的相应信息反应给甲方。当甲方与第三方在合同执行，在产品质量等级签订，交货等方面发生分歧时，乙方有责任对此进展协调。once party a sign a contract with a third party, party b shall be responsible for theproject related information notification to party a. if party a and the

6、 third party haveany disputes concerning the qualification grade or delivery of goods during thecontracting time, party b shall be responsible for the negotiation in between.2甲方的责任和义务responsibilities and obligations of party aa甲方按乙方供应的工程信息中涉及的产品，准时免费向乙方供应产品样本和产品技术方案或说明，以便乙方能有效的宣扬甲方的产品。party a shall

7、supply party b with the goods involved in the project, and supply party bwith product catalogues and technical plans or instructions for free, in order that party bcould advertise the commodities of party a effectively.b甲方负责挺直向用户供应设备技术和商务报价。party a shall be responsible for providing customer directl

8、y with commercial offer andtechnical support.c甲方负责与用户签约，并按合同规定按期供应合同产品。party a shall be responsible for signing the contract with customer, and supply thecontracting goods within delivery time.d甲方负责按本协议规定向乙方支付佣金。party a shall pay the commission to party b as per this agreement.3佣金的计算、支付方式、支付时间calcul

9、ation of commission, payment term, and payment timea佣金的计算calculation of commission佣金为合同发票金额的_3_。并且甲方在收到付款发票后十五天内根据比例支付乙方佣金。the commission shall be _3_% (three percent) of contract value.and party a shall pay the commission within 15 days of receipt of payment from thirdparty on prorate basis.b支付方式pa

10、yment term甲方将根据收到第三方所付款项占合同总额的比例，分批向乙方支付等比例的代理费。每批付款前，乙方需向甲方供应与甲方每批付款额等额的正式代理费发票。party a shall pay commission to party b as per his collection ratio. before payment,party b shall provide formal invoice of commission to party a.c支付时间payment time甲方在收到用户货款和乙方相应金额正式发票后两周内将佣金汇往乙方指定的银行账户。付款账号必需与发票上注明的账号收款

11、单位全都。party a shall pay commission as per invoice value to p arty bs account within two weeksupon receipt of formal invoice from party b. the payment account and beneficiary mustbe the same as that on invoice.4协议有效期duration本协议有效期从协议生效日起算，直到甲方完成合同收回全部货款，同时支付乙方全部佣金。this agreement shall be valid since t

12、he day when it entered into force till the contract is completed by party a and all payments are received by them and in turn all commission by party b.5协议的终止termination假设一方违约，双方当事人争取准时解决争议的问题以期双方满足。假如在违约方接到书面通知后30日内问题仍不能解决，非违约方将有权书面通知违约方中止本协议。in case there is any nonperformance and/or violation of

13、the terms and conditions under this agreement by either party during the effective period of this agreement, the parties hereto shall do their best to settle the matter in question as prompt and amicable as possible to mutual satisfaction. unless settlement is reached within thirty (30) days after n

14、otification in writing of the other party, such other party shall have the right to terminate this agreement.6不行抗力force majeure由于水灾、火灾、地震、干旱、战斗或协议一方无法预见、掌握、避开和克制的其他大事导致不能或临时不能全部或局部履行本协议，该方不负责任。但是，受不行抗力大事影响的一方须尽快将发生的大事通知另一方，并在不行抗力大事发生15天内将有关机构出具的不行抗力大事的证明寄交对方。不行抗力缘由消逝后，受不行抗力影响的一方应该尽快复原合同执行。either par

15、ty shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. however, the party affected by the event of force m

16、ajeure shall inform the other party of its occurrence in written form as soon as possible and thereafter sends a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. after disappearance of the force majeure, the affected party shall resu

17、me the implementation of the contract as soon as possible.7责任限制limitation of liabilitya乙方应严格遵守甲方随时赐予的任何指令，而且不得代表甲方做出任何担保、承诺以及订立契约、合同或作其他对甲方有约束力的行为。对于乙方违背甲方指令或超出指令范围所用的一切作为或不作为所造成的任何结果，乙方自行担当责任，甲方都将不担当任何责任。party b shall strictly conform to any and all instructions given by party a from time totime an

19、ibility.b乙方同意，甲方不担当基于产品责任上的、法律上的、补偿性的或其他基于合同上和法律上的赔偿乙方因此造成的无论何等性质的利润损失、收入、生意、资料、生产、时机、声誉、声誉或估计节省的或其他任何特别的、间接的、惩处性的或后果性的损失或损害的责任。party b agrees that party a shall not be liable in contract, and law under product liability,under statute, under an indemnity or otherwise, to compensate party b in relati
