3、购的在甲方产品中使用的乙方产品的甲方或甲方客户。buyer: party a or party a s client who place order to party b to order party b s product which product is designed in party a s product by party a. 2 协议目的purpose 甲乙双方都希望通过忠实的合作，建立、发展和保持一个长期的战略合作关系来达到提高产品质量、 降低产品成本和缩短产品进入市场的周期的目的。因此，双方通过友好协商签订本协议。both parties wish to keep a lo

6、低。party b commit the party b s product quality can meet party a and buyer s design and production requirement. party b will be responsible for party a and buyer s any cost due to party b s product quality issue. party b will take effective action to minimize the party a s lose. ii.乙方承诺提供给甲方及采购方的价格在同

7、类同质的产品中具有竞争力。party b commits to provide competitive price to party a and buyer. iii.乙方承诺为采购方提供充足的供货。乙方不会因为乙方的原因而出现供货不足的问题。在供货短缺的情况下乙方将采购方的定单放到前三位的优先等级，优先保证采购方的供货。party b commits to provide enough products to buyer. party b will put buyer as the first 3 priority customers if there is supply shortage.

8、 iv.乙方承诺提供给甲方及采购方在甲方产品的设计和生产过程中的优质及时的服务、技术支持，以保证甲方和采购方的设计及生产的顺利进行。party b commits to provide just in time service and technical support to party a and buyer during the party a s product s design and production. v.任何由于乙方的品质、 交期、价格及服务不能满足采购方要求的情况乙方除了要承担相应的责任以外还会极大地影响乙方产品在新的甲方产品中的使用比例。届时，甲方会及时通知乙方采取必要的

9、措施来进行改善和减少损失。if party b s product has quality issue, delivery issue, and service issue party b will take all related responsibility and it will impact party b s product design in percentage. party a will inform party b to improve and reduce the lose.4 设计费design in fee a)乙方以已经收到的采购方的货款（不含增值税）为依据，将其中的

14、oth parties need to be settled by hong kong arbitrage international. 7 协议的生效、更改、有效期effective date, modification, expiration a)此协议一式两份。双方各执一份。两份具有同样的法律效力。this agreement has two original copies. each party keep one original copy. the two copies has the same force and effect. b)此协议从双方签字盖章之日起生效。this agr
