1、委托设计研发协议甲方 * 集团（以下简称“EEG” ） 与乙方 *nc. （以下简称“SF”）就在此合同第一段所述的业务达成委托协议，该业务具体包括“AAA和BBB”品牌的服装的生产、加工和销售，以及该品牌服装 装饰和任何相关的配饰。“AAA和BBB”是由EEG在中国市场经营。根据本协议，当事人双方同意通过增进双方的知名度和商业信誉在中国市场上推广AAA 和 BBB 品牌，从而达到共赢的目的。1. 委托雇佣范围为了能够使EEG 顺利运作，EEG 应当将以下的业务委托给SF， SF同意接受此委托并忠诚地履行相关义务；1 ） 服装设计（ i ） 按如下设计产品（于第一季度生产成品）70 种样式的上

2、衣和裤子（35 种为 AAA ， 35 种为BBB）（ ii ）针对新消费者（35-50 岁）为 AAA 和 BBB 设计品牌标志2 ） 任何与以上业务相关的业务2业务移交为了上述条款中的业务的顺利完成，SF应当按照以下内容行事。原则上每季度应带AAA 和 BBB 设计组到往中国三次第一次会见：针对概念和季度的颜色第二次会见：针对设计 第三次会见：针对样品核查第一次会见：原则上，设计指导Ms. Matsumura将与SF设计组 参加会见。第二、第三次会见：SF 设计组将参加会见。3款项，付款日期和付款方式1） EEG 应当就委托业务支付以下的委托费用。 年度委托费：45， 000， 000YE

3、N（ AAA 和 BBB）以上数值是扣除EEG 在中国汇款给SF 所应缴纳的预提所得税（如果有）后的净数值。若要缴纳预提所得税，则年度委托费将自动增加从而使扣除所缴税后的净数值等同于以上数值。 支付方式：年度委托费将被分为12 次支付，EEG 应当在每月最后的银行工作日将款项支付给SF。 EEG 将承担每次付款所涉及的其他费用。首次支付将于2000年 1 月 21 日起。2） 原则上， EEG 应当负责SF 所有的开销和安排，例如与本委托协议相关的差旅费。若 SF 提前支付了此费用，EEG 应在 SF 理算后要求时偿还实际的费用。并且， EEG 在安排航班和住宿时，将根据相应的级别安排；当事人

4、双方明确出发地或者是日本东京或者是意大利米兰，这取决于参加在此第二段所述会晤的成员的所在地。为Ms. Matsumura提供的航班：商务仓 酒店：四星或以上质量 为 <SF 设计组>设计师提供的航班：经济仓，可调换时间。酒店：四星或以上质量4. 协议有效期本协议有效期为两（2）年，自2000 年 1 月 21 日起至 2001 年12 月 30 日止。有效期将自动延续两（2）年，除非一方当事人在本协议有效期满前至少三（3）个月通知对方当事人不再延续协议。本条件同样适用于之后的期限。本协议的有效期将延续以上时间，若协议的履行应为国家政策规定、动乱、战争、自然灾害、罢工、火灾以及其他当

5、事人不可抗力的原因而中止。5. 保密义务1） EEG 和 SF 作为执行者将谨慎处理任何所有另一方提供或披露的信息（包括由获取方所得到的信息产生的次级信息）（以下简称“机密信息”） ，并且，未经披露方书面同意，获取方不得将机密信息披露或泄露给第三方，也不得基于以下目的适用机密信息2） EEG 应当保证不将受委托的设计组为以下品牌提供设计的事 实公开。3） 在没有对方当事人同意的情况下，EEG 和 SF 都不得利用任何由本协议而建立的私人关系，除非是为了履行本协议。6 .协商若双方当事人因本协议中未涉及的事项发生争议，或因对本协议的条款的解释发生争议，双方应通过协商解决争议。7 .适用的法律、语

6、言和争议管辖权本协议将受日本法律管辖。日语是本协议的原本和官方语言，出现任何有关语言问题的争议，以日语为标准。双方当事人同意东京地方法院将对任何相关的第一审诉讼以及其他与合同相关的诉讼有专属管辖权。双方当事人就此签订协议的原件复印件达成协议，协议原件EEG和SF双方各保留一份。Business Entrustment Agreement* Group. Under this agreement, both parties agree to promote

8、AAA 和 BBB business in a CHINA market through maintaining, improving both parties prestigious position and businesscredit so as to develop the mutual prosperity.1. Scope of CommissionIn order to contribute to smooth enterprise management of EEG , EEG shall entrust to SF the business described below,

9、and SF agrees to accept such entrustment and to accomplish its obligations in sincerity;1 ) Wear Design(i) Designs of products as follow (Productized in 1 season)Tops and Pants 70 patterns (35 patterns forAAAand 35 patterns forBBB)(ii) proposition of brand image of AAA 和 BBB towards new customers (A

10、ge35 50') s2 ) Any business that relates to the above.2. Performance of ConsignmentSF shall conduct for the accomplishment of the business in the preceding clause as follows.To visit CHINA three times a season in principle for the meeting with AAA 和 BBB design teamFirst Meeting ： For concept, Se

11、ason ColorSecond Meeting： For designThird Meeting ： For sample check*First Meeting : Creative Director, Ms. Matsumura shall attend the meeting with < SF Design Team > in principle.*Second, Third Meeting: < SF Design Team> shall attend the meeting.3. Fee Amount, Due Date and Method of Pay

12、ment1) In consideration, EEG shall pay SF the following consignment fee of the commissioned business. Annual Commission Fee ：45,000,000 YEN (AAA 和 BBB)The above amount is the net amount after deducting the withholding tax (if any) imposed in CHINA when remitting to SF from EEG. When the withholding

13、tax is imposed, the annual commission fee is automatically increased so that the net amount after the deduction of the withholding tax becomes equal to the amount of the above. Payment Method ： annual commission fees shall be divided by twelve and EEG shall pay to SF until the end of the bank busine

14、ss day of every month. EEG shall bear the service charge at every payment. The first payment starts from Jan 21th, 2000.2) In principle, EEG shall be responsible for any expenses and arrangements incurred by SF such as SF s travel expenses which are related to this entrustment agreement. Also, if SF

15、 pays in advance, EEG shall reimburse to SF the amount of actual expenses based on the claim of SF at the later adjustment.Also, when EEG arranges the airplane tickets and lodging, the rank will be as followed;Both parties understand the departure cities are either Tokyo in Japan or Milan in Italy d

Period of agreementThe term of this agreement shall be for two (2) years commencing on Jan 21 th, 2000 and ending on Dec 30th, 2001.2) The term shall be automatically renewed for another two (2) years, unless either party notifies the other party in writing at least thr

18、ee (3) months prior to the expiration of this agreement of its intention not to renew this agreement. The same shall apply for subsequent periods.3) The term of this agreement shall be extended for such amount of time as the event that the performance of the Agreement is disrupted by government ordi

19、nance, riot, war, natural disaster, strike, fire or other causes beyond the reasonable control of the parties.5. Confidentiality Obligation1) EEG and SF shall manage cautiously any and all information (including secondary information derived from information received and processed by the receiving p

20、arty) which is provided or disclosed by the other party (hereinafter the“ Confidential Information " ) as a good adminiand shall not disclose or divulge the Confidential Information to any third party without written consent of the disclosing party, nor use for any purposes other than for the p

21、urposes contemplated hereunder2) EEG shall promise not to make it public the fact that the design teams who are entrusted the design consignment have provided own designs to the following brands.3) ) Without any consents of the other party, neither EEG nor SF shall use any personal relationships established through this agreement except for performing its obligations under this agreement.6. ConsultationIf any dispute arise between the parties hereto with respect to matters not provided for in this agreement or with respects to interpretation of the
