2、ope of Ordered P roducts:1、产品品名：1. P roduct n ame:2、产品规格按照甲方订单要求生产。's specific orders.2. Sp ecificati ons shall be subject to Party A二、订单交期：II. Delivery Period:1、甲方向乙方提交订单，明确订单产品的名称、规格、型号、颜色、工艺、数量和交货时 间等，乙方如有异议，应在接订单后1-2个工作日内提出，否则作确认订单处理；1. Party A shall place orders to Party B, specifying the n

3、ames, specifications, types, colors, p rocess, qua ntity and date of delivery of the ordered p roducts. Party B shall make object ion s, if any, withi n 1-2 bus in ess days after receivi ng of the orders; otherwise, such orders shall be deemed con firmed;2、乙方应按确认的订单生产并按甲方的要求提供产品，在特殊情况下甲方可视具体情况对 订单在生

4、产中进行相应的调整。2. Party B shall orga nize the p roduct ion accord ing to the con firmed orders and supply p roducts at P arty A' srequireme nts. Party A may adjust releva nt orders in pro cess in terms of sp ecific circumsta nces.三、订购产品质量要求III. Quality Requirements1、乙方严格按甲、乙双方确认的样品进行生产，产品质量必须符合客户的确认要

5、求；1. Party B shall orga nize the p roduct ion strictly subject to the samples con firmed by the P arties. The p roducts supp lied must conform to the quality requireme nts con firmed by the clie nt;2、乙方生产的产品如在交付后，因产品不符合甲方订单的要求，乙方应承担甲方损失的赔 偿责任；2. Party B shall be respon sible for losses to Party A as

6、 a result that the p roducts delivered cannot meet Party A ' s orders;3、乙方交付的产品如在交付后，因化学品超标等品质问题而导致甲方利益受损时，经双方 鉴定属乙方责任的，乙方应承担甲方损失的赔偿责任。3. In case of losses of Party A' sinterests arising from quality problems, such as excess of sta ndards for the chemicals contained in the delivered p roduct

7、s, which is con firmed due to reas on attributable to P arty B, Party B shall make compen satio n to P arty A.(1)订单产品的投诉赔偿问题，甲方可以先行赔付第三方，第三方签收确认，由乙方承担 赔偿；(1) In case of complaints and claims about the ordered p roducts, Party A may make compen sati on to releva nt third persons, who shall make con f

8、irmatio n with sig nature, thereafter, P arty B shall make compen sati on to P arty A.四、订单生产约定及货款支付方式IV. P roduction and P ayment Terms1如非甲方准许乙方不得将订单转发第三方加工；'s permission;1. Party B may not transfer any order to any third p erson, except with Party A2、甲方应按双方约定的方式和时间在确认对帐单后支付订单货款；2. Party A shall

9、 make p ayme nt for the orders accord ing to the p ayme nt methods and schedule after confirming the stateme nts;3、订单货款支付方式：3. P ayme nt terms:30天、60天、90天形式支付货款；A shall make payment乙方每月按约定时间提交对帐单，甲方视情况分别以P arty B shall submit a stateme nt on schedule every mon th. Partyresp ectively on the 30-day, 6

10、0-day and 90-day basis.V. Delivery, Acce ptance and P acking1、交付地点及运输： 费等均由乙方承担；1. Place of delivery p lace desig nated by乙方需将交付的产品送到甲方指定地点，物流运输费、包装费、卸货五、产品交付与验收及外包装and transportation: Party B shall cause the products to be delivered to the Party A, and freights, p ack ing costs and han dli ng costs

11、 in curred therefromshall be for the acco unt of Party B;2、交付时间：以甲乙双方确认的订单交付时间为准；2. Date of delivery: subject to the con firmed orders;3、 产品检验：乙方出货前必须100%检品。甲方收货后抽检，如发现品质问题，乙方必须马上免费重新生产或者补充生产订单，并在甲方规定的时间完成交货，如有任何损失乙方必须全额赔偿；3. Insp ecti on: Party B shall inspect each and all p roducts before delivery

12、. Party A shall make spot inspection upon receipt. In case of quality problems, Party B must immediately organize re-productio n or add orders and make delivery within the p eriod desig nated by P arty A. I n case of losses, Party B must make compen satio n in full amount;4、外包装用双方确认的方式。4. Pack ing s

13、hall be subject to the con firmed methods.六、协议的终止VI. Termination1本协议在双方终止合作后自然终止；1. The Agreeme nt shall be term in ated automatically once the coop erati on betwee n the Parties is closed;2、本协议因合法解除而终止；2. The Agreeme nt shall be term in ated due to legal rescissi on;3、本协议因甲乙任何一方破产、注销或被吊销营业执照而终止；3.

14、The Agreeme nt shall be termi nated if either p arty hereto becomes in solve nt, is revoked or causes its bus in ess lice nse can celed;4、本协议因不可抗力导致合同不能继续履行而终止。4. The Agreeme nt shall be term in ated if it cannot be con ti nu ally p erformed as a result of force majeure.七、不可抗力VII. Force Majeure不可抗力事

15、件发生时，双方应立即通过友好协商决定如何执行本协议。不可抗力事件或其影响终止或消除后，双方须立即恢复履行各自在本协议项下的各项义务。如不可抗力及其影响无法终止或消除而致使合同任何一方丧失继续履行合同的能力，则双方可协商解除合同或暂时延迟合同的履行，且遭遇不可抗力一方无须为此承担责任。当事人迟延履行后发生不可抗力的，不能免除责任。In case of any force majeure, the P arties shall decide how to p erform the Agreeme nt immediately through frien dly n egotiati on. Upo

16、n term in ati on of the eve nt or elim in ati on of its effect, the P arties shall immediately p erform their resp ective obligati ons here un der. Where the event and its effects cannot be term in ated or elim in ated, which further results that either party loses the cap ability of continual perfo

17、rmanee of the Agreement, the Parties may negotiate about rescission of the Con tract or exte nsion of the term hereof, and the affected p arty n eed assume no liability therefor; however, the affected p arty may not be exe mp ted from the default liability if the event occurs after its late p erform

18、a nee.八、特别约定VIII. Sp ecial P rovisions甲乙双方合作必须建立在双方保密原则上，任何一方不可对外泄露对方的合作品牌、价格等合作信息。The coop erati on betwee n the P arties shall be on the con fide ntial basis. Neither party may disclose the other party' s information about cooperation brand and price.九、违约责任IX. Default Liability1、乙方逾期向甲方交付产品的，每

19、逾期一天，应按该产品价格总额的日千分之5向甲方支付违约金，逾期超过7日的，甲方有权解除本协议。乙方须赔偿交期延误的全部损失；1. Where P arty B makes late delivery to P arty A, it shall pay Party A the pen alty at a daily rate of 0.5% of total price for the p roducts concern ed; in case of late delivery more tha n 7 days, Party A shall have the right to resc ind

20、 the Agreeme nt, in which case Party B shall compen sate for all losses to Party A aris ing from late delivery;2、乙方所交付的产品经双方共同确认有质量问题的，在甲方的认可下乙方应按照质量问题 的严重程度合理选择修理、更换或承担赔偿所有经济损失的责任。2.
