独家代理协议

1、供货公司（厂）：光电有限公司（以下称甲方）Party A Supp lier (Factory) :?O ptoelectro nic Co.,Ltd代理公司（厂）：（以下称乙方） Party B Age nt （Co mpany）:、委任 Appointment乙方甲方指定乙方为其独家代理，为第二条所列商品和第三条所列区域的顾客中招揽订单,接受上述委任。P arty A hereby appoints Party B as its Exclusive Age nt to solicit orders for the commodity sti pu late in Article 2 fro

2、m customers in the territory st ipu lated in Article 3, and Party B acce pts and assumes such appoin tme nt.二、代理商品 Commodity 1、独家代理权 Exclusive Right2、乙方同意，在本协议有效期内从上述代理区域内的顾客处招揽的上述商品的订单价值不低于？。P arty B shall un dertake to solicit orders for the above commodity from customers in the above territory du

5、l supply p roducts as a pen alty , and kee ps the right to p ersue the respon sibility of Party B, in cludi ng but not limited to any econo mic losses caused by recovery.四、商情报告Market Report为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场当地市场发展趋势报告，内容包括与本协议代理商品的进口与销售有关的地方规章的变动、以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。

6、 乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。In order to kee p P arty A fully un dersta nd the p revaili ng market con diti ons, Party B should un dertake to supply Party A, at least once a quarter or at any time whe n n ecessary, with market reports concerning cha nges of the local regulati on s, localmarket tende

8、 Expen ses乙方负担本协议有效期内向甲方提交所用于广告的声像资料，供甲方事先核准。P arty B shall duri ng the validity of this agreeme nt submit to P arty A all audio and video materials inten ded for advertis ing for p rior app roval .六、代理期限和保证金Validity of Agreeme nt and margins collateral1、本协议经有关双方如期签署后生效，有效期为1年，除非作出相反通知，本协议期满后将延长12个月

10、于本合同签字生效之日起 7日内汇达甲方指定账户。如逾期未能汇达，甲方有权单方解除本合同。In order to make sure that P arty B holds the exclusive distributi on rights withi n the market ing territory duri ng the valid dep osit to Party B with in 7 days after sig n this agreeme nt. Party B that exceed the time limit fails to tran sfer, P arty A

11、has the right to do un ilateral term in ati on of the con tract .七、货物供应、运输与货款支付P roduct supply, shi pping, payme nt1、乙方应提前15天提交书面订货计划（传真或电子邮件），以便甲方有足够时间备货。P arty B should put in the order plan ( by Fax or email ) 15 days in adva nee , so thatP arty A has eno ugh time to prepare the p roducts.2、乙方提交订

12、货计划后 15天内，甲方得到确认后，乙方须在10个工作日内将货款汇致甲方所指定的帐户里，如在10个工作日内未收到货款，甲方有权把此订单视为无效。P arty B submits the order withi n 15 days , Party B con firms the order . Party B n eed't been transferred , Party A hasto tran sfer the p ayme nt of p roducts to the Bank Acco unt the Party A appoints with in 10 days . Aft

13、er 10 days , the p ayme nts has n the right to regard the order as in valid one .3、甲方应在收到货款后在双方协商后的7 - 15工作日提供产品。After receive the p ayme nt , P arty A should delivery the p roducts withi n?15 ?workdays un der the con sultati on of both p arties.4、甲方负责将货物运达乙方指定地点，运输工具由双方协定后再做决定，不得善自决定。P arty A takes

14、 charge of shipping the p roducts to the appoin ted p lace by P arty B , the mea ns of transport is con sidered un der the mutual agreeme nt , can not do it without authorizatio n .八、品质保证Guara ntee for Products Quality货物验收以双方确认的样品为准，如对质量有异议，买方应自产品收到之日起三日内书面告知卖方并保持货物完好，对产品安装使用后出现的质量问题，在产品质量保证期内，卖方只负责

15、维修或更换所供应产品外，不承担任何其他责任。That the check and acce pt the delivered goods is the basis of the con firmed samples by both p arties . If there is object ion of quality , the Buyer should inform the Seller in written form and kee p in tact the p roducts within 3 days after the Buyer receive the p roducts .

16、About the quality-p roblem after in stallatio n , with in quality guara ntee p eriod of p roducts , the Seller is only respon sible to maintain or cha nge the supp lier p roducts , not bear others .九、违约及合同解除 Breach and term in ati on of the con tract1、双方应严格按照合同执行，遇到有分歧的情况，应友好协商，达成新的一致意见，并形成补充合同，与本合同

17、具有同等效力。Both P arties should be strict accorda nee with the agreeme nt and carry out . If there is a disagreeme nt , both P arties should con sult frien dly and reach a new agreeme nt , furthermore form suppl eme ntary agreeme nt with the same efficacy as thisAgreeme nt .2、在合同有效期内，双方中任何一方，由于以下原因造成违约时

18、，另一方可以解除合同。During the term of this agreeme nt , any Party who breaches the con tract caused by follow ing reas ons , the other Party can term in ate the con tract .(1 )如乙方对代理区域内的客户疏于管理或其它原因导致给甲方造成物质损失或使甲方的企业形象受到影响时;Whe n the Party B treats the customers in Territory regi on with lack of man ageme nt

19、 or other reas ons which makes the P arty A bears the material damage or makes the corpo rate image of Party A with any bad effect , the P arty A can term in ate the con tract .(2 )符合本合同第三条第 2项情形时;If the con diti on meets with the Con diti on 2 , the Third Article of the agreeme nt(3 )乙方违反甲方的规定价格政策，

20、造成销售市场混乱时;The P arty B violates p rescri ptive Price P olicy by Party A , cause the sales market con fusi on .(4 )乙方未按实际情况向甲方通报市场情况，或所通报的内容不实，给甲方的业务造成严重影响时。The Party B won ' t inform the actual state of market to Party A , or the notification is not truth , which causes the serious effect on the

21、 bus in ess of Party A .十、合同解除后的处理Treatme nt upon term in ati on1、合同解除后，双方清算完毕后，如无其它异议时，甲方应于方交纳的保证金。After term in ate the con stract and both Parties have settled acco unts , if there is not any object ion , Party A n eed to retur n the security dep osit back to Party B with in 7 workdays accord ing

22、 to this agreeme nt.2、合同解除后一年之内，乙方或乙方的工作人员不得利用在代理甲方产品期间获得来自甲t use the方的经营信息进行同类业务的拓展;Upon term in ati on of the con tract, P arty B or any staff of Party B can bus in ess op erati on in formatio n from Party A duri ng P arty B as an age nt of P arty B s p roducts to p roceed the expansion of the Sim

23、ilar bus in ess with in one year .不可抗力 Force Majeure由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议,该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方,并在不可抗力事件发生 15天内将有关机构出具的不可抗力事件的证明寄交对方。Either party shall not be held respon sible for failure or delay to p erform all or any part of this agreeme nt due

24、 to flood, fire, earthquake, drought, war or any other events which could not be p redicted, con trolled, avoided or overcome by the relative p arty. However, the p arty , who is affected by the event of Force Majeure , shall inform the other party its occurre nee as soon as po ssible and thereafter

25、 send a certificate of the eve nt issued by the releva nt authorities to the other party with in 15 days after its occurre nee.十二、仲裁 Arbitration因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则进行仲裁。仲裁裁决是终局的,对双方都有约束力。All dis pu tes aris ing from the p erforma nee of this agreeme nt s
