5、he aforesaid time of shipment, The content of Letter of Credit is consistent with the terms of the contract, otherwise the seller is entitled to cancel this contract without further notice and to claim from the buyers for all losses resulting therefrom.凭保兑的、不可撤销的、可转让的、可分割的即期有电报套汇条款/见票/出票 天期付款信用证,信用证

SHIPMENT运输：The Sellers shall ship the goods within the shipment time from the port of shipment to thedestination.Transshipment are allowed. Partial shipment is not allowed.卖方应于交货期内将合

SHIPPING ADVISE装船通知：卖方应于装货完成后,用邮件方式将有关合同号、品名、数量、发票价值、毛重、运输工具名称、交货日期、货物预计抵达日等资料通知买方,买方提前做好接货准备.The sellers shall upon the completion of the loading of the goods, advise by mail to the buyers of the Contract No., commodity, quantity, invoiced value, gross weight, name of

QUALITY AGREEMENT质量约定：卖方保证合同货物符合出口国、进口国质量技术要求由卖方提供进口国技术标准.The seller guarantees that the contract goods conform to the quality and technical requirements of exporter

9、 and importer the technical requirements of importer should be provided by seller13. Discrepancy and Claim异议与索赔In case of quality discrepancy, claim should be lodged by the Buyers within daysafter the arrival of the goods at the port of destination, while for quantity discrepancy, claim should be lo

10、dged by the Buyers within days after the arrival of the goods at the port of destination. In all cases, claims must be accompanied by Survey Reports ofRecognized Public Surveyors agreed to by the Sellers. Should the responsibility of the subjectunder claim be found to rest on the part of the Sellers

11、.The buyer raises objections if exceedthe objection period of contract,the seller shall not be approved and does not assumeresponsibility品质异议须于货到目的口岸之日起 天内提出,数量异议须于货到目的口岸之日起 天内提出,但均须提供经卖方同意的公证行的检验证实.如责任属于卖方者,卖方于收到异议 天内答复买方并提出处理意见.买方超出合同约定的异议期限内 提出异议的,卖方不予认可并不承担责任.14. FORCE MAJEURE不可抗力：The Sellers sh

12、all not be held responsible if they fail, owing to Force Majeure cause or causes,to make delivery within the time stipulated in this ontract or cannot deliver the goods. However,the Sellers shall inform immediately the Buyers by cable. The Sellers shall deliver to theBuyers by registered letter, if

13、it is requested by the Buyers, a certificate issued by the ChinaCouncil for the Promotion of International Trade or by any competent authorities, attesting theexistence of the said cause or causes. The Buyers' failure to obtain the relative Import Licenceis not to be treated as Force Majeure.因人力

14、不可抗拒事故使卖方不能在本售货合约规定期限内交货或不能交货,卖方不负责任,但是卖方必须立即以电报通知买方.如果买方提出要求,卖方应以挂号函向买方提供由中国国际贸易促进委员会或有关机构出具的证实,证实事故的存在.买方不能领到进口许可证,不能被认为系属人力不可抗拒范围.15. ARBITRATION 仲裁：Any dispute arising from or in connection with this Contract shall be submitted to ChinaInternational Economic and Trade Arbitration Commission for

15、arbitration which shall beconducted in accordance with the Commission's arbitration rules in effect at the time ofapplying for arbitration. The arbitral award is final and binding upon both partied. Arbitration feeshall be borne by the losing party. Performance of this contract and dispute resol

16、ution areapply to the law of the People's Republic of China.与此合同有关的争议应通过友好协商解决.如果协商无法解决,提交中国国际经济贸易仲裁委员会进行仲裁.根据申请仲裁时该会现行有效的仲裁规那么进行仲裁.仲裁裁决是终局的,对双方均有约束力.仲裁费用由败诉方承担.本合同履行及争议解决适用中华人民共和国法律.16. BANK CHARGES 银行费用:All bank charges outside the People's Republic of China mainland will be on the account

17、 of thebuyer.所有中华人民共和国大陆地区之外的银行费用均由买方承担.17.OTHER TERMS其它条款：+The covering Letter of Credit shall stipulate the Sellers' s option of shipping the indicatedpercentage more or less than the quantity hereby contracted and be negotiated for the amountcovering the value of quantity actually shipped. 18、he Buyers are requested to establish the L/Cin amount with the indicated percentage over the total value of the order as per this Contract.)信用证内应明确规定卖方有权可多装或少装所注明的百分数,并按实际装运数量议付.(信用证之金额按本售货合约金额增加相应的百分数.)+The contents of the covering Letter of Credit shall be in strict conformity with the stipulation

19、sof thisContract. In case of any variation there of necessitating amendment of the L/C, the Buyersshall bear the expenses for effecting the amendment. The Sellers shall not be held responsiblefor possible delay of shipment resulting from awaiting the amendment of the L/C and reservethe right to clai

20、m from the Buyers for the losses resulting therefrom.信用证内容须严格符合本售货合约的规定,否那么修改信用证的费用由买方负担.因修改信用证而延误装运的,卖方不承担责任,并保存因此而发生的一切损失的索赔权.+Except in cases where the insurance is covered by the Buyers as arranged, insurance is tobe covered by the Sellers with a Chinese insurance company. If insurance for addit
