6、rdware,suchasCDs,computers,portableharddrives,etc.二.乙方充分认知并同意甲方就上述秘密、信息资料及服务成果具有下列利害关系的全部或一部分：II.PartyBhasfullyunderstoodandagreedthattheabovementionedsecrets,informationandmaterialsaswellasserviceachievementsarebearingallorpartofthefollowingsignificance:1 .乙方对第三人具有保密必要或义务。PartyBhastheresponsibility

7、andobligationtokeeptheconcernedinformationsecrettoanythirdparty.2 .具有知识产权的价值或商业利益。Theconcernedinformationisofintellectualpropertyvaluesorofcommercialinterests.三.下列情形乙方不负保密责任：III. PartyBshallnotbeheldconfidentialresponsibilityfor:1 .已公开为众所周知的文件或资料；Documentsormaterialsthathadpreviouslybeenmadepublic2

8、.甲方同意公开的；ThatPartyAhasagreedtodisclose;or3 .基于法律规定或法院的判决，裁定而披露者。Thathastobedisclosedinaccordancewithlawsandregulationsorthecourtdecisions.四.乙方保密职责IV. PartyBsConfidentialResponsibilities1 .乙方同意采取必要合理的措施维护甲方的保密资料或信息。PartyBhasagreedtoundertakeappropriatemeasuresnecessaryforprotectingtheconfidentialityo

9、fPartyAsmaterialsorinformation.2 .乙方必须遵守甲方规定的任何成文或不成文的保密规章、制度、履行与其服务相应的保密职责。甲方的保密规章、制度没有规定或者规定不明确之处，乙方亦应本着谨慎、诚实的态度、采取任何必要、合理的措施，维护其于服务期间知悉或者持有的任何属于甲方或者属于第三方但甲方承诺有保密义务的技术秘密或其他商业秘密信息，以保持其机密性。PartyBshallabidebyanywrittenorunwrittenconfidentialregulationsandsystemsprovidedforbyPartyA,andshallfullyimplem

10、entitsconfidentialresponsibilitiesassociatedwiththeserviceprovided.IncasethatthereexistsanyunregulationorindefinitenessintheconfidentialregulationsandsystemsprovidedforbyPartyA,PartyBshall,withacautiousandfaithfulattitude,undertakeanyappropriatemeasuresnecessaryforconfidentialprotectionofanytechnica

11、lknow-howorothercommercialsecretsbelongingtoPartyAthatithasacquiredorheldduringtheserviceperiod,orthatdoesnotbelongtoPartyAwhilePartyAhasthecommitmenttotaketheconfidentialresponsibilities.五.所有权保留V.ReserveofOwnership1 .凡甲方交付给乙方的资料，其所有权仍属于甲方，甲方可以随时以书面形式通知乙方交还或销毁该资料，以及其所有的拷贝本。PartyAreservestherightofow

12、nershipforanymaterialssenttoPartyB,andreservestherighttomakearequestinwriting,requiringPartyBtoreturnordestroysuchmaterialsandallthecopies.2 .甲方交付乙方文件或资料，如含有任何可申请专利权或着作权等知识产权者，乙方不得据为己有而申请或提供他人申请专利或着作权等知识产权。Incasethatthedocumentsormaterialscontainanyworksortechnicalachievementsthatmayapplyforpatents,

13、copyrightsand/orotherintellectualproperties,PartyBshallnottakesuchworksortechnicalachievementsasitsown,andapplyorprovidetoanythirdpartytoapplyforpatents,copyrightsand/orotherintellectualproperties.3 .乙方完成的服务成果，相关知识产权归甲方所有，乙方不得在未经甲方明确授权的前提下利用这些成果进行生产、经营或自行向第三方转让。Therelevantintellectualpropertiesofany

14、serviceachievementsthathavebeencompletedbyPartyBbelongtoPartyA.WithoutPartyAsclearauthorization,PartyBshallnotconductanyproductionoroperationbyuseofsuchachievements,ortransfersuchachievementstoanythirdparty.六.资料返还VI. ReturnofMaterials服务合同结束时，乙方有义务按甲方的要求将甲方已交付乙方的资料以及其所有的复制或拷贝本交还给甲方。无法返还的资料，包括但不限于已安装于

15、硬设备的软件程序，乙方应即清除销毁。Uponterminationoftheservicecontract,PartyBisobligedtoreturnallthematerialspreviouslydeliveredtohimbyPartyAandallcopiesbacktoPartyAasperPartyArequest.Forthosethatcouldnotbephysicallyreturned,includingbutnotlimitedtosoftwareprograminstalledinharddevices,PartyAshalleliminatefromsuchde

16、vicesimmediately.七.保密期间VII. PeriodofConfidentiality乙方同意自服务结束之后对在为甲方提供服务期间接触、知悉属于甲方或者虽属于第三方但甲方承诺保密义务的技术秘密和其他商业秘密信息，承担如同服务期间一样的保密义务和不擅自使用有关秘密信息的义务，直至甲方宣布解密或该信息实际上已经公开。Aftertheendingoftranslationservice,PartyBhasagreedtotakethesameconfidentialresponsibilityasregulatedwithintheserviceperiodforanytechnic

17、alknow-howorothercommercialsecretsbelongingtoPartyAthatithasacquiredorheldduringtheserviceperiod,orthatdoesnotbelongtoPartyAwhilePartyAhasthecommitmenttotaketheconfidentialresponsibilities,andcommittedthathewillnotuseanysecretinformationwithoutPartyAsauthorizationorapproval,untilPartyAdeclaresthedis

18、closureofsuchinformationorsuchinformationhasbeenactuallydisclosedtothepublic.八.违约责任VIII. ResponsibilityforBreachofAgreement乙方同意如违反本合约任何条款的，甲方有权单方面解除与乙方的服务合同，并保留依法追究乙方违约责任的权利。PartyBhasagreedthatifhehasviolatedanytermorconditionunderthisAgreement,PartyAwillreservetherighttoterminatetheservicecontracts

19、ignedwithPartyB,andreservetherighttoclaimPartyBsresponsibilityfohrisbrAegarcehemofetnt.九.因本合同而引起的纠纷，如果协商解决不成，任何一方均有权提起诉讼。IX. ForanydisputearousedunderthisAgreement,anypartymayproposeforlegalproceedingsifaresolutionfailstobereachedundernegotiation.十.双方确认，在签署本合同前已仔细审阅过本合同的内容，并完全了解合同各条款的法律含义。X. Bothpartie
