16、theContractNo.,namesofcommodity,loadingquantity,invoicevaIues,grossweight,nameofvesseIandshipmentdatebywithinhours.15. 品冥保言登(QuaIityGuarantee):货物品冥猊格必缜符合本合同及品冥保言登害之规定，品冥保言登期舄货到目的港固月内。在保嘉登期限内，因裂造蔽商在言殳言十裂造遏程中的缺陷造成的货物损害雁由寅方TheSeIlershaIIguaranteethatthecommoditymustbeinconformitywiththequatity,specific

17、ationsandquantityspecifiedinthisContractandLetterofQuaIityGuarantee.TheguaranteeperiodshaIIbemonthsafterthearrivalofthegoodsattheportofdestination,andduringtheperiodtheSeilershaIIberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer.16. 检特食(Inspection)(以下雨项任iS项)：(1)真方殖

18、在装II前日委乱检昧横情封本合同之货物it行检昧业出具检焉酎登害，：W到目的港彳爰，由胃方委乱检昧檄横it行检除。TheSeilershaIIhavethegoodsinspectedbydaysbeforetheshipmentandhavetheInspectionCertificateissuedby.TheBuyermayhavethegoodsreinspectedbyafterthegoodsrrivaIatthedestination.(2)言爰货前，裂造物的品冥、规格、性能和敷量/重量作精密全面的出具检麟登明鲁，业就明检验的技徘亍资料和布吉蠢货到目的港彳爰，冥方爵申言青中阈商品

19、检昧局(以下筒稠商检局)皇寸货物的规格和数量/重量it行如物殛损或猊格'敷量舆合同猊定不符，除保除公司或输船公司的责任外，胃方得在货物到it目的港彳麦日内懑商检局出具的检焉解登害向寅方索赔或拒收BWo在保言登期内，如货物由於言殳言十或裂造上的缺陷而畿生损壕或品冥和性能典合同猊定不符畤，冥方将委就中阈商检局it行椭食。ThemanufacturersshaII,beforedeIivery,makeapreciseandcomprehensiveinspectionofthegoodswithregardtoitsquaIity,specifications,performanceand

20、quantity/weight,andissueinspectioncertificatescertifyingthetechnicaIdataandconeIusionoftheinspection.Afterarrivalofthegoodsattheportofdestination,theBuyershaIIappIytoChinaCommodityInspectionBureau(hereinafterreferredtoasCCIB)forafurtherinspectionastothespecificationsandquantity/weightofthegoods.Ifda

21、magesofthegoodsarefound,orthespecificationsand/orquantityarenotinconformitywiththestipuIationsinthisContract,exceptwhentheresponsibiIitiesIieswithInsuranceCompanyorShippingCompany,theBuyershaII,withindaysafterarrivalofthegoodsattheportofdestination,claimagainsttheSeIIer,orrejectthegoodsaccordingtoth

22、einspectioncertificateissuedbyCCIB.Incaseofdamageofthegoodsincurredduetothedesignormanufacturedefectsand/orincasethequaIityandperformancearenotinconformitywiththeContract,theBuyershaII,duringtheguaranteeperiod,requestCCIBtomakeasurvey.17. 索赔(Claim)：冥方懑其委粉的出具的明害向寅方提出索赔(包括由此引起的全部费用雁由方若方收到上述索黯彳爰天未予答覆，方

23、已接受胃方索赔。ThebuyershaIImakeaclaimagainsttheSeller(includingrepIacementofthegoods)bythefurtherinspectioncertificateandaIItheexpensesincurredtherefromshaIIbebornebytheSeIIer.TheclaimsmentionedaboveshaIIberegardedasbeingacceptediftheSeiIerfaiItorepIywithindaysaftertheSeiIerreceivedtheBuyer'sclaim.18.

24、 交款(LatedeIiveryandPenalty):除合同第21fl条不可抗力原因外，如责方不能按合同猊定的畤冏交货，胃方雁同意在寅方支付嗣款的中条件下延期交货。宣i款可由参付金艮行在付货款曰寺扣除，翌款率按每天收%,不足天日寺以天言十算。但嗣款不得超通I交货物糠值的%o如方延期交货超遏合同猊定天日寺，冥方有罹撤金肖合同，此日寺，真方仍不if延地按上述猊定向胃方支付嗣款。冥方有罹室寸因此遭受的其它损失向寅方提出索赔。ShouIdtheSeiIerfaiItomakedeIiveryontimeasstipulatedintheContract,withtheexceptionofForce

25、MajeurecausesspecifiedinClause21ofthisContract,theBuyershaIIagreetopostponethedeIiveryontheconditionthattheSeIIeragreetopayapenaItywhichshaIIbedeductedbythepayingbankfromthepaymentundernegotiation.Therateofpenaltyischargedat%foreverydays,odddaysIessthandaysshouIdbecountedasdays.ButthepenaIty,however

26、,shaIInotexceed%ofthetotaIvaIueofthegoodsinvoIvedinthedeIayeddeIivery.IncasetheSeIIerfaiItomakedeIiverydaysIaterthanthetimeofshipmentstipuIatedintheContract,theBuyershaIIhavetherighttocanceItheContractandtheSeIIer,inspiteofthecanceIIation,shaIIneverthelesspaytheaforesaidpenaltytotheBuyerwithoutdeIay

27、.ThebuyershaIIhavetherighttoIodgeaclaimagainsttheSeiIerfortheIossessustainedifany.19. 不可抗力(ForceMajeure):凡在裂造或装船11翰程中，因不可抗力致使真方不能或推交货日寺，方不负责任。在言爰生上述情况日寺，方立即通知胃方，业在天内，/合冥方特快暮遁一份由常地民冏商emi的事故言登明害。在此情况下，真方仍有责任探取一切必要措施加快交货。如事故延藉天以上，胃方有榷撤£肖合同。TheSeiIershaIInotberesponsibIeforthedeIayofshipmentornonde

29、ytheIocaIchamberofcommerceunderwhosejurisdictiontheaccidentoccursasevidencethereof.UndersuchcircumstancestheSeIIer,however,arestillundertheobIigationtotakeaIInecessarymeasurestohastenthedeIiveryofthegoods.IncasetheaccidentIastsformorethandaystheBuyershaIIhavetherighttocanceItheContract.20. 1羲的解)夬(Ar
