11、rmsofthisAgreement5.4DeliveryofProductsSubjecttoavailabilitytosupplytotheDistributororthecustomersoftheDistributorintheTerritorytheProductsinaccordancewithorders receivedfromtheDistributorwhich:lationsintheTerritory5.4.4areatpricesnotifiedtotheDistributorbythePrincipalonacaset ocasebasis5.4.5aredeli

12、veredwithallreasonabledispatchasprovidedinthesp ecificsalescontract5.5ExtensionofTermToextendtheTermforonefurtherperiodoftwoyearswithoutbreakin continuityprovidedthattheDistributor:5.5.1hasproperlyobservedandperformeditsobligationsunderthis AgreementthroughouttheTerm5.5.2servesanoticeonthePrincipalr

13、equiringsuchextensionnotlat erthan30daysbeforetheExpiryDate5.5.3acceptsthatthetermsofthisAgreementshallapplytoanyexte nsionoftheTermunderthisclause5.6ExtensionofTerritory5.6.1TogivetotheDistributornotlessthan60days'writtenpriornotic eofthePrincipal'sintentiontoappointanypersonotherthantheDis

14、tr ibutorandofthetermsofsuchappointment:5.6.2SuchnoticemaybetreatedbytheDistributorasanofferofaneq uivalentappointmentandbeforeitsexpirytheDistributormaygivew rittennoticetothePrincipalthatitwilltakeupsuchappointmentonsu chterms5.6.3Nottooffertoanyotherpersontermsmorefavourablethanthos econtainedint

15、henoticewithin90daysoftheexpiryofthenotice 5.7ExtensionofProductsToaddtotheProductsthegoodsregularlyproducedbythePrincipal and/ortradedbythePrincipal ' sagentprovidedthattheDistributor: 5.7.1hasproperlyobservedandperformeditsobligationsunderthis Agreementsofar5.8NoassignmentNottoassignthebenefit

16、ofthisAgreementwithoutthepriorconsentoftheDistributor6Distributor'sobligationsTheDistributoragreeswiththePrincipalthroughouttheTerm:6.1DiligenceAtalltimestoworkdiligentlytoprotectandpromotetheinterestsofth ePrincipal6.2ExclusiveagencyandterritoryNotwithoutthepreviousconsentinwritingofthePrincipa

17、ltobeconc ernedorinterestedeitherdirectlyorindirectlyinthesupplyofanygoo dsintheTerritorywhicharesimilartoorcompetitivewiththeProduct s6.3DiligentlytopromoteAtalltimesdiligentlytopromoteandprocuresalesoftheProductsthr oughouttheTerritoryandinparticulartoachievetheMinimumAnnu alPerformancebyappropria

18、temeansincluding:6.3.1personalvisitstoandcorrespondencewithsuchpurchasers 6.3.2advertisinganddistributionofpublicitymattersubjecthoweve rtothespecificpriorapprovalinwritinginallcasesbythePrincipaloft heformandextentofsuchadvertisingandpublicitymatter 6.4GoodfaithInallmatterstoactloyallyandfaithfully

19、towardthePrincipal6.5Compliance6.5.1ToconducttheBusinessinanorderlyandbusinesslikemanne r6.5.2TocomplyintheconductoftheBusinesswithalllawsandbylaw sofagovernmentalnatureapplicabletotheBusiness 6.6DisclosureOnenteringintothisoranyotheragreementortransactionwiththePr incipalduringtheTermoranycontinuat

20、ionofittomakefulldisclosure ofallmaterialcircumstancesandofeverythingknowntoitrespectin gthesubjectmatteroftherelevantconductortransactionwhichwoul dbelikelytoinfluencetheconductofthePrincipal.6.7Passoninformation ersorotherleadsoutsidetheTerritory6.7.2TosupplytothePrincipalinformationwhichmaycomein

21、toitsp ossessionwhichmayassistthePrincipaltoeffectsalesorotherdeali ngsfortheBusinessorintheProductsoutsidetheTerritory 6.8Secrecy6.8.1NotatanytimeduringoraftertheTermtodivulgeorallowtobedi vulgedtoanypersonanyconfidentialinformationrelatingtothegoo ds,businessoraffairsofthePrincipalotherthantoperso

22、nswhohave signedasecrecyundertakingintheformapprovedbythePrincipal 6.8.2NottopermitanypersontoactorassistintheBusinessuntilsuc hpersonhassignedsuchundertaking6.9DisputesIntheeventofanydisputearisingbetweentheDistributorandacusto merorprospectivecustomer,forthwithtoinformthePrincipalandpr ovidethePri

23、ncipalwithdetailsofthecircumstancesofthedispute.6.10NoticeTocomplywiththetermsofanyDefaultNoticeasdefinedinclause8.2specifyingabreachoftheprovisionsofthisAgreementandrequiri ngthebreachtoberemediedsofarasitmaybebutnothinginthisclau seisintendedtorequirethePrincipaltoservenoticeofanybreachbef oretaki

24、ngactioninrespectofit6.11Sub-distributors6.11.2Toberesponsiblefortheactivitiesofanyproperlyappointeds ub-distributors6.12Assignment6.12.1NottoassignchargeorotherwisedealwiththisAgreementin anywaywithouttheconsentofthePrincipal6.12.2InthecaseofanintendedassignmentbytheDistributorsuchc onsentshallnotb

25、eunreasonablywithheldsubjectthattheproposed assigneeshallagreedirectlywiththePrincipaltobeboundbytheter msofthisAgreement6.13GrantbackIfatanytimeduringtheTermtheDistributormakesordiscoversanyi mprovementstotheBusinessand/orthemarketingoftheProductsf orthwithtoprovidethePrincipalwithallnecessarydetai

26、ls. 6.14PromptpaymentTopaypromptlyallsumsduetothePrincipalinrespectofthesupplyb ythePrincipaltotheDistributoroftheProducts.6.15IndemnityToindemnifyandkeepindemnifiedthePrincipalfromandagainstan yandalllossdamageorliability(whethercriminalorcivil)sufferedbyt hePrincipalresultingfromabreachofthisAgree

28、ardtermsandconditionsl aiddownbythePrincipalfromtimetotime6.18ActasprincipalInallcorrespondenceandotherdealingsrelatingdirectlyorindirectl ytothesaleorotherdispositionsoftheProductsclearlytoindicatetha titisactingasprincipal7TerminationThisAgreementshallterminate:7.1TimeOntheExpiryDateorpursuanttocl

29、ause5.6ofthisAgreement7.2LowordersIntheeventthattheMinimumAnnualPerformanceisnotachievedat anytimesubjecttoclause8.2ofthisAgreement.7.3FundamentalbreachOntheoccurrenceofanyofthefollowingeventswhicharefundamen talbreachesofthisAgreement:7.3.1failuretocomplywiththetermsofanyDefaultNoticeasdefinedi ncl

30、ause8.2withinthetimestipulated7.4InsolvencyIftheDistributorgoesintoliquidationeithercompulsoryorvoluntary( saveforthepurposeofreconstructionoramalgamation)orifareceiv erisappointedinrespectofthewholeoranypartofitsassetsoriftheDi stributormakesanassignmentforthebenefitoforcompositionwithit screditors

31、generallyorthreatenstodoanyofthesethingsoranyjudg mentismadeagainsttheDistributororanysimilaroccurrenceunder anyjurisdictionaffectstheDistributor8Terminationconsequences 8.1.Compensationfortermination 8.1.1IncaseofterminationofthisAgreementpursuanttoclause7.3. 2theDistributorshallbeentitledtoreceive

32、compensationamountin gto$500000fivehundredthousandUSDollars15daysafterthedateoftermination8.2DefaultnoticeIntheeventofabreachbyanypartyofanyoftheprovisionsofthisAgre ementotherthanafundamentalbreachspecifiedinClause7.3the otherpartymayservenoticerequiringthebreachtoberemediedwit hinareasonabletimest

33、ipulatedinthatnoticebutnothinginthisclaus eshallrequirethepartytoservenoticeofanybreachbeforetakingact ioninrespectofit8.3ExistingrightsTheexpiryorterminationofthisAgreementshallbewithoutprejudic etoanyrights,whichhavealreadyaccrued,toeitherofthepartiesun derthisAgreement 9Miscellaneous9.1WarrantyEa

34、chofthepartieswarrantsitspowertoenterintothisAgreementan dhasobtainedallnecessaryapprovalstodoso9.2TheDistributorwarrantsthatitisnotatthetimeofenteringintothis Agreementinsolventandknowsofnocircumstancewhichwoulden titleanycreditortoappointareceiverortopetitionforwindinguportoe xerciseanyotherrights

35、overoragainstitsassets9.3ForcemajeureBothpartieswillbereleasedfromtheirrespectiveobligationsinthee ventofnationalemergency,war,prohibitivegovernmentalregulati onsorifanyothercausebeyondthereasonablecontroloftheparties rendersperformanceoftheAgreementimpossible.9.4SeveranceIntheeventthatanyprovisiono

36、fthisAgreementisdeclaredbyanyju dicialorothercompetentauthoritytobevoid,voidable,illegalorothe rwiseunenforceablethepartiesshallamendthatprovisioninsuchre asonablemannerasachievestheintentionofthepartieswithoutille galityortheremainingprovisionsofthisAgreementshallremaininfu llforceandeffectunlessea

37、chofthepartiesatitsowndiscretiondecid esthattheeffectofsuchdeclarationistodefeattheoriginalintentiono fthepartiesinwhicheventthesaidpartyshallbeentitledtoterminatet hisAgreementby60days'noticetotheotherpartiesandtheprovisio nsofclause8shallapplyaccordingly9.5WholeagreementTheDistributoracknowled

38、gesthatthisAgreementcontainsthewho leagreementbetweenthepartiesandithasnotrelieduponanyoralo rwrittenrepresentationsmadetoitbythePrincipal,thePrincipal ' s agentortheiremployeesoragentsandhasmadeitsownindepende ntinvestigationsintoallmattersrelevanttotheBusiness 9.6SupersedesprioragreementsThisA

39、greementsupersedesanyprioragreementbetweentheparti eswhetherwrittenororalandanysuchprioragreementsarecancell edasattheCommencementDatebutwithoutprejudicetoanyrights whichhavealreadyaccruedtoeitheroftheparties9.7ChangeofaddressEachofthepartiesshallgivenoticetotheotherofchangeoracquisiti onofanyaddres

40、sortelephonetelexorsimilarnumberassoonaspra cticableandinanyeventwithin48hoursofsuchchangeoracquisitio n9.8NoticesAnynoticetobeservedoneitherofthepartiesbytheothershallbesen tbyprepaidrecordeddeliveryorregisteredpostorbytelexorbyelect ronicmailandshallbedeemedtohavebeenreceivedbytheaddress eewithin7

41、2hoursofpostingor24hoursifsentbytelexorbyelectronic mailtothecorrecttelexnumber(withcorrectanswerback)orcorrect electronicmailnumberoftheaddressee9.9JointandseveralAllagreementsonthepartofeitherofthepartieswhichcomprisesmo rethanonepersonorentityshallbejointandseveralandtheneutersi ngulargenderthrou

42、ghoutthisAgreementshallincludeallgendersa ndthepluralandthesuccessorsintitletotheparties9.10NopartnershipThepartiesarenotpartnersorjointventurersnoristheDistributorabl etoactasagentofthePrincipalsaveasauthorisedbythisAgreement 9.11Properlawandjurisdiction 9.11.1ThisAgreementshallbegovernedbythesubst

43、antivelawofth eRepublicofBulgariaineveryparticularincludingformationandinte rpretationandshallbedeemedtohavebeenmadeinBulgaria 9.11.2Anydisputesfromthisagreementorconcerningdisputesaris ingfromorconcerningitsinterpretation,invalidity,non- performanceortermination,aswellasdisputesfillinggapsintheagr

44、eementoritsadaptationtonewlyarisencircumstances,shallbesettl edbytheArbitrati on Courtat ChamberofCommercea ndln dustryinaccordancewithitsRulesforCasesBasedonArbitrationAgree ments.9.11.3TheArbitratio nCourtshallc on sistoffivearbitratorssaonenominatedbythePrincipal,onenominatedbythePrincipal '

45、gent,onenominatedbytheDistributorandtwotobeelectedbythethr eenomineearbitratorsunanimously.9.11.4ThelanguageoftheArbitrationproceedingsshallbeEnglish.orwhichwouldgiveeffecttoanysuchproceedingsmaywithoutpreju dicetoanyothermethodofservicebeservedonanypartyinaccorda ncewithclauseThedecisiono

46、ftheArbitrationCourtshallbefinalandbinding upontheparties.9.11.7Theexpensesforthearbitrationshallbebornebythelosingpa rtyandincaseofjointliabilityshallbeevenlydistributedamongthepa rties.9.12SurvivaloftermsNotermshallsurviveexpiryorterminationofthisAgreementunlessexpresslyprovided9.13WaiverThefailur

47、ebythePrincipaltoenforceatanytimeorforanyperiodany oneormoreofthetermsorconditionsofthisAgreementshallnotbea waiverofthemoroftherightatanytimesubsequentlytoenforceallter msandconditionsofthisAgreement9.14CostsEachofthepartiesshallpaythecostsandexpensesincurredbyitinc onnectionwiththisAgreementunless

48、otherwiseexpresslyprovide dinthisAgreement.9.15AcceptanceanddeliveryOrdersshallberegardedasprovisionallyacceptedtotheextentnotif iedinwritingbythePrincipal,whereassuchacceptanceshallnotbeu nreasonablywithheldShippingdatesandestimatesoftimeofarrivalshallbethelastavaila bleorknowntothePrincipalandshal

49、lnotbeoftheessenceofthisAgr eementThePrincipalshallasagentfortheDistributorifrequestedcontracto ntheusualtermsforthecarriageoftheConsignmenttoitsdestinatio nwhichmaybetheTerritorybytheusualrouteforsuchdestinationby asuitablemeansoftransportationwhetherbyland,seaorairorifnec essaryacombinationoflands

50、eaandairandthePrincipalshallpayfr eightchargesifobligedtoasperthetermsofthespecificsalescontra ct.ThePrincipalasagentfortheDistributorifrequestedshalleffectintra nsferableformapolicyofinsuranceagainsttherisksinvolvedintran sportingtheConsignmenttoitsdestination 9.15.5Certificatesoforiginandotherdocu

51、mentation ThePrincipalshallatitsownexpenseobtainfortheDistribut oranycertificatesoforigin,consularinvoicesorotherdocumentsthe DistributormayrequireThePrincipalshallrendertotheDistributoratthelatter'sreq uest,riskandexpenseeveryassistanceinobtaininganydocuments otherthanthosementionedinclausewhichtheDistributor mayrequirefortheimportationoftheConsignmentintothecountryo fdestination(andwherenecessaryitspassageintransitthroughan othercountry) ItshallbethePrincipa
