1、机器设备米购一般条款GeneralTermsandConditionsforMachineryandEquipmentPurchase(LS103Version3.0)接受Acceptance卖方已审阅了本条款，且同意卖方对本合同下的任何工作或服务的书面接受或开始进行这些工作或服务均仅构成卖方对本条款的接受。卖方提出的有异于或附加于本条款的任何修改应根据本条款第31条作出。Sellerhasreadandunderstandsthesetermsandconditions,andagreesthatSeller'vsrittenacceptanceorcommencementofany

2、workorserviceunderthiscontractshallconstituteSeller'acceptanceofthesetermsandconditionsonly.AnychangesproposedbySellerwhicharedifferentfromorinadditiontothesetermsandconditionsshallbemadeinaccordancewithParagraph31.除买卖双方另有书面约定外，双方同意本条款适用于双方所签订的在合同附件中列明本条款的所有合同。Unlessotherwiseagreedinwritingbythe

3、parties,thepartiesagreetoapplythesetermsandconditionstoallothercontractsaslongasthesetermsandconditionsarereferredtointheattachmentbytheparties.装运和交付ShippingandDelivery卖方同意：(a)将按照买方和相关承运人的要求对货物适当地包装、标注及运输以确保运输费用为最低；对货物的包装应当适于长途运输、防潮、防湿、防震、防锈、耐装卸，以确保货物免于受损，使之完好安全地交付给买方；(b)按照买方的指示安排货运路线；(c)除非本合同中另行说明，

4、将不收取货物的装卸费、包装费、仓储费、运输费或拖运费；(d)在每批装运货物的包装标签上标明买方的合同号及其启运日期；(e)为每箱货物上适当标明合同号、厂家号、车间号及装卸码头号，当一次发运包含多箱货物时，在每箱货物上标明系列号；(f)按照买方指示和承运人的要求，迅速提交每批货物的正本提单或其他装运收据，以及所运输货物的正确分类识别号。每一货包上的标记和装箱单、提单和发票上的货物标注应能使买方很容易地辩认出所购货物；(g)当指定的设备已完成及组装，但发现为装运和/或安装确有必要拆卸时，各部件应标上嵌合符号以便于在工作场地的装配。装运时为防止在运输过程中的破损与扭曲，各部件都应相应地系紧、捆好，装

5、运发票上应显示箱号、盒号；且(h)若设备的装卸需特别指导的，卖方应在装运之前通知买方，并且卖方代表应参与整个装卸过程并提供特别指导。Selleragrees:(a)toproperlypack,markandshipgoodsinaccordancewiththerequirementsofBuyerandinvolvedcarriersinamannertosecurethelowesttransportationcost;packagingshallbesuitableforlong-distancetransport,moistureproof,waterproof,shockproof

6、,rustproof,resistanttoroughloadingandunloading,soastopreventthegoodsfrombeingdamagedandcausethegoodstobedeliveredproperlytoBuyer;(b)torouteshipmentsinaccordancewithinstructionsofBuyer;(c)tomakenochargeforhandling,packaging,storage,transportationordrayageofgoodsunlessotherwisestatedinthiscontract;(d)

7、toprovidewitheachshipmentpackingslipswithBuyer'scontractnumberandShipmentDatemarkedthereon;(e)toproperlymarkeachpackagewiththecontractnumber,thefactory,plantanddocknumber,and,wheremultiplepackagescompriseasingleshipment,toconsecutivelynumbereachpackage;(f)topromptlyforwardtheoriginalbilloflading

8、orothershippingreceipts,correctclassificationidentificationofthegoodsshippedinaccordancewithBuyer'sinstructionsandcarrier'srequirements.Themarkspackangteandidentificationofthegoodsonpackingslips,billsofladingandinvoicesshallbesufficienttoenableBuyertoeasilyidentifythegoodspurchased;(g)uponco

9、mpletionandassemblyoftheequipmentspecifiedifitisfoundnecessaryforshippingand/orinstallationpurposestodisassemblethesaidequipment,thepartsshallbematch-markedtofacilitateinstallationonsite.Unitsshallbesuitablybracedandpackedforshippingtopreventbreakageanddistortionwhileintransit.Shippinginvoicesshalls

10、howthecrate,boxorcartonidentificationnumber;and(h)SellershallnotifytheBuyerofanyspecialinstructionsforunloadingtheequipmentpriortoitsshipmentandwhenspecialinstructionsareprovided,theSellersrepresentativeshallbepresentduringtheunloadingactivities.交付应按照买方交付要求中所规定的数量和时间进行。对于发运给买方的超过买方交付要求中指定数量的货物，卖方不得要

11、求买方付款。买方可改变预定的发运频率或临时指示暂停预定的发运，在此两种情况下，卖方承诺不改变本合同项下货物或服务价格和数量。对于数量和/或交付日期未确定的合同，卖方应按照买方在此后发出的有关数量和时间的指示交付。DeliveriesshallbemadebothinquantitiesandattimesspecifiedinBuyer'sdeliveryrequirements.BuyershallnotberequiredtomakepaymentforgoodsdeliveredtoBuyerwhichareinexcessofquantitiesspecifiedinBuyer

12、'sdeliveryrequirements.Buyermaychangetherateofscheduledshipmentsordirecttemporarysuspensionofscheduledshipments,neitherofwhichshallentitleSellertoamodificationofthepriceforgoodsorservicesanditsquantitiescoveredbythiscontract.Forcontractsofgoodsorserviceswherequantitiesand/ordeliveryschedulesaren

13、otspecified,SellershalldelivergoodsinsuchquantitiesandtimesasBuyermaydirectinsubsequentreleases.若因卖方原因而无法实现买方的交付要求，买方有权：（a）自行选择运输服务提供商并采取比原定方式更加快捷方式进行运输，上述运输费用由卖方承担，买方有权从支付卖方发票金额中扣除此金额；或要求卖方以可能达到的最快速度发运货物，并由卖方承担费用。在上述情况下，买方有权向卖方按货物或服务延误交付数量的总值每天收取相等于千分之三（3%）的违约金，最高为合同总值的百分之五（5%）;（b）解除合同并通过其他渠道购买货物或服

14、务，并向卖方收取该替代产品或服务与合同货物或服务价格的差额和额外费用，并有权向卖方按货物或服务延误交付的总值每日收取相等于千分之三（3%。）的违约金，最高为合同总值的百分之五（5%）。IfSeller'sactsand/oromissionsresultinSeller'sfailuretomeetliEiyerequirenierstReBuyershallhavetherightto:（a）choosethetransportationserviceproviderandrequireamoreexpeditiousmethodoftransportationforgood

15、sthanthetransportingmethodoriginallyspecifiedbyBuyer;thetransportationexpenseotherwiseincurredbyBuyershallbebornebySellerandBuyershallbeentitledtodeductingsuchamountuponitspaymenttoSeller,orshippingthegoodsasexpeditiouslyaspossibleatSeller'expense;underthecircumstanceaforesaid,Buyerisentitledtoc

16、hargingSelleradailypenaltyequaltothree-tenthpercent（3%0）ofthetotalamountofthegoodsorservicesdelayed,uptothelimitoffivepercent（5%）ofthetotalamountofthecontract;（b）terminatethecontractandorderthegoodsorservicesfromanalternativesource,andtochargethedifferenceoradditionalcostbetweenthealternativegoodsor

17、servicesandthecontractgoodsorservices;andBuyerisentitledtochargingtheSelleradailypenaltyequaltothree-tenthpercent（3%）ofthetalamountofthegoodsorservicesdelayed,uptothelimitoffivepercent（5%）ofthetotalamountofthecontract.单据和付款BillingandPayment卖方同意：（a）向买方出具符合买方要求的发票作为要求买方付款的凭证；（b）接受以支票或由买方决定的其他付款方式（包括电汇

18、）付款。除非本合同正面有特别注明的付款日期，付款日期根据卖方是否是中国商业实体而有所不同。对中国商业实体的卖方而言，付款日应为买方收到符合买方要求格式的发票后的下一个月的第二十五日（ZNA1”，）卖方应在交付货物或完成服务后（如合同规定卖方有义务提供货物安装时，则在货物安装完成且买方最终验收合格后），立即向买方提交发票。对国外商业实体的卖方而言，合同总金额90%的款项以信用证形式支付且付款日应为发运日后的第二个日历月的MNS结算日（“MNS2”），剩余10%的款项以电汇MNS2支付；尽管存在上述规定，对电汇MNS2而言，买方在收到货物或服务或卖方完成货物安装，且买方在最终验收合格之前有权不予付

19、款。卖方应当通过国际接受的快递服务商向买方送达发票的原件，以确保买方在发运日后第一个月的第七（7）个日历日前收到上述发票，以便买方付款。若卖方未能在上述期限将符合买方要求的发票送达买方，则买方有权将付款时间予以顺延。在本第3条中，发票日”指卖方开具正确发票的日期；发运日”指清洁提单或空运单上定义的货物在出口港或者出口机场的发运日（发运日与发票日应当相同或者两者相差不超过三（3）个日历日）；及“MNS结算日”指根据买方的多边结算系统和中国的银行工作日而预先决定的每月一天的结算日。MNS结算日将以附件的形式附于本合同之后或者由买方在每个日历年之前决定并提供给卖方。Selleragreesto:(a

20、)issuetoBuyeraninvoicethatisincompliancewithBuyer'sagenuevictemeofbillingBuyertomakepayment;(b)acceptpaymentbycheckor,atBuyer'discretion,othercashequivalent(includingelectronictransferoffunds).Unlessotherwisesetforthonthefacesideofthiscontract,thepaymentdatesshallbedifferentdependingonwhethe

21、rSellerisaChinesebusinessentityornot.IfSellerisaChinesebusinessentity,paymenttoSellerwillbemadeonthe25dayofthemonthfollowingBuyer'sreceiptofaproperinvoiceZNA1”);“SellershallrenderinvoicesimmediatelytoBuyerinaccordancewiththerequirementafterdeliveryofgoodsorcompletionofservice(iftheContractrequir

22、esSellertoprovideinstallationservices,aftercompletionofinstallationbySellerandtheinspectionbyBuyer).IfSellerisnotaChinesebusinessentity,(90%byL/ConMNSSettlementDateinthesecondmonthfollowingthedateofshipment,10%byT/TMNS2)paymenttoSellerwillbemadeontheMNSSettlementDateinthesecondmonthafterShipmentDate

23、("MNS2");AstoMNS2,notwithstandingtheaforesaidstipulations,BuyerisentitledtowithholdingpaymentpriortoreceivinggoodsorserviceorbeforeSeller'scompletionofgoodsinstallationpassingbuyer'inspection.SellerwillsendacopyoftheoriginalinvoiceviainternationallyacceptedcourierservicestoBuyernol

24、aterthanthe7thdayofthefirstmonthfollowingShipmentDatetofacilitatepromptpaymentbyBuyer,andifSellerfailstodelivertheproperinvoicewithintheperiodaforesaid,Buyershallhavetherighttodelaythepaymentdateaccordingly.ForpurposesofthisParagraph3,“InvoiceIssuingDate"meansthedatethatSellerissuescorrectinvoi

25、ce;“ShipmentDate"meansthedatewhenthegoodsareshippedasdefinedinthecleanbillofladingorairwaybillattheportorairportofexport,asthecasemaybe(theShipmentDateandtheInvoiceIssuingDateshallbeidenticalorthegapbetweentheShipmentDateandtheInvoiceIssuingDateshallnotbemorethanthree(3)calendardays);and"M

26、NSSettlementDate"shallmeanpredetermineddateonceamonthbasedonBuyer'sMultilateralNettingSystemandworkingdaysofbanksinChina.AlistofdatesfortheMNSSettlementDateisattachedheretoasScheduleorwillbedeterminedandprovidedbyBuyerpriortothestartofeachcalendaryear.买方对货物或服务的付款不构成对该货物或服务质量的认可。若第三方对本合同项下的货

27、物或服务主张留置、负债或者其他权利的，买方有权拒绝付款并有权要求卖方出具符合买方要求的担保或者保证。Buyer'spaymentforthegoodsorservicesshallnotbeconstruedasendorsementofthequalityofgoodsorservices.Ifanythirdpartydeclaresanyliens,encumbrancesandclaimsuponthegoodsorservicesofthecontract,Buyerisentitledtowithholdingpaymentandrequiringanywarranties

28、orrepresentationsprovidedbySellerinaccordancewithBuyer'srequirements.服务质量和检查QualityofWorkmanship/Inspection卖方同意为符合买方最大利益而采用有效的、经济的方法及时地、勤勉地工作，以期达到买方合理的满意程度。卖方同意使用最优秀的技能和建议、按最高的工程专业规格、标准和规则提供所有服务。卖方同意对于那些买方有正当理由认为不符合前述标准的工作免费为买方重作。Selleragreestoperformworktimely,diligentlyandtothereasonablesatisf

29、actionofBuyerinanefficientandeconomicalmannerconsistentwiththebestinterestsofBuyer.Sellershalluseitsbestskillsandjudgmentandshallperformallservicesinaccordancewiththehighestengineeringprofessionalstandards,codesandregulations.Selleragreestore-do,atnochargetoBuyer,anyworkwhichinthereasonableopinionof

30、Buyerdoesnotmeettheforegoingstandard.卖方同意，买方有权在适当的时间进入卖方场所，对本合同所涵盖的设施、货物、材料和任何买方的财产进行检查。买方对制造中、交付前或交付后的一段合理时间内的货物进行检查，不应构成买方对任何在制品或制成品的接受。SelleragreesthatBuyershallhavetherighttoenterSeller'sfacilityatreasonabletimetoinspectthefacility,goods,materialsandanypropertyofBuyercoveredbythiscontract.Bu

31、yer'sinspectionofthegoods,whetherduringmanufacture,priortodeliveryorwithinareasonabletimeafterdelivery,shallnotconstituteacceptanceofanywork-in-processorfinishedgoods.指导手册、安装调试和运行测试、软件系统InstructionManual,InstallationAdjustmentandPerformanceTest,SoftwareSystem卖方应按要求提供给买方完整的书面指导操作手册；内容包括按规格说明书对所提供

32、的全部设备进行合理操作和维修的要求。指导手册应包括但不限于以下内容：(a)系统描述；(b)安装和运行指导；(c)所有设备的维护、保养与修理要求；(d)监控和调试；(e)部件清单；和(f)系统电路图。整套指导手册应在最后付款前交送给买方。指导手册中应包括所购设备的建议性备用零件单。SellershallberequiredtoprovidetoBuyercompletesetsofinstructionmanualscoveringtheproperoperationandmaintenancerequirementsofallequipmentfurnishedundertheSpecific

33、ation.Instructionmanualsshallessentiallyconsistofbutnotlimitedtothefollowingsections:(a)descriptionofsystem;(b)installationandoperatinginstruction;(c)maintenance,keepingandrepairrequirementsforallequipment;(d)controlsandadjustments;(e)partslists;and(f)systemelectricalwiringdiagrams.Instructionmanual

34、smustbesubmittedtoBuyerpriortofinalpayment.Arecommendedsparepartslistoftheorderedequipmentshallbeincludedintheinstructionmanuals.除本合同另有约定外，卖方应提供合格且有经验的专业工程师负责进行本合同项下货物的安装和调试。如有必要，安装和调试完毕后，买卖双方应当共同对货物进行运行测试，卖方应当根据实际运行测试情况对货物作出相应调整，以使货物在实际情况下能进行最有效的运行。在符合货物所设计的工作环境和条件下，卖方应保证货物的正常运行，使其达到合同中所明确的性能水平。除非本

35、合同另有约定，卖方不向买方另行收取货物安装、调试和运行测试的任何费用(包括但不限于人员服务费用、差旅费用等)。在货物安装、调试和运行测试的过程中，卖方人员应当遵守有关操作规程和买方的安全管理要求，如果出现任何意外事件，应当按照本条款第22条的规定执行。Unlessprovidedforinthecontract,thedeliveredequipmentunderthecontractwillbeinstalledandadjustedunderthedirectionoftheSellerqualifiedandexperiencedfieldstart-upengineer.Ifneces

36、sary,afterinstallationandadjustment,bothBuyerandSellershouldconductperformancetestsforthegoods.Sellershallmakeadjustmentstothegoodsaccordingtotheactualconditionofperformancetestssoastooptimizegoods'operationundertheactualcondition.Undertheworkingenvironmentandconditionsinconformitywithwhatgoodsa

37、redesignedfor,Sellershallensuregoodsnormalperformanceinordertomatchtheircapabilityleveldefinedinthecontract.Unlessprovidedforinthecontract,SellerwillnotseparatelychargeBuyeranyexpensesrelatedtogoodsinstallation,adjustmentandperformancetest(includingbutnotlimitedtopersonnelserviceexpenses,travelingex

38、penses,etc.)Intheprocessofgoodsinstallation,adjustmentandperformancetest,SellershouldcomplywithrelatedoperationalprocedureandBuyer'ssecuritymanagementrequirements.Ifthereisanyaccident,Paragraph22shouldbeapplied.如果卖方所提供的机器设备中带有软件系统的，该软件系统应视为本合同项下货物的组成部分，并适用本合同项下所有条款。为了确保机器设备的正常运行，卖方应当保证该软件系统在机器设备

39、的整个寿命周期内能够正常使用。如果软件系统并非由于买方的过错而出现任何故障的，无论是否在货物的质量保证期内，卖方均有义务到机器设备所在地免费为买方进行软件系统的修复或重装。鉴于，软件系统与机器设备的不可分割性，卖方许可买方在机器设备报废之前对其中的软件系统拥有全球的、免费的、不可撤销的非独占使用权。如果卖方在向买方销售机器设备后，自行对该类机器设备的软件系统进行升级的，则应当及时通知买方。但无论卖方是否自行对机器设备的软件系统进行升级，应买方的合理需求，卖方都应当为买方提供机器设备软件系统的升级服务，有关机器设备软件系统升级产生的费用由双方另行协商。Ifmachineryandequipmen

40、tprovidedbySellerareequippedwithsoftwaresystem,thesoftwaresystemshouldbeconsideredthegoodsunderthecontractandalltermsandconditionsunderthecontractshallbeequallyappliablethereto.Toensuretheproperoperationofthemachineryandequipment,Sellershallmakesurethatthesoftwaresystemworksproperlythroughthewholeli

41、fecycleofthemachineryandequipment.IfthesoftwaresystemsuffersmalfunctionwithoutBuyer'sfault,whetherinthewarrantyperiodofgoodsornot,SellerhastheobligationtorepairorreinstallthesoftwaresysteminthemachineryandequipmentforBuyerfreeofcharge.Inconsiderationofnon-severabilitybetweenthesoftwaresystemandm

42、achineryandequipment,Sellershallgrantworldwide,royaltyfree,irrevocable,non-exclusiveusingrightsforthesoftwaresystemthereoftoBuyerbeforediscardingthemachineryandequipment.IfSellercanupgradethesoftwaresystemofthemachineryandequipmentatitsowndiscretionaftersellingthemachineryandequipmenttoBuyer,Sellers

43、hallgivetimelynoticetoBuyer;provided,however,thatwhetherSellerupgradesthesoftwaresystemofthemachineryandequipmentatitsowndiscretionornot,perBuyer'sreasonablerequirements,SellershouldprovideupgradingserviceofthesoftwaresysteminthemachineryandequipmentforBuyer,andexpensesarisingfromupgradingservic

44、eofthesoftwaresysteminthemachineryandequipmentwillbenegotiatedbythePartiesseparately.6.服务和替换零件MaintenanceServiceandReplacementParts除非双方另有约定，卖方至少应当对本合同项下的货物，即机器设备(含软件系统)提供一次(含一次)以上的免费保养维护，并有义务指导买方进行正确的保养维护。UnlessagreedbytheParties,Sellershallprovideatleastnolessthanone(includingone)freemaintenanceand

45、keepingserviceforthemachineryandequipment(includingthesoftwaresystem)andhavetheobligationtogiveguidancetoBuyertoconductpropermaintenanceandrepair.在机器设备的整个寿命周期内，卖方有义务提供替换零件，以保证本合同项下机器设备零件的及时维修和替换。在机器设备的质量保证期内，如果机器设备的零件出现任何质量问题，卖方应当免费为买方进行修理或更换，重新更换后的零件的质保期应当自更换之日起重新开始计算。零件修理或更换两次仍不能正常使用的，卖方应当按发票价格一次退

46、还货款。Withinthewholelifecycleofthemachineryandequipment,Sellerhastheobligationtoprovidesparepartstoensuretimelyrepairandreplacementforpartsofthemachineryandequipment.Duringthewarrantyperiod,ifthemachineryandequipmentincursanyqualityproblems,SellershouldcarryoutrepairsorprovidereplacementforBuyerfreeof

47、charge.Thewarrantyperiodofthereplacedpartsshouldberestartedfromthepartreplacingdate.Incasethatthepartscannotbeusedaftertwotimes'repairorreplacement,SellershallreimburseBuyerinaccordancewiththeinvoiceprice.本条款中有关服务和替换零件的质量保证，双方同意按照本条款第7条的规定执行。PartiesagreetocarryoutqualityguaranteeinthisParagraph6

48、relatedtoserviceandreplacedpartsinaccordancewiththosesetoutinParagraph7.保证Warranty卖方明确保证，本合同项下的所有货物或服务均符合提供给买方或买方提供的规格、图纸、样品或说明，以及法律法规的规定，包括但不限于：国家标准、行业标准、地方性标准，并可以合法出售，具有良好材质和工艺，没有瑕疵。此外，卖方确认其了解买方的用途，并明确保证根据买方申明的用途由卖方选择、设计、制造或组装的本合同项下所有货物将适合并充分满足买方特定的目的。卖方应提供一个符合法律要求或行业惯例的保证期，如果卖方向买方提供的保证期长于法律规定或行业规

49、定的，则以此较长保证期为准。在保证期内卖方将通过修理、重作、更换或退回等措施以确保其提供的货物或服务符合本合同项下买方提出的规格、要求、标准或用途，并承担因此发生的所有费用。Sellerexpresslywarrantsthatallgoodsorservicescoveredbythiscontractwillconformtothespecifications,drawings,samples,ordescriptionsfurnishedtoorbyBuyer,thelawsandregulationsincluding,butnotlimitedto,thenationalstanda

50、rds,tradestandardsandlocalstandards,andwillbelegallymerchantable,ofgoodmaterialandworkmanshipandfreefromdefect.Inaddition,SelleracknowledgesthatSellerknowsofBuyer'sintendeduseandexpresslywarrantsthatallgoodscoveredbythiscontractwhichhavebeenselected,designed,manufactured,orassembledbySeller,base

51、uponBuyer'sstateduse,willbefitandsufficientfortheparticularpurposesintendedbyBuyer.Sellershallprovideawarrantyperiodwhichisconformedtoapplicablelaworindustryregulation.IfSelleroffersalongerwarrantytoBuyerthanthelawsorregulations,suchlongerperiodshallapply.Sellershalltakemeasuressuchasrepairing,r

52、emaking,replacingorwithdrawingtoensurethegoodsorservicesunderthecontractasmaybenecessarytoensurethatsuchgoodsorservicesconformtoBuyer'sspecification,requirement,standard,purpose,andallexpensesincurredthereofshallbebornebySeller.卖方明确保证，本合同项下的货物或服务不存在任何的权利瑕疵，未被设定任何形式的担保，同时不侵犯任何第三方的知识产权。卖方同意，如果存在任何

53、权利瑕疵，卖方都应当立即自行解决上述来自第三方的主张或质疑，保护买方免受损害并补偿买方因此遭受的全部损失。Sellerexpresslywarrantsthatallgoodsorservicesunderthiscontractarefreefromanydefectsinrightsandanyencumbrances,andwillnotinfringeuponanyintellectualpropertyrightsofanythirdparties.Selleragrees,intheeventthatthereisanydefectinrights,Sellershallsettl

54、etheclaimsandchallengefromthethirdpartyandholdBuyerharmlessandreimburseBuyerforallthelosses.卖方明确保证，卖方具有正当合法的许可和授权，销售本合同中的货物和服务，为所有货物和服务的真正所有者。如因营业范围或国际贸易经营权(如适用的话)或其他原因或因所有权原因遭到第三方质疑，本合同被任何法院、仲裁机构或政府机构判为无效，则卖方应对该等法院、仲裁机构或政府机构认定并实施的任何处罚(如有的话)负有完全责任，并应保护买方免受损害，补偿买方因此所遭受的损失。SellerexpresslywarrantsthatS
