7、"shallmeananyandallpatents(andapplicationstherefore),BuyerMarks,trademarks(andapplicationstherefore),tradesecrets,tradenames,tradedress,maskworks,copyrights,otherintellectualpropertyrightsorproprietaryrights,ideas,concepts,knowhow,techniques,inventions,discoveries,improvements,documents,product

8、s,systems,practices,procedures,means,methods,designs,devices,programs,software,drawingsandsketches,andtradesecretsrelatingtothedesign,development,implementation,use,maintenanceandupgradingoftheProduct.IntellectualPropertyincludes,butisnotlimitedto,subjectmatterthatfallswithinthedefinitionofpatentabl

9、esubjectmatterunderthelawsoftheU.S.oranyothercountryorwithinthedefinitionofcopyrightablematerialsunderthelawsoftheU.S.oranyothercountry.“知识产权”系指与产品设计、开发、实施、使用、维护与升级相关的所有专利（以及专利申请）、买方标识、商标（及商标申请）、商业秘密、商业名称、商业外观、掩模作品、版权、其他知识产权或专有权利、理念、概念、技术诀窍、技术、发明、发现、改良、文件、产品、系统、实践、程序、方法、方式、设计、装置、程序、软件、图纸及草图以及商业秘密。知识

13、dersforallProductsandServicesplacedbyBuyertoManufacturer.ManufacturerwillmanufactureanddeliverProductsandsupplyServicespursuanttothisAgreementandapplicablePurchaseOrders,subjecttoBuyerprovidingManufacturerwiththeSpecificationsfortheProduct,brandinformation,IntellectualProperty,togetherwithanyotherda

15、hisAgreement.ManufacturershallacquirenootherrightorlicenseexceptasexpresslygrantedinthisAgreement.AllrightsnotexpresslygrantedhereunderarereservedbyBuyer.ManufacturerherebyagreestomanufactureandselltoBuyersuchquantitiesoftheProductsforwhichBuyerissuespurchaseorderspursuanttothisAgreement.Manufacture

16、rshallmanufacturetheProductsinstrictcompliancewiththeSpecifications.Manufacturershallnotmanufacture,package,sell,2/26shiporotherwisedistributeanyProductsdesignedtotheSpecifications,oranyProductscontaininganyofBuyer'sIntellectualProperty,toanypersonorentity,otherthanBuyer,unlesswithBuyer'sexp

18、ndorstoprovidecomponentsorsubassembliesfortheProducts,providedthatManufacturerprovidesBuyerwithawrittennoticeofsuchsubcontractorsorvendorspriortosuchengagement.ManufacturershallnotengageanysubcontractortomanufacturetheProducts.Notwithstandinganythinghereintothecontrary,ManufacturershallbeliabletoBuy

19、erforanybreachofthisAgreementbyanysuchthirdpartysubcontractorsorvendors.转包制造方可聘请分包商或供应商提供产品零部件，但制造方必须事先就该等分包商或供应商事宜书面通知买方。无论本协议如何规定，任何第三方分包商或供应商违反本协议的，制造上均应对买方承担责任。d) Changes.ManufacturershallnotmakechangestotheSpecificationswithoutthepriorwrittenapprovalofBuyer.Buyermayfromtimetotimedirectthatmodif

20、icationsbemadetothedesignoftheProducts.SuchmodificationsmayoriginatewithBuyerormayberecommendedbyManufacturer.Withinthirty(30)daysfollowingManufacturer'sreceiptofarequestedmodificationfromBuyer,ManufacturershallprovideBuyerabindingestimateoftheeffectofsuchmodificationontheManufacturingPrice(asde

21、finedbelow).IfBuyerapprovestheestimateinwriting,ManufacturershallmakesuchmodificationsassoonaspracticableuponreceiptofsuchnoticefromBuyer.Further,ManufactureragreestoadviseBuyerinwritingofanymaterialchangestomanufacturingprocessesandanychangestomaterials,sourcesofsupply,orprocesschemistries,testproc

22、edures,qualityreportingorothermajorprocesses,andtoensurethatanysuchchangesdonotcompromiseSpecifications,quality,orreliabilityofProductsorderedpursuanttothisAgreement.Inthecaseofchangestomaterialsorsourcesofsupply,suchnoticeshallbeprovidednolessthantheapplicablematerial'sleadtimeplusthirty(30)day

23、spriortotheeffectivenessofsuchchange.ManufacturermaynotmakeanysuchchangeswithoutpriorwrittenapprovalfromBuyer.变更未经买方事先书面同意，制造方不得对技术规格进行任何变更。买方可不时指示对产品设计进行变更。该等变更可由买方提议或由制造方推荐。在制造方收到买方要求变更的请求i后的三十(30)日内，制造方应向买方提供一份具有约束力的、有关该等变更对制造价格(定义如下)影响的预估表。制造方应在收到买方通知后尽快进行变更。此外，制造方同意书面就制造流程的实质性变更以及物料、供应源、流程、测试程序

24、、质量报告或其他重要程序的变更对买方进行书面建议，以确保任何变更均不影响任何技术规格、质量或产品可靠性。物料或供应源发生变更的，应在变更生效前(物料送达期限加三十(30)日)进行通知。未经买方事先书面同意，制造方不得进行任何变更。e) QualityAssurance.ManufacturershalltakeallnecessaryactionstoensurethattheProductcompliesinallrespectswiththeSpecificationsandthequalityapprovalproceduresimposedbyBuyerfromtimetotime,i

25、ncluding,withoutlimitation,thedeliveryofproductsamples,packagingandwrappingmaterial,labelingandotherrelevantmaterials.Withoutlimitingthegeneralityoftheforegoing,Manufacturershallcomplywiththefollowingminimumqualityassuranceprocedures:质量保证制造方应采取一切必要措施确保产品符合技术规格以及买方不时规定的质量核准流程的要求，包括但不限于样品交付、包装物料、标签与其它

26、相关物料。在不限制上述规定通用性的情况下，制造上应遵守以下最低质量保证程序：i) Manufacturerwillmaintainqualityassurancesystemsforthecontrolofmaterialquality,processing,assembly,testing,packagingandshippinginaccordancewiththeSpecificationsandBuyer'sinstructions.制造上应有一套质量保证体系，以根据技术规格及买方指示控制物料质量、加工、装配、测试、包装与装运过程。ii) Manufacturerwillper

27、formitsstandardtestprocedures,aswellasanytestproceduresrequestedbyBuyer,relatingtoProductsandServices.Manufacturerwillperformtestsusingthetestequipment,proceduresandsoftwareasagreedbetweenBuyerandManufacturer.制造方将履行其标准测试流程以及买方要求的有关产品及服务的其它测试流程。制造方将使用买方与其约定的测试设备、程序与软件进行测试。iii) BuyerandBuyer,scustomer

28、smay,duringnormalbusinesshoursandfollowingreasonablenotice,subjecttoManufacturer'sarrangement,reviewManufacturer'sfacilities,qualitycontrolproceduresandrelatedrecordsasreasonablynecessaryforBuyerand/orBuyer'scustomerstosatisfythemselveswithManufacturer'compliancewithitsobligationsund

29、erthisAgreement.买方与买方客户可在正常营业时间内通过合理通知的方式按照制造商的安排评审制造商的设施、质量控制程序及相关记录，以确保买方和/或买方客户满足制造商在本协议下的义务。iv) InBuyer'ssolediscretion,Buyermaystopproductionorshipmentintheeventanyqualityissuearises.Insuchevent,Manufacturerwillmakecommerciallyreasonableeffortstoensurethatsuchactionstakeplacewithimmediateef

30、fect.如果产生任何质量问题，买方可自行决定停止生产或装运。此时，制造方应尽一切商业上合理的措施确保立即采取相关行动。f) QualityStandards.ProductqualitymustmeetallBuyerqualitystandards.DefectiveProductshallbenomorethan3%foreachProductshipment(theDefectiveRate").IftheDefectiveRateexceeds3%,Buyershallhavetheright,atitsdiscretion,totakeafullcreditforther

31、elatedProductshipmentorreturnsuchshipment,atManufacturer'solecostandexpense,forafullrefund.AProductshipmentshallmeanallProductthatBuyerreasonablybelievestobeaffectedbysuchdefect.AdefectiveProductgenerallymeansanyProductthatisvisuallyoroperationallydefectiveorProductthathasbeenreturnedbyacustomer

32、andacceptedbyBuyerfortheaforesaiddefect.质量标准产品质量必须符合买方的所有质量标准。每批产品的瑕疵率不得超过3%(以下简称为“瑕疵率”)。如果瑕疵率超过3%,则买方应有权自行决定从相关产品批次中获得全额减免或退回此批产品并获得全额退款，由此产生的成本及费用由制造方独自承担。产品批次系指买方合理认为受到瑕疵影响的所有产品或由于上述瑕疵而使客户退回并经买方接受的产品。g) Packaging.AllProductsshallbepackagedinsuchwrappers,cartons,boxesorothercontainersbearingsuchla

33、beling,tradenamesandtrademarksasBuyermayfromtimetotimedesignate.ThisAgreementneithergivesnorconfersuponManufactureranyrighttomanufacture,packageorshipanyotherproductofBuyerinanyformonanycontainer,exceptatspecificallysetforthherein.ManufacturershallinformBuyerofanyapplicablelabelingandpackaginglawskn

34、owntoManufacturer.ExceptasexpresslystatedinthisAgreement,Manufacturershallacquirenoright,titleorlicensetouseanyofBuyer'IntellectualProperty.包装应以包装纸、纸箱、盒子或其它包装物包装所有产品，并应在该等包装物上注明买方不时指定的标签、商业名称及商标。除非本协议内另行规定，否则本协议并未授予制造方任何制造、包装或装运买方其它产品的权力。制造方应告知买方任何制造方所知的相关标签与包装法律。除非本协议内明确说明，否则制造方不取得任何权利、所有权或许可，使

35、其可以使用买方的知识产权。h) Ownership.所有权BuyershallownallIntellectualPropertyinany(1)inventionsdevelopedbyBuyerwhetherpre-existingordevelopedunderthisAgreement;(2)designofanyProductdevelopedbyBuyer,ordevelopedbyManufactureratBuyer'sdirectionunderthisAgreementthatareuniquetoBuyer;(3)inventionsnotpreviouslyor

36、independentlydevelopedbyManufactureroranythirdpartythatareinherentinanyspecifications,designs,customizationsorproductenhancementscommunicatedbyBuyerordevelopedbyManufactureratthespecificdesigningrequestofBuyer(collectively,Buyer'sIntellectualProperty").BuyerherebygrantsManufactureranon-excl

37、usive,non-assignablelicensetouseBuyer'sIntellectualPropertysolelytomanufactureanddeliverProductstoBuyerinstrictaccordancewiththis买方应拥有以下各项的所有知识产权：(1)买方在本协议签订前业已开发的或根据本协议开发的发明；(2)买方开发的或由制造方根据买方在本协议下的决定开发的且仅属于买方的产品设计；(3)并非由制造方或第三方以前或独自开发的且具有买方告知之技术规格、设计、客户化或产品改良性质的发明或制造方根据买方的特别设计要求开发的发明(以下统称为“买方的知

38、识产权”)。买方在此授予制造方一项非排他性的且不可转让的许可，允许制造方仅在严格根据本协议制造并向买方交付产品时使用买方知识产权。Agreement.TitleandownershipofBuyer'sIntellectualPropertyshallremainwithBuyeratalltimes.ManufacturershallbeprohibitedfromusinganyofBuyer'IntellectualPropertyinanyproductthatisnotmanufacturedforBuyerunderthisAgreement.Upontheexpi

39、rationorterminationofthisAgreement,Manufacturershall,asdirectedbyBuyer,returntoBuyeralldocuments,plansspecifications,drawingsandothermaterialsinanyformormedia,relatingtoBuyer'sIntellectualProperty,andshallretainnocopythereof,excepttotheextentnecessary；。fulfillitsobligationsunderthisAgreement.买方知

41、lopsoutsidethescopeorindependentofthisAgreement(collectively,Manufacturer'sIntellectualProperty")ManufacturerherebygrantsBuyeranon-exclusivelicensetouse,perform,distributeManufacturer,sIntellectualProperty,ortohaveanyoftheseactivitiesperformedonitsbehalf,butonlyasisnecessarytomarket,selland

42、supporttheProductsmanufacturedbyManufacturerunderthisAgreement.TitleandownershipofManufacturerIntellectualPropertyshallremainwithManufactureratalltimes.BuyershallbeprohibitedfromusinganyofManufacturer'IntellectualPropertyinanyproductthatisnotmanufacturedbyManufacturerunderthisAgreement.Upontheex

43、pirationorterminationofthisAgreement,Buyershall,asdirectedbyManufacturer,returntoManufactureralldocuments,plansspecifications,drawingsandothermaterialsinanyformormedia,relatingtoManufacturer'sIntellectParbperty,andshallretainnocopythereof,excepttotheextentnecessarytofulfillitswarrantyobligations

44、fortheProductsmanufacturedbyManufacturerunderthisAgreement.制造方应拥有在本协议签署前业已存在的制造方发明或其它专有财产或制造方在本协议范围外开发的发明之知识产权(以下统称为“制造方知识产权”)。制造方在此授予买方一项非排他性的许可，根据此项许可买方可以仅在营销、出售及支持产品需要时使用、履行并分发制造方知识产权或允许他人代表其开展上述或东。制造方知识产权的产权及所有权应始终属于制造方。买方不得在非根据本协议制造的产品中使用买方知识产权。本协议届满或终止后，买方应根据买方指示向制造方退回所有有关制造方知识产权的文件、计划、技术规格、图纸

45、或其它材料，且除非对其完成其在本协议下之义务是必要的，否则不得保留任何上述文件、计划、技术规格、图纸或其它材料的副本。iv)Exceptassetforthabove,thepartieswilldecideonacase-by-casebasistheirrespectiverightswithregardtotheIntellectualPropertyinherentinanyinventionsthatarejointlydevelopedbytheparties.Intheeventthepartiesareunabletoagreeontheirrespectiverightswi

48、irestoengageManufacturertorendersuchServices,thePartiesshallexecuteaStatementofWorkorotherdocumentthatshallincludeadescriptionoftheServicestoberendered,anymilestonesordeliverydatesorothertermsrelevanttosuchengagement.TotheextenttheresultsofManufacturerperformanceofsuchservicesmayconstitute"work

49、madeforhireforBuyerundertheUSCopyrightRevisionActof1976,asamendedfromtimetotime,thensuchworksshallbeconsidered"worknadeforhire'bytheparties.服务买方可要求制造方提供有关其根据本协议制造之产品的咨询、设计、工程或其他服务。如果买方希望要求制造方提供上述服务的，双方应签署工作说明或其它应包含相关服务之说明、里程碑或交付日期或其它相关条款的文件。如果制造方履行该等服务的结果可能构成1976年美国版权修订法案(经不时修改)下规定之“雇佣作品&qu

51、tion.ManufacturerrepresentsandwarrantsthattheManufacturingPricewillnotbelessfavorablethanpricesapplicabletosalesbyManufacturertoanyothercustomerpurchasingcomparableproductsundersubstantiallysimilartermsandconditions.IfatanytimeduringthetermofthisAgreementManufacturergivestoanyothersuchcustomermorefa

52、vorableprices,ManufacturerwillimmediatelyadjusttheManufacturingPricetosuchlowerprice.ManufacturershallalsocreditBuyerthedifferenceinpricebetweentheoldManufacturingPriceandthenewlowerManufacturingPrice,multipliedbythenumberofunitsBuyerhasreceivedstartingwhentheothercustomerbeganreceivingthelowerprice

53、dproductsfromManufacturer.价格保护制造方陈述并保证制造价格不会高于制造方向其它根据类似条款及条件采购类似产品之客户提供的销售价格。如果制造方在本协议有效期内向符合上述规定的其他客户提供更优惠的价格，则制造方应立即调低制造价格。同时，制造方应减免新旧制造价格间的差额总额(新旧价格差额乘以买方自其它客户开始从制造方处收到更低价格的产品起收到的产品数量)。c) Taxes,Etc.AllpricesshallbeinUnitedStatesDollarsandareexclusiveofapplicablesalestaxes,butareinclusiveofalloth

54、erchargesincludinganychargesforlabeling,packingandcrating,anyfinishingorinspectingfees,anyapplicableroyalties,dutiesandallothertaxes.Buyerwillhavenoliabilityforanytaxforwhichithasanappropriateexemption.BuyerwillprovideManufacturerwithevidenceofsuchexemption.税费所有价格均以美元计价且不包括任何销售税，但包括标签、包装与装箱、修整与检查费、相

56、rydatesandsuchotherinformationasthePartiesmutuallyagree.PurchaseOrdersshallbeacceptedorrejectedbyManufacturer,inwriting,within48hoursofreceiptthereof,(excludingweekendsandnationallyrecognizedholidays).ManufacturerwillbedeemedtohaveacceptedaPurchaseOrderifitfailstorejectthePurchaseOrderbynotifyingBuy

57、erwithin48hoursofitsreceiptthereof（excludingweekendsandnationallyrecognizedholidays）.AcceptanceofaPurchaseOrderbyManufacturerisareaffirmationofitsacceptanceofthetermsofthisAgreementaswellasanacceptanceofthetermsandconditionsattachedtoeachPurchaseOrder.Manufacturershallusecommerciallyreasonableeffort
