When H2O above 12 %, buyer can reject the goods or ren egotiate the price.11. 品质检测：11. The determ in ati on of quality11.1. 卖方在装运时应提供装运港CCIC或SGS佥验机构出具的对所装运

21、货物的检测证明书。同时进行封样，共4份，以备复核。11.1 sellers shall supply the test reports issued by the CCIC or SGS whe n load ing the cargo. And seller shall seal the sample of four lots whe n in n eed for future test.11.2. 四份封样中，买卖双方各执一份，一份由CCIC或SGS留存备复，一份由 CCIC或SGS进行检测。检测费用由卖方承担。11.2. In the four lot of sample, buyer

22、and seller shall each keep one lot; one lot shall be kept by the CCIC or SGS and one lot shall be tested by the CCIC or SGS. The test fee shall be borne by the seller.11.3. 该CCIC或SGS的检测证明交2/3随同卖方的商业发票，装箱单等单据一同作为买方在付款时的议价单据。同时卖方在货物装运后的7个工作日内，以书面形式将检测证明书及商业发票的金额通知买方。11.3. The 2/3 of the CCIC or SGS te

24、1.4. Buyer shall ask the CIQ in China to sampli ng and test ing the goods in the discharg ing port and the test ing fee shall be borne by the buyer.11.5. CIQ 对货物样品的品质成份及水份的检测证明书将作为买方的最终付款依据。11.5 The quality and the moisture content show n on the CIQ test report will be the basis of the final payme n

ARBITRATION双方签订合同后应严格遵守执行。如有争议，双方应友好协商。如在15天内不能达成共识应依2010年新加坡国际仲裁中心仲裁规则进行裁决，仲裁地点为新加坡， 仲裁委员的裁决为最终裁决 ，仲裁费用由败诉方承担。All disputes or

The arbitratio n fee shall be borne by the los ing party.14. 违约：14. Breach of the con tract合同条款供买卖双方共同遵照执行，如任一方违约，应赔偿给守约方造成的一切经济损失。Both parties sho

Pe nalty for delayed deliver如卖方在合同规定的装运日期延迟5天并没有任何解释，买方有权解除合同。除非卖方得到买方的书面确认，双方就延迟交付时间达成一致，卖方可继续履行合同。在未经买方书面同意的情况下，

30、卖方未按时交付的货物，将被处以未交付货物价值0.5% （每天）的罚款，总罚款不得超过未交付货物价值的2%Should the Seller fail to effect delivery on time within 5 days after the latest shipment time as stipulated in this con tract without any expla nati on, the buyer has the right to cancel this con tract. Without the agreeme nt from buyer in writi ng form, the seller may postp one delivery to the buyer on payme nt of pen alty to the buyers. Pen alty shall be charged at the rate of0.5 %（ each day） of the tota

32、l un delivered cargo value of every day. The pen alty shall not exceed 2% of the total value of goods in volved.16. 保密条款16. Con fide ntiality双方需保密，并不使信息外露给第三方，在公共领域方面除外。Both parties shall obey the prin ciple of Con fide ntiality and not disclose to any third party except the public field.17. 不可抗力条款17. Force Majeure有天意（大自然）所造成的因素包括：战争、政治封锁、革命、暴动、起义、民变、罢工、火灾、水 灾、风暴或其他恶劣气候等所造成的装运不可预料的阻碍因素。若此等不可抗力的情形是可预料的， 直接受影响的一方面尽早通过传真或电报知会另一方，以及在情形发生10天前（在可能的状况下）由官方或商会发出证书佐证。若此等不可抗力的情形延续超过三个月，买方有权取消订单。I n case the executi on of the con tract is directly affected or can not be made in
