1、法律顾问合同公司常年法律顾问聘请合同ENGAGEMENT LETTER（2012）顾亮律字第号甲方(公司名称 )：Party A:乙方：云南亮剑律师事务所Party B ：（以下简称“甲方” ）同意聘请 云南亮剑律师事务所（以下简称“乙方”）为其常年法律顾问并办理本合同约定的法律业务，经双方协议，订立以下条款，共同遵守履行：(hereinafterreferredto asPartyA) agreestoretain Yunnan LiangJian Law Firm (hereinafter referred to as Party B) to belong-term legal couns

2、el and to render the legal services stipulated under thecontract.Therefore,throughfriendlynegotiationbothpartiesconcludeasfollows:1常年法律服务内容/ Contents of Long-Term Legal Service本合同项下，乙方向甲方提供如下法律服务：Party B renders the legal services to Party A under the contract as follows:1.1就甲方公司的商业经营活动提供法律咨询和建议；To

3、providelegalconsultationandsuggestionsaccordingto PartyA s business operation;1.2按甲方要求就有关投资、开发等经营活动提供中国法律法规；To provide PRC laws and regulations on investment, development, etcupon Party As requests;第2页共14页1.3按甲方要求出具律师函；To render letter of attorney upon Party s requests;1.4审查、修改或拟定甲方所提供的合同、协议和其他法律文件；

4、To review,reviseordraftcontracts,agreementsandotherlegaldocuments presented by Party A;5 按甲方的要求出席董事会等有关的会议活动；To attend board meetings and other meetings upon Partys request;1.6负责甲方日常经营中的其他法律事务。To deal with other legal issues regarding daily operation.2专项法律服务内容/ Contents of Specialized Legal Services

5、除上述常年法律服务外，乙方亦可向甲方提供以下专项法律服务：In addition to the long-term legal services mentioned above, Party B is also able to render the specialized legal services as follows:2.1对外直接投资、融资、并购、直接或者间接上市等公司事务；To deal with company s affairs including direct Investment, financing, company merger and acquisition, list

6、ing Issues (direct or indirect)2.2参加与甲方有关争议的诉讼、仲裁活动及生效司法文书的申请执行；To attendlitigation,arbitrationrelatedto PartyA andto applyforperformance of effective judicial documents;2.3受甲方委托办理重大项目的非诉代理；To act as non-litigation agent of important projects when entrusted byParty A;2.4受甲方委托对公司重要行为进行见证；To witness c

8、 Methods to Render Legal Service3.1乙方以公司常年法律顾问的形式为甲方提供法律服务，指派赵峰、范克众律师具体负责为甲方法律服务事项；如具体承办律师或律师助理因故无法及时提供高质量的法律服务时，乙方应安排其他同等专业资格的律师或助理按时完成法律服务；Party B shall provide legal services to Party A by the method of beingParty A s long-term legal counsel and appoint Zhao Feng Lawyer,Fan Kezhong Lawyer to take

9、 responsibility for legal services provided for PartyA, meanwhile, In case the designated attorneys or legal assistants are unable to provide legal services of high quality timely for certain reasons, Party B shall arrange other qualified attorneys or legal assistants to provide legal services on ti

10、me;3.2乙方可以视法律服务事项的内容以书面或口头形式提供法律服务；PartyB is able to providelegalservicesverballyor in writtenformaccording to the contents of the legal services;3.3在法律服务过程中，乙方有权根据法律服务的需要，另行指派乙方的其他律师、律师助理、秘书处理有关事务，包括但不限于：送达文件、调查、文件制作、文件复印、相关法律调研；In rendering legal services, Party B may, according to the specific si

11、tuation, designate other attorneys, legal assistants, secretaries to deal with related issues, which include but not limited to deliver documents, investigate, make documents, copy documents and related legal research;3.4在法律服务过程中，如果经办律师离开乙方或者因其他原因无法代理甲方办第4页共14页理案件，乙方可以与甲方协商另行指派具有同等能级的其他律师办理甲方委托的事项。I

12、n rendering legal services, in case the designated attorneys leave Party B or are unable to deal with the Party A s cases for certain reasons, Party B may appoint other qualified attorneys to deal with the affairs by negotiation with Party A.4法律服务期限/ Term of Providing Legal Services4.1甲、乙双方同意，本合同为常年

14、 of Attorney Fee5.1甲、乙双方同意，除本合同另有规定，甲方向乙方支付的法律顾问服务费为每年度人民币元。此费用于合同签订之日支付。BothPartiesagree,unlessthe contractprovidesotherwise,PartyAshallpay RMBas attorneyfee annually.The attorneyfeehereof shall be paid by Party A to Party B within 5 working days after signature of the contract,5.2双方同意，根据实际工作小时的多少，

15、在必要时可调整常年法律顾问服务费的收费标准，调整应以年度为单位。若需提前终止本合同，则双方应按本合同第 4.1 条规定的服务开始时起至合同终止日止的时间按实结算常年法律顾问服务费用。第5页共14页Both Parties agree the amount of attorney fee can be adjusted according to actual working hours, and such adjustment shall be made on an annual basis. In case the contract is terminated in advance, both

16、 Parties shall settle attorney fee in accordance with actual working hours from the commence date agreed in Clause 4.1 of the contract to the date on which the contract is terminated.5.3上述第5.1 条规定的常年法律顾问服务费并不包括乙方在为甲方提供涉及本合同第 2 条之专项法律服务时发生的法律服务费用。对于该专项法律服务事项，甲方应就个案并根据服务的内容及时间，与乙方进行协商，另行签订聘请律师合同及委托书并签

17、订相应的律师服务费，届时乙方将按照本市律师服务政府指导价给予20的优惠。The attorney fee mentioned in Clause 5.1 does not include fee related to the specialized legal services provided by Party B in Clause 2 under the contract. As regards the specialized legal services, Party A shall reach another engagement letter with Party B throug

18、h negotiation on a case by case basis, however, Party B will give Party A 20% discount of government-directed price.5.4除上述常年法律顾问服务费外，甲方应补偿乙方在提供法律服务的过程中合理支出的成本，如调查取证及赴外地的交通、食宿等差旅费用。In addition to the above long-term legal services fee, Party A shall reimburse Party B the expenses occurred during rend

19、ering legal services, such as expenses occurred during collecting evidence, transportation fare, lodging and board expenses, etc occurred when going to other places outside Shanghai.6乙方及经办律师的义务/ Obligations of Party B and Designated Attorneys6.1乙方指派的经办律师必须遵守律师职业道德和执业纪律，经办律师应当勤勉尽责，维护甲方的最大利益。第6页共14页Th

20、e attorneys designated by Party B shall comply with lawyer s professional ethics and practice discipline, and designated attorneysshall do due diligence to protect the legal rights and interests of Party A.6.2经办律师应当及时向甲方报告有关委托事项和案件的进展情况。Designated attorneys shall report the process of commitments an

21、d entrusted cases to Party A timely.6.3经办律师无权超越甲方授权行事。如果确有需要，应当由甲方另行给予明确的授权。Designated attorneys have no rights to exercise rights beyond PartyA s authorization. In case there is a real need, an unambiguous authorization has to be made by Party A.6.4经办律师应随时接受甲方的法律咨询，双方以书面及会面形式联系并确认。甲方需要乙方出具书面意见的，应以法

22、律顾问联系单的方式向乙方提出，乙方应根据甲方在法律顾问单中的回复时限作出答复。Designated attorneys shall accept Party As legal consultations at anytime, and both Parties shall contact and confirm through written formormeeting.IncasePartyArequiresPartyBtoprovidewrittenopinions, Party A shall set forth through the methods on contact sheet

23、of legal counsel, and Party B shall reply within the time limit agreed on contact sheet of legal counsel.6.5乙方及经办律师就本协议约定的法律顾问服务费和其他费用以外，无权要求甲方支付任何其他款项，但是如有必要需律师代缴代付予其他机构的费用除外。Party B and designated attorneys have no rights to claim any other fees except the legal services fee and other fees agreed

24、in the contract, however, disbursement is except.6.6乙方或经办律师变更联系信息或其相关执业证明及资格证明发生变更的，应当及时通知甲方。第7页共14页Party B or designated attorneys shall notify Party A immediately in case contact information, other practice certification and qualification certification change.7、甲方的义务 / Obligations of Party A7.1甲方指

25、派公司部先生 /小姐作为与乙方常年法律服务事项的责任人和联系人。PartyAdesignatesMr./Ms.fromdepartmentasworking director and linkman to contact with Party A during the period of long-term legal services.7.2甲方指派的专人应与乙方及经办律师诚实合作，向乙方及经办律师如实提供与案件有关的资料信息、如实陈述与案件有关的情况。TheworkingdirectorandlinkmandesignatedbyPartyAshallcooperate honestly

26、with designated attorneys, providing information and documents and describing the cases according to the facts.7.3如与案件有关的情况和事实发生变化，应及时告知乙方及经办律师。In case the situation and facts related to cases change, Party A shall notify Party B and designated attorneys immediately.7.4如果甲方变更联系信息，应当及时通知乙方及经办律师。In ca

27、se Party A changes contact information, Party A shall notify Party B and designated attorneys immediately.7.5按照约定及时支付律师费和其他费用。PartyA shallpay attorneyfee and otherfee timelyaccordingto thecontract.7.6无论何种情况，甲方向乙方及经办律师提出的要求均不得违反律师职业道德和执业纪律的规定。AnyrequestssetforwardbyPartyAshallnotviolatelawyer sprofes

28、sional ethics and practice discipline under any circumstances.第8页共14页8、双方的职责/ Obligations of Both Parties8.1甲方承诺对所需服务项目的内容真实性承担法律责任，乙方承诺对所提供的服务的合法性承担法律责任。PartyA promisesto take legalresponsibilityforauthenticityof thecontents of the projects; Party B promises to take legal responsibility for legitim

29、acy of the provided services.8.2甲方应该按乙方的合理要求如实提供与乙方完成本合同项下之法律服务有关的书面文件。如因甲方提供的材料不实或有重大错误，致使乙方无法完成委托事项的，乙方不负任何责任。如甲方故意隐瞒事实，乙方有权提前终止本合同，其已收取的法律顾问服务费不予返还。According to Party B s reasonable requests, Party A shall, based on the facts, provide written documents relevant to legal services whichneed to be p

30、erformed by Party B under the contract. In case the documents provided by Party A are not true or the documents are wrong which make Party B fail to complete the commitment timely,Party B shall not take any responsibilities. In case Party A hides the facts on purpose, Party B may terminate the contr

31、act in advance, and the collected attorney fee will not be refunded.8.3乙方对所制作的法律文书的合法性承担法律责任，乙方以甲方名义制作的法律文书在得到甲方认可后，甲方再予使用。Party B shall take legal responsibility for legitimacy of the legal documents made by Party B. The documents which are made by PartyB in the name of Party A shall be used by Par

32、ty A after Party A accepts them.8.4甲方理解，乙方或经办律师向甲方提供的分析、判断和意见，均不可理解为乙方或经办律师就案件和其他法律服务事项作出了成功或胜诉的保证。但乙方应确保所有经律师审核的合同的合法性和有效性，并确保在甲方要求的合第9页共14页理期限内完成各项服务。Party A understands that any analyses, judgments and opinions provided by Party B and designated attorneys shall not be regarded asa guarantee to su

33、cceed or win the cases and any other legal services. However, Party B shall take responsibility for the legitimacy and validity of all the contracts reviewed by Party B and designated attorneys, and ensure to complete all services within Party A s reasonable time limit.9、保守秘密/ Confidentiality9.1甲、乙双

34、方共同承诺，本合同有效期内及期满后，双方应对本合同项下一方向另一方披露的任何数据、文件、资料及其他专门信息进行保密。保密信息不得以任何方式向外界披露，除非获得披露方事先书面同意。It is understood that both Parties shall, during the term of the contract and after the expiration of the contract, maintain the confidentiality ofany data, documents, documentation and other specialized informa

35、tion which are disclosed by one Party to the other under thecontract. The confidential information shall not be disclosed to any other third parties, unless prior written permission is obtained.9.2刑事犯罪证据、可以公开查阅或取得的信息和资料、本协议所约定的服务范围和授权权限的内容等不视为甲方秘密。乙方和甲方另签订有保密协议的，应以保密协议的约定为准。甲乙双方应共同对合同价款保密。The crimin

36、al evidence, the information which can be referred to or obtained publicly, scope of services under the contract and contentsof power of attorney shall not be construed as secrets of Party A. In case both Parties reached Confidentiality Agreement, the contents of Confidentiality Agreement would prev

Both Parties shall maintain confidentiality of the amount of attorney fee.第10页共14页10 、利益冲突/ Interests Conflict10.1乙方及经办律师在提供法律服务时，应当就已经存在的或可能存在的，代理与甲方有利益冲突方的情况如实告知甲方。在发生利益冲突的情况下，甲方有权撤销对乙方或经办律师的授权，乙方有权作出回避的安排或解除本合同。PartyBanddesignatedattorneysshall,duringtheperiodofrendering legal services, hone

38、stly notify Party A the situation, whichhas existed or maybe exist, when Party B or designated attorneys areentrusted by other clients whose interests are in conflict with PartyA s. Underthe circumstancesof interests conflict,PartyA maycancel the authorization towards Party Band designated attorneys

39、;Party B may arrange withdrawal or terminate the contract.11、协议的解除及违约责任/ Termination of Contract and Liability for Breach ofContract11.1甲方需解除本合同时，该解除通知在甲方依照乙方所提供的联系信息而发出的正式函件后7 日内视为送达，送达之日起满一个月时，本合同解除，届时乙方经办律师停止向甲方继续提供法律服务。IncasePartyAintendstoterminatethecontract,noticeoftermination shall be deemed

40、 served on the 7 th day after the date on which it was sent by Party A to the contact address provided by PartyB. The contract will be terminated after one month upon service and Party B and designated attorneys shall stop providing legal services to Party A since then.11.2因甲方要求乙方提供的服务超出法律服务的范围、或者有违

41、国家法律法规的规定和律师的职业道德， 乙方可以拒绝提供服务并有权解除本合同，该解除通知在乙方依照甲方所提供的联系信息而发出的正式函件后7 日内视为送第11页共14页达，送达之日起满一个月时，本合同解除。Party B may refuse to provide legal services and terminate the contract if the services required by Party A fall outside the scope ofthe contract, or the services violate PRC laws, regulations and pr

42、ofessional ethics. The notice of termination shall be deemedthserved on the 7day after the date on which it was sent by Party B tothe contact address provided by Party A. The contract will be terminated after one month upon service.11.3合同生效后，如果甲方未按照本合同约定的付款时间按时支付乙方服务费用，乙方有权按每日0.5 的标准向甲方收取违约金。延期超过15

43、日的，乙方有权解除本协议，但应书面通知甲方。After effectiveness of the contract, Party B may charge Party A 0.5% of overdue fee per day as liquidated damages if Party A fails to pay the attorney fee timely. In case the attorney fee is overdue more than 15 days, Party B may terminate the contract but Party B shall notify Party A in writing.12 、协议的可分性/ Severability12.1本合同中的任何条款如因任何原因导致全部或部分无效，本合同的
