IContractNo:Date:ForAccountof:IndentNo:ThiscontractismadebyandbetweentheSellersandtheBuyers;WherebytheSellersagreetosellandtheBuyersagreetobuytheundermentioned goodsaccordingtothetermsandconditionsstipulated belowandoverleaf:Namesofcommodity(ies)andspecification(s)QuantityUnitpriceAmountTOTAL:%moreorlessallowedPacking:PortofLoading:PortofDestination:ShippingMarks:TimeofShipment: WithindaysafterreceiptofL/C,allowingtranshipmentandpartialshipment.TermsofPayment:By100%Confirmed,IrrevocableandSightLetterofCredittoremainvalidfornegotiationinChinauntilthe15thdayaftershipment.Insurance:CoversallrisksandwarrisksonlyaspertheClausesofthePeople'sInsuranceCompanyofChinafor110%oftheinvoicevalue.TobeeffectedbytheBuyer.TheBuyershallestablishthecoveringLetterofCreditbefore;failingwhich,theSellerreservestherighttorescindthisSalesContractwithoutfurthernotice,ortoacceptwholeoranypartofthisSalesContract,non-fulfilledbytheBuyer,oftolodgeclaimfordirectlossessustained,ifanyDocuments:TheSellersshallpresenttothenegotiatingbank,CleanOnBoardBillofLading,Invoice,QualityCertificateissuedbytheChinaCommodityInspectionBureauortheManufacturers,SurveyReportonQuantity/WeightissuedbytheChinaCommodityInspectionBureau,andTransferableInsurancepolicyorInsuranceCertificatewhenthiscontractismadeonCIFbasis.ForthiscontractsignedonCIFbasis,thepremiumshouldbe110%ofinvoicevalue.Allrisksinsuredshouldbeincludedwithinthiscontract.IftheBuyeraskstoincreasetheinsurancepremiumorscopeofrisks,heshouldgetthepermissionoftheSellerbeforetimeofloading,andallthechargesthusincurredshouldbebornebytheBuyer.Quality/QuantityDiscrepancy;Incaseofqualitydiscrepancy,claimshouldbefiledbytheBuyerwithin30daysafterthearrivalofthegoodsatportofdestination;whileforquantitydiscrepancy,claimshouldbefiledbytheBuyerwithin15daysafterthearrivalofthegoodsatportofdestination.ItisunderstoodthattheSellershallnotbeliableforanydiscrepancyofthegoodsshippedduetocausesforwhichtheInsuranceCompany,ShippingCompany,othertransportationorganizationsand/orPostOfficeareliable.TheSellershallnotbeheldliableforfailureordelayindeliveryoftheentirelotoraportionofthegoodsunderthisSalesContractinconsequenceofanyForceMajeureincidents.Arbitration:Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtoChinaInternationalEconomicAndTradeArbitrationCommissioninaccordancewiththeprovisionalRulesofProcedurespromulgatedbythesaidArbitrationCommission.ThearbitrationshalltakeplaceinBeijingandthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.Arbitrationfeeshallbebornebythelosingparty.Orarbitrationmaybesettledinthethirdcountrymutuallyagreeduponbybo
