-7-CapitalConstructionFundAgreement基本建设投资合同核心提示：CAPITALCONSTRUCTIONFUNDAGREEMENTAddendumNo._________ContractNo._________ADDENDUMTOMARITIMEADMINISTRATIONWITHAAACOMPANYThisAddendumismadebyandbetweentheMaritimeAdministrator(theAdministrator),andAAACompany,acitizenofCAPITALCONSTRUCTIONFUNDAGREEMENTAddendumNo._________ContractNo._________ADDENDUMTOMARITIMEADMINISTRATIONWITHAAACOMPANYThisAddendumismadebyandbetweentheMaritimeAdministrator(theAdministrator),andAAACompany,acitizenoftheUnitedStates(theParty),asanaddendumtothatcertainCapitalConstructionFund(CCF)AgreementContractNo._________(theAgreement).WHEREAS:1.TheAdministratorandthePartyenteredintotheAgreementon_________(M/D/Y),underSection607,MerchantMarineAct,_________(year),asamended(theAct);2.TheAdministratorapprovedtheextensionoftheParty’scommercialpaperprogramundercertainterms;3.ThepartiesheretodesiretoamendtheAgreementtoreflecttheapproval;and4.ThepartiesheretohaveagreedtosaidamendmentanddesiretoincorporatethesameintotheAgreement.NOWTHEREFORE,theAdministratorandthePartyagreeasfollows:I.Effective_________(M/D/Y),theAgreementisamendedtoreflectthefollowingapprovals:(1)theextensionoftheParty’scommercialpaperprogramwithsuchapprovalterminatingonadate_________(year)fromthedateofthelastdepositintotheParty’sCCFaccountoftheproceedsfromtheconstructionofaqualifiedvessel;(2)theextensionoftheunderlyingLiquidityagreementbeyondthecurrent_________(M/D/Y)expirationdatecoincidingwiththedatereferredtoin(1)above;and(3)theincreaseintheParty’scommercialpaperprogramlevelto$,_________millionwithanover-collateralizationrangeof_________to_________percent,suchapprovalsbeingsubjecttotheconditionthatallotherprovisionsrelatingtothecommercialpaperprogramasapprovedbytheAdministratoron_________(M/D/Y),remaininfullforceandeffect(whichprovisionsareprincipallysetforthbelow,asmodifiedtoreflectthemodificationsin(3)above):a.ConsentisgrantedforBBBCorporation(BBB)topledgeassetsheldinitsCCFsub-accountascollateralforacommercialpaperissuebyBBBinconnectionwithconstructingCCFqualifiedvessels,providedtheMaritimeAdministrationissuppliedwithspecificdetailsoftheprogramwhenavailableandthatallsuchdetailsandrelateddocumentsareinaformandsubstancesatisfactorytotheAdministrator.b.ItisarequirementthattheproceedsofthecommercialpaperbedepositedintotheBBBCCFsub-accountwithintheconsolidatedBBBCOHoldings,Incorporated(NHI)CCFaccountorbeusedforaqualifiedprojectandthatCCFwithdrawalswillnotbereimbursedfromthecommercialpaperproceeds.c.Thefundsderivedfromthecommercialpaperprogram(upto$,_________)orsecuritiesacquiredwiththesefundswouldbedepositedintheBBBCCFsub-accountwithintheNHIconsolidatedCCFaccountandthatadditionalCCFfundingofupto_________to_________percentofthecommercialpaperproceedswouldbeprovidedfromBBBinternalfundstocovershortfallsonthecommercialpaperresultingfromthedurationmismatchbetweenthecommercialpapernotesandtheeligibleassets.d.AtthetimeofwithdrawalfromtheCCFaccountforinvestmentinaqualifiedproject,NHIwouldpayoffthecommercialpaperasitbecameduewithnon-CCFfundsandthatinordertomaintainthebankruptcyremotenatureofBBB,thiswouldbeaccomplishedasatechnicalaccountingmatterwithintheconsolidatedfundbyusingfundsfromtheBBBCCFsub-accounttopayoffthecommercialpaperasitbecomesdueandhavingNHIorthePartysimultaneouslyfundtheidenticalamountintotheNHI/NASSCOCCFsub-account.e.PursuanttoSection6(C)oftheAgreement,consentisgrantedtomakeanon-qualifiedwithdrawalintheeventthatthereisadefaultinthepaymentofthecommercialpaperanditbecomesnecessarytorepaythecommercialpaperfromtheBBBCCFsub-accountwithoutcounterbalancingCCFfunding.II.TheAdministratorreservestherighttoreviewhisapprovaloftheParty’scommercialpaperprogramatanytimeafterthefifthanniversaryofthedateofthe_________(M/D/Y)approval,providedthatthePartyhasafullopportunitytoparticipateinsuchreviewandthatanydecisiontoterminatetheprogramarisingfromsuchareviewwouldnotbeeffectiveforaperiodof12monthsfromthedatethatthePartyisnotifiedofsuchdecision.III.Exceptashereinotherwiseexpresslyprovided,theAgreement,asheretoforeamended,shallremaininfullforceandeffect.INWITNESSWHEREOF,thePartieshaveexecutedthisAddendumNo._________infourcounterparts,effectiveasofthedatespecifiedhereinaboveandactuallyonthe_________(M/D/Y).(SEAL)_________(COU
