CONSTRUCTIONMANAGEMENTAGREEMENTThisAgreement,madethisdayofintheyear,byandbetweenCorporationwithitsprimaryofficelocatedat(hereinafterreferredtoasthe“Client”),andcorporationwithitsprimaryofficelocatedat(hereinaftercalledthe“ConstructionManager”).WITNESSETHTheClientandtheConstructionManageragreeassetforthbelow.TheConstructionManagershallprovideservicesinconnectionwiththeTender,DesignandConstructionofthe(hereinafterreferredtoasthe“Project”)andasfurtherdefinedinAppendix1,ProjectDescriptionaspertheplansandspecificationspreparedbyOfficeforMetropolitanArchitecturehereinaftercalledthe“Consultant”).AllinaccordancewiththeTermsandConditionsasstatedherein.TheConstructionManageracceptstherelationshipoftrustandconfidenceestablishedbetweenitandtheClientbythisAgreement.ItcovenantswiththeClienttofurnishitsbestskillandjudgmentandtocooperatewiththeArchitectandotherConsultantsinfurtheringtheinterestoftheClient.ItagreestofurnishefficientbusinessadministrationandtouseitsbesteffortsatalltimesinanexpeditiousandeconomicalmannerconsistentwiththeinterestsoftheClientandtheConstructionManager.ARTICLE1CONSTRUCTIONMANAGER’SSERVICESTheConstructionManager’sserviceswillbeperformedfollowingreceiptoftheClient’swrittenNoticetoProceedforboththeTender,PreconstructionandConstructionphases.TheservicestobeprovidedaregenerallydefinedbelowandfurtherexpressedintheattachedResponsibilityMatrixappendedheretoasAppendix2.PRETENDERPHASESERVICESAssisttheClientinthedevelopmentoftheMethodStatementapproachtoprojectconstruction.AssisttheClientwiththepreparationofRequestsforInformationandinterfacingwiththeConsultantforclarificationontenderdocuments.AssisttheClientwithpricingGeneralConditionswhichwarrantcoveragethroughqualificationtothetendersubmission.AssisttheClientwithdevelopingthesitemobilizationandlogisticsplanincludingsitelayoutplan,trafficflow,utilities,temporarysiteaccommodation,storageandstagingareas.Conductaconstructabilityreview,coincidingwithpreparationofMethodStatement,whichundertakesaValueEngineeringappraisalofthedesignatthetenderstagetoidentifypossiblesavingswhichmayenableanalternativetendersubmissionprovidingadditionalsavings.AssistclientwithIdentifyingforeignmanufacturedmaterialrequirementsandworksrequiredtobecarriedoutbyforeignspecialistsubcontractors;identifyingmanufacturersandcompaniesqualifiedtoprovidematerialsandservicesandobtainpricingforinclusioninthetendersubmission.Uponsecuringtheconstructiongeneralcontractassignment,materialprocurementserviceswillbeprovidedunderaseparatecontractbetweenClientandConstructionManager.ReviewandcommentonClient’sConstructionScheduletobesubmittedwiththetender,includingsitemobilization.ReviewandcommentonClient’sQualityAssurance/QualityControlandSafetyPlanstobesubmittedwiththetender.Asrequired,reviewandcommentontendernegotiationsandfinalizationofconditionsrelatingtotenderqualificationsandtenderalternativesandtheirincorporationintocontractawarddocumentation.PRECONSTRUCTIONPHASESERVICESReviewandcommentonconstructionteamorganization,managementstructuresandsystemstoenhanceadisciplinedapproachtowardscommunication,coordinationandcontrolforthedurationoftheproject.Monitor,reviewandcommentontheClient’sMasterScheduleduringthePreconstructionPhaseoftheProject.ProvideperiodicreportsastothestatusoftheworkwithrespecttotheClient’sProjectSchedule.AssisttheClientinpreparingaWorkScheduleforthespecialtypackagesincoordinationwiththeClient’sMasterSchedulefortheremainingwork.AssisttheClientwithdevelopingaScheduleofValueincoordinationwiththeProject’sBudgetEstimate,MasterScheduleandanticipatedmanpowerproductivityoftheprojectchartedtotheplannedandactualcashflow(workinplace)andmanpowerrequiredeachmonthtocompletetheprojectasplanned.ReviewandcommentonbudgetestimatespreparedbytheClientrelativetothedevelopmentoftheConsultant’sdrawingsandspecifications.AdvisetheClientifitappearsthatthebudgetedtargetsfortheProjectand/orcompletiondatewillnotbemet.AssistClientwithdevelopingcashflowstudies,costcontrolproceduresandreportingsystems.AssistClientwithdevelopinganApplicationforPaymentprocedureandsystem.AssistClientwithpreparationofcomparativecostanalyses,andinconcurrencewiththeConsultants,suggestalternativeproducts,methods,systems,andapproachestoensurethecosteffectivenessofvariousprojectcomponents.AssistClientwithdevelopingaProjectManagementControlSystem(PMCS)toestablishacomprehensiveandintegratedoverallmanagementtoolthateffectivelyaddressestheProject’sdataanddocumentation,includingtheschedule,cost/financialandadministrative/communicationaspectsofanyproject.ReviewtheArchitectural,Civil,Mechanical,Electrical,andStructuralDesignDrawingsandSpecificationsastheyarebeingdevelopedbytheConsultants,andassisttheClientindevelopingprocessesandproceduresinregardtoConstructabilityReviews;CoordinationofShopDrawingsandspecifications,andevaluationofcompletenessandareasofconflictandoverlapintheworktobeperformed;Reviewofdrawingandspecificationissuanceswiththedesignteam;Recommendationofpeerreviews,forexampleonthestructuralsystemalongwithothers;PreparationofRequestforInformationTeamreportingproceduresnotingspecifically,scopeofwork,documentationmilestones,follow-uprequirements,andconstructionapproaches.SpecialtysubcontractorpackagestocoordinatewiththeConstructionMethodology,prepareasectionbysectiondefinitionofscopeclarification.(“AssumptionsandQualifications”).AdviseandmakerecommendationstotheClientwithrespecttosuchfactorsas:constructionfeasibility,alternatesystems,possibleeconomies,availabilityofmaterialsandlabor,timerequirementsforprocurementandconstruction,completenessofdocuments,coordinationofallparties,andProjectcosts.AsConsultant’sdocumentationprogresses,adviseClientonchangestotheConstructionMethodology,inclusiveofrequirementsforsitelogistics;traffic;safety,healthandenvironmentalprograms;qualityassuranceandqualitycontrolprogram;andforequipment,materialsandservicesforcommonuseoftheConsultantsandSubcontractors.AssistClientindevelopingprocurementstrategyandidentifymeanstoexpeditetheprocurementoflong-leaditemstofacilitatetheirdeliverybytherequireddates.MakerecommendationstotheClientregardingthedivisionofworkintheplansandspecificationstofacilitatethebiddingandawardingofspecialtysubcontracts,takingintoconsiderationsuchitemsas:timeforperformance,availabilityoflabor,qualificationsoflocalcontractors,overlappingtradejurisdictions,provisionsfortemporaryfacilities,etc.ReviewandcommentontheClient’sGeneralandSpecialConditions.Reviewandcommentonspecialtytenderpackagesandprocurementplans,recognizingparameterssetbytheproject’ssourceoffunds,inadditiontothelocal,regionalandinternationalconstructionmarketconditions.Assistclientwithdevelopingascheduleforpurchaseofmaterialsandequipmentrequiringlong-leadtimeprocurement,andcoordinatetheschedulewiththeContractDocuments.AssistClientindevelopingariskmanagementprogram.ConstructionManagershallsupportanyoftheOwner’sorClient’smarketingandpublicrelationsinitiativesasrequestedandattheappropriatetimes.ConstructionManagerwillnotundertakeanymarketingorpublicrelationsactivitiesrelatedtothisProjectoritsOwner,withoutfirsthavingreceivedpermissionfromboththeOwnerandtheClient.CONSTRUCTIONPHASEAsexplainedbytheClient,theOwner’sgeneralcontractingtenderprocessshallbeseparatedintotwopackages.TosupporttheClient’sstrategicpricingstrategytosecurePackage1,theConstructionManagerandClientagreethattheconstructionmanagementstaffasdefinedinAppendix4arenotforthetotalprojectduration,andstipulatethatuponsecuringbothPackage1andPackage2,theClientandConstructionManageragreetonegotiateadditionalservicesrequiredtodelivertrueconstructionmanagementservicesaccordingtotheProjectrequirementsandtheClient’sparameters.ThestaffdefinedinAppendix4shallprovidetheservicesdefinedherein,alltosuittheschedulerequirementsoftheProjectasfurtherdefinedinAppendix3.AttendprogressmeetingsatwhichOwner,Client,ConsultantsandConstructionManagercandiscussjointlysuchmattersasprocedures,progress,problems,siteactivities,andscheduling,andtoestablishstatusandaccountabilityfornecessarytimelyactionforsuchmatters.ProvideregularmonitoringoftheProjectBudgetasconstructionprogresses.Identifypotentialvariancesbetweenestimatesandprobablecompletioncosts.BasedupontheawardofConstructionContracts,reviewandcommentontheProjectSchedulefortheoperationsofContractorsontheProject,includingrealisticactivitysequencesandduration’s,allocationoflaborandmaterials,processingofshopdrawingsandsamples,anddeliveryofproductsrequiringlong-leadprocurement;includingoccupancyrequirements.ProvideregularmonitoringoftheProjectScheduleasconstructionprogresses.Identifypotentialvariancesbetweenscheduledandprobablecompletiondates.Reviewscheduleforworknotstartedorincompleteandrecommendadjustmentsinthescheduletomeettheprobablecompletiondate.Providesummaryreportsanddocumentallchangesintheschedule.ReviewandadviseontheClient’simplementationofthePMCSandstructuredevelopedduringthepreconstructionphase.Asrequired,assisttheClientwithRequestsforInformationtotheConsultantsrelatingtodesignandinterpretationofdesignandfollowup.ReviewandcommentontheClient’sapproachtowardsestablishingprocedurestobefollowedforexpeditingandprocessingbytheConsultantsofshopdrawings,materialsubmissions,samples,etc.AssistwithprocurementactivitiesasdefinedintheProcurementPlanestablishedduringthepreconstructionphase,inadditiontoregularlymonitoringprogressrelativetotheMasterSchedule.TheConstructionManagerwillmonitortheconstructionprogressandadvisetheConsultantsonidentifiedqualityoftheworkissuesrelativetotheconstructioncontractdocuments.TheConstructionManagerwillendeavor,withtheClient,toguardagainstdefectsanddeficienciesintheWork.TheConstructionManagerwillnotberesponsiblefortheClient’sconstructionmeans,methods,techniques,sequencesorprocedures,orforsafetyprecautionsandprogramsinconnectionwiththeWork.NosuchdutyorresponsibilityshallgiverisetoanyseparatedutyorresponsibilitytotheClient,othercontractors,oranymaterialsuppliers.ReviewandcommentontheClient’sprogramsrelatingtosafety,qualityassuranceandqualitycontrol,andprogressreports.Asrequired,reviewapplicationsforpaymentbythespecialtysubcontractors,otherContractorsandmaterialsuppliers,inaccordancewiththetermsofthecontract.RecordtheprogressoftheProject.SubmitmonthlywrittenprogressreportstotheClientincludinginformationontheGeneralContractor,othercontractorsandsuppliers,thepercentageofcompletionandthenumberandvalueofchanges.InaccordancewittheRiskManagementPlanestablishedduringthepreconstructionphase,ConstructionManagerwillassistwithteammeetings,therespectiveresponseplansand/orcorrectiveactionplans,inadditiontoupdatingthePlanwithnewitemsandconcerns.Asrequired,ConstructionManagermayreviewandcommentontheCorrectiveActionPlans.ADDITIONALSERVICESThefollowingadditionalservicesshallbeperformedbytheConstructionManageruponauthorizationinwritingbytheClientandshallbepaidonthebasisofreimbursableexpensesandanequitableadjustmenttotheConstructionManager’sfeetobeagreedbetweentheClientandtheConstructionManagerpriortotheperformanceofanyoftheseservices.Theservicesdefinedhereinarenotintendedtobeanallinclusivelist.Provideservicesrelativetotheclose-outandcommissioningoftheProject.ProvideservicesasmayberequestedbytheClientrelatedtotenancyorrentalspacesFurnishconsultationandrecommendationtotheClientonreplacementofworkdamagedbyfireorothercausesduringconstruction,andfurnishcoordinationservicesforthereplacementofsuchwork.ProvideconsultationservicesmadenecessarybythedefaultofaContractor.InvestigateandadviseonreplacingaContractorasrequiredtocompletethework.Ifrequired,serveasawitnessinconnectionwithanypublichearing,arbitrationproceeding,orlegalproceeding.RecommendarrangementsforservicesrelatedtoworkitemsrequiredbytheConditionsoftheContractandtheSpecificationswhicharenotprovidedbytheContractors.MonitorthereviewofshopdrawingsandsamplesbytheConsultantsoutsidetheimmediatevicinityoftheProjectsite.ProvideservicesrelatedtoClientfurnishedFF&EitemswhicharenotpartoftheProjectscope.Provideinspectionsof,andservicesrelatedtotheProjectaftertheendoftheConstructionPhase.ProvideanyoftheservicesrequiredtobeprovidedbytheClientunderArticle2hereof.ProvideanyservicesnototherwiseincludedinArticle1hereof.ARTICLE2THECLIENT’SRESPONSIBILITIES2.1 TheClientshallprovideontime,accurateandsufficientinformationasmayberequiredbytheConstructionManagerregardingitsrequirementsfortheProjecttoenabletheProjecttobedesignedandconstructedinaccordancewithsaidrequirements.2.2 TheClientshalldesignatearepresentativewhoshallbefullyacquaintedwiththeprojectandwhoshallhavetheauthoritytorenderdecisionsonbehalfoftheClientandseetoitthattheClient’sinformationisfurnishedinanadequateandtimelymanner.2.4 TheClientshallarrangewithgovernmentofficialstoensurethatallimportpermitsareissuedtominimizeanydelayofimportinggoodsintothecountryinwhichtheProjectislocated.2.5 TheClientwillassistintheobtainingoflaborpermits,visas,andcertificatesofresidencyforallstaffrequiredbytheConstructionManager.Inaddition,theClientmayberequiredtoobtainotherpermitsorgovernmentauthorizationrequiredforthework.2.6 TheClientshallenterintoallcontractsforconstructionandforClient-purchasedmaterialsandequipmentandmakepaymentsdirectlyforthesegoodsandservices.2.7 TheClientshallprovidetheConstructionManagerworkspaceintheProjectofficeattheProjectSitecompletewithparkingfacilities,airconditioning,furnishings,equipmentandcommunicationsfacilitiestoiletfacilities,storeareas,andmeetingroomsasrequiredandlocalstaffifrequiredandasmutuallyagreedwiththeConstructionManager.TheClientshallalsoprovidefortelephoneequipmentandinstallation,power,water,andotherutilities,aswellasallnecessarycomputerinfrastructure(s)tosupporttheinformationsystemfortheProjectincludingallhardwareandsoftware.TheseshallbeusedforProjectrelatedbusinessonly.ForanyClientapprovedbusinesstravelbyairorrailfortheConstructionManager’sstaffdirectlyrelatedtotheProject,airtravelshallbeviaBusinessClassandrailtravelshallbeviaFirstClass.ThecostsandexpensesrelatedtothisArticle2shallbebornebytheClientdirectlyandarenotincludedintheConstructionManager’sreimbursablecostsandexpensesorfee.TheClientshallassisttheConstructionManagerinobtainingsuitablelocallivingaccommodationsfortheConstructionManager’sexpatriatestaff.LocalaccommodationforthisstaffisprovidedbytheClientorfullyreimbursedbytheClient.LocaltransportationfortheConstructionManager’sexpatriatestaffisprovidedbytheClientorfullyreimbursedbytheClient.2.2 OPTIONALCLIENTRESPONSIBILITIES2.2.1 TheClientmaybeaskedtopaydirectlythecostofWesternStylefurnishedaccommodationsandforutilitiesfortheConstructionManager’sexpatriatestaff.HemayalsobeaskedpaythecostsofautomobilesthetypeofwhichistobemutuallyagreedwiththeConstructionManageraswellasalloperatingexpenses.ARTICLE3REIMBURSABLECOSTSANDEXPENSESTheConstructionManagershallbereimbursedbytheClientforthefollowingcostsandexpensesincurredbyitinperformingtheservicesprovidedforunderthisAgreement:3.1 AllpaymentstothirdpartiesforworkorservicesontheProjectwiththepriorapprovaloftheClient.3.2 OtherjustifiabledirectcostsandexpensesnotspecificallysetforthhereinwhichareincurredbytheConstructionManagerinrespectoftheProjectwiththepriorapprovaloftheClient.3.3 ThefeeunderthisAgreementexcludesanysales,VAT,orsimilartaxesordutiesinthehostcountry.IfitisdeterminedundertheNationaltaxlawsinthiscountrythatanyinvoiceissuedtotheClient,oranyConstructionManagercostissubjecttosuchtaxes,theClientwillreimbursetheConstructionManagerforsaidtax,ifapplicable.reimbursementwillbemadewithinthirty(30)businessdaysfromthedatetheliabilityarises.Ifpaymentisreceivedafterthirty(30)businessdays,interestwillbechargedfromthedatetheoriginalpaymentwasdueandcontinueuntilthepaymentisreceivedbasedontheCitigroupNewYorkprimerateplusonepercent(1%).3.4 Allreimbursablecostsandexpensesshallbereimbursableatactualcostplus15%andshallbeevidencedbyadequate,trueandaccuratedocumentation.ARTICLE4CONSTRUCTIONMANAGEMENTFEE4.1 TheConstructionManager’scompensationforservicesrenderedduringthetenderphaseshallbecalculatedaccordingtothefollowingrates:Staff/DuuratioonDailyRaatesDurationnConstrucctionManaggerUS$7501monthPreconsttructiion/DeesignCoorddinatiionMaanagerr7501monthMEPManaager5001monthProcuremmentEEngineeer3501monthThefollowingtermsapplytothe“TenderPeriodRates”.1)RoundtriptravelexpensestoP.R.ChinaarefullyreimbursablebytheClient.AirtravelshallbeviaBusinessClass.2)Traveldaysaretobecalculatedasworkdays.3)LocalaccommodationsandtravelareincludedintheDailyRates.4)ThefeeistobepaidinUSDollarsandpaidintoanaccountdesignatedbytheConstructionManager.4.2 Forfulltimeconstructionmanagementservicesrenderedduringthepreconstructionandconstructionphases,andpursuanttothisAgreement,theConstructionManagershallbepaidafeeintheamountof:USDollars$2,655,000.ThefeeistobepaidinUSDollarsandpaidintoanaccountdesignatedbytheConstructionManager.StaffRatesStaff/DuuratioonManMontthsRaatesManMontthsConstrucctionManaggerUS$40,000024MEPManaager35,00024ProjectEnginneer35,000244.3 TheConstructionManager’scompensationshallbesubjecttoequitableadjustmentsifthefollowingsituationisrealized:ThenumberofmanmonthsofserviceincreasesfromtheoriginallyagreedtolengthofserviceorchangesinthescopeofworkoranyothercausesbeyondthecontroloftheConstructionManagerinwhichcasetheClientwillpayreviseddirectcoststoadjustforinflationand/orescalation,asagreedtobyboththeConstructionManagerandClient.Inadditiontotheaboveratesfordirectcosts,HomeTheClientshallalsoberequiredtopayforadditionalhomeleaves;R&Rs,etc.asaresultofanyadditionalmanmonthsofservice.ARTICLE5PAYMENTS5.1 TheConstructionManager’sfeeforservicesdefinedhereinshallbeinaccordancewiththePaymentScheduleattachedheretoasAppendix5.IncludedinthispaymentscheduleistherequirementofanAdvancePaymentintheamountoffifteenpercent(15%)ofthecontractamount..Paymentsshallbemademonthlynotlaterthanthirty(30)daysafterpresentationoftheConstructionManager’sinvoice.Anynonsubstantialerrorordiscrepancyinmonthlyapplicationswillnotpreventprocessingforpaymentwithinthe30daytimescale,withanynecessaryadjustmentsbeingeffectedtothesubsequentmonth’spayment.5.3 TheTurnerConstruction-InternationalLLCemploymentpolicymandatesthatallexpatriatestaffareentitledtoone(1)month’sleaveandR&Rwithinanytwelve(12)monthperiod.NodeductionswillbemadefromtheManagementservicesfeestipulatedaboveorestablishedmonthlyservicespaymentswhenstaffareabsentfromsiteonleaveoronR&Randpaymentswillcontinuetobemadeasifsuchstaffwereactuallyonsite.AllhomeleavesandR&R’sarerequiredandareinboththeClient’sandConstructionManager’sinteresttomaintainthepeakproductivityandefficiencyofthisstaff.Absencesfromstaffonleaveand/orR&RwillbeorganizedtominimizeanydisruptionstoworkandactivitiesonthesitebutnotemporaryorshorttermreplacementstaffwillbeprovidedbytheConstructionManager.5.4 PaymentsforallreimbursablecostsandexpensesshallbemadeuponmonthlypresentationoftheConstructionManager’sinvoice.5.5 NodeductionsshallbemadefromtheConstructionManager’scompensationonaccountofpenalty,liquidateddamages,consequentialdamages,orothersumswithheldfrompaymentstoContractors,taxes(includingPersonalIncomeTaxes,orwithholdingtaxes),oranyclaimsagainsttheConstructionManager.5.6 PaymentsduetheConstructionManagerthatareunpaidformorethanthirty(30)daysfromthedateoftheConstructionManager’sinvoiceshallbearinterestattheCitigroupNewYorkprimerateplusonepercent(1%).5.7 IftheProjectissuspendedformorethanaperiodofsixty(60)daysorabandonedinwholeorinpart,theConstructionManagershallbepaidforitsservicesperformedpriortoreceiptofwrittennoticefromtheClientofsuchsuspensionorabandonmentandallexpensesandfeesincludingthecostsofdemobilizationasiftheAgreementhadbeenterminatedbytheConstructionManagerasdefinedinArticle5.5.8 ShouldsuspensionorinterruptionoftheProjectcontinueforaperiodofthree(3)monthsorshouldseveralsuspensionsand/orinterruptionscumulativelyadduptothree(3)monthsandtheOwnerthenwishestoresumetheProject,andshouldtheConstructionManageragreetoresumeperformance,theConstructionManagerwillbereimbursedforanyadditionalcostsincludinganyre-mobilizationsordemobilizationwhichmayhavebeenincurredasaresultofthesuspensionand/orinterruptions.ARTICLE6TERMINATIONOFAGREEMENT6.1 ThisAgreementmaybeterminatedbyeitherpartyupon45dayswrittennotice,shouldtheotherpartyfailsubstantiallytoperforminaccordancewiththetermsofthisAgreement.IntheeventofterminationbytheConstructionManager,theConstructionManagershallbepaiditsfeeascalculateduptothedateofterminationplusallreimbursablecostsandexpensesincurreduptothedateofterminationplusallterminationexpenses.TheConstructionManagermayterminatethisAgreementonlyiftheClientmateriallybreachesthisAgreement.IntheeventofterminationbytheClient,theConstructionmanagershallbepaiditsfeeascalculateduptothedateofterminationplusallreimbursablecostsandexpensesuptothedateofterminationplusallterminationexpenses.ARTICLE7SUCCESSORSANDASSIGNS7.1 Eachpartyheretobindshimself,hispartners,successors,assignsandlegalrepresentativestotheotherpartytothisAgreementandtothepartners,successors,assigns,andlegalrepresentativesofsuchotherpartywithrespecttoallcovenantsofthisAgreement.NeithertheClientnortheConstructionManagershallassign,sublet,ortransferhisinterestinthisAgreementwithoutthewrittenconsentoftheother.ARTICLE8DISPUTERESOLUTIONArbitration8.1 TheClientandConstructionManagershallendeavortoresolveclaims,counterclaims,disputes,andothermattersinquestionamongstthemselves.However,allclaims,disputesandcontroversiesarisingoutoforrelatingtotheperformanceofthisAgreementwhichcannotbesettledamicablybymutualagreementofthepartieswithinninety(90)daysshallbesubmittedtoarbitrationinaccordancewiththeprevailingexistingrulesoftheInternationalChamberofCommerce(ICC)unlessmutuallyagreedotherwise.TheproceduralandsubstantivelawappliedbythearbitratorsshallbethelawsofTheUnitedStatesofAmerica.AllcostsofthearbitrationproceedingsunderthisArticle8shallbeborneequallybytheparties;eachpartyshallbearitsowncostsinrespecttotheproceedings,unlessotherwiseagreedtoinwriting. TheConstructionManagershallcontinuetocarryoutitsresponsibilitiesunderthisAgreementduringanydispute,andtheClientwillcontinuetomakepaymentsinaccordancewiththisAgreementexceptthattherightofterminationunderArticle6.1hereofshallnotbeaffected.8.2 Theawardrenderedbyalloramajorityofthearbitratorsshallbefinal,andjudgmentmaybeentereduponitinanycourthavingjurisdictionthereof,andtheawardwillnotbesubjecttomodificationandappeal.InnoeventshallArticle8beconstruedasconferringuponanycourttherighttoreviewanysuchawardonitsmerit.8.3 TheConstructionManagershallnot,atanytime,beliableforanyspecial,incidentalorconsequentialdamages,includingbutnotlimitedtolossofprofits,lossofrevenue,lossofuse,lossofcapital,oranyotherloss,whetherbasedoncontract,tort,negligence,strictliability
