GENERALTERMSANDCONDITIONSArticle1PartAandPartBherebyundertaketo,inpursuanceofrelevantprovisionsoftheContractLawofthePeople’sRepublicofChina,sign,observeandtobeboundbythegeneraltermsandconditionsagreedhereunderthroughequitableconsultationsinrespectofapplicationfieldbyPartAwithPartBforconformanceandeffectauditofPartyA’sbyPartB.QUALITYMANAGEMENTSYSTEMENVIRONMENTALMANAGEMENTSYSTEMOCCUPATIONALHEALTHANDSAFETYMANAGEMENTSYSTEMHACCPSYSTEMQS-9000QUALITYMANAGEMENTSYSTEMISO9001+KBAArticle2Thescopeofauditagreedhereunderis________________________________________________________________________________________________________________________________________________Aboveinformationmaybeadjustedaccordingtoon-siteaudit.Article3Theauditcriteriaagreeduponbybothpartiesheretoisdeterminedonthebasisof:ISO9001:ISO14001:GB/T28001-INTERNATIONALFOODCODECodexGeneralPrincipleofFoodHygieneCAC/RCP1-1969,Rev.3(1997);GuidelinesfortheApplicationoftheHACCPSystemAnextoCAC/RCP1-1969,Rev3(1997).QS-9000:the3rdedition/ISO900:94CQCwillcarryoutcertificationworkonthebasisofRequirementofQualityManagementSystem/QS-9000:the3rdeditionappendixB—ImplementationCriteriaofQualityManagementSystemCertificationAgency.PartA’ssystemmanualandrelevantdocumentsonthebasisoftheabovestandardsRelevantlawsandregulationsOtherArticle4Auditfeesaredeterminedonthebasisoffeestructureapprovedbyrelevantauthorities.Fulldescriptionofsuchfeesisprovidedinthecertificationconfirmedbybothpartiesandattachedhereto.TravelcostsincurredbyorconnectionwithauditworkshallbebornebyPartyA.Article5Feesaresettledby:1.Firstaudit/re-audit:settlementbeforeaudit,settlementafteraudit.2.Surveillancefeesshouldbesettledbeforeeachsurveillanceaudit.Specificfeessee”QuotationofManagementSystemCertification”.Article6RightsandDutiesofPartyA:1.Abidebytherelevantregulationsofcertificationfrombeginningtoend;2.Establishandimplementadequatelytherelatedsystem;3.Atleast3-monthimplementationofthesystem,bepermittedtoauditpractically;4.SubmittoPartyBrelevantmanagementsystemmanualanddocuments;5.Effectpaymentoffeesinpursuanceoftermsandconditionshereof;6.ProvidePartyBwithworkingconditionsrequiredbyaudit;7.SubmittoPartyBaccurateandadequateinformationandrecord;8.Obtaincertificateifqualified;9.Usecertificateandlogothereofinaappropriatemanner;10.NotdamagePartyA’sreputationintheperiodofpropagatingthecertificationresult;11.AttherequestofPartyB,submittoPartyBallreceivedrecordsofcomplainsandrecordsofcorrectiveactionadoptedinaccordancewiththerequirementsofsystemstandardsorotherstandardizeddocuments.Onthereceiptofacomplain,PartyAshouldestablish,andwhereappropriatereporton,thecauseofthenonconformity,including(orpredisposing)factorswithinPartyA’ssystem.12.Maintaintheintegrityandconsistencyofitsmanagementsystemafterobtainingcertificates;13.AttherequestofManagementSystemStandardsorlawsandregulations,receivethewitnessauditimplementedbytherelatedorganizationsandsubmittothemtheneededinformationandreport.14.Withinthetermofvalidityofcertificate,receiveandsurveillanceofPartyB;atthesametimepayforthesurveillancefeesaccordingtotherelatedregulations.Article7RightsandDutiesofPartyBareto:1.Strictlyabidebythelawsandregulationsregardingmanagementsystemcertification,andsupplyPartyAwithcertificationserviceobjectivelyandjustly;Whereapplicable,provide,infavorofPartyA,qualificationdocumentand/orrelatedpublicdocuments;Assignqualifiedauditteamtocarryoutauditworkaftersigningcontract;Issuewithoutdelaydocumentsreviewreport;5.ProvidewithoutdelayauditplantoPartyA,carryoutsuchplanwithintimeframedefinedthereinandissuethereafterauditreport;Observeobjectivenessandconfidentialitydeclaration;Whereapplicable,issuewithoutdelaycertificateinfavorofPartyA,andpublishthenameofPartyAinamassmedium;Carryoutregularsupervisionandre-audit&certificateworkinrespectofPartyA’ssystemaftertheissuanceinfavorofPartyA.Article8AuditworkmaysubjecttoPartyA’sconsent,besuspendedifamajornonconformitythatwillsufficetodisqualifyPartyAforrecommendationforcertificationregistrationisidentifiedintheprocessofaudit,andwillberesumedifPartyAhastakeneffectivecorrectiveactionsinrespectofsuchitemofnonconformity,providedalwaysthatrelatedfeesorexpensesshallbebornebypartyA.Article9IfPartyArequeststoterminateanauditworkpriortothecompletionthereof,PartyAshallbeboundtopayinfulltheauditfees,unlesssuchrequesthasbeenmadeonrelianceofPartyB’sliability.Article10Afterthefollow-upverification,iftheauditteamofPartyBfindsthatsystemofPartyAisincompliancewithrelevantnormsandqualifiedforcertification,itshallrecommendPartyAforcertificationregistrationwithin30daysfromsuchfindingandshall,uponqualificationassessmentandapprovaltherefore,issueCertificateinfavorofPartyA.PartyBshallpublish,onaregularbasis,thenameofPartyAinamassmedium.Article11ShouldPartyAhaveanyobjectioninrespectoftheauditwork—auditprocesses,auditbehavior,orauditresult,itmayfindsolutionthroughconsultationwiththeAuditCenters,CQC,ortheGoverningBroadofCQCwithin30daysaftertheon-siteaudit.Andmay,ifstillnotsatisfiedwiththedecisionofsaidorganizations,fileapetitionforreconsiderationwiththeChinaNationalBoardforCertifiers.Article12Shouldanyofthefollowingcircumstancesoccurwithinthetermofvalidityofcertificate,PartyAshallcompletetheapplicationforadditionalaudit,change,suspensionorwithdrawofrelevantcertificateandrelatedformalities:Significantchangeofthesystem,includingorganizationalstructure,basicestablishmentandoperationalprocedure;Thecertificatedorganizationgoesintoliquidationorownershipshifts,includingincorporation,purchaseorjointventureoftheorganization;(applicableforQS-9000,violationagainstthisitemwillberegardedasamajornonconformity,andanadditionalon-siteauditshouldbeimplementedwiththerelevantfeespaidbyPartyA)SignificantaccidentofQuality/environment/securityhappens,andtherelateddisposalactions;Significantcomplainsfromclients/interestedparties;Validityofthesystemdeclinesresultedfromjob-hoppingofimportanttechnicalormanagerialpersonnel;Recallanddisposalofrejects;(applicableforHACCP)Otherincidentsinfluencingfoodsafety;(applicableforHACCP)Varietalchangeofproductsinthecertificationscopedescribedwith”productsort”.Informationofthechangesofapplicablelegalrequirements;PartAreceivedtheinformationof”abolishmentofQ-I”,”awaitingimprovement”and”qualityreservationofnewoperation”ThreeMajorAutoCorporations.(applicableforQS-9000)Otherimportantinformation.Article13IfPartyArequeststochangethecontentofitscertificate,PartBwilladvisePartAtotakenecessarymeasureswithinonemonthfromthereceiptofsuchrequest,andcarryoutrelevantauditwork.Article14Shouldanyofthefollowingcircumstancesoccurduringthetermofvalidityofcertificate,PartyBshallsuspend,onthebasisofrelevantrules,theuseofsuchcertificateandshallrequestPartyAtotakecorrectiveactionsforsuchcircumstancewithinatimeframe,andshall,ifsatisfiedwiththeresultofPartyA’scorrectiveactions,notifyPartyAofpermittingtocontinuetousesuchcertificate:1.PartyAfailstoclearanynonconformityidentifiedintheprocessofauditwithinanagreedperiod;2.PartyAfailstopayfeesofaudit,surveillanceoranyotherexpensesinduecourseoftime;3.PartyAcomplainthasbeenfiledagainstPartyAoranaccidenthasoccurred,duetoPartyA’sfault,without,however,causingseriousconsequencesofproductquality,environmentalimpactoroccupationalhealthandsafety,etc.;and4.PartyAfailstohaveitselfsupervisedbyPartyBinduecourseduetoitsownfault.Article15Underanyofthefollowingcircumstances,PartyBshallwithdrawPartyA’squalificationforcertificate/register:1.PartyAfilestheapplicationforsuchwithdraw;2.PartyAfailstotakecorrectiveactionsupontheexpiryofthetermasdefinedinArticle14hereof;3.PartyAfailstoapplyforreassessmentandchangeofcertificateupontheexpiryofthevaliditythereof;4.PartyAhascausedaccidentwhichleadtoseriousconsequences;5.PartyAviolatesthecontractofbothsides,orstrictlydamagesPartyB’sreputation.Article16PartyBundertakestoobserveconfidentialityinrespectofanyinformationoranydocumentnotfitforpublicdisclosureofPartyAthatcomesormaycometoitsknowledgeintheprocessofauditwork.Article17Eitherpartyheretohastherighttonotifytheotherpartytomodifyordissolvethiscontract.Noticeoragreementtothatendshallbeinwritinginadvance.Article18Eitherpartyshall,duringthetermofthiscontract,indemnifyandholdharmlesstheotherpartyagainstanylossorliabilityarisingoutofitsownliability.DetailsforIndemnificationshallbedeterminedbybothpartiesthroughconsultations.Article19PartyBwillmakethejudgmentaccordingtothecollectedrepresentativeobjectiveevidencethroughon-siteaudit;ifthelossiscausedbyPartyA’simplementationviolatingthemanagementsystemorpartyA’sfault,itwillbePartyA’sliability.Article20Anydisputearisingoutoforinconnectionwiththiscontractwillberesolvedthroughamicableconsultations,andshall,intheabsenceofasatisfactoryaward,bebroughtbeforeacompetentcourtofthePeople’sRepublicofChina.Article21Thecontractbecomesvaliduponexecutionofsignatureandsealbybothparties,andinvalidwhenthecertificateisabolished.Beforethetermofvalidityofcertificateisdue,PartyBwillimplementre-auditforPartyA,andtherelatedfeesshallbeensuredbybothpartiesthroughnewquotation.Article22Anymatternotcontemplatedhereinshallbedeterminedbybothpartiesheretouponmutualagreementbywayofsupplementaryagreement.Thesupplementaryagreementshallhavethesameeffectandforceasthiscontract.Article23Thiscontractismadeintriple,witheachpartyholdingonecopythereof,andoneadditionalcopyreservedforPartyBforaccountingpurposes.PartyA:PartyB:Address:AccountName:Telephone:OpeningBank:Fax:AccountNumber:Authorizedsigner:Authorizedsigner:(seal)Signature(seal)SignatureDate:Date:AttachmenttothegeneraltermsandconditionsofcontractfortheQMS-KBAcertificationAdditionalrequirementsaccordingtoKBAAprerequisitefortheissueofthesecertificatesisanexistingsystemaccordingtoISO9001andisbeingauditedatthesametime.TheKBArequirementstakeintoconsiderationtheRoadTrafficLawsaccordingtoRREG
