外籍专家聘用合同(中英文)

外籍专家聘用合同EMPLOYMENTCONTRACTOFFOREIGNEXPERT一、科技有限公司聘请德籍WolfgangKrautter(外文姓名)为技术总监，护照号码： 。双方本着友好合作精神，自愿签订本合同并保证认真履行合同中约定的各项义务。Article1TechnologyCo.,Ltd.agreestoemployWolfgangKrautter,whoisofGermannationalityandwhosepassportnumberis ,toserveasitsChiefTechnologyOfficer.Thetwoparties,inthespiritoffriendshipandcooperation,agreetoenterintothisContractandfulfilltheliabilitiesandobligationsagreedherein.二、合同期共12个月，自2012年7月10日起至2013年7月10日止。受聘方的试用期为60天，在试用期内，聘方如发现受聘方健康状况或专业水平等不能胜任本聘用合同规定的工作任务，有权解除合同，且无须向其支付任何违约金或补偿。Article2ThetermofthisContractshallbe12months,fromJuly10,2012toJuly10,2013.TheprobationperiodforEmployeeis60days.Withintheprobationperiod,incaseEmployerfindsEmployeeincompetenttothetasksstipulatedhereinduetohishealthconditionorprofessionalcapability,EmployershallbeentitledtorescindthisContractwithoutobligationtogiveEmployeeanyliquidateddamagesorcompensation.三、受聘方的工作任务Article3TasksofEmployee1)员工品质观念的提升和技术培训PromotingEmployee'sawarenessonqualityandtechnicaltraining;品质控管体系的建立，品质的提升，达到德国标准EstablishingqualitycontrolsystemandenhancingthequalitytomeetGermanStandard;精密附件和双层冠的技术指导Technicalinstructionsonpreciseaccessoriesanddoubledentalcrowns;过程技术难点的攻克4)Overcomingthechallengeofprocesstechnology;技术管理和技术仲裁5)Technologymanagementandtechnologyarbitration;6)降低公司的重作率和过程返工返修率Loweringtheremakingrateandbackrepairrateforthecompany;7)优化工艺流程，提高工作效率Improvingtheprocessflowandenhancingtheworkefficiency.四、受聘方的月薪为欧元4500元，月工作时数为187小时(不含用餐时间,以30天/月，8.5小时*5天*4周+2天*8.5小时)，每小时工资为24欧元。(受聘方应当按照《中华人民共和国个人所得税法》依法交纳个人所得税)Article4ThemonthlysalaryforEmployeeis4500Euros.Themonthlyworkinghoursshallbe187hours(excludingthehoursformeals,30daysamonth,8.5hours*5days*4weeks+2days*8.5hours),andthewageforeachworkinghouris24Euros.EmployeeshallpaytheindividualincometaxaccordingtotheIndividualIncomeTaxLawofthePeople’sRepublicofChina.五、受聘方每日工作时间为9小时，用餐时间为每次半小时，每周工作时间为五天，月工作时数为187小时。Article5Employeeshallwork9hoursaday,includinghalfanhourforthemeal.Employeeshallwork5daysaweekand187hoursamonth.六、聘方的义务：Article6LiabilitiesofEmployer:1、向受聘方介绍中国有关法律、法规和聘方有关工作制度以及有关外国专家的管理规定。shallintroducetoEmployeerelevantlawsandregulationsofChina,relevantworkingsystemsofEmployerandrelevantmanagementrequirementsonforeignexperts.2、对受聘方的工作进行指导、检查和评估。shalldirect,inspectandassessEmployee’swork.3、工作期间，免费向受聘方提供吃住。若受聘方需在珠海租房，费用自理。ShallprovidefreeaccommodationandfoodtoEmployeeduringtheperiodinwhichEmployeeworksforEmployer.IncaseEmployeeneedstorentahouseinZhuhai,Employeeshallberesponsibleforfeesandexpendituresincurredtherefrom.4、配备合作共事人员。6.4shallassignpartnerstoassistEmployee.5、每月15日支付受聘方上月的工作报酬，以人民币支付，按工资发放日的汇率进行结算。shallpaythesalaryforthepreviousmonthonthe15thdayofeachmonthinRMBaccordingtotheexchangerateontheday.6、受聘方享受中国下列节日休假：元旦、春节、国际劳动节、国庆节以及法律、法规规定的其他法定节假日。shallenableEmployeetoenjoythefollowingChineseholidaysandfestivals:NewYear’sDay,TheSpringFestival,InternationalLaborDay,NationalDayandotherstatutoryholidaysandfestivalsstipulatedbyapplicablelawsandregulations.七、受聘方的义务：Article7ObligationsofEmployee:1、遵守中国的法律、法规，不干预中国的内部事务。shallabidebythelawsandregulationsofChinaandshallnotinterferewiththeinternalaffairsofChina.2、遵守聘方的工作制度和有关外国专家的管理规定，接受聘方的工作安排、业务指导、检查和评估。未经聘方同意,不得兼任与聘方无关的其他劳务。shallabidebyEmployer’sworkingsystemandrelevantmanagementrequirementsonforeignexperts;andshallacceptworkarrangement,operationdirection,inspectionandassessmentmadebyEmployer.WithoutconsentofEmployer,EmployeeshallnotengageinotherlaborserviceirrelevanttoEmployer.3、按期完成工作任务，保证工作质量。shallcompletethetasksonscheduleandguaranteetheworkquality.4、尊重中国的宗教政策。不从事与专家身份不符的活动。shallrespectChina’spoliciesonreligion;shallnotconductanyactivityincompatiblewiththestatusofaforeignexpert.5、尊重中国人民的道德规范和风俗习惯。shallrespecttheChinesepeople’smoralstandardsandcustoms.八、合同的变更、解除和终止：Article8Change,RescissionandTerminationoftheContract:1、双方应信守合同，未经双方一致同意，任何一方不得擅自更改、解除和终止合同。ThetwopartiesheretoshallcomplywiththisContractand,withoutthepriorconsensusbetweenthetwo,neitherpartymayalter,rescindorterminatethisContract.2、经当事人双方协商同意后，可以变更、解除和终止合同。在未达成一致意见前，仍应当严格履行合同。Uponmutualagreementbetweenthetwopartiesthroughconsultation,thisContractmaybechanged,rescindedorterminated.Withoutmutualconsensus,thetwopartiesshallstrictlycomplywiththisContract.3、聘方在下述条件下，有权以书面形式通知受聘方解除合同：EmployershallhavetherighttonotifyEmployeeinwrittentorescindthisContractincaseofanyofthefollowingsituations:（1）受聘方不履行合同或者履行合同义务不符合约定条件，经聘方指出后仍不改正的；EmployeefailstoexecutethisContractorfailstofulfillanyobligationsunderthisContractincompliancewiththeagreedmanner,andEmployeetakesnocorrectiveactionafterEmployeradvisesEmployeeofthecase;（2）根据医生诊断，受聘方在病假连续30天后不能恢复正常工作的；accordingtothediagnoseofcertaindoctors,Employeefailstoreturntoworkafter30daysickleave;（3）受聘方严重违反聘方的工作制度的；EmployeemateriallybreachestheworkingregulationsofEmployer;（4）受聘方提供的个人信息与事实不符的；ThepersonalinformationprovidedbyEmployeeisproveduntrue;（5）受聘方严重渎职，给聘方造成损失的；EmployeecausesdamagessorlossestoEmployerduetoEmployee'sgrossmisconduct;（6）受聘方违反中国法律、法规的。EmployeeviolatesanylaworregulationsofChina.聘方在上述条件下提出解除合同的，无须向受聘方支付任何违约金或经济补偿。IncaseEmployerproposestorescindthisContractonthegroundofanyoftheabovesituations,EmployershallhavenoobligationtopayanyliquidateddamagesoreconomiccompensationtoEmployee.4、受聘方在下述情况下，有权以书面形式通知聘方解除合同：EmployeeshallhavetherighttogiveawrittennoticetoEmployertorescindthisContractincaseofanyofthefollowingsituations:(1)聘方未按合同约定提供受聘方必要的工作和生活条件；EmployerfailstoprovidenecessaryworkingandlivingconditionsspecifiedhereintoEmployee;(2)聘方未按时支付受聘方报酬。EmployerfailstopaythecompensationtoEmployeeinfullontime.5、双方均不得无故提前终止合同。受聘方如无故提前终止合同，必须在提前一个月向聘方提出书面申请，未经聘方书面同意，受聘方仍应照常进行工作。聘方书面同意的，则自同意之日起的两周后，停发工资，并停止提供受聘方有关生活待遇，回国的一切费用自理。NeitherpartymayterminatethisContractwithoutproperreason.IncaseEmployeeterminatesthisContractwithoutproperreason,EmployeeshallapplyforterminationofthisContractinwrittenatEmployeronemonthinadvance.WithoutEmployer’swrittenconsent,EmployeeshallcontinuetoworkforEmployerasusual.IncaseEmployeragreesonthetermination,Employerwill,twoweeksaftertheconsentgranted,ceasetopayanysalarytoEmployeeandceasetoofferanybenefitsfordailylifetoEmployee.Employeeshallbesolelyresponsibleforanyandallcostsandexpendituresonleavingforhisowncountry.九、违约金：Article9LiquidatedDamages当事人一方不履行合同或者履行合同义务不符合约定条件，即违反合同时，应当向另一方支付5002000美元(或相当数额的人民币)的违约金。IncaseapartyfailstoperformthisContractorfailstofulfillanyobligationsunderthisContractincompliancewithagreedmanner,itshallbedeemedthatthepartybreachesthisContractandthepartyshallpayaliquidateddamagestotheotheratanamountofUSD5002000(orinRMBatcorrespondingamount).受聘方因不可抗力事件要求解除合同，需出具有关机构证明，经聘方同意后，离华的费用自理；受聘方若无故解除合同，除离华费用自理外．还应当向聘方支付违约金。IncaseofanyforcemajeureeventandEmployeerequeststoterminatethisContract,Employeeshallprovideacertificateissuedbyrelevantauthority.UponEmployer’sconsent,EmployeemayterminatethisContractandshallbesolelyresponsibleforcostsandexpendituresonleavingChina.IncaseEmployeeterminatesthisContractwithoutproperreason,EmployeeshallbesolelyresponsibleforcostsandexpendituresonleavingChinaandalsopayaliquidateddamagestoEmployer.聘方因不可抗力事件要求解除合同，经受聘方同意后，离华费用由聘方负担；聘方若无故解除合同，除负担受聘方离华费用外，还应当向受聘方支付违约金。IncaseofanyforcemajeureeventandEmployerrequeststoterminatethisContract,EmployermayterminatethisContractuponEmployee’sconsentandshallberesponsibleforcostsandexpendituresonleavingChinabyEmployee.IncaseEmployerterminatesthisContractwithoutproperreason,Employershall,inadditiontothecostsandexpendituresonleavingChinaincurredbyEmployee,payaliquidateddamagestoEmployee.十、本合同附件为合同不可分割的部分，与合同具有同等效力。Article10.AnyandallattachmentsheretoshallbeinalienablepartofthisContractandshallhavethesameeffectwiththisContract.十一、本合同自双方签字之日起生效。合同期满，当事人任何一方要求延长聘用合同，必须在本合同期满30天前向另一方书面提出，经双方协商同意后签订新合同。双方均未提出延长聘期或一方不同意延长聘期时，本合同期满即失效。Article11ThisContractshallcomeintoforceassoonasitissignedbybothparties.UponexpirydateofthisContract,incaseeitherpartyintendstoextendthisContract,thepartyshall,30dayspriortoexpirydateofthisContract,notifytheotherofhisintentioninwrittenandanewemploymentcontractmaybeenteredintobyandbetweenthetwopartiesthroughconsultation.IncaseneitherpartynotifiestheotherofintentionofextensionoreitherpartydisagreestoextendthisContract,thisContractshallautomaticallybec
