第第#页共19页第第9页共19页COMPUTERSOFTWARELICENSINGCONTRACTTOC\o"1-5"\h\zSigningDate:.SigningPlace:.ContractNo:.ThiscontractismadeonbetweenChinaCompanyCountry(hereinafterreferredtoas“Licensee”)ontheonehandandCompanyCountry，(hereinafterreferredtoas“Licensor”).WhereasLicenseeandLicensorhaeenteredintoapurchasecontractinwhichLicenseeagreestopurchasesystemfromLicensor;WhereasthesoftwareprogramslistedanddescribedinthiscontractareusedeitheraspartoforinconjunctionwithsystemtobeproidedbyLicensorunderPurchaseContract.WhereasLicensorhastherighttograntthelicenseinthiscontract;Bothparties＇sauthorizedrepresentaties，throughfriendlynegotiation，haeagreedtoenterintothisContractunderthetermsasstipulatedbelow.Section1Definitions“PurchaseContract”meansthecontractsignedbyLicensorandLicenseeon，inwhichLicenseeagreestopurchasesystemfromLicensor.“Licensor”meansCompanyCountry，orthelegalrepresentatie，oragencyorthepropertysuccessoroftheCompany.“Licensee”meansCompanyCountry，orthelegalrepresentatie，oragencyorthepropertysuccessoroftheCompany.“System”meansthesystemproidedbyLicensorunderthePurchaseContract.“Program”meanstheprogramwhichconstitutethecontrolsystemofSystemproidedbyLicensorunderthePurchaseContract.“TechnicalDocuments”meansdocumentsrelatingtoProgram，dateandtechnicalspecifi-cationsproidedbyLicensor.“TheDateofEffectienessoftheContract”meansthedateofsigningthiscontractbybothparties.Section2ScopeoftheContractLicensorherebygrantstoLicenseeandLicenseeherebyacceptsthelicensetouseandcopy，ontermsandconditionssetforthherein，theProgramwhichconstitutesthecontrolsystemofSystemproidedbyLicensorunderPurchaseContract.TheProgramisdescribedandspecifiedasfollows:;;.(insertthecontent，specifiedoperatingenironmentandtechnicalspecifications)LicensoragreestograntLicenseethelicenseandrighttouseandcopytheProgram.Thelicenseandrightarenon-exclusieanduntransferable.LicensorisresponsibleforproidingLicenseewiththeTechnicalDocumentsoftheProgram，whichshouldincludethefollowingitems:A:OneUser'sGuide;B:ThreecopiesofalloperatingmanualsandinstallationinstructionsfortheProgram.Section3PriceoftheContractInaccordancewiththecontentandscopestipulatedinSection2tothecontract，theamountofthepayableRoyaltyfortheProgramwillbeaone-timecharge.ThecurrencyshallbeinUSdollars.ThetotalamountoftheRoyaltyisUSdollars.Section4ConditionsofPaymentRoyaltystipulatedinSection3tothecontractshallbepaidbytelegraphictransferthroughtheBank(thebusinessBankofLicensee)andtheBank(thebusinessBankofLicensor).TheincometaxoftheContracttobeleiedbytheGoernmentofPeople'sRepublicofChinashallbedeductfromRoyalty，andshallbepaidbyLicenseetoChinaTaxOfficeinnameofLicenso，rbutthedocumentsofsuchpaymentshouldbefaxedandmailedtoLicensorimmediately.InaccordancewiththePurchaseContract，afterSystemhasbeentestedandacceptedandbothpartiessignedtheCertificateofAcceptance，Licensorshallimmediatelyissuetherelateddocuments.TheroyaltyshallbepaidbyLicenseetoLicensorwithin30daysafterreceiedthefollowingdocumentswhichareproidedbyLicensor:A:SixcopiesoftheCommercialInoice;B:oneoriginalCertificateofTestingandAcceptancesignedbybothpartiesinaccordancewiththePurchaseContract.Licenseeshallhaetherighttodeductfromanyoftheaboementionedpaymentthepenaltiesand/orcompensationswhichLicensorshallpaytoLicenseeinaccordancewiththestipulationofthecontract.Section5DelieryandImproementoftheTechnicalDocumentsLicensorshallproideLicenseewithTechnicalDocumentswithindaysfromthedateofEffectienessofthisContract.ThedelieryshallunderC.F.Rterm.ThedestinationisairportinChina.TheTechnicalDocumentsproidedbyLicensorarewritteninEnglish.IftheTechnicalDocumentsproidedbyLicensorarelost，damagedand/orincomplete，afterreceiingwrittennoticeofLicensee，Licensorshallremailthedocumentswhicharelost，damagedand/orincompletewithin30daysDuringthealidperiodoftheContract，iftheProgramhasbeenimproedordeelopedbyLicensor，LicensorshouldproideLicenseewithrenewedprogramandrelatedtechnicaldocuments.AfterexpirationoftheContractorwithindaysfromthedateofterminatingtheContract，LicenseeshallproideLicensorwithadocument，certifyingthat，exceptonecopyofthePrograminarchies，theoriginalandallcopiesorpartialcopiesoftheProgram(includingcopiesofrenewedProgram)，orinanyform，haebeenreturnedtoLicensorordestroyed.Section6InstallationandAcceptanceLicensorshouldcompletetheinstallationaccordingtothetimeschedulestipulatedinPurchaseContract.TheprocedureofacceptanceshouldbecarriedoninaccordancewiththestipulationofPurchaseContract.Section7RestrictiononUse，Copying，TransferandDisclosureLicenseemayusetheProgramsolelyandexclusielyoncomputersfurnishedbyLicensorundertermsofPurchaseContract，aspartofSystem，exceptthattheProgrammayalsobeusedonLicensee'sbackupcomputeriftheSystemcomputersareinoperatiebecauseofmalfunctionorduringtheperformanceofpreentiemaintenance，engineeringchangesorchangesinfeaturesormodel，untiltheSystemcontrolcomputersarerestoredtooperatiestatus.Licenseeshallusetheprogramonlyinconnectionwithitsimmediateinternaloperation，sandshallnotofferorsupplytheuseoftheProgramtoothersunderanycircumstance.LicenseeshallmakenocopiesoftheProgram，oranypartthereof，exceptthatLicenseemaymakecopiesoftheProgramsolelyforthepurposesofbackup，archialstorageandplacingthePrograminaformsuitableforexecution.AllpermittedcopiesshallbeclearlymarkedwiththesameLicensorproprietaryandcopyrightrestrictionswhichappearontheProgramoriginallysuppliedtoLicensee.Permittedcopiesshallbestoredinasecuredmanner.Licenseeshallnotsell，assign，sublicense，transfer，orotherwisemakeaailabletheProgram，exceptasmaybepermittedbyLicensorwithwrittenpriorcontent.Exceptasexpresslypermittedherein，LicenseeshallnotdiscloseorotherwisemakeaailabletheProgram，oranyportionthereof，toanythirdpartyortoanyemployeeofLicenseewhoisnotofnecessityauthorizedbyLicenseetousethePrograminLicensee'sbusiness.LicenseeshalltakeallreasonablestepsnecessarytoinsuretheProgram，oranyportionthereof，isnotdisclosedorotherwisemadeaailablebyLicenseeoremployeesofLicenseetoanythirdparty.Section8InfringementsandGuaranteesLicensorwarrantsithastherighttograntthelicensehereingranted.InthecourseofimplementationoftheContrac，tifanythirdpartyaccusesLicenseeofinfringement，Licensorshallberesponsibleforapproachingthethirdpartyabouttheaccusationandbearalltheeconomicandlegalresponsibilitieswhichmayarise.IfanyawardismadebyafinaljudgmentthattheProgramusedwithinthescopeofthelicensehereingrantedconstitutesaninfringementofanypatentorcopyright，Licensorshall，atitsexpense:A:ReplaceormodifytheProgramsothatitbecomesnoninfringingandperformsthesamesericewithsubstantiallythesamequality;B:GrantLicenseeacredit，lessreasonabledepreciationforuse，damageandobsoles-cence，uponreturnoftheProgramtoLicensor.ButthisdosenotmeanthatLicensorisexcusedfromotherresponsibilitiesthatitshouldtake.Licensorshallhaenoliabilityforanyclaimofcopyrightorpatentinfringementbasedon:A:YourmodificationoftheProgram，ortheProgram'suseinotherthanitsspecifiedoperatingenironment;B:UsetheProgramonsystemotherthanSystem.LicensorguaranteesthatwhentheProgramisusedinthespecifiedoperatingenironmentitwillconformtothetechnicalspecificationsstipulatedinSection2totheContract.Licensordosenotwarrantuninterruptedorerror-freeoperatingoftheProgram.TheWarrantPeriodisyearsafterthedateofacceptance.Licensorguaranteesthatitshallcorrect，replaceorreinstallanyprogramfoundtobedefectiefromnormalusage.Section9TaxesandDutiesAllthetaxesanddutiesinconnectionwithandintheexecutionoftheContracttobeleiedonLicenseebytheGoernmentofthePeople'sRepublicofChinainaccordancewiththeChineseTaxLawsineffectshallbepaidbyLicensee.AllthetaxesanddutiesinconnectionwithandintheexecutionoftheContracttobeleiedonLicensorbytheGoernmentofthePeople'sRepublicofChinainaccordancewiththeChineseTaxLawsineffectshallbepaidbyLicensor.Section10TerminationoftheContractLicenseemayterminatethiscontractonwrittennoticetoLicensorfollowingtheexpirationorterminationofitsobligations.EitherofPartiesmayterminatetheContractiftheotherdoesnotcomplywithanyofitsitems，proidedtheonewhoisnotcomplyingisgienwrittennoticeandreasonabletimetocomply.AnytermsoftheContractwhichbytheirnatureextendbeyonditsterminationremainineffectuntilfulfilled，andapplytobothofourrespectiesuccessorsandassignees.Section11ForceMajeureIfeitherofthepartiesispreentedfromexecutiontheContractbysuchcasesofforcemajeureaswa，rseriousflood，fire，typhoonandearthquakeorothercaseswhichareagreeduponbybothpartiesascasesofforcemajeure，thetimeforperformanceoftheContractshallbeextendedbyaperiodequialenttotheeffectofsuchcases.TheeffectedpartyshallnotifytheotherpartyofthecasesofforcemajeureoccurredbyFaxassoonaspossibleandshallsendbyregisteredairmail，within14(fourteen)daysthereafter，acertificateissuedbytheauthoritiesordepartmentsconcernedtotheotherpartforconfirmation.Shouldthe
