LABUREMPLOYMENTCONTRACT目录CONTENTS第1条合同期限ContractPeriod第2条工作岗位、任务Positions,duties&Responsibilities第3条工作条件、劳动保护LaborConditions&LaborProtection第4条劳动报酬Payroll第5条社会保障和福利待遇SocialInsurance&FringeBenefits第6条劳动纪律和奖惩办法LaborDisciplineandReward第7条合同变更、续订、终止和解除ContractRenewandTermination第8条兼职规定Part-timeJobPolicy第9条保密及附随义务KeepSecretandEmployee'sIncumbency第10条违约责任LiabilitiesResultingfromBreachofContract第11条劳动争议LaborContentions第12条其他Others乙方：PartyB:姓名：Name性别：Sex:出生日：DateofBirth:家庭住址：Address：通讯地址：PostAddress：电话：Phone：蒙特工业有限公司(甲方)聘用乙方为甲方劳动合同制员工。根据《中华人民共和国劳动法》、《蒙特工业有限公司章程》以及已颁布并可公开得到的有关法律法规，甲乙双方本着自愿平等、协商一致的原则，签订本合同。AccordingtotheLaborLawoftheP.R.China,aswellasthePersonnelRegulationsofLaborContract,ValmontIndustriesLtd.employsPartyB(theemployee)asacontractemployee.Bothpartiestothiscontractsignonthebasisofequity,freewill,andmutualbenefits.第1条合同期限ContractPeriod本合同有效期自200___年___月___日至200___年___月___日止(含试用期个月)。Thecontractperiodofemploymentwillbevalidfrom(M/D/Y)to___(M/D/Y).Duringwhichtheperiodofmonthswillbeconsideredasprobationaryemployment.在试用期内，甲方发现乙方不符合录用条件的，甲方可以即行解除本合同。PartyAhastherighttoterminatePartyB'sLaborContractimmediatelywithoutnotificationifPartyBdoesnotprovetobesuitablethroughtheperiodofprobationaryemployment.第2条工作岗位、任务Positions,duties&Responsibilities2.1甲方安排乙方在―部门—岗位工作，覆盖岗位为PartyA(theemployer)employsPartyB(theemployee)inthecapacityof乙方必须按照甲方规定的岗位职责和要求全面完成指标和任务，并接受甲方对其进行的有关考核测评。PartyBisrequiredtofulfillhis/herresponsibilitiescompletelyandaccuratelyasdescribedbyPartyAandacceptperformancemeasurementhandledbyPartyA甲方根据生产经营需要及乙方的工作技能和表现，可变更乙方的工作，乙方须服从甲方的调动，如无正当理由，不服从调动者，甲方可辞退乙方，解除其劳动合同。PartyAhastherighttoadjustPartyB'spositionaccordingtotheactualbusinesssituationandtheperformanceofPartyB.PartyBmustacceptPartyA'sarrangement.第3条工作条件、劳动保护LaborConditions&LaborProtection甲方实行每周40小时工作制。对特殊岗位可实行不定时工作制。PartyB'snormalworkingtimewillnotexceed40hoursperweek,whereasit'sflexibleforsomespecialpositionholders.甲方因生产经营原因需要乙方加班时，乙方应服从。同时甲方应按规定支付乙方加班费报酬作补偿。IfitisnecessaryforPartyAtorequestPartyBtoputinovertime,PartyBmustbesubordinatedtorequestofPartyA.PartyAshallprovidePartyBwitheconomiccompensationaccordingtorelevantregulations.甲方为乙方提供必要的工作条件，根据国家劳动法则提供符合中国政府规定的劳动安全卫生条件和提供必要的劳动保护用品，保证乙方在人身安全及个体不受危害的环境条件下工作，对女职工及未成年工按《劳动法》的规定酌情予以特殊劳动保护。PartyAmustprovidePartyBwithasafeandnon-toxicworkingenvironment,necessarysafetymeasurestoguaranteesafeworkingconditionsofPartyB,accordingtoNationalSafetyandSanitationStandards.PartyAshallprovidespecialprotectionmeasuresforfemaleandunderageemployeesaccordingtotheLaborLaw.甲方认为乙方的健康状况将会对工作或其他员工造成不利影响时，甲方有权按制度采取相应的措施，并有权要求乙方进行健康检查，乙方不应拒绝。IfPartyAthinksPartyB'shealthinesswilleffecttotheworkorotherstaffs,PartyAwillhavetheauthoritytocorrespondandwillhavetheauthoritytoaskPartyBtohaveaphysicalcheck-up,atsametimethePartyBshouldnottorefuse.乙方在被聘用期间，甲方负责对乙方进行岗位职责、技能、安全规程、职业道德及相关规章制度的教育和培训，乙方须积极配合，并根据岗位职责要求努力提高自身的技能。PartyAisinchargeofvarioustrainingsuchastechnicaltraining,Positionprinciples,safetyoperations,Company'sregulationsandprovision,etc.withintheemploymentperiod.PartyBshallacceptthetrainingwithpositiveattitudeforraisinghis/herworkefficiency.第4条劳动报酬Payroll公司实行内部薪酬管理制度，甲方依据按劳取酬准则、企业经营状况及岗位确定乙方的薪酬标准，并按有关规定支付。PartyAimplementsCompany'sinternalsalarysystem.PartyAwillpayPartyBmonthlysalarybasedonthefollowingconditions:theactualbusinesssituation,thelevelofPartyB'spositionandthegeneralprincipleof“distributionaccordingtowork”.公司在实行新工资制度、调整员工工资水准或当乙方岗位职务发生变化时，甲方可根据政策给予乙方以工资待遇调整。PartyAhastherighttoadjustthesalarystandardofPartyBifPartyAimplementsnewsalarysystem,ortransfersthepositionofPartyB.每月最后一天为甲方的当月薪金发放日。SalarywillbegiventoPartyBontheendofmonth.第5条社会保障和福利待遇SocialInsurance&FringeBenefits在劳动合同期内甲方按照中国政府有关规定为乙方办理养老保险、医疗保险、住房公积金、失业保险等手续。PartyAshouldprovidethepension,medicalinsurance,unemploymentinsuranceandhousingfundforPartyBwithinthecontractperiodaccordingtotherelevantgovernmentlaws.甲方为乙方提供因伤病、工伤、职业病及计划生育而发生医疗费用保险，并创造条件办好员工福利。PartyAshallprovidethefollowingsocialinsuranceforPartyB:diseaseandinjuryrelatedtowork,occupationaldisease,pregnancywithinfamilyplanningandhandlenecessarycollectionwelfareenthusiastically.乙方在甲方工作期间不满一年的可享受累计3个月的停工医疗期，工作时间每增加一年，累计停工医疗期增加一个月，最多不超过24个月。PartyBhastherighttohave3monthswork-offmedicaltreatmentifhe/sheworksforPartyAlessthanoneyear.Onemoremonthwork-offmedicaltreatmentwillbepermittedwiththeonemoreyearemployment.Thetotalwork-offmedicaltreatmentislimitedwithin24hours.乙方享有国家规定的法定节假日、婚丧、探亲、生育假以及年休假等有薪假期。PartyBhastherighttoenjoypublicholidays,marriageleave,funeralleave,homevisitleave,familyplanningleave,new-yearholiday,Companyholidays,etc.乙方因工作或非因工死亡的待遇等按中国政府的法规执行。PartyB'scompensationforthedeathofworkingaccidentetc.isexecutedaccordingtotheprevailingrulesandregulationsenactedbythegovernment.第6条劳动纪律和奖惩办法LaborDisciplineandReward乙方在合同期内必须严格遵守国家法律法规，熟知并遵守本公司《员工手册》和各项规章制度。PartyBmustobeyStateLawsandRegulations,thejointventureEmployeeHandbookandthebylawofcompany.甲方依照本公司《员工手册》，对于模范遵守规章制度和为公司经营、生产和发展作出重大贡献的员工予以奖励；对于违反规章制度的乙方予以处罚。PartyAwillrewardthemodelemployeeswhoperformCompany'sdisciplineperfectlyandmakeabigcontributiontooperation,productionanddevelopmentofCompany'sbusiness.PartyAwilldisciplinarytheemployeeswhobreachCompany'sEmployeesHandbook.第7条合同变更、续订、终止和解除ContractRenewandTermination合同双方在履行本合同过程中确因客观情况发生重大变化，可变更本合同的有关内容，但需双方协商并办理变更手续。BothPartieshavetherighttochangethecontractsduetonotbeestimatedexternalconditionsduringtheactualcontractprocesswithnecessarynegotiationandprocedures.本合同期满即行终止，甲乙双方如需延长劳动合同期限，应在合同期满前30天，续订延长合同期手续。乙方在本企业工作满10年以上，如甲乙双方同意续延劳动合同，可以签订无固定期限的劳动合同。Theexpirationdateofsignedcontractwillbeconsideredasthenaturaltermination.IfeitherPartyAorPartyBintendstocontinuethiscontract,suchintentshallbedeliveredtotheotherparty30dayspriortotheprocessingofcontractterminationbasedonthemutualnegotiation.PartyBhadtherighttosignlifecontractswithPartyAbasedon10yearsworkingforPartyAandpermissionofPartyA.乙方达到规定的退休年龄或因病丧失劳动能力提前退休时，劳动合同自然终止。TheLaborContractexpiresnaturallywhenPartyBisintheretirementageorlosesthecapabilitiesduetodisease.符合下列情况之一的，甲方可以解除本合同，辞退乙方。PartyAhastherighttoterminatethecontractduetothefollowingconditions.在试用期内，甲方认为乙方不符合录用条件(包括但不限于乙方提供的个人情况不实，乙方的试用表现不符合甲方要求等项情况)；PartyBdoesn'tprovetobesuitablethroughtheperiodofprobationaryperiod.(itincludingandbenotlimitedthatthesituationwhichPartyBprovidesisnottrue,andPartyBdoesn'tpassthroughtheperiodofprobationary.)乙方严重违反劳动纪律或甲方规章制度，以及公司《员工手册》规定可以辞退的；PartyBactsinanywaythatisinseriousviolationofgeneralLabordisciplineorviolationofotherregulations,orviolationofHandbook.乙方被依法追究刑事责任或被劳动教养的；PartyBbreaksStatelaw,andhasbeensentencedtopunishmentorforcedlabor.严重失职、营私舞弊，对甲方利益造成重大损害的。PartyBisinseriousneglectofduty,orengagesingrafts.合同期间发生计划外生育者，按政府规定立即解除劳动关系。PartyAwillterminatetheLaborContractwithPartyBwhodoesn'tabidebythefamilyplanningaccordingtorelatedregulations.有下列情况之一的，甲方可以解除劳动合同，但是应当提前30天通知乙方。PartyAhastherighttoterminatePartyB'sLaborContractinanyofthefollowingsituationwithwillingtoinformPartyB30daysinadvance.乙方不能胜任工作，经过培训或调整工作岗位后仍不能胜任工作的；PartyBisdeemedincompetentevenfollowingadditionaltrainingoradjustmentofposition.乙方因病或非因工负伤，在规定医疗期满后，不能从事原工作的，也不能从事由甲方另行安排工作的；PartyBwithdiseasesornonwork-relatedinjury,andafterthetreatmentwhichdoesnotexceedtheprescribedperiod,PartyBcannottaketheoriginalworkorotherpositionarrangedbyPartyA.甲方宣告解散或者经营期满的；PartyAfacesterminationofthejointventurecontract.企业濒临破产处于法定整顿期或因生产经营状况发生严重困难需裁减人员时；PartyAisfacingbankruptcyorreorganizedseriousdifficultiesofoperationaltoreduceemployees.“约定”规定可以解除劳动合同的情况出现时。TheconditionsofAgreementattachedtoLaborContractlater.符合下列情况之一的，甲方不得解除劳动合同。PartyAcannotterminatePartyB'slaborcontractbasedonthefollowingsituations.乙方患病或负伤在规定医疗期内的；PartyBhascontracteddiseaseornon-workrelatedinjury,andrequiredtreatmentdoesnotexceedtheprescribedperiod.乙方因工负伤或患有职业病在疗养期间和疗养终结后，经劳动鉴定机构确认大部分或全部丧失劳动能力的；Duetoanyworkrelatedinjuryoroccupationaldisease,PartyBiseitherengagedinperiodoftreatment/recuperation,ortheemployeehascompletedsuchtreatment/recuperationandhaslostpartorallthecapacitytowork,asconfiguredbytheLaborAppraisalCommittee.实行计划生育的女方在孕期、产假期和哺乳期的(严重违纪的乙方除外)；PartyBisevolvedinaperiodofpregnancywithinfamilyplanning,post-natalorbreastsfeeding(excepttheseriousviolationofCompany'sprovision).符合下列情况之一的，乙方可以书面通知甲方，提出解除劳动合同，其中7.7.4和必须提前一个月通知。PartyBhastherighttoterminatethisLaborContractinanyfollowingsituations.在试用期内的，乙方不适应工作要求的；Duringtheperiodofprobationaryemploy,PartyBcannotsuitandengagethisjob.甲方不按照本合同规定向乙方支付劳动报酬或提供劳动条件的；PartyAcannotpaypartyB'ssalaryorthenecessaryprotectionfacilitiesinaccordancewithitscontract.甲方以暴力、威胁或者非法限制人身自由的手段强迫乙方劳动的；PartyBisforcedtobeworkbyPartyAwithviolationorthreat.乙方因就学、出国出境定居，不能履行劳动合同的；PartyBgoesuniversityorabroad,cannotcarryoutlaborcontract.其他符合国家规定、可以解除劳动合同的。PartyAcannotcarryoutthiscontractwiththerequiredregulationsandlawsofGovernment.乙方申请辞职并经甲方同意，劳动合同可以解除。但应提前三十天通知甲方，手续齐备后方可办理解除劳动合同手续。InthecasethatPartyBintendstoterminatethislaborcontract,basedonthenegotiationandapprovalbyPartyA,PartyBshalldeliverhis/herresignationinwritingtoPartyA30dayspriortotheprocessingofcontract,thenPartyBgothroughnecessaryformulationsoftermination.终止或解除本合同后，乙方的去向问题由乙方自行解决。甲方按规定为乙方办理劳动关系转移手续。PartyAmusttransferPartyB'sLaborFilestotherequiredBureauaccordingtotherelevantLaws.PartyBshallsolvehis/herjobproblembyhimself/herself.第8条兼职规定Part-timeJobPolicy兼职是指乙方与甲方劳动关系存续期间，不论受薪与否，与其他用人单位发生劳动关系或为其他用人单位提供劳务的活动。乙方未经甲方书面同意，不得从事任何与本职工作有关的兼职活动。Part-timejobistheactivitywhichPartyAhasthelaborrelationorprovidestheserviceforotherCompanywithinemploymentperiodofPartyA,withoutreferencetogivingthesalaryfromtheotherCompanyornot.PartyAshouldnotengagethePart-timejobwhichhastherelationtocompanybusinesswithoutPartyA'sagreement.确属情况特殊，甲方书面同意乙方在外兼职的，须以不影响在甲方的工作和保守甲方的商业秘密为前提。IfPartyBhastheagreementofpart-timejobgivingfromthePartyAinespeciallysituation,PartyBcouldnottoeffecttheemployworkandkeepthebusinesssecretofPartyA.甲方有权通过各种途径对乙方擅自在外兼职的情况进行调查，如有必要，乙方须配合甲方的调查工作。PartyAhastheauthoritytoinvestigatePartyB'spart-tinejobwithoutPartyA'sagreement.PartyBshouldbecooperatewithPartyAforinvestigation.第9条保密及附随义务KeepSecretandEmployee'sIncumbency乙方在甲方工作期间接触到的资料、图纸、信息均视为甲方企业所有的知识产权和商业秘密，未经甲方书面同意，均不得私自对外泄露。ItwillbetreatedtoPartyA'spropertyrightandbusinesssecretwhichPartyBgetstoinformation,drawing,communicationwithintheemploymentperiod.PartyBcouldnotleakouttheinformationwithoutPartyA'sagreement.保密约定：Secretagreement公司的员工不得卷入任何与公司的商务利益有冲突的活动；PartyBshouldnotentangleanyactivitywhichconflictwithcompany'sbenefit.公司的员工与正在同公司进行商务活动的供应商、承包商、客户和其他人员交流和交往时，必须保守公司的商业秘密，以公司的安全、利益和质量为最高标准，决不能损害公司的利益。PartyBshouldkeepcompany'sbusinesssecretwhenPartyBcommunicateswiththesuppliers,contractorsandothercustomers.PartyBshouldbesuretonotdamagethecompany'sbenefitaccordingtothecompany'ssafety,benefitandqualitystandard.公司的员工在日常的与外界交流、交往过程中，不得擅自外传和泄露公司商业秘密；PartyBshouldnotblowthecompany'sbusinesssecretwhencommunicatingwiththeoutsideofcompany.从事掌握公司实质性内部资料（设计与工艺、市场与销售、采购和财务等专业与管理岗位；大自动焊机、自动切割机、机械设备管理维修等）岗位工作的员工必须遵守职业行为约束，在从甲方离职后二年后，不能从事本行业或与本公司利益密切关联的工作，以保证甲方的利益得到维护。PartyBwhograspsthecompany'simportantdataandinformationshouldobeytheagreementandshouldnotengageinthepositionswhichinfluencethecompany'sbenefit.(Suchasdesign,technology,marketing,sales,purchasing,equipment,finance,auto-weldmachineoperatorforlargepole,auto-cutmachineoperator,maintenance,etc.).Inordertovindicatecompany'sbenefits,PartyBshouldnotengageinthepositionthatisassociatedwithcompany'sbenefit.公司实行工资保密制度，乙方不得打听和讨论他人的工资；PartyBshouldnotdiscusssalarywithothersaccordingtocompany'ssalarysystem.公司员工如有违反上述规定的行为，按公司管理制度的相关规定处理并需承担相应的法律责任。IfPartyBdisobeyscompany'ssystem,PartyBwillbepunishedandshouldassumethelegalburden.双方劳动关系结束一周内，乙方应按甲方要求办妥离职手续。乙方须根据公司“移交清单”要求向公司指定人员办理工作、资料、相关物品的移交手续，“移交清单”经甲方书面确认后视为移交完毕。PartyBshouldtransactdemissionprocedureaccordingPartyA'srequirementwithinaweekafteremploymentperiod.Atthesametime,PartyBwilltransactthework,information,articlesandmustbegottentheconfirmformthePartyA.乙方应自觉维护甲方企业的形象和声誉，保守甲方的知识产权和商业秘密，在离开甲方公司后，不得散布对甲方不利的言论和作出对甲方不利的行为。PartyBshouldvindicatePartyA'svisualizeandreport,andshouldkeepPartyA'spropertyrightandbusinesssecret.PartyBshouldnotspreadthesayingandacttheactivitythatadverseforPartyA.第10条违约责任LiabilitiesResultingfromBreachofContract甲乙双方必须履行劳动合同，乙方若违反本合同规定或约定，给甲方造成经济损失的，须承担经济赔偿责任。具体赔偿金额按责任、损失的大小程度和有关规定确定PartyA&Bmustfulfillthecontract.Eachpartyisliableforlossessustainedbytheotherpartythatresultfrombreachofcontract.Specificcashamountsofrecompensewillbesetdependingonthedegreeresponsibilitiesfortheloss,onthesizeofthelossandontherelevantregulations.乙方违反保守商业秘密义务的，应向甲方支付违约金，违约金数额相当于乙方的12个月全额工资，并赔偿甲方因此所遭受的损失。IfPartyBdisobeytokeepthebusinesssecret,PartyBshouldpaythebreachoffaithfee.Theamountisequalto12monthlysalaryofPartyB.PartyBshouldalsopayforlossofPartyA.如果乙方在本合同期内，由甲方出资培训(含境内外实习、进修)需要延长合同期限的；由甲乙双方另行签订协议。如乙方在合同期内受过甲方出资培训，因个人情况辞职或者自行离职，需按甲方规定赔偿相应的培训费用。If,withintheperiodofvalidityofthislaborcontract,PartyAprovidesPartyBwithtraining(includingoverseastraining),bothsidesneedtoconsultprolongationofthiscontract.IfPartyBresigns,PartyAhastherighttoclaimtherecompenseoftraining.Specificcashamountsofrecompensewillbesetdependingonthedegreeresponsibilitiesfortheloss,andontherelevantregulations.乙方因其他行为对甲方造成损失的，应当根据其造成的实际损失情况赔偿甲方相应的损失。IfPartyBwascausesdamageonPartyA.PartyBshouldpaytoPartyA.上述赔偿费用甲方可以按照有关规定在支付乙方劳动报酬时，要求乙方同时支付。TheMountwhichPartyBshouldpaytoPartyAwillbedeductedinrewardofPartyB.第11条劳动争议LaborContentions甲乙双方因履行本合同而发生劳动争议时，适用劳动争议程序。Ifduringthebindingperiodofthiscontract,PartyA&Bencounteradisputethatcannotberesolved,thisdisputeshouldbehandledaccordingtotheofficialproceduresofLaborContention.劳动争议由双方协商解决，也可由一方或双方自劳动争议发生之日起60天内向甲方所在地劳动争议仲裁机构申请仲裁。Bothsidescansettlethedisputebilateral,orcanalsoappealtoLaborContentionforarbitrationwithin60days.第12条其他Others在签署本合同书时，甲方已向乙方出示了本公司《员工手册》以及有关规章制度，乙方经充分了解阅读后予以接受，同意甲方公司的《员工手册》以及有关的协议和规章制度为本合同的有效组成部分。TheCompany'sEmployeesHandbookandotherdocumentswillbeappendedtothiscontract.PartyBhasreadandacceptthehandbook.约定事项Specialagreementa)竞业限制约定：甲方和与本合同9.2.4款规定范围内相符岗位的乙方在本合同终止或解除后，双方约定的竞业限制为2年。竞业限制期内乙方负有保守甲方商业秘密的义务，同时不得自营或从事为他人/公司与本公司产品有竞争的产品业务(相同、相近或相类似产品的生产、制造、销售或代理等)；甲方支付给乙方的工资待遇中已包含经济补偿费用。Assumpsit'sforcontesttraderestriction:afterterminatingorunchainthecontract,PartyAandPartyBagreethatcontesttraderestrictingis2years.Withincontesttraderestrictingperiod,PartyBwillhavethedutyf
