保密不透漏协议

保密不透漏协议本协议由上海盾凯实业有限公司及其关联公司（以下简称“盾凯”）和（以下简称“用户”）于签订。用户拥有与产品有关的有价值的保密性的专有技术和业务信息（以下统称“上述信息”）。同意在盾凯对上述信息严守保密的前提条件下向盾凯披露上述信息。根据此原则并考虑到双方的共同意愿，用户同意根据下述双方接受的条件向盾凯披露上述信息;1、盾凯对用户披露的上述信息必须严守保密，并仅向其公司内部因为产品工作目的而需要知悉有关信息的雇员披露上述信息；2、盾凯将采取一切必要措施以防止上述信息披露给任何第三方；3、未经取得用户的事先书面同意，盾凯不能为其本身或任何第三方的利益将上述信息用于商业性用途。4、任何一方未经另一方的书面许可，不得制造任何物理形式的所有权机密资料（含复制）。5、项目结束后，盾凯将用户提交的报告、文件销毁，如客户有特别要求，将按客户的要求处理。6、在根据上述1、2、3、4和5条中所作的承诺将不包括以下信息：（1）在本协议签署日以前，盾凯已经知悉的或者公众一般可以得到的信息；或（2）在本协议签署日以后，盾凯没有采取任何行动，一般可从公众得到的信息；或（3）经由有合法和自由权利及不负有直接或间接保密义务的第三者提供的信息；或（４）在不保密的基础上由用户提供给第三者的信息。７、所有上述承诺在本协议签署之日起计的1年届满之后全部自动终止。本协议以中、英两种文字写成，中文的法律效力为主。本协议由双方下列授权代表于签署之日起生效。上海盾凯实业有限公司签署人：职务：日期：签署人：职务：日期：CONFIDENTIALDISCLOSUREAGREEMENTThisagreementisenteredintobyandbetweenShanghaiDo-KeyindustryCo.,Ltd.(Do-Key)and（Client）on.Clientisinpossessionofvaluableconfidentialandproprietaryknow-howandbusinessinformationrelatedto(“SaidInformation”).agreestodiscloseSaidInformationprovidedthatDo-KeywillkeepSaidInformationdisclosedtoitinstrictconfidence.Baseduponsuchprincipleandtakingintoconsiderationofthecommonwillinterestoftheparties,ClientagreestodisclosetoDo-KeytheSaidInformationaccordingtofollowingtermsandconditions.1.Do-KeyshallkeepalltheSaidInformationdisclosedbyClienttoitinstrictconfidence,andshallonlydisclosedSaidInformationtothoseemployeeswithinitsorganizationwhoneedtoknowitforthepurposeofworksinmanufacturingprocess.2.Do-KeyshalltakeallandanynecessarystepstopreventthedisclosureofSaidInformationtoanythirdparty;and3.Do-KeyshallnotcommerciallyutilizeSaidInformationforthebenefitofownorthirdpartywithouthavingobtainedpriorwrittenconsentfromClienttosuchutilization.4.NeitherpartyshalltakeorcausetobetakenanyphysicalformsofProprietaryInformation(normakecopiesofsame)withouttheotherparty′swrittenpermission.5.Aftertheclosenegotiation,Do-Keywilldestructallreports,documentsbyClient,ifClienthasspecialrequest,accordingtoClientrequestprocessing.6.Thecommitmentssetforthinparagraphs1,2,3,4and5aboveshallnotextendtoanyfollowingportionofSaidInformation.(1)whichisknowntoDo-KeyorisgenerallyavailabletothepublicpriortothedateofsignatureofthisAgreement;or(2)whichhereafter,throughonactonthepartofDo-Key,becomegenerallyavailabletothepublic;or(3)whichisfurnishedtoDo-Keybyanythirdpartyhavingalawfulandunrestrictedrighttodosoandhavingnoobligationofconfidentiality,eitherdirectorindirect;or(4)whichisfurnishedbyClienttoanythirdpartyonanon-confidentialbasis.7.AllabovecommitmentsshallpromptlyandautomaticallybeterminatedintheirentiretyuponthelapseofaperiodofoneyearafterthedateofsigningofthisAgreement.8.ThisAgreementiswritteninbothChineseandEnglishandtheEnglishversionshallhavepriorweightvalidity.TheAgreementshallbeeffectiveonthedateofexecutionbyrepresentativeofeachpartyasblow:ShanghaiDo-KeyindustryCo,Ltd.Representative:Title:
