鉴于甲方拟就以下工程向乙方进行总承包，技术、财力、信誉等各方面均符合甲方要求，经双方友好协商，达成如下合同：

第一章总则

ChapterIGeneralProvisions

第一条合同的目的和范围

Article1PurposeandScopeoftheContract

（一）甲方拟委托乙方对以下项目进行总承包：

（二）乙方同意接受甲方的委托，按照本合同的约定承担项目的总设计、总施工及技术负责等各项职责，并按照合同规定的技术、质量、安全标准和完成期限，保证工程按照规划、报建和设计要求预期建成。

第二条项目设计

Article2ProjectDesign

（一）总设计范围：根据工程需求和工程规模，乙方应负责项目的总体策划及设计。

(a)Scopeofoveralldesign:Basedontheprojectrequirementsandscale,PartyBshallberesponsibleforoverallplanninganddesignoftheproject.

（二）设计文件：乙方应编制符合国家相关规定的施工图设计文件，按照甲方要求和监理方审核意见进行修订。

(b)Designdocuments:PartyBshallprepareconstructiondrawingsinaccordancewithrelevantnationalregulations,andmakerevisionsaccordingtotherequirementsofPartyAandthecommentsfromthesupervisionparty.

（三）设计更改：如在施工过程中需要对设计进行更改，乙方应在征得甲方同意后，对设计文件进行相应的修改。

(c)Designchanges:Ifanydesignchangesareneededduringtheconstructionprocess,PartyBshallmakecorrespondingmodificationstothedesigndocumentswiththeconsentofPartyA.

第三条工程施工

Article3ConstructionoftheProject

（一）施工质量：乙方承诺按照国家相关规范和标准进行施工，保质保量完成工程，并对工程质量负责。

(a)Constructionquality:PartyBshallundertaketocarryoutconstructioninaccordancewithrelevantnationalnormsandstandards,completetheprojectwithgoodqualityandquantity,andberesponsibleforthequalityoftheproject.

（二）合理进度：乙方应制定合理的施工进度计划，按照计划进度进行施工，并保证工程能按时竣工。

(b)Reasonableprogress:PartyBshalldevelopareasonableconstructionschedule,carryoutconstructionaccordingtotheplannedschedule,andensurethattheprojectiscompletedontime.

（三）施工安全：乙方应制定并实施科学、合理的安全施工措施，确保施工过程中的安全。

(c)Constructionsafety:PartyBshallformulateandimplementscientificandreasonablesafetymeasurestoensuresafetyduringtheconstructionprocess.

（四）施工变更：如在施工过程中需要对施工内容进行调整或变更，乙方应及时变更施工进度计划，并征得甲方同意。

(d)Constructionchanges:Ifanyadjustmentorchangeinconstructionisrequiredduringtheconstructionprocess,PartyBshallpromptlychangetheconstructionscheduleandobtaintheconsentofPartyA.

第四章质量

ChapterIVQuality

第十一条质量控制

Article11QualityControl

（一）乙方应建立健全质量管理体系，落实相关质量控制措施，确保工程质量符合国家规定的标准和要求。

(a)PartyBshallestablishasoundqualitymanagementsystem,implementrelevantqualitycontrolmeasures,andensurethattheprojectqualitymeetsthestandardsandrequirementsspecifiedbythestate.

（二）乙方应对施工过程进行监督，及时发现和纠正工程中的质量问题。

(b)PartyBshallsupervisetheconstructionprocess,identifyandcorrectanyqualityissuesinatimelymanner.

（三）工程竣工后，乙方须按照国家规定的验收标准进行工程质量验收。

(c)Afterthecompletionoftheproject,PartyBshallcarryoutprojectqualityacceptanceinaccordancewiththeacceptancestandardsspecifiedbythestate.

第五章经济

ChapterVEconomy

第十六条合同价款

Article16ContractPrice

（一）本工程总造价（不含税）为人民币________________元。

(a)Thetotalconstructioncostofthisproject(excludingtax)is________________RMB.

（二）工程竣工后，乙方应按照合同约定的支付方式，向甲方提供最终报价清单，并办理结算手续。

(b)Afterthecompletionoftheproject,PartyBshallprovidePartyAwiththefinalquotationlistaccordingtothepaymentmethodspecifiedinthecontract,andcarryoutsettlementprocedures.

（三）如发生合同变更或范围调整，双方应根据实际情况协商确定相应的支付方式和最终报价。

(c)Intheeventofanycontractchangesorscopeadjustments,thetwopartiesshalldeterminethecorrespondingpaymentmethodandfinalquotationbasedontheactualsituationthroughconsultation.

第六章违约责任

ChapterVIBreachofContractLiability

第二十条违约责任

Article20BreachofContractLiability

（一）如乙方未按照本合同及交付之设计文件要求进行施工，导致工程质量出现问题，应承担相应的违约责任，并赔偿甲方因此受到的损失。

(a)IfPartyBfailstocarryoutconstructioninaccordancewiththiscontractandthedelivereddesigndocuments,resultinginqualityproblems,itshallbearcorrespondingbreachofcontractliabilityandcompensatePartyAforanylosssufferedasaresult.

（二）如甲方未按合同及支付方式支付合同价款，导致工程进度延误或给乙方造成损失，应承担相应的违约责任，并予以赔偿。

(b)IfPartyAfailstopaythecontractpriceinaccordancewiththecontractandpaymentmethod,resultingindelayintheprojectscheduleorcausinglossestoPartyB,itshallbearcorrespondingbreachofcontractliabilityandcompensatePartyB.

第七章争议解决

ChapterVIIDisputeResolution

第二十二条争议解决

Article22DisputeResolution

（一）对于发生的争议，双方应通过友好协商解决。

(a)Intheeventofanydispute,thetwopartiesshallresolveitthroughfriendlynegotiation.

（二）如协商不成，可向备案登记的仲裁机构申请仲裁，也可将争议提交至甲方住所地的人民法院管辖。

(b)Ifthenegotiationfails,eitherpartymayapplyforarbitrationtoanarbitrationinstitutionregisteredforrecord,orsubmitthedisputetothepeople'scourtinthejurisdictionwherePartyAislocated.

第八章其它

ChapterVIIIOthers

第二十五条本合同的附件

Article25AttachmentstothisContract

（一）本合同附件包括：合同约定的设计文件、支付方式、技术、质量和安全标准等相关文件。

(a)Attachmentstothiscontractincludethedesigndocuments,paymentmethods,technical,qualityandsafetystandards,andotherrelevantdocumentsagreeduponinthecontract.

（二）附件与本合同具有同等的法律效力。

(b)Theattachmentshavethesamelegaleffectasthiscontract.

第九章合同生效

ChapterIXEffectivenessoftheContract

第二十六条本合同一式两份，双方各执一份，自甲方和乙方在本合同上签字盖章之日起生效。

第二十七条合同变更

Article27ContractChanges

（一）任何一方若需变更本合同内容，应书面通知另一方，并经过友好协商达成一致意见。

(a)Ifeitherpartywishestochangethecontentofthiscontract,theyshallnotifytheotherpartyinwritingandreachaconsensusthroughfriendlynegotiation.

（二）经双方友好协商一致同意后，变更内容应以补充合同的形式进行，具有同等的法律效力。

(b)Afterreachingamutuallyagreedconsensusthroughfriendlynegotiation,thechangesshallbemadeintheformofasupplementarycontract,withthesamelegaleffect.

第十一章合同终止

ChapterXITerminationofContract

第二十八条合同终止

Article28TerminationofContract

（一）合同终止的情况包括但不限于以下情形：

(a)Thecontractmaybeterminatedincircumstancesincludingbutnotlimitedtothefollowing:

1.双方协商一致解除合同；

2.法律法规规定的解除合同情形；

3.因不可抗力因素导致合同无法履行；

4.一方违反合同约定造成严重损失。

第十二章法律适用和争议解决

ChapterXIIApplicableLawandDisputeResolution

第二十九条法律适用

Article29ApplicableLaw

本合同的签订、履行、解释及争议解决适用中华人民共和国法律。

Thesigning,performance,interpretation,andresolutionofdisputesofthiscontractshallbegovernedbythelawsofthePeople'sRepublicofChina.

第三十条争议解决

Article30DisputeResolution

（一）对于合同履行过程中产生的争议，双方应通过友好协商解决。

(a)Intheeventofanydisputearisingduringtheperformanceofthecontract,thetwopartiesshallresolveitthroughfriendlynegotiation.

（二）如协商不成，双方可协商选择通过仲裁或诉讼解决争议。

(b)Ifthenegotiationfails,bothpartiesmaychoosetosettlethedisputethrougharbitrationorlitigationthroughmutualconsultation.

第十三章其他事项
