华泰财险附加外国实体损失条款（A款）

a.本公司将向第一记名被保险人赔偿承保损失，赔偿(b)基于第一记名被保险人或其下属子公司c.本公司将按照本保险合同的所有条款和条件（包括但不限于本保险合同的责任免除条f.第一记名被保险人应尽力确保外国实体在其应遵守的法律和/或法规允许的前提下，（该等实体位于保险人依法不得向其提供保险保障的国家或是指外国实体由于伤害、损害、损失或责任而发费用承担直接赔偿责任的前提下属于本保险本附加条款与保险合同有任何冲突，以本附加ForeignEntityLoss（veNotwithstandinganythingcontainedhereintothecontrary:a.theInsurerwillindemnifytheFirstNamedInsuredforanInsuredLoss,thevalueofwhichisconclusivelyagreedandshallb(1)whereatthetimeoftheForeignEntityOccurrencetheOwnershipIntereControllingInterest,theForeignEntityLoss;(2)subjecttob(1)below,whereatthetimeoftheForeignEntityOccurrencetheOwnershipInterestisnotaControllingInterest,theOwnershipInterestmultbytheForeignEntityLoss.b.if,atthedateoftheForeignEntityOccurrence:(1)theFirstNamedInsureddoesnothaveanOwnershipInterestwhichisnotaControllingInterestbut,ineithercase,theInsuredoraninterveningsubsidiaryisrespon(a)forreimbursingtheForeignEntityfortheForeignEntity(b)forobtainingliabilityinsurancefortheForeignEntitypursuantresponsibilitywhichtheFirstNamedInsuredoraninterveningsubsidiaryhasinrelationtotheForeignEntity;or(2)theFirstNamedInsuredhasanOwnershipInterestwhichisnInterestandtheFirstNamedInsuredoraninterveningsubsidiobtainingliabilityinsurancefortheForeignEnttheInsurerwillindemnifytheFirstNamedInsuredfortheInsuredLoss,thevalueofwhichisagreedandshallbedeemedconclusivelytobeequaltotheFortheextentthattheFirstNamedInsuredhasanObligationtopay.c.theInsurerwilltreatanyForeignEntityLossinaccordancewithallofthetermsaconditionsofthisPolicy,including,butnotlimitedto,exclusionsandotherlimitationsinthisPolicy,asiftheForeignEntityLossoccurredtotheFirstNamedInsured.d.InformationmaterialtothisinsurancewhichisknowntotheForeignEntitdeemedtobeknowntotheFirstNamedInsue.TheFirstNamedInsuredshall,whendirected(1)retaininitsownname,butattheInadjuster”),authorizedinthejurisdictioninwhichtheForeignEntityLossoccurredandapprovedbytheInsurer,toadjusttheForeignEntityL(2)wherepermittedbyapplicablelaw,granttheInsurerthefullrighttocollabo(3)granttheInsurerfullaccesstoanyrecordsproducedbysuch(4)obtaintherighttocontroltheinvestigation,adjustment,defencForeignEntityLoss,includingaccesstobooks,records,billsinvoices,vouchersf.TheFirstNamedInsuredshallmakebestendeavourstoensshall,totheextentpermittedbythelawsand/orregulationstowhichtheForeignsubject,doandconcurindoingandpermittobedoneallsuchactsandthingsasmaybenecessaryorreasonablyrequiredbytheInsurerforthepurposeofenforcinganyrightsandremedies,orofobtainingrelief,indemnityorsettlementsumsfromotherparinprioritytotheinsurerwithwhomtheLocalPolicyiswriIntheeventanysuchrecoveryissubsequentlyreceivedbytheForeignEntityinrespectofwhichapaymentorsettlementisorhasbeenmadebytheInsurertotheFirstNamedInsuredinrelationtotheForeignEntityLoss,theFirstNamedInsupaytotheInsurerasumequivalenttosuchpaymDefinitionsapplicabletothisSpecialCtheInsurednamedfirstianentity(locatedinacountryorterritoryinwhicpermittedtoinsurethatentity)inwhichtheFirstNamedInsureinterestasaresulteitherofbenefitingfinanciallyfromthecontinuedoperationoftheForeignEntityorofbeingprejudicedbylossordamagetoorliabilityofaForeignEntityoritsbusinessorforwhichtheFirstNamedInsuredisresponsibleforarrangingliabilityinstheCompensation,DefenceCostsandexpensesthataForeignEntityhbecomelegallyobligatedtopaybecauseofinjury,damage,loss,orliabilitytowhichthisinsurancewouldapplyiftheFirstNamedInsuredweredirectlyliableforsuchthedecreaseinthevalueoftheeconomicinterestoftheFirstNamedInsuredintheForeignEntityasaresultoftheForeignEntityLoss.(5)ForeignEntityOccaneventwhichmayresultinaForeignEnti(6)OwnershipInthepercentageownershipinterestthattheFirstNamedInsuredhasintheFore
