SpotOption软件协议双语他SpotOption软件协议双语他/SpotOption软件协议双语他软件协议这份软件协议(以下简称为“协议”)是由以下双方在2015年12月29日（即“生效日期”）正式签署，合同双方分别为：甲方为SpotOption科技有限公司(以下简称为“SpotOption有限公司”)，一家按照英属维尔京群岛当地法律注册的公司，公司注册号为1762001；乙方为沈阳优博文化交流有限公司，一家按照中国法律注册的公司，公司注册号为2130(以下简称为“客户”)。鉴于，SpotOption有限公司是这款交易平台的所有者（交易平台的定义请参见本协议下文中的具体介绍），并且正在开展（在其他事物以外）为从事在线二元期权交易的企业提供这款交易平台的业务；以及鉴于，客户希望创建一个品牌名并进军二元期权这一领域，因此，客户希望从SpotOption有限公司处获得有关这款交易平台（具体定义请参见本协议下文中介绍）的使用许可，以便在日后通过客户自己的网站（具体定义请参见本协议下文中介绍）来进行二元期权交易并对二元期权交易进行广告宣传、市场营销和大规模推广（以上所有活动下文将统称为“客户活动”）；以及鉴于，SpotOption有限公司和客户(以下统称为“合同双方”，每一方都为合同“一方”）都希望规范和限定双方彼此之间在及这款交易平台有关事宜方面的关系，所有相关事项都在本协议前文中有具体介绍。鉴于以上种种，现在合同双方特在此同意、规定并作出以下声明：合同解读和术语定义本协议中所有条款和章节的标题都只为了方便查阅和参考引用所设，因而不得被用于解读或者更改或者补充延伸本协议相关条款内容或者本协议中任何规定。在本协议中，下列各术语的定义和具体含义请参见术语旁边的解释说明：“附属机构”指的是那些管理以及/或者拥有一些可以登录客户品牌冠名网页的网站的实体企业；“协议”指的是本协议以及本协议中所包含的所有附件，本协议和本协议附件都可随时进行修改；“客户品牌冠名网页”指的是在客户公司的主页上冠有客户品牌名的网页，通过这些网页可以客户可以登陆访问二元期权交易平台；“客户的市场营销活动”指的是客户所开展的广告宣传、市场营销和及客户活动相关的推广促销活动；“客户网站”指的是任何和/或所有由客户所管理运营的在互联网上或者任何其他网站地址为客户事先或者随时以书面形式告知SpotOption有限公司的URL地址的网站（详细的网站列表请参见本协议后的“附件A")，以及任何移动设备应用程序或者任何其他客户所使用的可用来向顾客提供二元期权交易服务的客户直接服务界面；“生效日期”指的是在客户网站上的某一顾客所开展的第一笔交易的开始日期；“顾客”指的是客户的顾客，也就是那些已经及客户建立了合作关系并开了一个交易账户或者以其他方式正在通过客户网站进行二元期权买卖交易的顾客；“初始期限”的具体含义请参见本章节第九条中的定义;“知识产权”指的是所有的专利、商标和服务商标、已注册的设计、设计权和版权、精神权利和道德权利、有关半导体芯片分布图方面的权利、效用模型、有关数据库和其他受保护的信息列表的权利、有关机密信息、商业机密、发明创造和专有技术、贸易名和商业名称、域名、外观设计、商标标志和商业外观(包括所有相关的扩展、再生效和续签)，在上述每种情况下，无论是已经注册的还是未注册的都包含在内，知识产权还包括所有针对上述所提及的任何一项或者多项内容的申请以及加在任何上述内容上的诚意和创意以及任何具有类似性质的权利或者保护形式以及可以对上述任何一项或者多项内容产生相同或者类似的效果的且可能存在于世界上任何地方的保护形式;“SpotOption有限公司品牌”指的是冠有“SpotOption”或者“SpotOption”字样的商标或者其他不时由SpotOption有限公司管理运营或者授权许可的商标或者服务商标;“SpotOption费用”是指由客户按照本协议下文第六节条款规定向SpotOption有限公司所支付的费用，其中包括软件安装费、后期使用费、每月的最低收费以及第三方费用，如需了解有关第三方费用的详细信息请参见本协议附件1中的具体说明；“SpotOption有限公司的关联实体”指的是所有及SpotOption有限公司在同一公司集团旗下的企业实体；“净收益”指的是由顾客通过客户网站进行二元期权交易所产生的收入，有关净收益的计算方式请参见本协议后附件1中的具体介绍；“软件服务”指的是由SpotOption有限公司向客户所提供的服务，有关软件服务的具体内容请参见本协议后附件3中的详细介绍；“合同期限”的具体含义请参见本协议下文第9章中的详细介绍；“交易平台”指的是SpotOption有限公司所专有的二元期权交易平台，包括所有SpotOption有限公司向该公司的一般客户定期所提供的有关这款交易平台的升级和更新。许可2.1 SpotOption有限公司表示愿意授予客户一个有限的、非排他性的、不可转让且不可转换的、需要支付一定版税和专利税来使用这款二元期权交易平台来通过客户网站并严格按照本协议中相关条款规定进行二元期权交易的权利及许可，以及对二元期权交易进行广告宣传、市场营销和推广促销等一系列活动的权利和许可（以上各种以下统称为”许可“）。所有其他SpotOption有限公司没有在本协议中明确表示授予客户的权利和许可都将由SpotOption有限公司自行保留。2.2 客户不得对这款二元期权交易平台进行任何修改、反编译、反向工程、反汇编、拆解、删减或使之简化为人类可读的格式、或者改变这款交易平台的设计或者任何组成部分、或者以任何方式改变这款交易平台的特征、性能和功能，或者尝试或者允许或者使得其他相关方有机会或者有能力来以任何方法或者以任何方式执行上述这些操作（上述各项活动以下统称为“未经许可的违规活动”)。所有试图开展或执行任何上文所列举的未经许可的违规活动的行为都将导致本协议以及本协议所授予的交易平台使用许可权即可自动终止。在不影响上文所有条款规定的一般性和适用范围的前提下，有时候客户可能会进一步需要在当地相关法律法规或者公平法所允许的最大范围内承担相应法律责任或者以SpotOption有限公司为受益人补偿SpotOption有限公司所受到的或者由此所产生的任何损失或者伤害并提供合理的赔偿或者补救方案。2.3 本协议中的任何条款规定都不应对SpotOption有限公司向任何其他第三方授予有关这款二元期权交易平台的任何权利和/或许可的能力和权限产生限制或者禁止的作用。2.4 客户特在此表示同意并承认，所有的二元期权交易都应当受到不同司法管辖区当地的法律法规的管辖，其中包括对许可授权交易和合规性等方面的要求，客户还同意对这款交易平台的许可授权适用于并仅适用于客户在严格遵照相关辖区当地适用的法律法规来使用这款交易平台。客户在此承诺，保证将会严格按照一切相关适用的法律法规，包括但不限于任何有关许可授权交易方面的相关要求，来使用这款二元期权交易平台。客户明白并承认严格遵守所有上述所提及的法律法规行事是客户单方面的责任和义务，SpotOption有限公司在这方面无需承担任何责任也没有做出任何保证或者声明。

2.5 SpotOption有限公司可能会根据其唯一自由量裁权来酌情对这款二元期权交易平台（或者这款平台的任何组成部分）的可用性以及使用这款平台来及潜在的以及/或者现有的顾客进行交易的使用权限进行一定的限制，如果SpotOption有限公司有理由相信存在任何适用的法律或法规(和/或任何现存的或者正在计划中的对这类法律法规的修订）要求该公司采取上述行动，或者如果该公司认为继续由该公司的某一客户通过这款交易平台向其他顾客提供二元期权交易服务有可能会导致SpotOption有限公司、该公司旗下所有分支机构或者任何及该公司及这些分支机构相关的人士需要承担受到司法诉讼、监管处罚或者经济制裁的风险。SpotOption有限公司可能会根据其唯一自由量裁权来酌情对这款二元期权交易平台（或者这款平台的任何组成部分）的可用性以及使用这款平台来及潜在的以及/或者现有的顾客进行交易的使用权限进行一定的限制，如果SpotOption有限公司有理由相信这种限制将有助于有效遏制和预防客户的欺诈性行为、滥用或其他非法活动。SpotOption有限公司的责任和义务SpotOption有限公司应当，或者应当聘请一家独立第三方来履行以下责任和义务：避免使用数据库(数据库的定义请参见本协议下文第8.1条中的具体说明)并严格按照本协议第8条中的规定和要求来行事；采用一切合理可行的方法和措施来尽力确保这款二元期权交易平台能够保持顺畅无碍没有故障的正常运行和使用。为客户提供后期和客户终端支持以及通过客户品牌冠名网页和二元期权交易平台来进行二元期权交易所必须的配套的技术基础设施。客户的责任和义务客户应当履行以下责任和义务:向SpotOption有限公司提供客户公司的法人注册证书、公司委任书和注册代理人证和公司的存续证明，以及任何SpotOption有限公司不时根据其唯一自由量裁权和具体情况为了让SpotOption有限公司更好地按照当地相关适用的法律法规和行业规范标准以及按照SpotOption有限公司的风险降低政策来开展“了解你的客户”的初步工作而酌情要求客户提供的额外信息。这些信息可能包括客户公司所有董事的名字和拥有客户公司多数控股权的最终实益所有者名单，以及其他SpotOption有限公司根据其唯一自由量裁权酌情要求提供的相关证明文件等。客户同意并承认，本协议的实施和执行将在很大程度上取决于SpotOption有限公司能否成功有效地完成上述工作；在本协议条款规定允许的最大范围内，利用一切合理可行的方法尽最大努力来积极有效地开展相关客户活动，其中包括对客户品牌冠名网页和这款二元期权交易平台的广告宣传、市场营销和推广促销等一系列活动；确保所有所开展的客户活动都不得针对未成年人，不得包含任何色情内容或者暴力描述，不得违反任何有关当局的法律法规规定，也不得包含任何反宗教或反种族或有性别歧视的内容或其他令人反感或有歧视性质的内容和/或不得包含任何有可能违反和/或侵犯任何属于第三方知识产权的内容和材料;应当在一切会在客户品牌冠名网页上出现以及/或会在二元期权交易平台上出现的版权、商标或者品牌名方面对SpotOption有限公司予以支持和配合，并保证无论在任何时候都会避免作出任何使用(无论是在客户网站上还是以其他方式使用）SpotOption有限公司的品牌商标的行为；除此之外，客户不得在没有事先告知SpotOption交易所有限公司并得到该公司的明确书面许可的情况下擅自使用和/或以任何方式引用(无论是在客户网站上还是通过其他方式)SpotOption交易所有限公司(一家受到CySec监管的塞浦路斯投资公司)的公司名、商标以及许可证号码。在发生客户违反本章节第4.1.4条规定的情况下，SpotOption有限公司有权根据其唯一自由量裁权单方面终止本协议。在不影响上述规定的法律效力和适用范围的情况下，客户可能会需要按照当地相关法律法规和公平法的规定以SpotOption有限公司或SpotOption交易所有限公司为受益人向其提供合理的赔偿和补偿。除非在本协议中另有其他规定，否则客户应当单独承担所有及客户所开展的客户活动（包括但不限于对在客户品牌冠名页面及/或交易平台上进行二元期权交易进行广告宣传、市场营销和推广促销等一系列活动）所产生的一切费用和开销以及其他所有相关的运营费用和成本;应当按照本协议相关条款规定按时向SpotOption有限公司以转账的方式支付规定金额的SpotOption费;在本协议生效期间以及在本协议到期终止后一年内，客户应当避免通过互联网或者以其他方式直接或间接地提供或使用其他任何可用来进行二元期权交易的第三方交易平台，并应当避免对这类第三方交易平台进行广告宣传、市场营销或推广促销等活动；应当按照SpotOption有限公司可接受的标准购买获得必要的服务器/虚拟主机等基础设施来使用这款二元期权交易平台以及来对所有及客户的顾客有关的顾客信息和数据进行存储和处理;客户应当在向SpotOption有限公司进行咨询以后并在SpotOption有限公司的信息分析部门的帮助下按照SpotOption有限公司所规定的方式使用SpotOption有限公司可能随时指定的格式来独自开展一切有关对客户所需承担的交易风险参数和客户公司的风险政策的提前界定工作，并应当在任何时候都全权负责对客户目前的交易仓位、所面临的风险水平和成交状态进行随时监控。SpotOption有限公司对于确定客户所需承担的的风险参数和/或确保客户的交易活动符合客户所界定的风险参数或客户公司内部的风险政策等方面无需承担任何法律责任和合同义务，并且也没有责任和义务来帮助对客户目前的交易仓位、所面临的风险水平和成交状态进行监控或者控制管理；以及客户应当在必要和适用的情况下全权负责获得和维护所有通过这款二元期权交易平台来开展二元期权交易所必须的相关许可和批准，并保证将严格遵守所有及客户按照本协议相关条款规定履行协议义务和开展相关业务相关的法律法规，包括相关的贸易法规定并承担一切及此相关的法律责任。客户应当遵守SpotOption有限公司发表在SpotOption有限公司的官方网站()上并由SpotOption有限公司不时修订的所有公司政策和指导方针。如果SpotOption有限公司对上述公司政策或指导方针有任何更改或者修订，SpotOption有限公司将通过把修改后的最新政策和指导方针发布在公司网站的相关页面上来通知客户公司政策发生了更改。客户应当负责定期访问SpotOption有限公司官网以检查和确保能够及时了解到SpotOption有限公司当前最新的公司政策和指导方针。在任何情况下，SpotOption有限公司都不应为由于客户公司和/或客户公司旗下分公司所开展的交易活动、广告宣传、市场营销和推广促销等活动和工作承担任何法律责任，并且如果SpotOption有限公司或者SpotOption有限公司的关联实体由于上述原因而遭受到任何索赔诉讼、法律责任、债务、伤害、费用、损失或者开销成本（包括合理的法律费用在内），客户应当相应地向SpotOption有限公司或者SpotOption有限公司的关联实体提供合理的赔偿并确保SpotOption有限公司或者SpotOption有限公司的关联实体的合法正当利益不受到损害。附属机构5.1 由于客户的顾客应当能够使用互联网通过附属机构的网站来登陆访问客户品牌冠名页面，因而客户应当有权购买享有附属机构所提供的宣传促销服务。5.2 客户应单方面负责客户旗下附属机构的一切行为活动和遗漏过失所造成的一切后果，并特在此承诺，保证将向SpotOption有限公司为该公司由于客户旗下附属机构在客户品牌冠名网页及/或二元期权交易平台方面所开展的一切行为活动或者遗漏过失而遭受的损失和伤害，无论是哪种性质的损失，都予以合理的赔偿和补偿。费用和付款6.1 客户应当根据客户所提出的网站图形设计和网页内容设计要求为客户网站的开发和维护工作按照约定向SpotOption有限公司支付一笔安装设置费（以下简称为“设置费”)，相关方面的具体规定请参见本协议后附件1中的详细说明。这笔设置费是合同双方在协商一致后根据一系列相关合同规定所共同设定的，如果客户在日后提出任何超过双方之前约定好的要求以外的其他要求，SpotOption有限公司有权根据其唯一自由量裁权酌情决定提高这笔设置费或者加收额外费用。6.2 任何可用来帮助客户品牌冠名页面更好地及二元期权交易平台进行集成整合的进一步工作(包括但不限于进一步设计、开发和/或其他电子信息相关工作)都应当按照单个项目为单位在合同双方协商一致后收取一定金额的费用，或者，如果合同双方无法就收费金额或者其他相关事宜达成一致，SpotOption有限公司将按照业内收费标准为该公司照客户要求所提供的服务和所开展的工作按照标准时薪收费并且客户应当在收到SpotOption有限公司寄送给客户的发票账单时立即按照发票上的金额向SpotOption有限公司支付已经完成了的工作的费用。6.3 根据本协议相关条款规定，为了获得SpotOption有限公司的软件使用许可授权和软件服务，作为交换客户应当安装本协议附件1中的具体规定向SpotOption有限公司支付一笔费用，具体金额和相关方面的详细信息请参见附件1。6.4 在某些特定的情况下并且有时可能在SpotOptions有限公司和客户之间通过协商达成一致的情况下，SpotOption有限公司将为客户提供一些由其他第三方所提供的服务并收取一定的费用(即“第三方费用”)。客户特在此表示同意，愿意向SpotOption有限公司支付所有这类第三方费用，包括增值税和其他所有在每个日历月的最后十天内所产生的相关费用。6.5 在本协议的整个有效期内，客户应当按照约定在每个日历月的最后十天内向SpotOption有限公司为上个月所使用SpotOption软件和服务支付SpotOption费。6.6 合同双方任一方都应当按照相关辖区的适用法律法规规定向相关当局按时足额缴纳各自所应缴纳的税款。6.7 合同双方特在此同意和承诺，有关净收益的计算方式将按照目前由SpotOption有限公司所制定的最新的计算方法来计算，相关方面的详细信息请参见本协议后附件1中的具体介绍。担保和承诺7.1 SpotOption有限公司和客户每一方都在此向另一方作出以下承诺和担保：双方都已经得到正式授权，有权及另一方签订本协议并有能力履行本协议下的一切合同规定;通过及另一方签署本协议并依法履行本协议下所规定的合同义务，上述合同双方保证现在没有并且以后也不会有任何违法任何相关法律法规和/或行为准则的行为;另外上述双方保证，各自拥有或者已经得到授权许可，完全有权在本协议有效期内为另一方提供任何已经向另一方所提供的信息和知识产权。7.2 SpotOption有限公司不保证这款二元期权交易平台在整个合同有效期内不会出现任何错误、问题和故障或者不会出现无法登陆使用该交易平台的情况发生。SpotOption有限公司应当积极主动采取一切合理科学的商业行为来确保客户可以在整个合同有效期内，在除了必要合理的关闭、故障、停机、维修护理和开展其他相关技术支持工作所需的时间以外其他时间里随时享有正常无阻的访问和使用。SpotOption有限公司保证将采取一切可行合理的方法和举措尽最大努力，争取在发生重要问题后的两个小时内给客户提供及时的回应和满意的答复。客户特在此作出以下承诺和保证，客户已按要求提供了其公司的公司注册证明和注册代理人证书的有效复印件，相关证件已附在本协议后的附件4和附件5中。客户特在此作出以下承诺和担保，客户公司不是一家以色列纳税实体，并且所有客户根据本协议相关条款所提供的服务都不是以任何以色列实体或以色列个人为受益人而提供的，客户在以色列的任何地区都没有开展业务也没有固定办公场所，并且客户目前没有及任何以色列客户进行交易也不打算发展任何以色列国籍的客户。

有限担保和承诺。所有上述担保和承诺都是专一排他性的并将取代所有其他性质的承诺和担保，SpotOption有限公司在有关这款二元期权交易平台、该平台的质量、适销性或者是否适合用来达成某一特殊目的等问题方面不作出任何明示或者暗示的保证或承诺。任何以口头或者书面形式由SpotOption有限公司或该公司员工所提供的信息或者建议都不得构成任何这类性质的承诺或担保，也不应被视为是对上述担保所作出的任何修改、扩展或补充。在不影响上述规定的一般性和适用范围的前提下，本条款特别明确指出并专门声明，SpotOption有限公司对于任何使用风险系数评估工具和程序的行为和及之相关的活动，例如价格设定或者开展二元期权交易等活动不承担任何法律责任或者合同义务。例外情况。任何承诺和担保都不适用于由于以下情况而开展的改正或维修工作或者其他相关服务所造成的破损、损坏、缺陷、损失和伤害：(i)由于客户的系统和设备或客户的使用行为造成的;(ii)由于除SpotOption有限公司员工以外的任何其他人的任何作为或不作为所造成的;(iii)由于电力短缺、断电短路或者电路障碍造成的;(iv)由于除了SpotOption有限公司员工以外的任何其他人的任何对这款二元期权交易平台的修改或改装行为所造成的;或者(v)由于任何其他SpotOption有限公司无法控制的原因所造成的。这款二元期权交易平台以及任何其他由SpotOption有限公司所提供的服务或者其他可交付成果或者任何其他开发项目都应包括所有相关第三方所提供的内容、数据或材料，在这方面，没有任何一方作出任何有关这些材料的承诺和担保并且这些材料都是按照原本的样子提供的。SoftwareAgreementThisSoftwareAgreement(“Agreement”)enteredintoonthe29thofDecember,2015(the“EffectiveDate”),byandbetweenSpotOptionTechnologiesLtd(“SpotOptionLtd”),acompanyincorporatedunderthelawsofBritishVirginIslands,registrationnumber1762001,and[沈阳优播文化交流有限公司ShenyangYouboCultureexchangeLTD._],acompanyincorporatedunderthelawsof_China_,registrationnumber2130(“Client”).Whereas,SpotOptionLtdistheowneroftheTradingPlatform,ashereinafterdefined,andisengagedin,interalia,providingtheTradingPlatformtobusinessesengagedinonlinebinaryoptionstrading;andWhereas,ClientwishestoestablishabrandnameandpresenceinthebinaryoptionsindustryandthereforewishestoreceivefromSpotOptionLtd,alicensetousetheTradingPlatform(asdefinedbelow)forthepurposeoftradinginbinaryoptionsthroughtheClientWebsite,asdefinedbelow,andadvertising,marketingandpromotingbinaryoptionstrading(the“ClientActivity”);andWhereas,SpotOptionLtdandClient(collectively,the“Parties”andeacha“Party”)desiretoregulatetheirrelationshippertainingtotheTradingPlatform,allassetforthherein.NOW,THEREFORE,thePartiesagree,stipulateanddeclareasfollows:InterpretationsandDefinitionsTheheadingsoftheArticlesinthisAgreementareforthepurposeofconvenienceandreferenceonlyandshallnotbeusedintheinterpretationofnormodifynoramplifythetermsofthisAgreementnoranyArticlehereof.ForthepurposesofthisAgreement,thefollowingtermsshallhavethemeaningdetailednexttothem:“Affiliates”meansthoseentitieswhichmanageand/orowncertainwebsitesthroughwhichtheClientBrandedPagesareaccessed;“Agreement”meansthisAgreementandanyAnnexesattachedhereto,asamendedfromtimetotime;“ClientBrandedPages”meansthebrandedwebsitepagesoftheClienttobelocatedontheClientWebsite,fromwhichbinaryoptiontradingwillbeaccessiblebyCustomers;“ClientMarketingActivities”meansClient'sadvertising,marketingandpromotionactivitiesrelatedtoClientActivity;“ClientWebsite”meansanyand/orallofthewebsites,assetoutin“AnnexA”hereto,thatareoperatedbytheClientlocatedontheInternetandanyotherURLsasmaybenotifiedtoSpotOptionLtdinwritingfromtimetotime,aswellasanymobileapplicationoranyotherCustomer-facinginterfaceusedbytheClienttoofferbinaryoptionstradingtoCustomers;“CommencementDate”meansthefirstcommencementoftradebyaCustomerontheClientWebsite.“Customers”meansClient'scustomerswhohaveestablishedatradingaccountwiththeClientorotherwiseengageintradinginbinaryoptionsthroughtheClientWebsite;“InitialTerm”hasthemeaningsetoutinArticle9;“IntellectualPropertyRights”meansallpatents,trademarksandservicemarks,registereddesigns,designrightsandcopyright,moralrights,rightsinsemi-conductorchiptopographies,utilitymodels,rightsindatabasesandotherprotectablelistsofinformation,rightsinconfidentialinformation,tradesecrets,inventionsandknow-how,tradeandbusinessnames,domainnames,get-ups,logosandtradedress(includingallextensions,revivalsandrenewals,whererelevant)ineachcasewhetherregisteredorunregisteredandapplicationsforanyofthemandthegoodwillattachingtoanyofthemandanyrightsorformsofprotectionofasimilarnatureandhavingequivalentorsimilareffecttoanyofthemwhichmaysubsistanywhereintheworld;“SpotOptionLtdBrands”meansthetrademarks“SpotOption”,"SpotOption"orsuchothertrademarksandservicemarksthatfromtimetotimemaybeoperatedorlicensedbySpotOptionLtd;“SpotOptionFees”meansthefeespayablebyClienttoSpotOptionLtd,inaccordancewithArticle6below,comprisingoftheSetupFee,theOngoingUsageFees,theMinimumMonthlyFeesandtheThirdPartyFeesasfurtherdetailedinAnnex1;“SpotOptionLtdRelatedEntities”meansallentitiesexistingwithinthesamegroupofcompaniesinwhichSpotOptionLtdexists;“NetRevenue”meanstherevenuegeneratedbyCustomerstradinginbinaryoptionsontheClientWebsite,thecalculationofwhichissetforthinAnnex1,attachedhereto;“SoftwareServices”meanstheservicesprovidedbySpotOptionLtdtoClientasdescribedinAnnex2;;“Term”hasthemeaningsetoutinArticle9;and“TradingPlatform”meansSpotOptionLtd'sproprietarybinaryoptionstradingplatform,includinganyupdatesandupgradesmadegenerallyavailabletoSpotOptionLtd'scustomers.TheLicense2.1 SpotOptionLtdgrantstoClientalimited,nonexclusive,nontransferable,non-assignable,royaltybearingrightandlicensetousetheTradingPlatformtotradeinbinaryoptionsthroughtheClientWebsite,andtoadvertise,marketandpromotetradeinbinaryoptionsinaccordancewiththetermsandconditionscontainedherein(the“License”).AllotherrightsandlicensesnotexpresslygrantedtotheClienthereinarereservedbySpotOptionLtd.2.2 Clientshallnotmodify,decompile,reverseengineer,disassemble,reducetohumanreadableformat,oraltertheTradingPlatform,oranycomponentthereof,orchangeitscharacteristicsinanymanner,orattempt,oralloworenableanother,toperformanyoftheseactionsinanywayormanner(the“UnlicensedActivities”).AnyattempttoperformanyoftheUnlicensedActivitiesshallautomaticallyterminatetheLicenseandthisAgreement.Withoutderogatingfromthegeneralityoftheforegoing,ClientmayfurtherbesubjecttoanyliabilityorremedyallowedbylaworequityforthebenefitofSpotOptionLtdforanydamagessufferedbySpotOptionLtd.2.3 NothinginthisAgreementshallprohibitorlimitSpotOptionLtdfromgrantingrightsand/orlicenseswithrespecttotheTradingPlatformtoanyotherthirdparty.2.4 Clientacknowledgesthatbinaryoptionstradingissubjecttolawsandregulationsinvariousjurisdictions,includinglicensingandcompliancerequirements,andthattheLicenseisgrantedsolelyforuseoftheTradingPlatforminaccordancewithsuchlawsandregulationsasapplicable.TheClientundertakestousetheTradingPlatforminaccordancewithallapplicablelawsandregulations,includingbutnotrestrictedtoanyapplicablelicensingrequirements.ClientrecognizesthatcompliancewithanysuchlawsandregulationsisthesoleresponsibilityoftheClientandthatSpotOptionLtdmakesnowarrantiesorrepresentationsinthisrespect.

2.5 SpotOptionLtdmayinitssolediscretionrestricttheavailabilityoftheTradingPlatform(oranypartthereof)fortradingwithpotentialand/orexistingCustomersifSpotOptionLtdbelievesthatanyapplicablelaworregulation(and/oranyactualorproposedchangesthereto)requireittodosoorthatthecontinuedprovisionofservicesbyanyClientbywayoftheTradingPlatformtosuchCustomerswillexposeSpotOptionLtd,anyofitsaffiliatesoranypersonassociatedwithanyofthem,totheriskoflegal,regulatoryoreconomicsanctions.SpotOptionLtdmay,initssolediscretion,furtherrestricttheavailabilityoftheTradingPlatform(oranypartthereof)fortradingwithpotentialand/orexistingCustomers,ifSpotOptionLtdbelievesthatsuchrestrictionisnecessarytopreventfraud,abuseorotherillicitactivity.SpotOptionLtdObligationsSpotOptionLtdshall,orshallprocurethatathirdpartyshall:refrainfromusingtheDatabase(asdefinedinArticle8.1below)andactinaccordance withtheprovisionssetforthinArticle8;useallreasonableendeavourstoensureuninterruptedavailabilityandoperationofthe TradingPlatform;andprovidebackendsupport,technologyinfrastructurerequiredfortradinginbinary optionsviatheClientBrandedPagesandTradingPlatform.ClientObligationsTheClientshall:providetoSpotOptionLtdtheClient’scertificateofincorporationandacertificateofincumbencyandgoodstanding,aswellasanyadditionalinformationrequiredbySpotOptionLtdfromtimetotime,atitssolediscretion,inordertoallowSpotOptionLtdtoconductapreliminary“knowyourcustomer”processinaccordancewithapplicablelawandindustrystandards,andinaccordancewithSpotOptionLtd’sriskmitigationpolicies.SuchinformationmayincludenamesofalldirectorsandultimatebeneficialownerswithacontrollinginterestintheClient,aswellascorroboratingdocumentationasrequiredbySpotOptionLtdinitssolediscretion.ClientacknowledgesthatimplementationofthisAgreementissubjecttosatisfactorycompletionofthisprocessbySpotOptionLtd;useitsbesteffortstoactivelyandeffectivelyconducttheClientActivity,includingadvertise,marketandpromotetheClientBrandedPagesandtheTradingPlatformaswidelyaspossibleinaccordancewiththisAgreement;ensurethatClientActivityshallnotbedirectedtowardminors,includepornographiccontentordepictionofviolence,violateanyapplicablelaw,containantireligiousorantiraceorgendercontentorotherwiseobjectionablecontentand/orincludematerialthatisinbreachofand/orinfringesanyIntellectualPropertyRightsbelongingtothirdparties;cooperatewithSpotOptionLtdregardinganycopyright,trademarkorbrandingthatappearsontheClientBrandedPagesand/ortheTradingPlatformandatalltimesrefrainfrommakinganyusewhatsoever(eitherontheClientWebsiteorotherwise)oftheSpotOptionLtdBrands;Inaddition,theClientshallnotmakeanyuseofand/orreference(eitherontheClientWebsiteorotherwise)toSpotOptionExchangeLtd's(aCyprusInvestmentFirmregulatedbyCySec)name,trademarkandlicensenumber,withouttheexpresswrittenapprovalofSpotOptionExchangeLtd.Incaseofabreachofthissection4.1.4bytheClient,SpotOptionLtdmay,initssolediscretion,terminatetheLicenseandthisAgreement.Withoutderogatingfromtheabove,ClientmayfurtherbesubjecttoenforcementunderlawandequityforthebenefitofSpotOptionLtdorSpotOptionExchangeLtdasappropriate.exceptasotherwisesetforthinthisAgreement,bearallcostsandexpensesincurredinconnectionwiththeClientActivity,includingadvertising,marketingandpromotionofbinaryoptiontradingontheClientBrandedPagesand/ortheTradingPlatformaswellasallotherrelatedoperationalcosts;transfertoSpotOptionLtdtheSpotOptionFeesinaccordancewiththeprovisionsofthisAgreement;duringtheTermandforanadditionaltermof1yearthereafter,refrain,directlyorindirectly,fromsupplying,using,advertising,marketingorpromoting,overtheInternetorotherwise,anythirdpartytradingplatformrelatingtobinaryoptionstrading;acquirethenecessaryserver/hostinginfrastructure,atastandardacceptabletoSpotOptionLtdand,interalia,storeandprocessallCustomerdatarelatingtoClient’sCustomers;besolelyresponsibleforpre-definingtheClient’stradingriskparametersandriskpolicy,followingconsultationwithandwiththeassistanceofSpotOptionLtd'sAnalysisDepartmentandinamannerandusingsuchformattobedefinedbySpotOptionLtdfromtimetotime,andformonitoringatalltimestheClient’scurrenttradingposition,exposureandrisklevel.SpotOptionLtdshallbearnoresponsibilityfororliabilityinconnectionwithdeterminingtheClient’sriskparametersand/orensuringthattheClient’stradingactivityconformswiththeriskparametersorpolicyasdeterminedbytheClientand/ormonitoringorcontrollingtheClient’scurrenttradingposition,exposureandrisklevel;andberesponsibleforobtainingandmaintainingalllicensesandapprovalsfortheconductoftradingbywayoftheTradingPlatform,asnecessaryandapplicable,aswellasforcompliancewithanyandalllawsandregulationsapplicabletotheClient’sperformanceunderthisAgreement,includingapplicabletradinglaws.shallcomplywithallofSpotOptionLtd'spoliciesandguidelinespublishedonSpotOptionLtd'sofficialwebsite()asamendedbySpotOptionLtdfromtimetotime.SpotOptionLtdwillnotifytheClientofanysuchamendmentbypublishingtheamendedversionsontherelevantpageontheInternetsites.TheClientremainsresponsibleforcheckingonaregularbasisandensuringthatitisawareofthecorrectandcurrentpoliciesandguidelines.SpotOptionLtdshallundernocircumstancesbeheldliableforandtheClient accordinglyindemnifiesandholdharmlessSpotOptionLtdandtheSpotOptionLtd RelatedEntitiesagainstanyandallclaims,liability,damage,expense,loss,orcost (includingreasonablelegalfees)sufferedbySpotOptionLtdortheSpotOptionLtd RelatedEntitiesbyreasonoftheClient’sand/oranAffiliate’stradingactivity, advertising,marketingandpromotionalefforts.Affiliates5.1 TheClientshallbeentitledtoprocurethepromotionalservicesofAffiliatesonthebasisthattheClientBrandedPagesshallbeaccessibletoCustomersontheAffiliate’swebsitesovertheInternet.5.2 TheClientisfullyresponsiblefortheactionsandomissionsofitsAffiliatesandherebyindemnifiesSpotOptionLtdagainstallandanylossofwhatsoevernature,whichSpotOptionLtdmaysufferasaresultoftheAffiliate’sactionsoromissiontoactinregardtotheClientBrandedPages,and/ortheTradingPlatform.FeesandPayment6.1 ClientshallpaySpotOptionLtdasetupfeeforthedevelopmentoftheClientWebsite,assetforthinAnnex1(the"SetupFee"),basedonClient'sgraphicaldesignandcontent.TheSetupFeeisbasedonanagreedsetofrequirementsandmayaccordinglybeincreasedinthesoleandabsolutediscretionofSpotOptionLtdshouldtheClient’srequirementsexceedtheagreedsetofrequirements.6.2 AnyfurtherworkrequiredtoenhancetheClientBrandedPagesintegrationwiththeTradingPlatform(includingwithoutlimitationfurtherdesign,developmentand/orITrelatedwork)shallbechargedonaprojectbasistobeagreeduponbetweenthePartiesor,ifnoagreementcanbereached,atthestandardhourlyratechargedbySpotOptionLtdatthetimefortherequisiteworkdoneonthebasisthatsameshallbepaidbytheClientonpresentationofinvoicetotheClientinrespectofthatworkdone.6.3 InconsiderationforthelicenseandtheSoftwareServicesgrantedtoClienthereunder,ClientshallpaySpotOptionLtdthefeesasdetailedinAnnex1.6.4 Incertaincircumstances,andasmaybeagreeduponbetweenSpotOptionsLtdandtheClientfromtimeto,SpotOptionLtdwillprovideClientwithcertainservicesprovidedbythirdparties(the”ThirdPartyFees”).ClientagreesthatitshallpaySpotOptionLtdallThirdPartyFees,includingVATandallotheramountsinrespecttheretowithin10daysoftheendofeachcalendarmonth.6.5 ClientshallpaySpotOptionLtdtheSpotOptionFeeswithin10daysoftheendofeachcalendarmonthduringthetermofthisAgreement,withrespecttotheprecedingcalendarmonth.6.6 EachPartyshallberesponsibleforpaymentofitsrespectivetaxesdueunderanyapplicablelaw.6.7 BothPartiesherebyacknowledgethatthecalculationofNetRevenueascurrentlyformulatedbySpotOptionLtdisassetoutinAnnex1.Warranties7.1 SpotOptionLtdandtheClienteachwarrantandrepresenttotheotherthat:itisdulyempoweredandauthorisedtoenterintothisAgreementandtoperformitsobligationscontainedherein;byenteringintothisAgreementandfulfillingtheobligationscontainedhereinitdoesnotandwillnotcontraveneanyapplicablelaw,regulationand/orcodeofconduct;anditownsorisfullylicensedtoprovideanyoftheIntellectualPropertyRightsitmakesavailabletotheotherduringthisAgreement.7.2 SpotOptionLtddoesnotwarrantthattheTradingPlatformwillbefreefromerrororthataccesstotheTradingPlatformwillbeuninterruptedthroughouttheTerm.SpotOptionLtdshallmakereasonablecommercialeffortstoensurethataccesstotheTradingPlatformcanbemadebyCustomersatalltimesduringtheTermexcludingreasonableperiodsfordowntime,maintenanceandrelatedsupport.SpotOptionLtdwillemploybestendeavourstoprovidearesponsetocriticalproblemswithin2hours.TheClientwarrantsandrepresentsthatavalidcopyofitsCertificateofIncorporationandCertificateofIncumbencyareattachedasAnnex4andAnnex5.TheClientwarrantsandrepresentsthatitisnotanIsraeliresidententityfortaxpurposes,thattheservicesrenderedhereunderarenotforthebenefitofanyIsraelientityorindividual,thatitdoesnothaveaplaceofbusinessinIsraelandthatitdoesnottargetanddoesnotengagewithIsraeliCustomers.

LimitedWarranty.TheWarrantiesaboveareexclusiveandinlieuofallotherwarrantiesandSpotOptionLtddoesnotmakeanywarranty,eitherexpressorimpliedwithrespecttotheTradingPlatform,itsquality,merchantability,orfitnessforaparticularpurpose.NooralorwritteninformationoradvicegivenbySpotOptionLtdoritsemployeesshallcreateawarrantyormakeanymodification,extensionoradditiontothiswarranty.Withoutderogatingfromthegeneralityoftheaforesaid,itisspecificallystatedandclarifiedthatSpotOptionLtdbearsnoresponsibilityorliabilityinconnectionwithanyuseorriskfactorstoolsandprograms,suchassettingofrates,tradinginbinaryoptions,etc.Exemptions.Nowarrantyshallapplytodefects,failures,damagesorlossesresultingfromcorrections,repairsorservicenecessitatedby:(i)theClient'ssystem,equipmentoritsuse;(ii)anyactoromissionbyanyoneotherthanSpotOptionLtd;(iii)powershortages,irregularitiesorfailures;(iv)modificationoftheTradingPlatformbyanyoneotherthanSpotOptionLtd;or(v)anyothercausebeyondSpotOptionLtd'scontrol.TotheextentthattheTradingPlatform,anydevelopmentsoranyotherdeliverableorservicesprovidedbySpotOptionLtdshallincludecontent,dataormaterialsofthirdparties,nowarrantyisprovidedwithrespecttosuchmaterialsandtheyareprovidedasis.
