CooperationAgreement

ThisCooperationAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[YourCompanyName],a[YourCompanyIncorporationType]incorporatedin[YourCompanyIncorporationCountry](hereinafterreferredtoas"CompanyA"),and[PartnerCompanyName],a[PartnerCompanyIncorporationType]incorporatedin[PartnerCompanyIncorporationCountry](hereinafterreferredtoas"CompanyB").

BACKGROUND

WHEREAS,CompanyAisengagedinthebusinessof[DescriptionofCompanyA'sbusiness];

WHEREAS,CompanyBisengagedinthebusinessof[DescriptionofCompanyB'sbusiness];

WHEREAS,bothPartiesbelievethatacooperationbetweenthemwouldbemutuallybeneficialandwouldenablethemtoachievetheirrespectivebusinessobjectivesmoreeffectively.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesheretoagreeasfollows:

1.Objective

1.1TheobjectiveofthisAgreementistoestablishastrategiccooperationframeworkbetweenCompanyAandCompanyB,underwhichthePartieswillworktogetherto[Descriptionofthecooperationobjective].

2.ScopeofCooperation

2.1CompanyAandCompanyBwillcooperateintheareasof[Listthespecificcooperationareas].

2.2ThePartieswillshareknowledge,experience,andresourcestoachievethecooperationobjectivesetforthinArticle1.1.

2.3EachPartywilldesignatearepresentativetocoordinateandmanagethecooperationmatters.Therepresentativewillberesponsibleforcommunication,coordination,andimplementationofthecooperationactivities.

3.DurationandTermination

3.1ThisAgreementshallbecomeeffectiveasofthedatehereofandshallremainineffectforatermof[Durationoftheagreement],unlessterminatedearlierinaccordancewiththetermshereof.

3.2EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialprovisionhereofandfailstocuresuchbreachwithin[Cureperiod]afterreceiptofwrittennoticethereoffromtheotherParty.

3.3ThisAgreementmayalsobeterminatedbymutualagreementoftheParties.

4.Confidentiality

4.1EachPartyshallkeepconfidentialandnotdisclosetoanythirdpartyanynon-public,proprietary,orsensitiveinformationdisclosedbytheotherPartyinconnectionwiththisAgreement,exceptasmayberequiredbylaworregulation.

4.2TheconfidentialityobligationssetforthinthisArticle4shallsurvivetheterminationorexpirationofthisAgreement.

5.IntellectualProperty

5.1EachPartyshallretainallright,title,andinterestinandtoitsrespectiveintellectualpropertyrights,asexistingbefore,during,andafterthetermofthisAgreement.

5.2ThePartiesagreethatanyimprovements,modifications,orderivativeworkscreatedinconnectionwiththecooperationunderthisAgreementshallbejointlyownedbytheParties.

6.Indemnification

6.1EachPartyshallindemnifyandholdharmlesstheotherPartyagainstanylosses,damages,claims,orliabilitiesarisingoutoforinconnectionwithanybreachofthisAgreementbysuchPartyoritsrepresentatives.

7.DisputeResolution

7.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbynegotiationsbetweentheParties.

7.2IfthePartiesfailtoresolveanydisputesthroughnegotiations,suchdisputesshallbesubmittedtothecourtsof[Jurisdiction]forresolution.

8.Miscellaneous

8.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.

8.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.

8.3ThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginalbutallofwhichtogethershallconstituteoneandthesameinstrument.

INWITNESSWHEREOF,thePartieshaveexecutedthisCooperationAgreementasofthedatefirstabovewritten.
