1.PartiestotheContract

ThisPurchaseContract(hereinafterreferredtoasthe"Contract")isenteredintoandbetween:

[Supplier'sName](hereinafterreferredtoas"Supplier"),witharegisteredaddressat[Supplier'sAddress].

2.ProductDescriptionandQuantity

TheBuyeragreestopurchasefromtheSupplier,andtheSupplieragreestoselltotheBuyer,thefollowingproducts(hereinafterreferredtoasthe"Products"):

3.PriceandPaymentTerms

ThepurchasepricefortheProductsshallbe[Price](inwords:[PriceinWords]),excludingtaxes,duties,andotheradditionalcosts.Thepaymenttermsareasfollows:

a)TheBuyershallmakea30%depositofthetotalpurchasepriceuponsigningthisContract.

b)Theremaining70%ofthetotalpurchasepriceshallbepaidtheBuyerwithin[NumberofDays]daysaftertheProductshavebeeninspectedandacceptedtheBuyer.

4.DeliveryandTransportation

TheSuppliershalldelivertheProductstothefollowingaddress(hereinafterreferredtoasthe"DeliveryAddress"):

TheSuppliershallberesponsibleforthetransportationandensurethattheProductsareproperlypackagedtopreventanydamageduringtransit.Theexpecteddeliverydateis[ExpectedDeliveryDate].

5.InspectionandAcceptance

6.WarrantiesandLiabilities

TheSupplierwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofacceptancetheBuyer.Intheeventofanydefectsormalfunctionsduringthewarrantyperiod,theSuppliershall,atitsownexpense,repairorreplacethedefectiveProducts.

7.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,labordisputes,orgovernmentactions.Theaffectedpartyshallpromptlynotifytheotherpartyoftheexistenceofsuchforcemajeureeventandtakereasonablemeasurestominimizetheimpact.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlyconsultationsbetweentheparties.Ifnosettlementcanbereached,thedisputesshallbesubmittedto[ArbitrationInstitution]forarbitrationinaccordancewithitsrules.Thearbitrationawardshallbefinalandbindinguponbothparties.

9.IntellectualPropertyRights

TheSupplierrepresentsandwarrantsthattheProductsdonotinfringeuponanythirdpartyintellectualpropertyrights.TheSuppliershallindemnifyandholdtheBuyerharmlessfromanyandallclaims,liabilities,damages,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwithanythirdpartyclaimthattheProductsinfringeuponanyintellectualpropertyrights.

10.Confidentiality

Bothpartiesagreetomaintainstrictconfidentialityregardinganyproprietaryinformation,tradesecrets,orotherconfidentialdataexchangedduringthecourseofthisContract.Suchinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredlaworjudicialorder.

11.Termination

ThisContractmaybeterminatedeitherpartyuponwrittennoticeintheeventofamaterialbreachtheotherparty,whichisnotcuredwithin[NumberofDays]daysafterwrittennoticeofsuchbreach.Additionally,eitherpartymayterminatethisContractwithoutcauseproviding[NumberofDays]days'writtennoticetotheotherparty.

12.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.NoamendmentormodificationofthisContractshallbevalidorbindingunlessmadeinwritingandsignedbothparties.

13.Assignment

NeitherpartymayassignortransferanyofitsrightsorobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty,whichconsentshallnotbeunreasonablywithheldordelayed.

15.Survival

19.LimitationofLiability

ExceptforliabilitiesarisingfrombreachesofSections6(WarrantiesandLiabilities),9(IntellectualPropertyRights),and10(Confidentiality),neitherpartyshallbeliabletotheotherforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisContract,whetherincontract,tort,negligence,orotherlegaltheory,evenifadvisedofthepossibilityofsuchdamages.

21.RelationshipoftheParties

NothinginthisContractshallbedeemedtocreateapartnership,jointventure,oragencyrelationshipbetweentheparties.Neitherpartyshallhavetheauthoritytoactinthenameoronbehalfoftheotherparty,norshalleitherpartyberesponsiblefortheactsoromissionsoftheother,exceptasexpresslyprovidedinthis
